SUBSCRIPTION AND SALEThe section entitled "Subscription and Sale" on pages 172 et seq. of the Base Prospectus issupplemented by the following additional paragraphs:Hong KongEach Dealer has represented, warranted and agreed, and each further Dealer appointed underthe Programme will be required to represent, warrant and agree, that:(a)(b)it has not offered or sold and will not offer or sell in Hong Kong, by means of anydocument, any Notes except for Notes which are a "structured product" as defined in theSecurities and Futures Ordinance (Cap. 571) of Hong Kong other than (i) to "professionalinvestors" as defined in the Securities and Futures Ordinance and any rules made underthat Ordinance; or (ii) in other circumstances which do not result in the document being a"prospectus" as defined in the Companies Ordinance (Cap. 32) of Hong Kong or which donot constitute an offer to the public within the meaning of that Ordinance; andit has not issued or had in its possession for the purposes of issue, and will not issue orhave in its possession for the purposes of issue, whether in Hong Kong or elsewhere, anyadvertisement, invitation or document relating to the Notes, which is directed at, or thecontents of which are likely to be accessed or read by, the public of Hong Kong (except ifpermitted to do so under the securities laws of Hong Kong) other than with respect toNotes which are or are intended to be disposed of only to persons outside Hong Kong oronly to "professional investors" as defined in the Securities and Futures Ordinance andany rules made under that Ordinance.People’s Republic of ChinaEach Dealer has represented, warranted and agreed, and each further Dealer appointed underthe Programme will be required to represent, warrant and agree, that the Notes are not beingoffered or sold and may not be offered or sold directly or indirectly, in the PRC (for suchpurposes, not including Hong Kong, Macau and Taiwan) except as permitted by the securitieslaws and regulations of the PRC.SingaporeEach Dealer has acknowledged and each further Dealer appointed under the Programme will berequired to acknowledge that this Base Prospectus has not been registered as a prospectus withthe Monetary Authority of Singapore. Accordingly, each Dealer has represented, warranted andagreed, and each further Dealer appointed under the Programme will be required to represent,warrant and agree that it has not offered or sold any Notes or caused such Notes to be made thesubject of an invitation for subscription or purchase and will not offer or sell such Notes or causesuch Notes to be made the subject of an invitation for subscription or purchase, and has notcirculated or distributed, nor will it circulate or distribute, this Base Prospectus or any otherdocument or material in connection with the offer or sale, or invitation for subscription orpurchase, of such Notes, whether directly or indirectly, to persons in Singapore other than (i) toan institutional investor under Section 274 of the Securities and Futures Act, Chapter 289 ofSingapore (the "SFA"), (ii) to a relevant person pursuant to Section 275(1), or any personpursuant to Section 275(1A), and in accordance with the conditions specified in Section 275, ofthe SFA, or (iii) otherwise pursuant to, and in accordance with the conditions of, any otherapplicable provision of the SFA.Where Notes are subscribed or purchased under Section 275 of the SFA by a relevant personwhich is:- 24 -
(a)(b)a corporation (which is not an accredited investor (as defined in Section 4A of the SFA))the sole business of which is to hold investments and the entire share capital of which isowned by one or more individuals, each of whom is an accredited investor; ora trust (where the trustee is not an accredited investor) whose sole purpose is to holdinvestments and each beneficiary of the trust is an individual who is an accreditedinvestor,securities (as defined in Section 239(1) of the SFA) of that corporation or the beneficiaries’ rightsand interest (howsoever described) in that trust shall not be transferred within six months afterthat corporation or that trust has acquired the Notes pursuant to an offer made under Section 275of the SFA except:(i)(ii)(iii)(iv)to an institutional investor or to a relevant person defined in Section 275(2) of the SFA, orto any person arising from an offer referred to in Section 275(1A) or Section 276(4)(i)(B)of the SFA;where no consideration is or will be given for the transfer;where the transfer is by operation of law; oras specified in Section 276(7) of the SFA.- 25 -
