<strong>Marine</strong> <strong>Plant</strong> <strong>Systems</strong> Pty Ltd<strong>Sales</strong> Terms <strong>and</strong> Conditions26. IndemnityThe Customer shall indemnify, keep indemnified <strong>and</strong> hold harmless the Contractor in respect of any actions,suits, claims, dem<strong>and</strong>s, damages, losses, costs, expenses <strong>and</strong> liabilities brought or made by any personwhomsoever in respect of any personal injury to or the death of any person whomsoever or loss of <strong>and</strong>/ordamage to any property whatsoever (including the Contract Items) arising out of or as a consequence of anyaccident or circumstance involving the Services <strong>and</strong>/or the Contract Items <strong>and</strong> whether or not such loss ordamage or injury or death arises out of breach of contract or negligence on the part of the Contractor or itsservants, agents or Sub-Contractors.27. Conditions to have in force in all CircumstancesAll the rights, immunities <strong>and</strong> limitations of liability in these <strong>terms</strong> <strong>and</strong> <strong>conditions</strong> shall continue to have fullforce <strong>and</strong> effect in all circumstances <strong>and</strong> notwithst<strong>and</strong>ing any breach of this Agreement or any of the<strong>conditions</strong> t<strong>here</strong>of by the Contractor or any other person entitled to the benefit of such provisions.28. Validity of Terms <strong>and</strong> Severe-abilityIn the event that any of the <strong>terms</strong>, <strong>conditions</strong> or provisions contained in this Agreement shall be determinedinvalid, unlawful or unenforceable to any extent, such term, condition or provision shall be severed from t<strong>here</strong>maining <strong>terms</strong>, <strong>conditions</strong> <strong>and</strong> provisions which shall continue to be valid to the fullest extent permitted bylaw.29. Trade Practices <strong>and</strong> the Fair Trading Act29.1. Notwithst<strong>and</strong>ing anything <strong>here</strong>in contained the Contractor shall continue to be subject to anyimplied <strong>conditions</strong> <strong>and</strong> warranties provided by the Commonwealth Trade Practices Act, 1974(“the TPA”) <strong>and</strong> the Western Australian Fair Trading Act, 1987 (“the FTA”) if <strong>and</strong> to the extent thatthose Acts or either of them is or are applicable to this Agreement <strong>and</strong> prevents the exclusion,restriction or modification of any such condition or warranty.29.1. Save for other <strong>conditions</strong> <strong>and</strong> warranties (if any) set out in these <strong>terms</strong> <strong>and</strong> <strong>conditions</strong> the only<strong>conditions</strong> <strong>and</strong> warranties which are binding on the Contractor in relation to its supply of theServices are those required by the TPA (if applicable) <strong>and</strong> the FTA (if applicable) <strong>and</strong> in the eventthat the Contractor is liable for breach of a condition or warranty implied by the TPA or the FTAthe liability of the Contractor for a breach of such condition or warranty shall be limited to:29.1.1. in the case of Contract Items:29.1.2. the replacement of the Contract Items or the supply of equivalent Contract Items;10
