What to Know About Our <strong>Code</strong><br />
Purpose<br />
We believe that a business has ethical as well as economic responsibilities<br />
and will prosper most in an environment that is ethically sound. We are<br />
committed to acting with the highest ethical standards and to protecting<br />
our reputation for integrity. Our <strong>Code</strong> <strong>of</strong> <strong>Conduct</strong> provides standards <strong>of</strong><br />
business conduct for all <strong>of</strong> our employees, <strong>of</strong>ficers and directors to live up<br />
to in order to achieve our ethical standards and commitment to integrity.<br />
Governing Principles<br />
The foundation <strong>of</strong> the <strong>Code</strong> consists <strong>of</strong> the following important<br />
standards <strong>of</strong> business conduct, which are the key ingredients<br />
in establishing and maintaining trust:<br />
• Comply with all applicable<br />
laws, regulations, policies<br />
and contracts governing<br />
our businesses.<br />
• Be honest, fair and trustworthy<br />
in all your business activities<br />
and relationships.<br />
• Treat one another fairly and foster a safe, diverse and<br />
environmentally responsible workplace.<br />
• Protect our assets and information and the assets and<br />
information entrusted to us by others.<br />
• Avoid conflicts <strong>of</strong> interest, and the appearance <strong>of</strong> such<br />
conflicts, between work and personal affairs.<br />
• Compete responsibly in the marketplace.<br />
• Ask questions, seek guidance and raise concerns.<br />

• Through leadership at all levels, create and sustain a culture<br />
where ethical conduct is recognized, valued and practiced<br />
by all employees.<br />
Ethical Decision-Making<br />
WHAT TO DO:<br />
In today’s rapidly changing workplace, you may encounter unfamiliar<br />
situations that present ethical dilemmas. In these circumstances, the right<br />
thing to do is not always clear. For this reason, you should become familiar<br />
with the contents <strong>of</strong> the <strong>Code</strong>. The <strong>Code</strong> contains a broad overview <strong>of</strong><br />
key policy areas and examples within each area. It is not all-inclusive.<br />
Situations will arise that are not covered here. For those situations,<br />
ask yourself these questions:<br />
• Does it potentially violate any applicable<br />
law, regulation, policy or contract?<br />
• Does it feel right?<br />
• Should I check with my supervisor or<br />
another local leader?<br />
• How would it look if it was covered in the news?<br />
• Would I feel comfortable explaining it to my family?<br />
• Could it appear improper?<br />
WHAT TO WATCH OUT FOR:<br />
Sometimes, it is difficult even to recognize<br />
an ethical problem. When in doubt, ask your<br />
supervisor, a Human Resources representative<br />
or a Company lawyer. Don’t disregard a<br />
potential issue because you think:<br />
• It’s none <strong>of</strong> my business.<br />
• The Company wants me to do this.<br />
• Everyone does it.<br />
• No one will ever know.<br />
Ask questions,<br />
seek guidance and<br />
raise concerns.<br />
