In accordance with the article 73, paragraph 10 of the Public Procurement law of<br />
the Republic of Serbia ("Official Gazette of the Republic of Serbia", No. 39/02, 43/03,<br />
55/04 and 101/05) Public Enterprise "Electric Power Industry of Serbia" is informing you<br />

Invitation to Tender<br />
for the Public Procurement of electricity<br />
in the second phase of restrictive procedure<br />
Public Enterprise "Electric Power Industry of Serbia", Belgrade, 2 Carice Milice<br />
St, published Public Invitation to tender for electricity supply in the first .phase of the<br />
restrictive procedure no. 53/2006 DTEE in the Official Gazette of the Republic of Serbia<br />
no. 93/06, on 25thOctober 2006.<br />

JP EPS invites herewith all interested tenderers whose qualifications have been<br />
approved in the first phase of the restrictive procedure for public procurement no.<br />
53/2006 DTEE to make their specific offers in the second phase of the restrictive<br />
procedure for electricity procurement.<br />
Public procurement 53/2006 DTEE in the second phase of the restrictive<br />
procedure shall be carried out under the no. 66/09 DTEE.<br />
1. Energy requirements:<br />
- For the period 14. December 2009 - 31. December2009,<br />
- Power capacity 50 MW base load diagram<br />
- Total energy 21600 MWh<br />
2. Delivery point:<br />
Delivery point is considered to be any high-voltage interconnective transmission line<br />
crossing the border of the Republic of Serbia. Energy shall be delivered OAF Serbian<br />
border. The border has to be stated but it won't be announced in public by EPS.<br />
Cross-border transmission capacity shall be provided by the buyer (EPS) for all<br />
borders specified in tender.<br />
3. Financial conditions:<br />
Price of electricity shall be quoted in [EUR/MWh].<br />
EPS shall carry out payments within 15 (fifteen) calendar days upon receipt of the<br />
original invoice for the quantities of electricity delivered during the previous calendar<br />
month.<br />
- 4. Contents of tenders with instructions for preparation of tenders<br />

Tenders should be submitted in the form of the .attached model (SPECIMEN 5),<br />
including the following details: . j h .<br />
Delivery period, must be the entire period specified in the item 1 hereinabove<br />

Quantityof energyoffered,with powercapacitydefinedin the item 1<br />
hereinabove<br />
Price of energy offered has to be constant and uniform throughout the entire<br />
period of delivery specified in the item 1 hereinabove.<br />
Tenders shall remain valid and in full force until 30thNovember 2009, 24:00 (CET). If<br />
the selected Tenderer fails to sign the contract before or on the aforesaid date, at the<br />
latest, the tender becomes invalid and the purchaser has riaht to activate the Tender<br />
Bond.<br />
5. legalizing documents<br />
Tenderer that has been approved the qualification in the first phase of the restrictive<br />
procedure 53/2006 DTEE, and that has endured status modification and/or there have<br />
been changes in the documents submitted on the basis of which the qualification has<br />
been approved to the Tenderer in the first phase of the procedure, according to the<br />
article 45 and article 46 of the Public Procurement Law (Official Gazette of the Republic<br />
of Serbia no. 39/2002, 43/03, 55/04 and 101/05), is obliged to inform the Purchaser of<br />
those changes before submission of tender in the second phase of the restrictive<br />
procedure and to submit evidence in accordance with the above mentioned articles 45<br />
and 46 of the Public Procurement Law.<br />
The Purchaser reserves the right to request from the Tenderer the original<br />
documents for perusal in accordance with the articles 45 and 46 of, the Public<br />
Procurement Law (Official Gazette of the Republic of Serbia no. 39/02, 43/03, 55/04 and<br />
101/05) as well as to exclude Tenderer from the list of qualified tenderers if the Tenderer<br />
does not meet qualification conditions.<br />
The Tenderer may submit tender only in the same way and in the same form it was<br />
at the time the Tenderer was approved the qualification in the first phase of the<br />
procedure.<br />
The following documents have to be enclosed to the offer:<br />
. Stamped, signed and filled in Specimen 1 - tenderer information,<br />
. Stamped, signed and filled in Specimen 2 - tenderer's Statement of<br />
acceptance of the requirements contained in the Invitation to Tender and the<br />
Tender Documentation,<br />

Stamped, signed and filled in Specimen 3 - Statement relating to submission<br />
of the bank guarantee as a financial security instrument for performance<br />
Stamped, signed and filled in Tender Bond that has to be unconditional,<br />
irrevocable and payable at first demand as per the model in the Specimen 4<br />
Stamped, signed and filled in Tender form (Specimen 5) with obligatory<br />
fulfilled frontier (delivery point) from which electrical energy shall be imported<br />
Filled in pro forma invoice form (Specimen 6) (instructions on how to fill in<br />
the form may be read in the Specimen 6A)<br />

Tender has also to meet other requirements of Tender Documentation 53/2006<br />
DTEE and this Invitation to Tender:<br />
6. Language<br />
Tender Bond should be in the amount covering 3 % of the value of the base<br />
diagram of the electricity offered, with content as in the model attached -<br />
SPECIMEN 4). Should such bank guarantee be issued by a foreign bank, the<br />
bank must have at least AA IBCA rating. Tender Bond shall be valid until 10th<br />
December 2009, 2400hCET. Once the contract with the successful Tenderer<br />
is signed, EPS shall send back to all other Tenderers, except the Supplier,<br />
their Tender Bonds. The Supplier shall be given back the Tender Bond<br />
immediately after the signing of the contract and receipt of the Performance<br />
Bond. If the selected Tenderer fails to sign the submitted contract, Tender<br />
Bond of the Tenderer shall be fully forfeited in favour of EPS.<br />
The Purchaser prepared the Tender Documents in Serbian and English, as well<br />
as the Invitation for the collection of tenders in the second phase, while tender opening<br />
in the second phase of the public procurements procedure shall be carried out in<br />
Serbian. .<br />
Tenders with accompanying documentation shall be submitted in Serbian language,<br />
for local Tenderers, and in English language, for foreign Tenderers.<br />
7. Mailing procedure<br />
Any interested company wishing to tender for a contract shall submit tender and<br />
tender copy in two different sealed envelopes, in person, by registered mail or by<br />
courier mail, with obliaatorv remark:<br />

On reverse side of the envelope there should be 'objigat'bryiildicated: name, address<br />
and telephone number of the Tenderer and name of the contact person.<br />

1: Closing date<br />
The envelope has to arrive at the indicated EPS address by 11:00 o'clock on 4th<br />
November 2009. The tenders received after this date and time shall not be considered.<br />
2. Screening of tenders<br />
Opening and selection of tenders shall be carried out in the presence of authorized<br />
representatives of the Tenderers in the premises of EPS' Electricity Trade Department at the<br />
above-mentioned address, in the room no. 256 on the second floor, on 4th November 2009<br />
starting at 12:30 (CET). Tenders selection procedure shall be carried out after the evaluation<br />
of correctness of the tenders.<br />
3. Criteria for selection of the most favourable tender<br />
Only tenders in accordance with the technical specifications as defined in this<br />
documentation shall be subject to evaluation.<br />
Contract award shall be carried out on the basis of the lowest offered price criterion if<br />
all conditions stipulated in Tender Documentation are satisfied.<br />
In tender evaluation all conditional costs for each tender shall be taken into account<br />
(depending on whether it is a local or foreign Tenderer offer).<br />
EPS reserves all rights to cancel in full or partly the public procurement for well-founded<br />
reasons.<br />
Tenderers may not have any claims against this decision.<br />
Contract award decision shall be made up to 8 days after the tender opening.<br />
Representative of Tenderer, attending the. public opening of tenders must submit<br />
authorization signed and certified by responsible person of the Tenderer. Au~horization -<br />
proxy may be submitted in person or in an envelope together with the tender.<br />
