The design, implementation and modification of employment and separation<br />

agreements often implicate issues under tax and employment laws. In reviewing<br />

<strong>the</strong>se contracts, ERISA attorneys may encounter unfamiliar employment issues, and<br />

employment lawyers may be faced with ERISA concepts outside of <strong>the</strong>ir regular<br />

practice. In <strong>the</strong> context of employment contracts, however, both types of issues are<br />

of relevance to both types of attorneys. This primer will seek to provide an overview<br />

of <strong>the</strong> various ERISA, tax and employment law considerations that are commonly<br />

raised by employment and severance agreements, for <strong>the</strong> practitioner whose<br />

day-to-day expertise does not span all of <strong>the</strong>se areas. The panelists will walk <strong>the</strong><br />

attendees through an employment contract and a severance contract from <strong>the</strong><br />

perspective of both employment and benefits lawyers. This program is essential<br />

for midlevel attorneys and may also serve as a nice refresher for more experienced<br />

professionals.<br />

Say-on-Pay and <strong>the</strong> enhanced scrutiny on executive compensation raise many practical<br />

issues that must be handled by a company’s legal counsel. This program will focus<br />

on <strong>the</strong> day-to-day issues confronting lawyers in <strong>the</strong> course of advising companies in<br />

connection with <strong>the</strong> review and redesign of <strong>the</strong>ir executive compensation programs<br />

and proxy disclosure, including: an overview of current proxy advisor guidelines;<br />

recommended practices to prepare for potential shareholder derivative lawsuits; 409A<br />

and o<strong>the</strong>r legal obstacles to revising compensation arrangements; and effective<br />

communications with shareholders to gain approval of a Say-on-Pay vote.<br />
