Dear clients, dear readers,
On 18 March 2020, the Luxembourg government declared a state of emergency,
temporarily authorising it to take emergency measures by decree.
With the decree of 20 March 2020, the government has taken the following measures
which have implications for company law.
With immediate effect, it is provided that the organs of all companies or legal
entities may hold their meetings, in particular the general meetings and board
meetings, without the physical presence of their members being required.
This system guarantees the effective participation of these members and
the exercise of their rights by recourse to
remote voting or;
written circular resolutions or;
video-conferencing or;
other means of telecommunication.

These measures also apply to public broadcasters, economic interest
groups and non-profit associations.
With regard to the holding of annual general meetings, companies,
ASBLs, public bodies and other legal entities may convene
annual general meetings for a date which falls within one of the
following periods, notwithstanding any provision to the contrary
in the Articles of Association:

– 6 months after the end of their financial year, or;
– until 30 June 2020
The company is entitled to take this decision for each
meeting convened by 30 June 2020 at the latest. Any
company which has already convened its meeting and
takes such a decision shall make it public and, where
appropriate, notify its shareholders, members or
other participants thereof, in the manner in which
it convened the meeting or by publication on its
website, no later than the third working day before
the meeting.
This document applies to any type of company
under Luxembourg law.

Le 18 mars 2020, le gouvernement luxembourgeois a déclaré l‘état d‘urgence, l‘autorisant
temporairement à prendre des mesures d‘urgence par décret.
Avec le décret du 20 mars 2020, le gouvernement a pris les mesures suivantes qui ont
des implications pour le droit des sociétés.
Avec effet immédiat, il est prévu que les organes de toutes les sociétés ou personnes
morales peuvent tenir leurs réunions, notamment les assemblées générales et les
conseils d‘administration, sans que la présence physique de leurs membres ne soit
requise.
Ce système garantit la participation effective de ces membres et l‘exercice de
leurs droits en recourant

En ce qui concerne la tenue des assemblées générales annuelles, les
sociétés, ASBL, organismes publics et autres personnes morales
peuvent convoquer des assemblées générales annuelles pour une
date qui tombe dans l‘une des périodes suivantes, nonobstant
toute disposition contraire des statuts :
- 6 mois après la fin de leur exercice financier, ou ;
- jusqu‘au 30 juin 2020
La société est en droit de prendre cette décision pour chaque
réunion convoquée au plus tard le 30 juin 2020. Toute
société qui a déjà convoqué son assemblée et qui prend
une telle décision la rend publique et, le cas échéant, en
informe ses actionnaires, associés ou autres participants,
de la manière dont elle a convoqué l‘assemblée
ou par publication sur son site internet, au plus tard
le troisième jour ouvrable précédant l‘assemblée.
Ce document s‘applique à tout type de société de
droit luxembourgeois.

Sehr geehrte Mandanten, sehr geehrte Leser,
Am 18. März 2020 wurde von der luxemburgischen Regierung der Ausnahmezustand ausgerufen,
welcher selbige vorübergehend dazu befugt, per Dekret Notfallmaßnahmen zu
ergreifen.
Mit dem Dekret vom 20. März 2020 hat die Regierung folgende Maßnahmen ergriffen,
die Auswirkungen auf das Gesellschaftsrecht haben.
Mit sofortiger Wirkung ist vorgesehen, dass die Organe aller Gesellschaften oder
juristischen Personen ihre Besprechungen, insbesondere die Versammlungen und
Vorstandssitzungen, abhalten können, ohne dass es der physischen Anwesenheit
ihrer Mitglieder bedarf.
Dieses System garantiert die tatsächliche Teilnahme dieser Mitglieder und die
Ausübung ihrer Rechte durch Rückgriff auf:
Fernabstimmung oder;
schriftliche Zirkularbeschlüsse oder;
Videokonferenzen oder;
sonstige Telekommunikationsmittel.

Was das Abhalten der Jahreshauptversammlungen angeht, dürfen
die Gesellschaften, ASBL, öffentlich-rechtlichen Anstalten und sonstigen
juristischen Personen trotz gegenteiliger Bestimmung in der
Satzung diese für ein Datum einberufen, das sich in einem der folgenden
Zeiträume befindet:
- 6 Monate nach Abschluss ihres Geschäftsjahres oder;
- bis zum 30. Juni 2020
Das Unternehmen ist berechtigt, diese Entscheidung für jede
bis spätestens 30. Juni 2020 einberufene Sitzung zu treffen.
Jede Gesellschaft, die ihre Versammlung bereits einberufen
hat und eine solche Entscheidung trifft, veröffentlicht
diese und teilt sie gegebenenfalls ihren Aktionären, Gesellschaftern
oder anderen Teilnehmern in der Form, in
der sie die Versammlung einberufen hatte, oder durch
Veröffentlichung auf ihrer Website spätestens am
dritten Arbeitstag vor der Versammlung mit.
Das vorliegende Dokument gilt für jede Art von Gesellschaft
nach luxemburgischem Recht.
