<strong>Dewan</strong> <strong>Komisaris</strong> juga memperoleh pemutakhiran<br />
tentang perkembangan ketentuan perundangundangan,<br />
manajemen risiko serta standar akuntansi<br />
dan pelaporan keuangan. Hal-hal berikut merupakan<br />
fokus pengawasan yang dilaksanakan oleh <strong>Dewan</strong><br />
<strong>Komisaris</strong> selama tahun 2008:<br />
• Melakukan pengawasan terhadap realisasi rencana<br />
bisnis <strong>Bank</strong>, khususnya dalam menghadapi<br />
lingkungan bisnis yang dihadapkan pada krisis<br />
global, dan membahas dengan Direksi tentang<br />
hal-hal yang menyebabkan belum tercapainya<br />
beberapa aspek penting rencana bisnis seperti<br />
penyaluran kredit, penghimpunan dana pihak<br />
ketiga serta produktivitas dan efisiensi. Dalam<br />
menghadapi ketatnya persaingan suku bunga<br />
dan situasi perekonomian yang bergejolak,<br />
<strong>Dewan</strong> <strong>Komisaris</strong> mendukung kebijakan Direksi<br />
mengutamakan prinsip kehati-hatian dalam<br />

penyaluran kredit dan pemupukan dana pihak<br />
ketiga dan mendorong Direksi agar terus berupaya<br />
meningkatkan produktivitas dan efisiensi.<br />
Memantau pengembangan kualitas Sumber Daya<br />
Manusia (SDM) dan mendorong akselerasi transfer<br />
of knowledge dari <strong>OCBC</strong> <strong>Bank</strong> mengingat fungsi<br />
strategik SDM dalam mendukung pencapaian<br />
rencana jangka panjang.<br />
• Memastikan terselenggaranya prinsip dan praktek<br />
Good Corporate Governance (GCG) pada seluruh<br />
jenjang organisasi dengan memantau hasil self<br />
assessment terhadap GCG, menjamin transparansi<br />
dan keterbukaan, akuntabilitas organ <strong>Bank</strong> dan<br />
mendorong penyempurnaan praktek GCG dengan<br />
mengacu kepada international best practices.<br />
• Memastikan terselenggaranya sistem pengendalian<br />
internal dan pelaporan keuangan yang<br />
efektif dengan memantau, melalui pertemuan<br />
dengan Komite Audit, tindak lanjut temuan dan<br />
rekomendasi satuan kerja audit intern, hasil<br />
pengawasan <strong>Bank</strong> Indonesia dan temuan audit<br />
akuntan publik.<br />
• Memastikan efektivitas sistem dan proses<br />
•<br />
manajemen risiko, melalui pertemuan dengan<br />
Komite Pemantau Risiko, dengan memantau<br />
pengelolaan risiko utama <strong>Bank</strong>.<br />
Melakukan pengawasan terhadap keseluruhan<br />
faktor CAMELS melalui pembahasan dengan<br />
Direksi upaya-upaya yang dilakukan dalam<br />
mempertahankan tingkat kesehatan <strong>Bank</strong>.<br />

on the development of laws and regulations, risk<br />
management as well as accounting standards<br />
and financial reporting. The following are the<br />
main focuses of supervision by the Board of<br />
Commissioners in 2008:<br />
• Supervise on the realisation of the <strong>Bank</strong>’s<br />
business plans, particularly related to the<br />
business environment subject to the global<br />
crisis, and discussed with the Board of<br />
Directors on matters causing under<br />

achievement of significant aspects of the<br />
business plans, such as loan distribution,<br />
third party deposits accumulation as well<br />
as productivity and efficiency. In matters<br />
pertaining to tight competition in interest<br />
rates and fluctuating economic conditions, the<br />
Board of Commissioners has supported the<br />
policies of the Board of Directors in upholding<br />
the prudential principle in lending and third<br />
party funding and encouraged the Board of<br />
Directors to continuously drive improvement in<br />
productivity and efficiency.<br />
Monitor the development of Human Resources<br />
(HR) quality and encouraged the acceleration<br />
of the transfer of knowledge from <strong>OCBC</strong> <strong>Bank</strong><br />
considering the strategic function of HR in<br />
supporting the <strong>Bank</strong>’s long-term plans.<br />
• Ensure the implementation of Good Corporate<br />
Governance (GCG) principles and practices<br />
at all levels of the organizational hierarchy<br />
by monitoring the GCG self assessment<br />
results, ensuring transparency and disclosure,<br />
accountability of the corporate organs and<br />
supporting measures for improvement of GCG<br />
implementation based on international best<br />
practices.<br />
• Ensure the application of effective financial<br />
reporting and internal control system by<br />
monitoring, through meetings with the Audit<br />
Committee, follow up actions on findings and<br />
recommendations provided by the internal<br />
audit, <strong>Bank</strong> Indonesia reviews and audit<br />
findings by the public accountant.<br />
• Ensure the effectiveness of the risk<br />
management system and process, through<br />
meetings with the Risk Management<br />
•<br />
Committee, by monitoring the management of<br />
the <strong>Bank</strong>’s main risks.<br />
Supervise the entire factors pertaining to<br />
CAMELS through discussions with the Board of<br />
Directors on related action taken to maintain<br />
the level of soundness of the <strong>Bank</strong>.<br />
