UMUMSalah satu tujuan pembentukanpemerintahan negara adalah untuk memajukankesejahteraan umum. Amanat tersebut, antaralain, telah dijabarkan dalam Pasal 33 Undang-Undang Dasar 1945 dan merupakan amanatkonstitusi yang mendasari pembentukan seluruhperaturan perundang-undangan di bidangperekonomian. Konstitusi mengamanatkan agarpembangunan ekonomi nasional harusberdasarkan prinsip demokrasi yang mampumenciptakan terwujudnya kedaulatan ekonomiIndonesia. Keterkaitan pembangunan ekonomidengan pelaku ekonomi kerakyatan dimantapkanlagi dengan Ketetapan MPR Nomor XVI Tahun1998 sebagai sumber hukum materiil. Dengandemikian, pengembangan penanaman modalbagi usaha mikro, kecil, menengah, dan koperasimenjadi bagian dari kebijakan dasar penanamanmodal.Berkaitan dengan hal tersebut, penanamanmodal harus menjadi bagian daripenyelenggaraan perekonomian nasional danditempatkan sebagai upaya untuk meningkatkanpertumbuhan ekonomi nasional, menciptakanlapangan kerja, meningkatkan pembangunanekonomi berkelanjutan, meningkatkan kapasitasdan kemampuan teknologi nasional, mendorongpembangunan ekonomi kerakyatan, sertamewujudkan kesejahteraan masyarakat dalamsuatu sistem perekonomian yang berdaya saing.Tujuan penyelenggaraan penanamanmodal hanya dapat tercapai apabila faktorI. Undang-Undang ini juga memberikanjaminan perlakuan yang sama dalam rangkapenanaman modal. By improving such factors, therealization of the capital investment isexpected to be significantly better.The spiritual backgriound of the creation of theLaw on the Capital Investment is the spirit tocreate a conducive capital investment climate;and therefore the Law on Capital Investmentshall regulate essential matters, related to thescope of the laws, the basic policies for capitalinvestment, the form of business entities, thetreatment of capital investment, businesssectors, and the relation between theeconomic develo<strong>pm</strong>ent and the populisteconomic player, which shall be implementedin regulations for the develo<strong>pm</strong>ent of capitalinvestment for micro, small-scale, mediumscaleand cooperative enterprises, rights,obligations and responsibilities of the investor,and facilities for capital investment, legalizationand licenses, coordination and theimplementation of the capital investmentpolicies which regulates institutional matters,implementation of capital investment issues,and provisions regulating dispute settlement.This Law embraces all capital investmentactivities directly in all sectors. This Law alsoprovides a guarantee for equal treatment incapital investment. Moreover, this Law ordersthe Government to increase coordinationamong Government institutions, between theGovernment institutions and Bank Indonesia,and between Government institutions andregional government. Pemerintah daerah menjalankan otonomiseluas-luasnya untuk mengatur dan mengurussendiri urusan penyelenggaraan penanamanmodal berdasarkan asas otonomi daerah dantugas pembantuan atau dekonsentrasi. Olehkarena itu, peningkatan koordinasi kelembagaantersebut harus dapat diukur dari kecepatanpemberian perizinan dan fasilitas penanamanmodal dengan biaya yang berdaya saing. Agarmemenuhi prinsip demokrasi ekonomi, Undang-Undang ini juga memerintahkan penyusunanperaturan perundang-undangan mengenaibidang usaha yang tertutup dan yang terbukadengan persyaratan, termasuk bidang usahayang harus dimitrakan atau dicadangkan bagiusaha mikro, kecil, menengah, dan koperasi.Permasalahan pokok yang dihadapipenanam modal dalam memulai usaha diIndonesia diperhatikan oleh Undang-Undang inisehingga terdapat pengaturan mengenaipengesahan dan perizinan yang di dalamnyaterdapat pengaturan mengenai pelayananterpadu satu pintu. Dengan sistem itu, sangatdiharapkan bahwa pelayanan terpadu di pusatdan di daerah dapat menciptakanpenyederhanaan perizinan dan percepatanpenyelesaiannya. Selain pelayanan penanamanmodal di daerah, <strong>Badan</strong> Koordinasi PenanamanModal diberi tugas mengoordinasikanpelaksanaan kebijakan penanam modal. <strong>Badan</strong>Koordinasi Penanaman Modal dipimpin olehseorang kepala yang bertanggung jawablangsung kepada Presiden. Regional governmentsshall implement broad autonomy to regulateand manage their own implementation ofcapital investment, based on regionalautonomy and delegation or deconcentration.Therefore, the increase in such institutionalcoordination shall be measured on the basis ofthe acceleration of license grant and thecompetive cost of capital investment facilities.To fulfill economic democracy, this Law alsoorders the creation of laws and regulations onthe business sectors that are closed, and openwith requirements, including the businesssectors that shall be partnered or planned forthe micro, small-scale, medium-scale andcooperative enterprises.This Law is concerned about the mainproblems faced by investors in starting theirbusiness in Indonesia; therefore this Lawregulates the authorization and licensing thatgovern the one door integrated service. Withsuch system, the integrated service at thecentral level and in the regions is expected toestablish the simplification and accelereationof service. Besides conducting regional capitalinvestment services, the Capital InvestmentCoordination Board is assigned to coordinatethe implementation of investor policies. TheCapital Investment Coordination Board is to bechaired by a chairman who is directlyresponsible to the President. The descriptionof the main duties and functions of the CapitalInvestment Coordination Board basicallystrengthens the role of such Board to impedethe obstacles to capital investment, increasecertainty in the facility grant to the investor,and strengthen the role of the investor. Peningkatanperan penanaman modal tersebut harus tetapdalam koridor kebijakan pembangunan nasionalyang direncanakan dengan tahap memperhatiankestabilan makroekonomi dan keseimbanganekonomi antarwilayah, sektor, pelaku usaha, dankelompok masyarakat, mendukung peran usahanasional, serta memenuhi kaidah tata kelolaperusahaan yang baik (good corporategovernance).Fasilitas penanaman modal diberikandengan mempertimbangkan tingkat daya saingperekonomian dan kondisi keuangan negara danharus promotif dibandingkan dengan fasilitasyang diberikan negara lain. Pentingnya kepastianfasilitas penanaman modal ini mendorongpengaturan secara lebih detail terhadap bentukfasilitas fiskal, fasilitas hak atas tanah, imigrasi,dan fasilitas perizinan impor. Meskipun demikian,pemberian fasilitas penanaman modal tersebutjuga diberikan sebagai upaya mendorongpenyerapan tenaga kerja, keterkaitanpembangunan ekonomi dengan pelaku ekonomikerakyatan, orientasi ekspor dan insentif yanglebih menguntungkan kepada penanam modalyang menggunakan barang modal atau mesinatau peralatan produksi dalam negeri, sertafasilitas terkait dengan lokasi penanaman modaldi daerah tertinggal dan di daerah denganinfrastruktur terbatas yang akan diatur lebihterperinci dalam ketentuan peraturan perundangundangan.Dengan memperhatikan hal tersebut,Undang-Undang ini juga memberikan ruangkepada Pemerintah untuk mengambil kebijakanguna mengantisipasi berbagai perjanjianinternasional yang terjadi dan sekaligus untukmendorong kerja sama internasional lainnyaguna memperbesar peluang pasar regional daninternasional bagi produk barang dan jasa dariIndonesia. Theessence of certainty in the capital investmentfacility shall support more specific regulationsin the form of fiscal facilities, rights over land,immigration, and importing licenses. However,such grants are also given in order toencourage the utilization of labor, theconnection between economic develo<strong>pm</strong>entand the populist economic players, exportorientation and incentives that shall benefit theinvestor using domestic capital goods ormachinery or equi<strong>pm</strong>ent, and facilities that arerelated to the location of the capital investmentin undeveloped areas and areas with limitedinfrastructure which shall be more specificallyregulated by the laws and regulations.In consideration of this, this Law gives room tothe Government to take policies in order toanticipate international treaties and toencourage other international cooperation toexpand the regional and international marketopportunity for Indonesian goods and services.The economic develo<strong>pm</strong>ent policies in certainareas shall be placed to attract internationalmarket potential and as an encouragement toincrease the growth in a region or specialeconomic zone that is strategic for the nationalPage 4

The possibilityof disputes arising between the investor andthe Government is anticipated by this Law,with provisions for dispute settelement.Rights, obligations and responsibilities of theinvestor are specifically regulated in order toprovide legal certainty, to emphasize theobligations of the investor for theimpementation of good corporate governanceprinciples, to respect a society’s culturaltradition, and to fulfill the social obligations ofthe company. Such regulation is needed toencourage a healthy business competitionclimate, to increase environmentalresponsibility and the fulfillment of the rightsand obligations of employees, and toencourage the obedience of the investor to thelaws and regulations.The world economy is marked with thecompetition among nations; therefore thecapital investment policies shall beencouraged to create the national competitivecapability to support Indonesia’s economicintegration into the global economy.
