CONDIZIONI GENERALI DI VENDITA GENERAL CONDITIONS OF SALE 1) OFFERTE E ORDINAZIONI Salvo quanto sia diversamente specificato, le nostre offerte hanno validità di 30 giorni; trascorso tale periodo l’offerta non sarà più impegnativa per noi. Tutte le ordinazioni devono specificare le quantità ed i tipi utilizzando i nostri appellativi. Le dimensioni dei gruppi non sono impegnative. 2) RESA DELLA MERCE I prezzi si intendono sempre franco nostro stabilimento, imballi ed ogni altro onere esclusi. 3) TERMINI DI CONSEGNA Resta inteso che i termini di consegna stabiliti dall’ordine, pur venendo rispettati per quanto possibile, hanno sempre valore indicativo, in quanto vengono definiti salvo imprevisti; con questo si intende: - insufficienza di dati tecnici, inesattezze e ritardi da parte del committente a trasmettere notizie e/o dati necessari per l’evasione dell’ordine - difficoltà di approvvigionamento delle materie prime - scioperi parziali o totali, mancanza di energia motrice, o comunque ogni altra causa di forza maggiore - inadempienza delle condizioni di pagamento da parte del committente. Il verificarsi di una delle cause sopraindicate non costituisce alcuna obbligazione o responsabilità ns. riguardo, per eventuali danni derivanti, e ci dispensa in ogni caso dal fornire indennizzi di sorta. La consegna si intende avvenuta, quando la merce viene messa a disposizione del cliente o con la rimessa al vettore o spedizioniere. Da questo momento tutti i rischi relativi al materiale, vengono assunti dal committente. 4) SPEDIZIONI La spedizione viene sempre effettuata a rischio e pericolo del committente e col mezzo che noi riterremo più opportuno, salvo altre istruzioni o indicazioni fornite al momento dell’ordine. Non esiste nessuna responsabilità nei nostri confronti, per quanto riguarda smarrimenti, ritardi, o danni derivanti dalla spedizione. A tutti gli effetti la merce si intende accettata, dal committente all’uscita dal nostro stabilimento. 5) PAGAMENTI I pagamenti devono essere eseguiti al nostro domicilio, restando a rischio del committente la trasmissione delle somme dovuteci, qualunque sia il mezzo prescelto. Il rilascio di cambiali o cessioni non costituisce variazioni del rapporto originario restando inoltre subordinato al buon fine delle stesse. Il mancato pagamento entro il termine stabilito - fermo restando il diritto di esigere il pagamento, ci autorizza ad addebitare al cliente, gli interessi di mora, nella misura del tasso bancario corrente +2% oltre alle spese bancarie ed altre eventuali sostenute. 1) OFFERS AND ORDER Unless otherwise stated, offers are valid for 30 days, after which period the company considers itself released from any obligation. Orders must include clear indications as to quantity, and designations must be compiled using only those terms given in the catalogue. Units dimensions are not binding. 2) PURCHASE PRICE Prices quoted are ex-works, and do not include packing and other freight or handling charges. 3) DELIVERY TIME Whilst every attempt is made to adhere to delivery dates stated at the time of ordering, such dates are agreed “circumstances permitting”, and cannot be considered as binding on the company in the event of: - difficulties in obtaining raw materials; - partial or total labour stoppages, power supply failure and/ or any other similar force majeure impediment - failure on the part of the buyer to meet terms of payment. The occurence of any of the circumstances mentioned neither renders the company liable in any way for ensuring damages, not constitutes any basis for claming compensation from the company. Delivery is considered accomplished at the moment of the merchandise’s being placed at the buyer’s disposal, or of its being consigned to the carrier; from this moment, all risks relative to freight and handling of the merchandise are shouldered by the buyer. 4) FREIGHT Merchandise is freighted at the buyer’s own risk, and will be despachted by whichever means of transport the company considers most suitable, unless specific instructions are given by the buyer at the time of ordering. No liability can be placed on the company for losses, delays or damage arising from the merchandise’s being freighted. Merchandise is considered as being accepted by the buyer to all intens and purposes, on its departure from GM works. 5) PAYMENT Payment is to be made direct to GM srl Ghirri Motoriduttori, Via Prampolini, 6 - 4<strong>10</strong>43 FORMIGINE (MO) - Italy. Whatever the method of payment, monies are sent or transferred at the buyer’s own risk. Terms of payment involving bills of exchange or other credit constitute no departure from the original purchase agreement, which is made subject to ultimate receipt of monies in question. In the event of a failure to make payment on the part of the buyer within the date agreed upon, the company shall be at liberty to charge the buyer with interest on overdure sums at the current bank rate, and with bank charges and other expenses incurred as a result of such non-payment. 96
CONDIZIONI GENERALI DI VENDITA GENERAL CONDITIONS OF SALE Il mancato o ritardato pagamento ci autorizza altresì alla sospensione della produzione e della consegna di altro materiale ancora in ordine, nonché all’annullamento di ogni ordine senza che al committente possa spettare alcun compenso o indennizzo di sorta. Ogni contestazione relativa al materiale in corso di fabbricazione, o già consegnato in possesso del committente, non dispensa quest’ultimo dall’obbligo di ritirare l’intero quantitativo ordinato e comunque dall’effettuare il pagamento alla scadenza prestabilita. 6) PREZZI I prezzi riportati sulle offerte sono quelli del Listino Prezzi in vigore alla data di emisione del documento stesso. Ci riserviamo peraltro la facoltà di variarli, qualora nel corso della fornitura, intervenissero aumenti sensibili nei materiali, nella mano d’opera o negli altri elementi di costo. 7) GARANZIA La garanzia, ha la durata di un anno dalla data di fatturazione del materiale ed è limitata esclusivamente alla riparazione o alla sostituzione gratuita dei pezzi riconosciuti, da noi, difettosi per mancanza di qualità essenziali nel materiale o per deficienza di fabbricazione. Il cliente o l’installatore, deve comunicare entro 8 giorni dal ricevimento della merce, i vizi ed i difetti constatabili e visibili, oppure entro 8 giorni dalla loro scoperta, quando trattasi di gruppi già montati e funzionanti. La merce contestata, dovrà essere spedita, franca di ogni spesa ed imballo, al nostro stabilimento, per le verifiche del caso. Non viene corrisposto alcun indennizzo, per eventuali danni a cose e/o persone derivanti dall’impiego dei nostri prodotti, fatta eccezione per gli obblighi di riparazione e sostituzione sopra indicati. La garanzia non riconosce i difetti derivanti da errori nella scelta del gruppo, deficienze nella lubrificazione e manutenzione, e decade completamente, quando il committente abbia eseguito o fatto riparazioni o modifiche senza nostra autorizzazione scritta. 8) DOMICILIO LEGALE E FORO COMPETENTE Il nostro domicilio legale si intende eletto presso la ns. sede. Ogni controversia che dovesse insorgere anche per merce fornita all’estero, è regolata dalla legislazione italiana e l’unico foro competente è quello di Modena. NON SI ACCETTANO RESTITUZIONI DI MATERIALI. The company shall also be at liberty, in such circumstances, both to suspend the manufacture of items ordered by the buyer and to hold back the despatch of merchandise, as well as to cancel all existing orders, without the buyer’s being entitled to any form of compensation therefor. Contestation brought by the buyer against items currently in production or already delivered shall provide no grounds for failure to take delivery of the entire order, or at all events, for failure to make payment for ordered merchandise, contested or otherwise, within the date agreed. 6) PRICE QUOTATIONS Quotations are taken from the list currently in use at the time of the offer’s presentation. The company reserves the right to adjust such price-quotations, however, in the event of there being any substantial rise in the cost of labour or materials, or in other production expenditure, during the course of the order’s being filled. 7) WARRANTY Warranty on GM products runs for twelve months from the date of invoicing, and covers repair or replacement, free of charge, of parts recognised by the company as betraying either defective materials or deficient workmanship. For the warranty to remain valid, the buyer or installer must report such defects or deficiencies to the company within 8 days of receiving the merchandise, where plainly discernable, whereas defects or deficiencies becoming apparent following installation and subsequent operation must be reported within 8 days of discovery. Contested merchandise must be freighted to the G.M. works, carriage and all relative expenses paid, for the purposes of verification. The company neither accepts any responsability not admits any liability whatsoever for damages to persons or property arising out of the use of G.M. products, beyond the free repairs or replacements under warranty as described above. The warranty does not cover defects arising from wrong selection, insufficient lubrication, or less-than-adequate maintenance of purchased items, and becomes null and void in the event of the buyer carrying out or commissioning repairs and/or modifications thereon without written authorisation from the G.M. company. 8) DOMICILE AND DISPUTES The GM srl company’s domicile for legal purposes is: Via Prampolini,6 - 4<strong>10</strong>43 FORMIGINE (MO) - Italy. Any disputes arising from the supply of products whether inside or outside Italian national territory are to be brought before the Modena law courts, and settled by application of Italian Law. RETURNED MERCHANDISE CANNOT BE ACCEPTED. 94
