Media ReleaseIntroduction of a duty of licensing for Trustees in Switzerland:Swiss Association of Trust Companies passes a position papercontaining proposals on regulationZug, June 19, 2012 - At the occasion of their general meeting end of May 2012, theMembers of the Swiss Association of Trust Companies (<strong>SATC</strong>) passed an extensiveposition paper on regulating trust services.Ever since the Hague agreement was ratified, trusts have been a reality in Switzerland.Despite this fact there has been a lack of rules regulating supervision and organization oftrustees. This has proved to be a disadvantage in the international competitiveness andharbours risks for the Swiss financial market place, which led to the formation of the <strong>SATC</strong>in 2007. <strong>The</strong> aim of the association is to safeguard high quality service as well asorganisational and ethic standards that apply to their members only. Since it was founded,<strong>SATC</strong> has been in regular contact with the authorities as well as with self-regulatoryorganisations and industry associations, such as the Society of Trust and EstatePractitioners (STEP).Protection of the interests of trust beneficiaries<strong>SATC</strong>’s position paper contains concrete proposals for rules concerning the licensing andorganisation of trustees that are to be applied parallel to the existing rules concerning theprevention of money laundering. <strong>The</strong> aim of the additional regulation is to protect thelegitimate interests of trust beneficiaries in a similar way to the rules protecting investors inthe banking and asset management sector. As the legitimate owner a trustee can disposedirectly of the assets of a trust. “<strong>SATC</strong> considers that the introduction of protectivemechanisms is of the utmost importance for the Swiss financial market place”, explainsAlexandre von Heeren, President of <strong>SATC</strong>.A working team consisting of members of <strong>SATC</strong> analysed the most important rules concerningtrustees applied abroad and then derived corresponding rules to be applied inSwitzerland. <strong>The</strong> most challenging aspect was to separate the business of trusteeshipfrom the administration of companies as commonly offered by Swiss fiduciary offices. In itspresent form, the position paper solely applies to Swiss companies in their function as trustees,i.e. common fiduciaries and natural persons are not included as trustees. Further, itwas necessary to separate the proposed rules concerning trustees from the existing rulesfor the fight against money laundering.Core elements of the regulation<strong>SATC</strong>’s position paper lists three main areas that the legislator ought to consider in futurerules and regulations concerning trustees:1. Duty of licensing for trustees: this contains the introduction of rules for an adequateminimal capital, appropriate insurance coverage and suitable organizational structures,including the availability of technical know-how.2. Duty of documentation: guaranteeing that a trustee’s decisions can be reconstructed

and understood and that one can check whether organizational standards have beenmaintained.3. Control: <strong>SATC</strong> suggest delegating the monitoring function to an existing auditor toavoid any conflict with, for example the law on the fight against money laundering,and to make sure that trustees are not unduly burdened with additional tasks.Any violation of <strong>SATC</strong> rules is to be sanctioned.<strong>SATC</strong>’s general assembly mandated a working team under the leadership of MarkBarmes, Lenz & Staehelin in Geneva, to work out concrete proposals concerning theimplementation. Until the necessary rules have been introduced by the legislative body,the standards are to be implemented by means of self-regulation. Members of <strong>SATC</strong>willingly subject themselves to rules that are stricter than the current ones set up by thelaw. <strong>SATC</strong> intends to maintain close contact with all parties concerned and wishes tocontribute to a secure financial market place.Changes in the Executive BoardAt the AGM Alexandre von Heeren of Mandaris AG in Basle replaced the outgoing (andfounding) Chairman Kecia Barkawi-Hauser of VALUEworks AG in Zürich. <strong>The</strong> newTreasurer will be Rodney Hodges of Rawlinson & Hunter Trustees SA, Geneva, who replacesAdrian Escher of Kendris AG, Zürich. Einführung einer Lizensierungspflicht für Trustees in der SchweizMedienmitteilungSwiss Association of Trust Companies verabschiedetPositionspapier mit Vorschlägen zur RegulierungZug, 19. Juni 2012 - Ende Mai 2012 verabschiedeten die Mitglieder der SwissAssociation of Trust Companies (<strong>SATC</strong>) anlässlich der Generalversammlung einumfassendes Positionspapier zur Regulierung von Trust-Dienstleistungen.Spätestens seit der Ratifizierung des Haager Trust-Übereinkommens sind Trusts in derSchweiz eine Realität. Ungeachtet dessen fehlt es an Aufsichts- und Organisationsregelnfür Trustees. Dies erweist sich im internationalen Wettbewerb als Nachteil und birgtRisiken für die Reputation des Schweizer Finanzplatzes, was 2007 zur Gründung der<strong>SATC</strong> führte. Das Ziel des Verbands ist seither die Sicherstellung hoher Service-Qualitätsowie organisatorischer und ethischer Standards mittels eigener, nur für dessen Mitgliedergeltender Richtlinien. Seit ihrer Gründung pflegt die <strong>SATC</strong> den regelmässigen Austauschmit den Behörden, Selbstregulierungs- und Branchenorganisationen wie der Society ofTrust and Estate Practitioners (STEP).Schutz der TrustbegünstigtenDas <strong>SATC</strong>-Positionspapier schlägt konkrete Lizenzierungs- und Organisationsvorschriftenfür Trustees vor, welche parallel zu den bestehenden Regeln zur Geldwäschereipräventiongelten sollen. Die zusätzliche Regulierung hat zum Ziel, die berechtigten Interessen vonTrustbegünstigten zu schützen, analog den Regeln zum Anlegerschutz im Bereich derBanken und Vermögensverwalter. Als rechtlicher Eigentümer kann ein Trustee weitgehenddirekt über Trustvermögen verfügen. “Die Einführung entsprechender Schutzmechanismenist aus der Sicht der <strong>SATC</strong> für den Finanzplatz Schweiz von hoher Bedeutung“, erklärtAlexandre von Heeren, Präsident der <strong>SATC</strong>.Eine aus <strong>SATC</strong>-Mitgliedern bestehende Arbeitsgruppe analysierte die bedeutendstenausländischen Lizenzierungsregeln für Trustees und erarbeitete daraus eine umfassendeEmpfehlung für eine entsprechende Regulierung in der Schweiz. Eine besondere Herausforderungstellte dabei die Abgrenzung der Trustee-Tätigkeit gegenüber der imschweizerischen Treuhandwesen verbreiteten Verwaltung von Gesellschaften dar. DasPositionspapier zielt in seiner heutigen Form ausschliesslich auf die als Trustee tätigenSchweizer Gesellschaften ab, d.h. „allgemeine“ Treuhänder und natürliche Personen sindals Trustees nicht betroffen. Es galt zudem, die vorgeschlagene Trustee-Regulierung vonden bestehenden Regeln zur Geldwäschereibekämpfung abzugrenzen.Kernpunkte der RegulierungDas <strong>SATC</strong>-Positionspapier nennt drei Hauptbereiche, welche vom Gesetzgeber im Rahmeneiner zukünftigen Trustee-Regulierung beachtet werden sollten:1. Lizenzierungspflicht für Trustees: Dies beinhaltet die Einführung von Vorschriften

über ein angemessenes Mindestkapital, genügenden Versicherungsschutz und geeigneteorganisatorische Strukturen, inklusive Fachwissen.2. Dokumentationspflichten: Sie bezwecken unter anderem die Nachvollziehbarkeit vonTrustee-Entscheidungen und die Kontrolle der Einhaltung der Organisationsstandards.3. Kontrolle: Um Überschneidungen, z.B. mit dem Geldwäschereigesetz, und unnötigezusätzliche Belastungen der Trustees zu vermeiden, wird vorgeschlagen, die Kontrollaufgabenan die bestehenden Revisionsbeauftragen (ordentliche Revisionsstelleoder Revision gemäss Geldwäschereigesetz) zu delegieren.Eine Verletzung der Standesregeln soll an Sanktionen gekoppelt sein.Die Generalversammlung der <strong>SATC</strong> beauftragte eine Arbeitsgruppe unter der Leitung vonMark Barmes, Lenz & Staehelin in Genf, konkrete Vorschläge zur Implementierung zuerarbeiten. Die Umsetzung der Standards soll mangels gesetzlicher Regelung in Form derSelbstregulierung erfolgen. Die <strong>SATC</strong>-Mitglieder unterwerfen sich dabei freiwilligstrengeren Regeln, als sie der Gesetzgeber heute vorsieht. Die <strong>SATC</strong> wird den engenKontakt mit allen Interessenvertretern weiterhin pflegen und ihren Beitrag zu Gunsten einessicheren Finanzplatzes leisten.Mutationen im VorstandDie Generalversammlung verabschiedete die teilweise Neubesetzung des <strong>SATC</strong>-Vorstands. Kecia Barkawi-Hauser, VALUEworks AG in Zürich, welche seit der Gründungder <strong>SATC</strong> als Präsidentin amtiert hatte, übergab den Vorsitz an Alexandre von Heeren,Mandaris AG in Basel. Rodney Hodges, Rawlinson & Hunter Trustees SA in Genf,übernahm die Leitung der Finanzen vom scheidenden Vorstandsmitglied Adrian Escher,Kendris AG in Zürich.
