Welcome to the second edition of the DPE ‘Kartalogue.’ 

After perusing this new edition you will notice that since the original Kartalogue we 

have added many new products, in fact more than 100. We have even added some 

entirely new lines of merchandise. So much so, that the Arrow range of karts is now in 

a totally separate catalogue. This increased range of products that we can offer you is 

now on display, not only within the pages of this Kartalogue, but also on our website

For approaching thirty years now, DPE has specialised exclusively in the sport of 

karting, initially only in Australia. During this time, we have established a reputation

These terms and conditions of sale shall apply to all sales of goods by Drew Price Engineering Pty Ltd (ACN 005 232 995) (“DPE”) to the Dealer named hereon (“the Dealer”). 

1. The parties acknowledge that the contract embodied herein is made in the State of Victoria and shall be governed by the laws of that State. The parties agree to submit 

themselves to the jurisdiction of the Courts of the State of Victoria, Australia. 

2. Orders & Delivery 

2.1 Until such time as DPE accepts an order submitted by the Dealer, it shall not be obliged to supply the Dealer the goods so ordered PROVIDED ALWAYS: 

(a) that if at any time the Dealer goes into default in respect of its payment obligations hereunder, DPE may cancel or suspend any incomplete order that has been 

accepted by it without being liable to the Dealer in any way whatsoever; and 

(b) that DPE shall not under any circumstances be responsible to the Dealer for any breach of its obligations to supply goods pursuant to any order that is accepted, 

which failure to supply is caused by matters beyond its reasonable control (including but without limiting the generality of the foregoing) acts of God, acts of any 

Government, war or other hostility, national or international disaster, the elements, fire, explosion, power failure, equipment failure, strikes or lockouts, inability 

to obtain necessary supplies and the like and other force majeure occurrences. 

2.2 Delivery of goods shall be deemed to have occurred on the happening of the first of the following events: 

(a) upon collection of the goods from DPE’s premises by a person authorised by the Dealer or a person who holds himself/herself out as having such authority; or 

(b) upon collection by or delivery to a carrier nominated by the Dealer; or 

(c) upon delivery to the Dealer’s premises or nominated address for delivery. 

2.3 The Dealer is required to make its own arrangements regarding freight from DPE’s factory. If required, the Dealer may direct DPE to organise freight on its behalf 

subject to the Dealer paying for the freight and insurance directly upon receipt of the goods. The Dealer further agrees to indemnify and reimburse DPE should it be 

held responsible for any freight charges not paid for as aforesaid. 

3. General Payment Obligations 

3.1 In respect of the Dealer’s obligations to make payment for goods sold by DPE to the Dealer, time shall be of the essence. 

3.2 Any payments tendered by the Dealer to DPE shall be applied as follows: 

(a) Firstly, to reimburse DPE for any collection fees or commissions, administrative costs, out of pocket expenses and legal costs referred to in clause 6.2 (b); 

(b) Secondly, towards any credit charges debited or chargeable to the Dealer’s account; 

(c) Thirdly, in payment for goods purchased by the Dealer (such payments being applied in the order of the age of such purchase commencing with the oldest purchase). 

4. Credit Limit 

DPE may, in its absolute discretion grant credit to the Dealer on such terms and conditions as it requires. Credit shall be assessed based on application by the Dealer in such 

form as DPE shall require from time to time. DPE is under no obligation to grant credit and DPE may withdraw credit or vary the terms of credit at any time upon seven 

(7) days prior notice in writing. 

5. Terms of Payment 

The Dealer shall pay for all goods sold to it by cash or cleared funds in advance of delivery. No credit shall be granted or deemed to have been granted unless by agreement 

in writing from DPE in accordance with Clause 4 hereof. 

6. Default 

If credit is granted and the Dealer fails to pay for goods sold to it by the date due pursuant to any credit granted (“Due Date”), purchases goods so as to extend its indebtedness to 

DPE beyond the Credit Limit, dies or becomes of unsound mind or permanently disabled, or any of the events referred to in clause 7.4 occurs (“Default Event”):- 

6.1 the whole of the sum then owing by the Dealer to DPE for all goods sold by DPE to the Dealer shall immediately become due and payable and the Dealer’s credit shall 

be forfeited unless DPE has otherwise agreed in writing; 

6.2 DPE may in its absolute discretion debit the Dealer’s account with:- 

(a) a credit charge calculated on the portion of the Dealer’s account overdue from time to time from the Due Date or the happening of the Default Event at a rate 

being two percentage points higher than the rate prescribed by Section 2 of the Penalty Interest Rates Act 1983; 

(b) all collection fees and commissions, administrative costs, out of pocket expenses and legal costs (calculated on a solicitor and own client basis) incurred by DPE 

as a direct or indirect consequence of such default. 

7. Retention of Title 

7.1 All goods delivered by DPE remain the property of DPE until all debts owing by the Dealer to DPE have been paid, notwithstanding that payments may be made for 

the purpose of settlement of specifically designated claims. Until payment of all debts owing, as aforesaid, the Dealer may sell the goods in the ordinary course of 

business as DPE’s fiduciary and agent (but the Dealer shall not hold itself out as such) and may, for the purpose of any such sale, part with possession of the goods. 

The goods shall be at the risk of the Dealer on delivery to the Dealer and the Dealer shall, at its cost, insure the same in DPE’s name against such risks as a prudent 

owner of goods would insure and for their full insurable value. 

7.2 These provisions apply notwithstanding any arrangement under which DPE provides credit to the Dealer. To the extent there is any inconsistency, these provisions shall prevail. 

7.3 DPE may recover the price of the goods by action, and may file an application for the appointment of a Liquidator to the Dealer, if the goods are not paid for 

within DPE’s usual credit terms, or any separate arrangement for credit made by DPE with the Dealer notwithstanding that property in the goods has not passed the 

Dealer. 

7.4 Until payment of all debts owing to DPE, it may, without prejudice to any of its other rights, without any notice, retake and resume possession of any goods which 

remain its property and, by its servants and agents, enter upon the Dealer’s premises, or any other place where the goods may be, for that purpose if:- 

(a) there is breach of any contract between DPE and the Dealer; 

(b) the Dealer, or if more than one person in partnership, any member of that partnership commits any act of bankruptcy prescribed in the Bankruptcy Act 1966; 

(c) the Dealer, if a company, enters or allows itself to be subject to any form of external administration prescribed by the Corporations Law; 

(d) the Dealer parts with possession of the goods or any of them otherwise than by sale in the ordinary course of business. 

7.5 Upon retaking possession of those goods for which payment has not been made, DPE shall, within reasonable time inspect those goods and credit the Dealer’s account with 

such sum as DPE in its absolute discretion considers to be a fair and reasonable value of the said goods after making due allowance for the price for which those goods were sold 

to the Dealer, the condition of the goods at the time of repossession and the costs incurred by DPE in connection with the repossession, sorting and examination of goods. 

7.6 The dealer hereby authorises DPE to enter upon the premises where the goods are located without being liable for trespass and to use such reasonable force as may 

be necessary to gain entry for the purpose of recovery of its goods in accordance with this clause. 

8. Claims & Returns

TERMS AND CONDITIONS OF SALE 

8.1 DPE shall not be obliged to recognise nor shall it be responsible in law or equity for any credit claims pertaining to short delivery or claims pertaining to damaged 

goods unless the Dealer has given written notice to DPE within 7 days of the date on which the goods in question were delivered to or collected by the Dealer. 

8.2 Should the Dealer consider that it has any claim (other than claims of the nature referred in clause 8.1 hereof) against DPE which, having regard to these terms and 

conditions of sale, it is entitled to make, it shall :- 

(a) immediately upon becoming aware of the circumstances giving rise to such a claim, notify DPE of the nature of the claim; 

(b) allow DPE, its servants or agents, full and free access to the goods in question to which the claims is made (or the place where the goods have been applied or used) for 

the purpose of conducting such tests and examinations as DPE may in its absolute discretion consider necessary to determine whether or not the claim is justified.

8.3 If the Dealer wishes to return goods to DPE where it has no entitlement to make a claim against DPE in respect of those goods, DPE shall not be obliged to accept the 

return of those goods, but if it elects to do so, the Dealer’s account shall be credited with an amount equal to ninety percent of the price at which the goods were 

sold to the Dealer. 

8.4 If any goods supplied pursuant to this agreement are supplied to the Dealer as a ‘consumer’ of goods or services within the meaning of that term in the Trade Practices 

Act 1974 as amended or similar State legislation the dealer will have the benefit of certain non-excludable rights and remedies in respect of the products or services 

and nothing in these terms and conditions excludes or restricts or modifies any condition, warranty, right or remedy which pursuant to the Trade Practices Act or 

similar Legislation is so conferred. However, if the product is a product not ordinarily acquired for personal, domestic or household use or consumption pursuant to 

s68A of the Trade Practices Act and similar provisions of relevant State legislation, DPE limits its liability to payment of an amount equal to the lowest of: 

(a) The cost of replacing the goods 

(b) The cost of repair of the goods 

(c) The cost of having the goods repaired or replaced 

8.5 Under no circumstances will DPE, and it’s directors, officers, employees and associated companies, be liable to the Dealer for indirect, consequential or economic loss 

or loss of profits howsoever arising. 

9. Exclusion of Implied Conditions & Warranties 

9.1 The only conditions and warranties which are binding on DPE in respect of the state, quality or condition of the goods supplied by it to the Dealer are those imposed 

and required to be binding by statute (including the Trade Practices Act 1974) and to the extent permitted thereby, the liability, if any, of DPE arising from the breach 

of such condition or warranties shall at DPE’s option be limited to and completely discharged by either the supply by DPE of equivalent goods or the replacement by 

DPE of the goods supplied to the Dealer and otherwise all other conditions and warranties in respect of the state, quality or condition of the goods supplied by DPE 

to the Dealer are hereby expressly excluded and negatived. 

The Dealer also acknowledges that:- 

(a) Prior to taking delivery of the goods, the buyer conducted a thorough examination of the goods : and – 

(b) No warranty, condition, description or representation in relation to the goods is given by the seller, expressly or implied by this agreement or outside this agreement. 

(c) All warranties, terms and conditions in relation to the state, quality or fitness of the goods and of every other kind whether expressed or implied by use, statute 

or otherwise is excluded. 

9.2 Except as to the extent provided in this clause 9, DPE and it’s directors, officers, employees and associated companies, shall have no liability (including liability in 

negligence) to any person for any loss or damage, consequential or otherwise, howsoever suffered or incurred by any such person in relation to the goods sold by DPE 

to the Dealer, and without limiting the generality thereof, any loss or damage consequential or otherwise howsoever suffered or incurred by any such person caused 

by or resulting directly or indirectly from any failure, defect or deficiency of whatsoever nature or kind of or in the goods or associated with delayed delivery. 

9.3 The Dealer hereby indemnifies DPE and it’s directors, officers, employees and associated companies, and shall keep DPE and it’s directors, officers, employees and 

associated companies, indemnified (to the extent permissible by law) in respect of any loss or damage consequential or otherwise howsoever suffered or incurred by 

any person caused by or resulting directly or indirectly from any failure, defect or deficiency of whatsoever nature or kind of or in the goods. 

10. Dealer Changes 

10.1 The Dealer acknowledges :- 

(a) that if it changes the entity under which it trades, it shall be its responsibility to notify DPE of such change and to separately negotiate conditions of sale under 

which the new entity may commence trading with DPE; 

(b) that until a new trading arrangement with the new entity has been negotiated and accepted by DPE in writing:- 

(i) the Dealer named herein shall remain liable for payment to DPE for all goods ordered or purchased by such new entity; 

(ii) it shall not be open for the Dealer to raise as a defence in any proceeding commenced by DPE for the recovery of such sums owing to DPE under these terms 

and conditions of sale that the debt was incurred by a person other than the Dealer. 

10.2 The Dealer shall notify DPE of any change in the composition of its directors, shareholders, partners or principals within 14 days of such change taking effect. Upon 

receipt of such advice, DPE may require at its discretion any new director, shareholder, partner or principal of the Dealer to execute a personal guarantee and indemnity 

in respect of the Dealer’s obligations hereunder. 

10.3 The Dealer shall notify DPE of any change in its address not later than 7 days prior to such change occurring. 

11. Unauthorised Purchases 

The Dealer acknowledges :- 

11.1 that it is not possible for DPE to ascertain whether a person seeking to purchase goods from DPE on credit has the authority of the Dealer to do so; 

11.2 that it shall remain liable to pay for any unauthorised purchases; 

11.3 that it is prepared to take the risk that it may become liable for purchases made by an unauthorised person; 

11.4 that it is aware that it can insure against such a risk. 

The Dealer warrants to DPE that it shall take reasonable steps to ensure that unauthorised persons are prevented from making unauthorised purchases and agrees to 

indemnify DPE and keep DPE indemnified against all and every loss that DPE may sustain as a result of any unauthorised purchase. 

12. Waiver 

No waiver by DPE of any breach of these terms and conditions of sale shall operate as a waiver of another breach of the same or any other terms and conditions of sale 

and the doing and/or omission of any act, matter or thing by DPE, its servants or agents (which, but for this clause ought or might amount to a waiver of DPE’s rights in 

respect of any such breach or default) shall not operate nor be deemed to be a waiver in any way of DPE’s rights and powers in respect of such breach or default, any rule 

of law or equity to the contrary notwithstanding. 

13. Privacy Act Authority 

For the purposes of assessing the credit worthiness of the Dealer or the guarantors from time to time and the collection of payments, the Dealer and/or the guarantors hereby 

irrevocably authorise DPE, its servants and agents to make such enquiries as they may deem necessary including, but not limited to, making enquiries with and obtaining 

reports (as may be allowed by law) from persons nominated by the Dealer as trade referees, the Dealer’s creditors, bankers and financiers, credit providers, mortgage and 

trade insurers and credit report agencies (hereinafter call “the Information Sources”) and the Dealer and/or the guarantors agree and consent to the Information Sources 

providing to DPE such information as is requested by DPE and permitted to be given by law for the aforesaid purposes. The Dealer also consents to DPE disclosing the 

contents of any credit report or personal information to a credit reporting agency for the purpose of that credit reporting agency creating or adding to any credit information 

filed in relation to the Dealer. 

14. These terms and conditions supersede and exclude all prior and other discussions, representations, (contractual or otherwise) and arrangements relating to the supply 

of the goods or any of the goods including, but without limiting the generality of the foregoing, those relating to the performance of the goods or any part of the goods 

or the result that ought to be expected from using the goods.
