Summary of Board of Directors’ Actions 2009-2011 The Board of Directors, as duly elected representatives of the membership, bears the governance role and has leadership responsibility for STTI. As stewards of the values, vision, mission and principles of the organization, the board fulfilled its obligations in the four areas of the Presidential Call for Action: Creating Welcoming Environments, Enhancing Knowledge Resources and Networks, Contributing to Global Health and Creating a Legacy of Personal Leadership. Under the leadership of Karen H. Morin, DSN, RN, ANEF, FAAN, the board exercised due diligence in carrying out its oversight mandate by taking action in these areas. STTI owes a debt of gratitude to these leaders for guiding the organization with integrity, prudence and wisdom. ACTIONS RELATED TO BOARD OVERSITE • Established organizational priorities for 2009- 2011 “Connecting through Knowledge for Global Health“ • Developed, adopted and completed board oversight plan • Ratified actions taken by the 2009 House of Delegates • Approved revisions to chapter bylaws per 2009 house action • Accepted and acted on submitted recommendations • Appointed and defined anticipated outcomes for three elected committees, and 11 advisory councils and task forces • Worked with boards of subsidiaries, committee, advisory council and task force chairs to align priorities and actions of the organizations • Monitored progress toward anticipated outcomes through report, review, analysis and dialogue • Assessed regularly environmental, market research, membership and chapter data • Created an STTI organizational affiliate fee based category • Approved the upgrade of the IT infrastructure to better meet member and organizational needs • Adopted a resolution for continued support of the Nursing Knowledge International board and operations • Accepted bylaw amendments submitted by the Governance Committee to be presented to the 2011 House of Delegates • Accepted, after review and analysis, quarterly financial statements for the corporation • Approved external audits for FY10 and FY11 • Approved FY11 and FY12 annual budgets • Received and analyzed operational outcome metrics on a quarterly basis • Completed annual evaluation of CEO ACTIONS RELATED TO CREATING WELCOMING ENVIRONMENTS • Approved six charter amendments • Ratified approval of 14 new chapters following electronic delegate voting and served as chartering officers • Approved the launch of The Circle, STTI’s professional social networking site • Employed the VIProfile for identification of member talent and expertise for advisory councils and task forces • Identified benefits for honor society members • Conducted phone, e-mail and face-to-face communication briefings and dialogue with committees, advisory councils, task forces, chapter leaders and members on organizational issues and strategic directions • Selected recipients for board bestowed awards and ratified recipients for other organizational awards • Approved continuation of a three-year project with International Network for Doctoral Education in Nursing (INDEN) for a postdoctoral, international mentoring program in nursing • Represented STTI, its mission and initiatives at multiple national and international nursing and interdisciplinary meetings • Reviewed evaluation information on the Virtual Chapter and its progress • Approved an STTI Global Values Statement 2009-2011 Biennial Report 16 © 2011 Sigma Theta Tau International
ACTIONS RELATED TO ENHANCING KNOWLEDGE RESOURCES AND NETWORKS • Approved the development of the STTI Speakers Bureau • Supported the creation of the STTI International Nurse Researcher Hall of Fame • Held Nurse Faculty Migration Summit in collaboration with ICN and sponsored by The Elsevier Foundation • Hosted the World Academy of Nursing Science (WANS) research meeting in conjunction with STTI’s International Nursing Research Congress in Cancun • Approved the development of geriatric knowledge and leadership products through the STTI Center for Nursing Excellence in Long Term Care with funding from the Mayday Fund and sanofi-aventis • Joined the Champion Nursing Council, a joint initiative of the American Association of Retired People (AARP) and The Robert Wood Johnson Foundation • Working on implementing recommendations from the Institute of Medicine’s The Future of Nursing: Leading Change, Advancing Health report • Partnered with Sharecare as nurse experts on this interdisciplinary website providing health and wellness information to consumers • Added Caring International Research Collaboration (CIRC) as an STTI Community • Added three new research grants • Published 21 new books • Developed e-book publication plan ACTIONS RELATED TO CONTRIBUTING TO GLOBAL HEALTH • Reorganized STTI regions into six global regions based on geography • Added five regional coordinators to represent the five new regions outside of North America • Approved a contracted staff position in South Africa as a pilot • Received Affiliate Status with the International Council of Nursing (ICN) • Received Associative Status as a Non- Governmental Organization (NGO) with the United Nations • Applied for ECOSOC (Economic and Social Council) status with the United Nations. This is currently under review, but if granted would allow STTI “consultative” status. • Established collaborative relationship with the Royal College of Nursing, Australia • Co-sponsored 2010 International Year of the Nurse initiative • Approved a five-year time line to implement and evaluate translation of some STTI materials into Spanish, French and Mandarin Chinese ACTIONS RELATED TO CREATING A LEGACY OF PERSONAL LEADERSHIP • Initiated the Nurse Faculty Mentored Leadership Development Academy sponsored by The Elsevier Foundation • Initiated the Maternal-Child Health Nurse Leadership Academy – South Africa Pilot sponsored by Johnson and Johnson • Supported continuation of the Geriatric Nursing Leadership Academy sponsored by The John A. Hartford Foundation. Mentor/mentee support provided by the Northwest Foundation and Hill-Rom • Approved the development of the new Leadership Development System • Collaborated with Connie R. Curran to offer her board leadership development program: Best on Board. BOARD MEMBER CHANGES • By action of the STTI Board of Directors, in accordance with the 2009-2011 STTI Bylaws, Article VII, Section 6, June Clark, DBE, PhD, RN, FRCN, FAAN no longer serves as a member of STTI’s Board of Directors, effective 13 September 2011. • The two-year director vacancy will be filled by a vote at the House of Delegates during the Biennial Convention in Grapevine, TX, USA on 1-2 November 2011. • This decision does not affect Dr. Clark’s membership status or her involvement in other STTI activities. 2009-2011 Biennial Report 17 © 2011 Sigma Theta Tau International
