Statutêre Dienste
Logista Sekretariële Dienste BK wat deel is van die Logista groep van maatskappye, onder leiding van Dorothy Pretorius het die
fasiliteite in plek om die volgende dienste te lewer:
Maatskappye
Artikel 25 van die Maatskappywet, Wet No 71 van 2008, soos gewysig, maak voorsiening dat sekere rekords (soos vereis in Artikel
24) van ‘n maatskappy by ‘n adres anders as die geregistreerde kantoor adres gehou kan word. Sodanige adres (“Location of
Company Records” adres) moet by CIPC geregistreer word en aandui welke dokumente daar gehou word.
Ons kan die volgende dokumente ingevolge hierdie artikel hou:
- Memorandum van Oprigting (“MOI”) en enige wysigings daaraan
- Register en ander rekords van Direkteure
- Register en ander rekords van Sekuriteite
- Register en ander rekords van Lede vir Maatskappye Sonder Winsoogmerk
- Besonderhede van Maatskappy Sekretarisse en Ouditeure
Die jaarlikse fooi vir bogenoemde diens beloop R1 330 (BTW uitgesluit), word in Meimaand gehef en betaalbaar binne 30 dae na
faktuurdatum.
Beslote Korporasies
Artikel 25 van die Wet op Beslote Korporasies, Wet No 69 van 1984, bepaal dat elke beslote korporasie ‘n amptelike adres aanwys,
in besonder vir die betekening van regsdokumente, aflewering van meedelings en kennisgewings. Die statutêre dokumentasie
moet verder by sodanige geregistreerde kantooradres bewaar word.
Ons kan die pligte soos in die verlede namens ‘n kliënt nakom. Die jaarlikse fooi vir bogenoemde diens beloop R850 (BTW
uitgesluit), word in Meimaand gehef en betaalbaar binne 30 dae na faktuurdatum.
Trusts
Artikel 5 van die Wet op die Beheer oor Trustgoed, Wet No 57 van 1988, bepaal dat ‘n trustee ‘n adres moet registreer in besonder
vir die betekening van regsdokumente, aflewering van meedelings en kennisgewings. Verder moet die trustees die oorspronklike
trustakte en magtigingsbrief in veilige bewaring hou.
Ons kan bogenoemde diens lewer. Die jaarlikse fooi vir bogenoemde diens beloop R280 (BTW uitgesluit), word in Meimaand gehef
en betaalbaar binne 30 dae na faktuurdatum.
Algemeen
Indien u nie belangstel in die diens nie, moet u ons vroegtydig in kennis stel en reëlings tref vir die afhaal van die dokumente, en
verandering van die geregistreerde adres na u eie adres. U moet let op die verpligtinge van die Wet, aangesien prosedures deur
ons uitgevoer moet word wanneer ons die finansiële state finaliseer. Indien die rekords nie na behore bygehou word deur die kliënt
nie, kan dit addisionele kostes tot gevolg hê.
Verdere dienste wat Logista Sekretariële Dienste BK namens u kan verrig, is:
- Oprig van maatskappye;
- Omskepping van beslote korporasies in maatskappye;
- Spesiale besluite;
- Verandering van direkteure en aandele oordragte;
- Verandering van lede en ander inligting van die beslote korporasie;
- Ander maatskappy en beslote korporasie veranderinge;
- Trustvorming;
- Wysiging van trusts;
- Opstel van samewerkingsooreenkomste;
- Opstel van testamente;
- Voorberei van jaarlikse maatskappy en beslote korporasie opgawes by CIPC.

Maatskappye en beslote korporasies se jaarlikse opgawes
Huidige wetgewing vereis dat maatskappye en beslote korporasies op 'n jaargrondslag aan die Companies and Intellectual Property
Commission (CIPC) 'n jaarfooi betaal gebaseer op die maatskappy of beslote korporasie se omset vir die vorige finansiële jaar.
Indien 'n maatskappy of beslote korporasie versuim om die voorgeskrewe jaarfooi te betaal sal CIPC 'n addisionele boete hef en na
ses maande voortgaan om die maatskappy of beslote korporasie te deregistreer.
Logista kan as 'n versoekte dien namens u die administrasie aangaande die indien van dié jaaropgawes by CIPC behartig. Ons sal
'n skrywe aan u stuur waarin u attent gemaak word op die jaarfooi wat betaalbaar is aan CIPC. Die koste vir hierdie diens is as volg:
Maatskappy waar Logista die geregistreerde statutêre adres is R 750
Maatskappy waar Logista nie die geregistreerde statutêre adres is nie R1 200
Beslote korporasie waar Logista die geregistreerde kantoor is R 500
Beslote korporasie waar Logista nie die geregistreerde kantoor is nie R 800

Logista Secretarial Services CC which is part of the Logista group of companies, under supervision of Dorothy Pretorius, has the
necessary facilities in place to supply the following services:
Companies
Section 25 of the Companies Act, Act No 71 of 2008, as amended, make provision that certain company records (as required by
Section 24) may be kept at an address other than the registered office address. This address (Location of Company Records
address) and a list of the documents being kept at the address must be registered with CIPC.
We can keep the following documents in terms of this provision:
- Memorandum of Incorporation (MOI) and any amendments/alterations thereto
- Register and other documents of Directors
- Register and other documents of Securities
- Register and other documents of Members of a Non Profit Company
- Particulars of Company Secretaries and Auditors
The annual fee for the above service amounts to R1 330 (VAT excluded), is invoiced during May month and payable within 30 days
after invoice date.
Close Corporations
Section 25 of the Close Corporation Act, Act No 69 of 1984, states that every close corporation has to register an official address for
the serving of legal documents and delivery of notifications. Furthermore, the statutory documents also have to be kept at the
address of the registered office.
We can perform these duties on behalf of our clients as in the past. The annual fee for the above service amounts to R850 (VAT
excluded), is invoiced during May month and payable within 30 days after invoice date.
Trusts
Section 5 of the Trust Property Control Act, Act No 57 of 1988, states that every trustee must register an address for the serving of
legal documents and delivery of notifications. Furthermore the trustees should safe keep the original Trust Deed and Letter of
Authority.
We can supply this service. The annual fee for the above service amounts to R280 (VAT excluded), is invoiced during May month
and payable within 30 days after invoice date.
General
Should you not be interested in these services, kindly inform us as such and make the necessary arrangements for the collecting of
your documents as well as changing the registered address to your own address. Please take note of the requirements of the Act,
as certain procedures have to be performed by us when we finalise the financial statements. If the records are not kept properly, it
may result in additional costs to the client.

Companies’ and close corporations’ annual duties
Current legislation requires a company and close corporation to annually lodge a return with the Companies and Intellectual
Property Commission (CIPC) were a prescribe fee is payable to CIPC based on the company’s or close corporation’s annual
turnover for the previous financial year end.
If a company or close corporation fails to lodge its return within the prescribed time, a penalty is levied on the prescribed fee
payable. If after six months the return is still outstanding CIPC will continue to deregister the company or close corporation.
Logista can assist with the administration and lodging of the company’s or close corporation’s annual duty with CIPC. We will send
you a letter reminding you of the annual fee payable to CIPC. The cost for this service is:
Company where Logista is the registered statutory address R 750
Company where Logista is not the registered statutory address R1 200
Close corporation where Logista is the registered office R 500
Close corporation where Logista is not the registered office R 800

• Logista CA (SA) Ingelyf (“Logista”) behou die reg om die pryse en die pakket pryse van tyd tot tyd met redelike kennisgewing te wysig.
• Foute en weglatings is uitgesluit.
• Logista behou die reg voor om te eniger tyd te verander die eienskappe van 'n produk.
• Logista is 'n geregistreerde praktiserende lid aan die Suid-Afrikaanse Instituut van Geoktrooieerde Rekenmeesters (SAIGR) en voldoen
aan die Wet op die Ouditprofessie van 2005, soos gewysig.
• Logista is 'n geregistreer as 'n Belasting Praktisyn by die Suid-Afrikaanse Inkomstediens ("SAID")
Ons kan ons pryse wysig
Al die fooie en koste is BTW uitgesluit (tensy anders vermeld) en is slegs van toepassing op Logista Pretoria. Alle fooie en koste is korrek op
die datum van publikasie. Logista kan te eniger tyd hierdie pryse verander of nuwe fooie inwerking stel.
Ons sal ten minste 21 dae kennis gee van hierdie veranderinge op die Logista webwerf (www.logista.co.za) of per e-pos nuusbriewe.
