1. EXECUTIVE SUMMARY<br />

<strong>MIA</strong> S.A. has been established on xx nd of November 2006 in NADOR / Maroc in order<br />

to provide full geast workers and touristic charter basis flights mainly from NADOR,<br />

TANGER,OUJDA and AL HOCEIMA to Europe and domestic flights in Maroc.<br />

Major shareholder of the company is Mr.Güner Demirarslan who is also chairman of<br />

the Company. Other shareholders and related details can be found on Attachment-1<br />

1.1 VISION<br />

<strong>MIA</strong> S.A. aims to be the best and biggest full charter operation and domestic service<br />

provider in Maroc, having contemporary and innovative approach.<br />

1.2 MISSION<br />

<strong>MIA</strong> S.A. has a mission to provide safe and secure , efficient, on-time operation with<br />

prices and service quality always acceptable to the customer by using well-maintained<br />

airplanes. Our service will emphasize safety as its highest priority and also based on<br />

continuous improvement and customer satisfaction.<br />

1.3 OBJECTIVES<br />

Objectives of <strong>MIA</strong> S.A. are as follows :<br />

To obtain regulatory approvals from Maroc DGCA in March 2008.<br />

To commence revenue service on or before 01 April 2013<br />

To commence operation with two Boeing 737-300 airplanes in Oktober 2013<br />

and expand the fleet to five airplanes in 2014 by adding three Boeing 737-800<br />

and make the fleet with seven airplanes in 2015 by adding two Boeing 737-<br />

800.<br />

To raise sufficient the capital in timely manner to financially enable these<br />

objectives.<br />

To obtain JAR-145 approval within two months and ISO 9001:2000 approval<br />

within 12 months after start-up.<br />

1.4 FLEET<br />

Aircraft type for <strong>MIA</strong> has been decided as Boeing 737-800 by taking into account<br />

market conditions and payload/range characteristics of that type of airplane.<br />

After starting the operation in Oktober 2013 with two 737-300, additional five airplane<br />

are planned to join the fleet until 2015 , as seen in Attachment-2<br />

1.5 MANAGEMENT & ORGANISATION<br />

Board members and executive management at <strong>MIA</strong> have several years aviation<br />

background.<br />

Flight operations and technical management have at least ten years experience in<br />

their field of business. Biographies of board members and nominated postholders can<br />

be found in Attachment-3<br />

All required airline staff has been choosen from well experienced and trained<br />

personnel in order to form a team oriented working atmosphere.<br />

Currently all related MAROC DGCA requirements and procedures have been<br />

completed. As soon as delivering the first airplane, commercial operation can be<br />

started.<br />

Airline operation will be carried out by using minimum but properly qualified and<br />

trained personnel so at all detailed works other than core business will be out-sourced<br />

to the contractors which are industrially well-known and regulatorily approved.<br />

Flight and cabin crew in Flight Operations Department and line maintenance<br />

personnel in Technical Department will be formed by permanent staff of <strong>MIA</strong> as well<br />

as Commercial and Financial Management.<br />

<strong>MIA</strong>’ in-house maintenance activities will be limited to JAR-145 approved line<br />

maintenance of the airplanes. Base maintenance , engine/APU and component<br />

maintenance will be contracted to EASA/JAR-145 approved MROs.<br />

and -5.<br />

1.6 SERVICES & MARKETING<br />

<strong>MIA</strong> has planned international charter flights on behalf of well-known tour operators in<br />

aviation sector. Those will cover flights from MAROC to Spain, France, Germany,<br />

Italy,Turkey,Holland, Belgian.<br />

In following years after start-up, one third of the fleet will be operated in demanded<br />

areas as wet-lease in winter season so that utilization of fleet over the year will be<br />

maximized.<br />

New reservation system will be established due to domestic scheduled operation, And<br />

an integrated and computerized operation control and management information<br />

system will be established and used to increase efficiency and achieve quality service<br />

targets.<br />
