STANDING ORDERS<br />

1. (a) A member shall stand when addressing the chair.<br />

(b) Speeches shall be clear and relevant to the subject before the<br />

meeting.<br />

2. A member shall address the meeting when called upon by the<br />

Chairman to do so, after which, he shall immediately take his seat.<br />

3. No member shall address the meeting except through the Chairman.<br />

4. A member may not speak twice on the same subject, except:-<br />

(a) The mover of a motion – who has a right to reply<br />

(b) He rises to object or to explain (with the permission of the<br />

chair).<br />

5. No speeches shall be made after the question has been put and carried<br />

or negative.<br />

6. The mover of a procedural motion – (adjournment, lay on the table,<br />

motion to postpone), shall have no right to reply.<br />

7. A member rising on a “point of order” shall state the point clearly and<br />

concisely (A point of order must have relevance to the standing<br />

orders).<br />

8. (a) A member shall not “call” another member “to order” but may<br />

draw the attention to the chair to a “breach or order”.<br />

9. Only one amendment, shall be before the meeting at one and the same<br />

time.<br />

10. When a motion is withdrawn, any amendment to it falls.<br />

11. The Chairman shall have the right to a “casting vote”.<br />

12. If there is an equality of voting on an amendment, and if the Chairman<br />

does not exercise his casting vote the amendment is lost.<br />

13. Provision shall be made for protection by the chairman from<br />

vilification (personal abuse).<br />

14. No member shall impute improper motives against another<br />

15. After giving a warning the Chairman shall have power to expel a<br />

member from the proceedings.<br />

16. Only financial members of the Association shall be allowed to<br />

participate actively in the meeting. This includes voting rights.<br />

Section 14 – General Meetings of the Association<br />

(1) The Annual General Meeting of the Association shall be held during the<br />

month of April or May.<br />

(3) All financial members shall be entitled to vote at General Meetings.<br />

(5)<br />

(1) (a) A General Meeting may exercise such powers and take such action as may<br />

be exercised by the National Association.<br />

(b) Any matter affecting the National Association policy shall be presented to<br />

an Annual General Meeting in the form of a resolution.<br />

(c) All resolutions shall be forwarded to the Secretary of the National<br />

Association at least 30 days prior to an Annual General Meeting.<br />

(d) The Secretary/ Treasurer shall forward to the Secretaries of all Local<br />

Chapters and members of the Board of Directors a copy of all resolutions<br />

submitted for the consideration of an Annual General Meeting, 14 days prior<br />

to the <strong>AGM</strong>.<br />

(e) In the event that a resolution(s) is to be presented to an annual general<br />

meeting, the Board of Directors shall, in advance of such meeting, appoint a<br />

Resolutions Committee, which shall meet with the member responsible for the<br />

introduction of the resolution.<br />

(f) The Resolutions Committee shall endeavour to ensure that resolutions to<br />

be presented to the meeting do not overlap one another and are in the best<br />

possible form for consideration by the meeting.<br />

(g) Notwithstanding the foregoing, a resolution may be presented to an<br />

Annual General Meeting after being approved by a two-thirds majority vote of<br />

those present who are entitled to vote.<br />

RESOLUTIONS – <strong>TTAIFA</strong> <strong>AGM</strong> <strong>2006</strong><br />

That Maxim Marquez continue in the post of Immediate Past<br />

President for a period of one year, that term being April <strong>2006</strong> to April<br />

2007.<br />

Resolution 2<br />

That Cecil Frederick continue in the post of President for a period of<br />

one year, that term being April <strong>2006</strong> to April 2007.<br />

Resolution 3<br />

That the following persons be nominated to the following posts for a<br />

period of one year, that term being April <strong>2006</strong> to April 2007:-<br />

Minutes of the<br />

<strong>TTAIFA</strong> 2005 National Annual General Meeting<br />

held on Thursday April 21 st 2005<br />

beginning at 10:35 a.m.<br />

Venue – The Kapok Hotel<br />

Officiating Officer – Mr. Christian Grant – CLICO<br />

National Anthem – This was sung in acapella style by Mariana Gallindo of Sagicor.<br />

Invocation - Marcus Girdharie of CLICO did this.<br />

After the formalities the Presiding Officer read the Standing Orders by which the meeting<br />

would be guided. At this juncture the President of <strong>TTAIFA</strong>, Mr. Cecil Frederick was<br />

introduced; he apologized for the absence of the Secretary Treasurer who had an<br />

examination and also the Immediate Past President who had an urgent matter to deal<br />

with. He then read to his Board of Directors Report.<br />

COMMENTS ON THE BOARD OF DIRECTORS REPORT<br />

From Mr. Errol Toussaint<br />

He stated that a couple of years before, the members at that <strong>AGM</strong> were told that the plans<br />

were drawn and <strong>TTAIFA</strong> would be embarking on the erection of a new building. He<br />

asked if some light could be shed on this.<br />

The President answered that Mr. Toussaint was correct in what he said, but the Board of<br />

Directors revisited the plans and another set of ideas were tabled and accepted, this would<br />

entail a new building to adjoin the old structure with conference facilities etc, and<br />

therefore new plans would have to be drawn.<br />

Mr. Toussaint was satisfied and thanked the President for enlightening those present.<br />

Mr. Andrew Bates questioned the absence of his names as well as those of some<br />

members of his agency from the membership listing published in the <strong>AGM</strong> Booklet.<br />

The President responded that this may have been a typographical error and he would ask<br />

the staff at the Secretariat to rectify this.<br />

ADOPTION OF THE BOARD OF DIRECTORS REPORT<br />

This was done my Mr. Errol Toussaint and Mr. Assad Mohammed respectively.<br />

CONGRESS 2005<br />

Mr. Felix Mahadeo, Congress Director 2005 gave highlights about the <strong>TTAIFA</strong> 2005<br />

Congress “Tapestry……colours of life”. He said that personal invitations were sent to all<br />

members to attend the congress.<br />

Tapestry was carded for September 11-14 2005 at twin venues, Central Bank Auditorium<br />

and Crowne Plaza.<br />

The Congress Director encouraged all managers and salespeople to attend and noted that<br />

the times were challenging and industry salespeople needed to be more equipped to<br />

increase their potential.<br />

Assad Mohammed brought back up the subject of inaccuracy in the membership listing<br />

and asked whether <strong>TTAIFA</strong> had purchased the software package to deal with this.<br />

The President said that it was purchased but staff training was needed for the new<br />

programme. He promised that this would not occur again at an <strong>AGM</strong>.<br />

AUDITED REPORT<br />

Mr. Stafford Yorke who was standing in for Mrs. Ahmed – the Secretary/ Treasurer who<br />

was unavoidably absent, introduced the Auditor, Mrs. Allyson Smart-Cooper and her<br />

assistant Latoya Braithwaite.<br />

Mrs. Smart-Cooper presented the audited report for the term under review.<br />

Mr. Andrew Bates asked where <strong>TTAIFA</strong>’s investments were placed.<br />

Stafford Yorke replied to this question outlining that the investments were held in the<br />

Unit Trust Corporation, 1 st and 2 nd Scheme and that the <strong>TTAIFA</strong> Board was in<br />

discussions on this issue to invest in other areas.<br />

He added that <strong>TTAIFA</strong>’s money is placed in the banks, but they do not support us.<br />

One member from the floor then asked why we were not investing our money in our own<br />

insurance companies.<br />

Mr. Bates said he was willing to assist. He was then informed that an investment would<br />

be made at CLICO.<br />

BAD DEBTS – (Under the Income & Expenditure heading)<br />

The figure of $25,700.00 was amassed by past employees. Mr. Yorke further explained<br />

that the employees at <strong>TTAIFA</strong> do a lot of extra work, especially when <strong>TTAIFA</strong> has<br />

embarked on a project or event, e.g. Congress, Awards, Day of Common Concern etc,<br />

and due to this they are offered loans, but the situation got out of hand. However, the<br />

employees in question were written and it seemed unlikely that these outstanding monies<br />

would be repaid due to the current financial circumstances of said ex-employees.<br />

Mr. Toussaint asked whether a committee met to approve those loans and if the person<br />

was employed, then lump sum payments could have been made before they left.<br />

The President – Mr. Cecil Frederick then replied that the employees were terminated and<br />

that a lump sum payment was null and void. He further intimated that one of the<br />

employees was ill and not employed and the other migrated, therefore as suggested by the<br />

auditor, the amount would be written off as irrecoverable.<br />

Mr. Assad Mohammed commented on the fact that approximately TT $50,000.00 is<br />

stated in the audit as a CARAIFA expense each year.<br />

He said the membership questions the role of CARAIFA and the gain to our T & T<br />

members. He continued stating that the belief was that this is a boys’ club and a means<br />

of traveling and liming for certain persons in the hierarchy of the association.<br />

Mr. Mohammed felt that information should be put in our newsletter informing our<br />

members about CARAIFA and the benefits of being a member.<br />

Stafford Yorke stated that a portion of each member’s dues is remitted to CARAIFA each<br />

year. He told Mr. Mohammed that his comments were duly noted and would be<br />

addressed.<br />

ELECTION OF THE ASSISTANT SECRETARY TREASURER<br />

For the post of Assistant Secretary Treasurer, one person was nominated, Mrs. Eartha Joy<br />

Mohammed of TATIL.<br />

Due to the fact that no contest was noted for this position – Mrs. Mohammed was<br />

appointed Assistant Secretary Treasurer for the April 2005 – <strong>2006</strong> term of office.<br />

The President then installed Mrs. Mohammed into her new position.<br />

PRESIDENT’S REMARKS<br />

The President – Mr. Cecil Frederick then addressed the meeting. He indicated that he<br />

had completed one year of his two year term.<br />

He continued stating that <strong>TTAIFA</strong>’s financial status was healthy and an investment<br />

committee was instituted to review our investment portfolio and make recommendations,<br />

the first one being the CLICO investment of 200,000.00.<br />

Mr. Frederick seeked to address the “Why CARAIFA” question. He gave a brief<br />

overview of CARAIFA and added that with the coming into effect of the CSME,<br />

CARAIFA would need to be a major player in this scenario, representing all the LUA’s<br />

in the Caribbean.<br />

In the view of education, he said that CARAIFA had made ties with the American<br />

College and they in conjunction with our representatives were working on the<br />

Caribbeanisation of the CFP Programme especially in the areas of law and taxation. The<br />

President continued stating that with the Caribbean CFP our designation holders would<br />

be more marketable in the CSME Scenario.<br />

He pleaded with members present to build relationships and desist from proselytizing.<br />

Mr. Frederick told members of his work on the TTII Board and said that this was an<br />

avenue where the <strong>TTAIFA</strong> view could be tabled at governmental levels.<br />

APOINTMENT OF AN AUDITOR – for the 2005 Financial Year<br />

Motion: That Garison & Co. of 55 Edward St, Port of Spain be appointed as<br />

the auditing firm for <strong>TTAIFA</strong>’s 2005 Financial Year.<br />

Motion: Carried by all present.<br />

Assad Mohammed expressed his thanks to the President and Board of <strong>TTAIFA</strong>. He said<br />

he was aware of how tough the job of managing the association was and in spite of all the<br />

challenges they had a successful year.<br />

He added also, that the presentation done on CARAIFA earlier by Mr. Frederick should<br />

be sent to the membership other than through the newsletter. He also mentioned that our<br />

association was a pseudo union, although we did not know it yet.<br />

Mr. Mohammed said that companies would take stock of <strong>TTAIFA</strong> because of the fact<br />

that we represent almost all their salespeople and <strong>TTAIFA</strong> has weight because of the<br />

relationships fostered among all agents/ salespeople across the board. This he felt, makes<br />

the Head Office personnel take notice of <strong>TTAIFA</strong>.<br />

CSME - The person responsible for P.R. on the <strong>TTAIFA</strong> Board was<br />

mandated to organize a seminar for our members on the CSME.<br />

Pauline Mc Kenna-Sebro asked what was <strong>TTAIFA</strong> doing to encourage attendance at<br />

meetings.<br />

Mr. Marcus Girdharie suggested that out of the $200,000.00 airmarked for the<br />

investment, extract a portion of it to hire a professional Marketing Company/ P.R. Firm<br />

to do an analysis of our Association and guide us as to how we can find innovative and<br />

creative methods to promote the association.<br />

The President said that <strong>TTAIFA</strong> was in the process of seeking official non profit status<br />

and when that was approved No VAT would be paid on course material etc.<br />

He also gave an overview of the new staffing positions and made introductions of the<br />

staff present.<br />

The President informed the meeting that the Board was in the process of advertising for a<br />

General Manager. He added that <strong>TTAIFA</strong> could not only pay the market price for the<br />

type of qualified person needed for the job therefore the task would be a little harder to<br />

get someone of quality.<br />

Mr. Errol Toussaint said that at the next <strong>AGM</strong> he would like to see a projection of the<br />

income and expenditure for at least a six month period.<br />

Mrs. Eartha Mohammed said that the managers needed encouragement to get back<br />

involved in <strong>TTAIFA</strong> so that they could encourage their people.<br />

On another note Mr. Assad Mohammed suggest that we decentralize the organsiation, sell<br />

the present property and purchase property out of the city where parking would be<br />

available and also there would be enough land to construct a much larger office equipped<br />

with adequate conferencing facilities.<br />

The President said that consideration would be given to the formation of a central<br />

Chapter, but a feasibility study must be done first.<br />

The meeting was brought to a close at 11:45 a.m.<br />

<strong>TTAIFA</strong>’s existence. I would also like to thank God for his grace and mercy which<br />

brought me through to this point.<br />

Having said that let me begin.<br />

This report covers the period under review – April 2005 to April <strong>2006</strong>.<br />

2005 National Annual Awards<br />

“The Perfect Weave”<br />

The theme of this function was linked by the threads of “Tapestry”; our 2005 congress<br />

theme, which signified the oneness in purpose that <strong>TTAIFA</strong> is all about, and that is to<br />

enhance our members personal and business lives.<br />

This function was hosted under the chairmanship of Mr. Stafford Yorke at the House of<br />

Angostura on June 11 th 2005. The guest speaker on that evening was Ms. Wendy Ho<br />

Sing, Deputy Inspector of Financial Institutions.<br />

There were three hundred and twelve persons in attendance and rave reviews were<br />

received from attendees. They were especially pleased with the all inclusive aspect of the<br />

function, which resulted in persons dancing and having fun into the early morning hours.<br />

<strong>2006</strong> <strong>TTAIFA</strong> “E” Awards<br />

Mr. Louis Mc Mayo was nominated to head the <strong>2006</strong> Awards Committee. This function<br />

is carded for May 6 th <strong>2006</strong> at the Pier 1 venue. This would be an all inclusive affair,<br />

where members who qualify would receive tokens in addition to hors d’oeuvres and<br />

drinks for a reasonable fee on that evening. Look out for more details.<br />

Congress 2005<br />

September ushered in “Tapestry………colours of life”.<br />

This was by no doubt a successful event. Committee members and staff worked<br />

tirelessly to put this show together.<br />

Let me take a few minutes to highlight some of the important weft threads that were<br />

woven to form the pictures and designs of knowledge in our minds during that event, they<br />

Attendees were treated to a world class fashion show and cocktail evening at the Crowne<br />

Plaza poolside to start off the congress. This show featured top fashion houses in<br />

Trinidad and Tobago.<br />

The main platform showcased persons from varying backgrounds and countries – the<br />

USA, Jamaica and Barbados to name a few. In our workshop sessions, participants were<br />

treated to a wide range of topics and made full use of the offerings.<br />

We embraced the poetry……..the music………the dance of energy and information that<br />

skillfully choreographs the fabric of our lives in “Tapestry…….colours of life.” The<br />

words of the illustrious Garth Thomas (Past President of <strong>TTAIFA</strong>). This is the calibre of<br />

people that we at <strong>TTAIFA</strong> are so richly blessed.<br />

Special thanks to Mr. Felix Mahadeo and his team who gave freely and willingly of their<br />

time, talents and skills for many long hard months of planning.<br />

Chapter Administration<br />

This task continues to be a challenge as chapters have fallen down in their role, which is<br />

to mobilize the members in their respective areas and keep them informed and abreast of<br />

the happenings in the association and the industry as a whole. The chapters in essence<br />

are the watchdogs of the National Board, to ensure that the operations of this body are in<br />

keeping with the mandate of the members and also adhering to the constitution that<br />

governs this body.<br />

However, the Executive of <strong>TTAIFA</strong> sought to alleviate this proverbial problem and held<br />

meetings with the chapters that were identified as being in need of such assistance.<br />

Arising out of this the Tobago and East Chapters now have active boards to guide the<br />

chapters.<br />

I dare say, that the <strong>2006</strong> to 2007 report under this heading would read differently, more<br />

on the positive<br />

Chapter Highlights<br />

The East, Tobago and North Chapters were plagued with several problems that inhibited<br />

their effective functioning. In the <strong>2006</strong>-2007 term of office Mrs. Raziah Ahmed (past<br />

leader of the active South Chapter) would be given the responsibility of Chapter<br />

Administration. We at <strong>TTAIFA</strong> are hopeful that with her wealth of knowledge as the<br />

past head of a very successfully run chapter and her vast experience as a senior<br />

salesperson, the chapters would be revived. It should be noted that the tenets by which<br />

the chapters are guided must be reenacted for efficient and effective operations of the<br />

organization.<br />

South Chapter<br />

This chapter held four bi-monthly meetings to inform and build the camaraderie among<br />

their members during 2005. Meetings discussed topics such as the CSME, MDRT and<br />

also included a representative from the Unit Trust Corporation who enlightened those<br />

present on the various products offered by that organization. The chapter also hosted a<br />

T & T MDRT night in June 2005. All local and Caribbean salespersons who attended<br />

this meeting were invited. It was a resounding success by all reports.<br />

In October a successful talent show was hosted by the chapter, which showcased various<br />

talents by members of the different insurance companies within the industry. Part of the<br />

proceeds from this venture was donated to a student of the San Fernando Boys RC<br />

School who was in need of a transplant.<br />

The Association<br />

In the year under review thirteen National Board and Executive meetings were held; eight<br />

Board and five Executive. The participation at both Board and Executive levels was<br />

approximately 80%.<br />

In our 2005 <strong>AGM</strong> <strong>booklet</strong>, we highlighted the fact that <strong>TTAIFA</strong> was seeking to hire a<br />

new General Manager. We also mentioned that Lyle Williams, who was no longer in our<br />

employ, was ailing and had since died. We remember Lyle for his invaluable<br />

contribution to <strong>TTAIFA</strong>’s growth and development.<br />

We are now a year ahead since the foregoing was stated. Members, I am pleased to<br />

inform you that the vacancy for the General Manager position has been filled by Mr. John<br />

Henry Harper, no newcomer to our industry and <strong>TTAIFA</strong>, having worked in several<br />

capacities within the industry – salesman, head office management and was also an active<br />

past <strong>TTAIFA</strong> member having headed the North Chapter many years ago. I now take this<br />

opportunity to present to you our members Mr. John Henry Harper – General Manager of<br />

<strong>TTAIFA</strong>.<br />

To my hardworking staff, a special thank you and I cherish the thought that this same<br />

vigour and competence would continue for the next term.<br />

Day of Common Concern – (Charity event)<br />

Our Day of Common Concern charity project took place on October 30 th 2005 at the<br />

King George V park. The sponsorship was not as in the past. However, we appreciate<br />

those received from the following companies:-<br />

The field of riders was encouraging but the other participants that is the supporters, left a<br />

lot to be desired. Unfortunately after the final statement of accounts was done, there was<br />

no surplus to be donated to the Renal Care Centre of Trinidad and Tobago and to the<br />

CARAIFA Foundation.<br />

The Board will revisit our Day of Common Concern project to ascertain if the Bike &<br />

Breakfast project should be continued or if we should embark on some other project to<br />

mark the Day of Common Concern.<br />

Fred Williams Fund<br />

There is no time like the present, and I would like to take this opportunity to urge<br />

members to make pledges to this important fund. Over the last three years, no activity<br />

has been seen in this area and we would like to see this revived. This is a medium which<br />

assists students who have the ability and are unable to fund their tertiary level educational<br />

aspirations. Members, Fred Williams was a man of integrity, a stalwart of our industry<br />

and an extremely hard worker for this association. Let us honour his memory in a real<br />

way by making pledges to this fund.<br />

Education<br />

LUTC<br />

In 2005 we continued on the educational path with many students attaining success in<br />

their individual undertakings. We can boast of twenty-six persons who qualified for the<br />

LUTCF designation.<br />

Work on the Caribbeanisation of the CFP is in progress as the Education Chair of<br />

CARAIFA seeks to engage the services of University lecturers to create the study text in<br />

the areas of law and taxation. However, it must be noted that this is by no means an easy<br />

task; therefore the processes are long and entails much dialogue. When the syllabus is<br />

completed then certification by the American College would be required. Students who<br />

wish to continue their education in this vein can do so through ADVOCIS until such time<br />

that we are able to offer the Caribbean CFP.<br />

FSS<br />

The FSS programme is now on stream that is the Financial Services Specialist course<br />

which is designed for both seasoned agents and new advisers. Students must have<br />

completed the LUTCF before doing the FSS (exception – students who have attained the<br />

CLU or ChFC). More information can be had from the <strong>TTAIFA</strong> Secretariat on this.<br />

AMTC<br />

In August last year, our AMTC class commenced with fourteen participants. They were<br />

moderated by Mr. Jacinto Martinez and Mr. Rommel Manickchand. On behalf of the<br />

<strong>TTAIFA</strong> Board, let me extend our sincerest thanks to these two gentlemen for their<br />

services rendered.<br />

CARAIFA<br />

<strong>TTAIFA</strong>’s relationship with our mother association remains amicable.<br />

The CARAIFA “Gift of Love” programme is a charitable plan that enables you to make<br />

contributions to the foundation each year.<br />

The packages are:<br />

Platinum - US$1,000.00 annually for 5 years<br />

Gold - US$ 500.00 annually for 5 years<br />

Silver - US$ 250.00 annually for 5 years<br />

Bronze - US$ 100.00 annually for 5 years<br />

Or the pledge can be a one time affair. Also note that one-time contributions to the<br />

Foundation in any amount are also welcome.<br />

These donations can offer many advantages:<br />

• Reduce taxes<br />

• Provide access for our members and their families to information and treatment<br />

• Allow you to make a much larger gift than you thought possible<br />

• Receive a current income tax deduction.<br />

One of CARAIFA’s Hall of Fame inductees in 2005 was our own Alvin Alexander, an<br />

industry icon, past president of <strong>TTAIFA</strong> (two terms), <strong>TTAIFA</strong> hall of fame inductee and<br />

also past president of CARAIFA. We extend warmest congratulations to Alvin on this<br />

achievement.<br />

CARAIFA’s 18 th Annual Sales Congress will take place in Montego Bay, Jamaica from<br />

May 14-17, <strong>2006</strong> at the Holiday Inn Sun Spree Resorts, under the theme<br />

“WILLPOWER…..unite and show the power”. The congress also includes, at a separate<br />

cost a 4 day/3 night tour of Cuba.<br />

The speakers’ line up includes some of our T & T counterparts, the likes of Raziah<br />

Ahmed, Dale Mc Leod and yours truly – Cecil Frederick.<br />

Congress must be seen as what it is, an educational tool and we urge you our members to<br />

include CARAIFA congress on your calendar of events each year, and I quote……. “A<br />

love affair with knowledge will never end in heartbreak.” Michael Garrett Marino<br />
