The Petitioner <strong>the</strong>refore prays as follows:<br />

(1) That <strong>the</strong> 2 nd Respondent may be ordered to sell all<br />

its shares <strong>in</strong> <strong>the</strong> 1 st Respondent to <strong>the</strong> Petitioner at<br />

a fair and commercial price to be determ<strong>in</strong>ed by a<br />

firm <strong>of</strong> auditors namely Messrs Ernst & Young or<br />

such o<strong>the</strong>r firm <strong>of</strong> auditors to be appo<strong>in</strong>ted by this<br />

Honourable Court;<br />

OR<br />

(2) That <strong>the</strong> 1 st Respondent may be wound up; AND<br />

(3) That representative(s) from <strong>the</strong> Petitioner verifies<br />

and countersigns <strong>the</strong> receipt <strong>of</strong> each consignment<br />

<strong>of</strong> goods or stock purchased by <strong>the</strong> 1 st Respondent;<br />

AND<br />

(4) That representative(s) from <strong>the</strong> Petitioner<br />

countersigns each and every cheque for <strong>the</strong><br />

payment <strong>of</strong> each consignment <strong>of</strong> goods or stock<br />

purchased by <strong>the</strong> 1 st Respondent; AND<br />

(5) That this Honourable Court may declare that <strong>the</strong><br />

2 nd Respondent has breached its fiduciary duties<br />

not to act <strong>in</strong> conflict with its duty to <strong>the</strong> Petitioner<br />

and aga<strong>in</strong>st <strong>the</strong> Petitioner’s <strong>in</strong>terest <strong>in</strong> that <strong>the</strong> 2 nd<br />

Respondent has breached its fiduciary duties not to<br />

act <strong>in</strong> conflict with its duty to <strong>the</strong> Petitioner and<br />

aga<strong>in</strong>st <strong>the</strong> Petitioner’s <strong>in</strong>terest <strong>in</strong> that <strong>the</strong> 2 nd<br />

Respondent had allowed <strong>the</strong> <strong>in</strong>terest, bank and<br />

penalty charges to be charged by its subsidiary or<br />

related company Maestro Products Sdn Bhd<br />

aga<strong>in</strong>st <strong>the</strong> 1 st Respondent; AND<br />

(6) That this Honourable Court may declare that <strong>the</strong><br />

2 nd Respondent has breached its fiduciary duties<br />

not to act <strong>in</strong> conflict with its duty to <strong>the</strong> Petitioner<br />

and aga<strong>in</strong>st <strong>the</strong> Petitioner’s <strong>in</strong>terest <strong>in</strong> that <strong>the</strong> 2 nd<br />

Respondent had abused its power by us<strong>in</strong>g <strong>the</strong> 1 st<br />

Respondent’s money to pay <strong>the</strong> salaries <strong>in</strong>clud<strong>in</strong>g<br />

bonuses, <strong>in</strong>come taxes, Employee Provident Fund<br />
