JOBS Act Change: Special Rule for Banks and Bank Holding Companies Section 601 of JOBS Act amends §12(g)(1)(B) of the Exchange Act to increase “holder of record” threshold for banks and bank holding companies only to 2,000 persons Whether or not accredited investors. JOBS Act Change: “Holder of Record” Excludes Securities issued under Rule 701, etc. Section 502 of JOBS Act amended §12(g)(5) of the Exchange Act to provide: Definition of ‘held of record’ shall not include securities held by persons who receive securities pursuant to an employee compensation plan in transactions exempted from §5 registration.
