5.2 Each forum may levy upon its membership dues as it deems necessary.<br />

5.3 The BOD may dissolve a forum which fails to operate in accordance with these<br />

Bylaws <strong>and</strong> Policy.<br />

5.4 Forum’s membership can include Active <strong>and</strong> International members <strong>of</strong> the<br />

association.<br />

Article VI – Committees<br />

6.1 There shall be three types <strong>of</strong> committees: Ad Hoc Committees, Governance<br />

Committees, <strong>and</strong> Operational Committees.<br />

6.2 Ad Hoc Committees may be appointed by the Chair for special purposes.<br />

6.3 Governance Committees shall be appointed by the Chair, with the exception <strong>of</strong><br />

Forums, to assist the BOD <strong>and</strong> the association in benefiting all members in accordance<br />

with Bylaws <strong>and</strong> Policy.<br />

6.4 Operational Committees shall be appointed by the CEO in consultation with the<br />

Chair <strong>of</strong> the BOD. Operational committees work on projects within the delegated<br />

authority <strong>of</strong> the CEO <strong>and</strong> under the parameters <strong>of</strong> Bylaws <strong>and</strong> Policy.<br />

Article VII – Board <strong>of</strong> Directors<br />

7.1 Except as otherwise required by law or specifically provided in these Bylaws, the<br />

BOD shall have full authority for establishing Policy, <strong>and</strong> for the supervision, control,<br />

<strong>and</strong> direction <strong>of</strong> the association. The BOD shall be the final interpreter <strong>of</strong> the Bylaws <strong>and</strong><br />

shall make such regulations as shall be necessary to carry out Bylaw provisions. The<br />

BOD shall determine any disputes or controversies between councils, forums <strong>and</strong> other<br />

association entities, as well as any conflicts pertaining to membership classifications or<br />

eligibility for membership.<br />

7.2 Directors shall be nominated <strong>and</strong>/or elected by the Active members from the<br />

geographic regions as defined herein, by the active Past Presidents/Past Chairs, <strong>and</strong> by<br />

the Associate members as follows:<br />

(a) Active Member Directors<br />

(1) Active members shall be allocated into three (3) geographic regions for<br />

the purpose <strong>of</strong> nominating <strong>and</strong>/or electing Active member directors to the<br />

BOD. The geographic regions are territories established solely for the<br />

purpose <strong>of</strong> nominating <strong>and</strong>/or electing directors <strong>and</strong> not for the purpose <strong>of</strong><br />

association administration.<br />
