INTRODUCTION<br />
1.1 In 2005, the <strong>Law</strong> <strong>Commission</strong> and Scottish <strong>Law</strong> <strong>Commission</strong> noted that the law<br />
on unfair terms is particularly complex. It is conta<strong>in</strong>ed <strong>in</strong> two separate pieces of<br />
legislation, the <strong>Unfair</strong> Contract <strong>Terms</strong> Act 1977 (UCTA) 1 and the <strong>Unfair</strong> <strong>Terms</strong> <strong>in</strong><br />
<strong>Consumer</strong> <strong>Contracts</strong> Regulations 1999 (UTCCR), 2 both with their own<br />
<strong>in</strong>consistent and overlapp<strong>in</strong>g provisions. We recommended reform to clarify the<br />
law and published a draft Bill. 3<br />
1.2 Although the previous Government accepted the Report <strong>in</strong> pr<strong>in</strong>ciple, so far it has<br />
not been implemented. 4 In September 2011, the then <strong>Consumer</strong> M<strong>in</strong>ister,<br />
Edward Davey, announced a <strong>new</strong> <strong>Consumer</strong> Bill of Rights. He stated that:<br />
<strong>Consumer</strong> law <strong>in</strong> the UK comes from a variety of Acts and regulation,<br />
mak<strong>in</strong>g it complex and confus<strong>in</strong>g. … The <strong>Consumer</strong> Bill of Rights will<br />
consolidate, clarify and strengthen the consumer laws already <strong>in</strong><br />
place, which will make it easier for everyone to understand and<br />
consumer rights <strong>in</strong> the UK will be stronger than ever. 5<br />
1.3 Dur<strong>in</strong>g 2012, the Department for Bus<strong>in</strong>ess, Innovation and Skills (BIS) is<br />
consult<strong>in</strong>g on a package of measures to clarify consumer law, to be <strong>in</strong>troduced by<br />
both primary and secondary legislation. The aim is to put a Bill to the UK<br />
Parliament <strong>in</strong> the 2013 to 2014 Parliamentary session. This provides an<br />
opportunity to clarify the law on unfair terms as it affects consumers.<br />
1.4 We have therefore been asked to review and update our 2005 Report <strong>in</strong> relation<br />
to our general consumer recommendations. 6 At the same time we have been<br />
asked to address one issue of particular concern: namely which terms should be<br />
exempt from review under the UTCCR. This issue came to prom<strong>in</strong>ence dur<strong>in</strong>g<br />
the litigation over bank charges, culm<strong>in</strong>at<strong>in</strong>g <strong>in</strong> the 2009 Supreme Court decision:<br />
