operating results. These effects may have a more pr<strong>on</strong>ounced impact <strong>on</strong> our business given our relatively smaller scale and financial<br />

resources as compared to many incumbent automobile manufacturers.<br />

Difficult ec<strong>on</strong>omic c<strong>on</strong>diti<strong>on</strong>s may affect c<strong>on</strong>sumer purchases of luxury items, such as our performance electric vehicles.<br />

Over the last 18 m<strong>on</strong>ths, the deteriorati<strong>on</strong> in the global financial markets and c<strong>on</strong>tinually challenging c<strong>on</strong>diti<strong>on</strong> of the<br />

macroec<strong>on</strong>omic envir<strong>on</strong>ment has negatively impacted c<strong>on</strong>sumer spending and we believe has adversely affected the sales of our Tesla<br />

Roadster. The automobile industry in particular was severely impacted by the poor ec<strong>on</strong>omic c<strong>on</strong>diti<strong>on</strong>s and several vehicle<br />

manufacturing companies, including General Motors and Chrysler, were forced to file for bankruptcy. Sales of new automobiles<br />

generally have dropped during this recessi<strong>on</strong>ary period. Sales of high-end and luxury c<strong>on</strong>sumer products, such as our performance<br />

electric vehicles, depend in part <strong>on</strong> discreti<strong>on</strong>ary c<strong>on</strong>sumer spending and are even more exposed to adverse changes in general<br />

ec<strong>on</strong>omic c<strong>on</strong>diti<strong>on</strong>s. Discreti<strong>on</strong>ary c<strong>on</strong>sumer spending also is affected by other factors, including changes in tax rates and tax credits,<br />

interest rates and the availability and terms of c<strong>on</strong>sumer credit.<br />

If the current difficult ec<strong>on</strong>omic c<strong>on</strong>diti<strong>on</strong>s c<strong>on</strong>tinue or worsen, we may experience a decline in the demand for our Tesla<br />

Roadster or reservati<strong>on</strong>s for our Model S, either of which could harm our business, prospects and operating results. Accordingly, any<br />

events that have a negative effect <strong>on</strong> the United States ec<strong>on</strong>omy or <strong>on</strong> foreign ec<strong>on</strong>omies or that negatively affect c<strong>on</strong>sumer<br />

c<strong>on</strong>fidence in the ec<strong>on</strong>omy, including disrupti<strong>on</strong>s in credit and stock markets, and actual or perceived ec<strong>on</strong>omic slowdowns, may<br />

harm our business, prospects and operating results.<br />

Our financial results may vary significantly from period-to-period due to the seas<strong>on</strong>ality of our business and fluctuati<strong>on</strong>s in our<br />

operating costs.<br />

Our operating results may vary significantly from period-to-period due to many factors, including seas<strong>on</strong>al factors that may<br />

have an effect <strong>on</strong> the demand for our electric vehicles. Demand for new cars in the automobile industry in general, and for highperformance<br />

sports vehicles such as the Tesla Roadster in particular, typically decline over the winter seas<strong>on</strong>, while sales are<br />

generally higher as compared to the winter seas<strong>on</strong> during the spring and summer m<strong>on</strong>ths. We expect sales of the Tesla Roadster to<br />

fluctuate <strong>on</strong> a seas<strong>on</strong>al basis with increased sales during the spring and summer m<strong>on</strong>ths in our sec<strong>on</strong>d and third fiscal quarters relative<br />

to our fourth and first fiscal quarters. We note that, in general, automotive sales tend to decline over the winter seas<strong>on</strong> and we<br />

anticipate that our sales of the Model S and other models we introduce may have similar seas<strong>on</strong>ality. However, our limited operati<strong>on</strong>s<br />

history makes it difficult for us to judge the exact nature or extent of the seas<strong>on</strong>ality of our business. Also, any unusually severe<br />

weather c<strong>on</strong>diti<strong>on</strong>s in some markets may impact demand for our vehicles. Our operating results could also suffer if we do not achieve<br />

revenue c<strong>on</strong>sistent with our expectati<strong>on</strong>s for this seas<strong>on</strong>al demand because many of our expenses are based <strong>on</strong> anticipated levels of<br />

annual revenue.<br />

We also expect our period-to-period operating results to vary based <strong>on</strong> our operating costs which we anticipate will increase<br />

significantly in future periods as we, am<strong>on</strong>g other things, design, develop and manufacture our planned Model S and electric<br />

powertrain comp<strong>on</strong>ents, build and equip new manufacturing facilities to produce the Model S and electric powertrain comp<strong>on</strong>ents,<br />

open new Tesla stores with maintenance and repair capabilities, incur costs for warranty repairs or product recalls, if any, increase our<br />

sales and marketing activities, and increase our general and administrative functi<strong>on</strong>s to support our growing operati<strong>on</strong>s.<br />

As a result of these factors, we believe that quarter-to-quarter comparis<strong>on</strong>s of our operating results are not necessarily<br />

meaningful and that these comparis<strong>on</strong>s cannot be relied up<strong>on</strong> as indicators of future performance. Moreover, our operating results<br />

may not meet expectati<strong>on</strong>s of equity research analysts or investors. If this occurs, the trading price of our comm<strong>on</strong> stock could fall<br />

substantially either suddenly or over time.<br />
