Steptoe & Johnson LLP ("Steptoe") is a U.S.- based law partnership, with its headquarters and
principal place of business in Washington, DC. Steptoe is an Arizona limited liability
partnership. It has offices in Washington, D.C, Los Angeles, Century City, Phoenix, Chicago,
New York, Brussels, and Beijing. Steptoe has approximately 500 attorneys worldwide. Steptoe
& Johnson ("MNP"), an affiliated entity, is a multi-national partnership based in London.

As a traditional law partnership, Steptoe is owned and controlled by its equity partners. These
partners elect an Executive Committee. This Committee and a Chairman and Vice Chairman
