TERMS AND CONDITIONS OF SALE
fusion Hardware group is an established design company providing high-
quality architectural hardware products. With an expansive range of styles
and finishes, we can support a broad spectrum of interior design concepts.
general terms and conditions
• Payment terms - net 30 days
• no Freight Charge: Fusion pays standard shipping
• 48 hour shipping lead-time is standard - add 24 hours for specialty keying
• Limited Lifetime Warranty on finish and mechanical
pricing and Freight
all prices include parcel methods of standard ground shipping (uPs,
FedEx, Etc.). When Overnight or 2nd Day Delivery is requested, full
shipping charges are the buyers responsibility. shipping method is at the
discretion of fusion. Prices are subject to change without notice. Prices
prevailing at time of accepted order. all orders of less than $50 net will be
subject to a handling fee of $10. residential drop ship orders are subject
to a 10% up-charge, based on the total value of the order.
Freight responsibilitY & possible shipping claims
All products are shipped and invoiced EXW (EX Works) from our
distribution center in suwanee, georgia. title and risk of loss or damage
pass to invoiced party upon our transfer of product to carrier. any
special requests or shipping methods that bear additional charges are
the responsibility of the invoiced party. shipping/Delivery schedules are
estimates only and cannot be guaranteed. we are not liable for any delays
in shipments.
dealer representation
Dealers are expected to represent the Fusion product line fairly and
accurately to the consumer. fusion Hardware requires all active dealer
accounts to have physical display presence (showroom) for customer
selections.
MINIMUM ADVERTISED PRICING POLICY (MAP)
Although Fusion Hardware Group cannot legally control the final sales
price between buyer and seller, our policy does not permit advertised
discounting of published list prices beyond 20%.
INTERNET MINIMUM ADVERTISED PRICING POLICY (IMAP)
internet sales of fusion Hardware products are closely monitored for
adherence to current maP policy, which does not permit advertised
discounting of published list prices beyond 20%. infractions will be
answered by direct and immediate notification, including written
documentation. fusion Hardware dealers that do not respect the imaP
policy may be in jeopardy of losing the fusion Hardware line.
the Following will also be treated as violations
oF the imap:
• internet sites that implement the “click on” or “click through” feature
in order to communicate any additional automated discounts or price
concessions will be in violation of the fusion Hardware imaP.
• the use of any incentives, ‘give-aways” coupons, rebates, promotions
in any advertising by a dealer where the effect is to reduce the price of
any fusion Hardware product under the published maP.
orders are binding upon receipt bY Fusion
For all purchases
all orders are deemed binding upon our receipt and acceptance and as
such each order is expressly subject to and conditioned on your assent
to the terms and conditions of sale. assent occurs when no written
retraction or objection to the terms and conditions occurs within 48
hours of our receipt of order. no other terms or conditions shall apply.
paYment terms
all sales are net 30 on established credit. invoices not paid in full within
30 days of invoice date shall incur a service charge of 1.5% per month
for each month or fraction thereof (or the maximum rate permitted by
law) until paid in full. no orders will ship to accounts that have past due
balances or outstanding balances until paid in full. Payments with credit
cards will be assessed a 3% convenience fee.
return oF products
no product can be returned to fusion without prior approval. we will
provide a factory return Merchandise Authorization (rMA) number
that must accompany the product return, and be clearly posted on the
face of the package. fusion is not responsible for return freight unless
the product was shipped in error. credit or replacement will be given if
fusion determines that the product is defective or was shipped in error.
authorized returns for product that is neither defective nor shipped in
error are subject to a 25% restocking fee. returns accepted after 90 days
and prior to 6 months are subject to a 40% restocking fee. no returns
accepted after 6 months from invoice date. only authorized returns
received in good, re-sellable condition are for credit.
changes or cancellations
all orders ship within two business days of receipt by fusion, assuming
no questions regarding the specifics of the order exist. We will contact
you immediately with any questions about the order. after we receive your
response with clarification, order will ship within two business days.
Any item additions, quantity changes or specification changes made to
accepted orders will generate a new acknowledgment for the entire order
and may generate a new scheduled shipment date.
liFetime limited warranties
fusion Hardware group warrants that there shall be no defects in
workmanship, materials, or operation of our product for the lifetime
of the original owner. fusion, at its discretion, will repair or replace the
defective components or products and return to the purchaser.
the finish warranty is a limited lifetime for all Fusion finishes.
Appearance will be affected by normal use and operation. these changes
are considered normal and are conditions of use. finish warranty
replacements are limited to one replacement over the life of the
installation.
neither such warranty shall apply to subsequent owners, or for defects
due to improper installation, acts of God, fire or casualty or failure to
exercise normal maintenance, for the consequences of uses for which
products were not designated or the finish defects caused by the use
of paints, solvents or other chemicals which come in contact with the
products. if we determine the product was misused or improperly
installed the costs of repair or replacement of the components or products
will be the responsibility of the purchaser.
the Company’s maximum liability hereunder is limited to the purchase
price of the product. fusion shall not be responsible for any costs
incurred for the removal or reinstallation of any products covered by
these warranties.

we sHall unDer no circumstances be liable for any
sPecial, inDirect, inciDental or conseQuential loss or
Damages resulting from tHe use of a ProDuct.
this warranty gives specific legal rights and a buyer may have other rights
that may vary from state to state.
all purchases of fusion goods shall be governed by the laws of the state
of Georgia, including the Uniform Commercial Code as in effect on
the date of the purchase. the purchaser of the goods agrees that any
proceeding brought in connection with the purchase of the goods shall
be brought in any court of competent jurisdiction in georgia.
