may be adjusted, with <strong>the</strong> unanimous consent <strong>of</strong> <strong>the</strong> Signatories, to reflect higher or<br />
lower contributions by <strong>the</strong> Signatories.<br />
26. Each Signatory shall bear <strong>the</strong> entire costs <strong>of</strong> <strong>the</strong> salary and travel expenses <strong>of</strong> its<br />
members on <strong>the</strong> Management Committee, any sub-committee or task force and <strong>of</strong><br />
employees assigned to tasks or activities carried out under this Program and this<br />
Memorandum.<br />
27. The Management Committee will name an Audit Committee and appoint an independent<br />
accountant to provide a Review Engagement annually. Every fifth year, commencing in<br />
2004, <strong>the</strong> Management Committee will appoint an auditor.<br />
DURATION<br />
28. This Memorandum shall take effect April 1, 2005. It will, except where o<strong>the</strong>rwise<br />
provided in this Memorandum, continue in force until terminated upon <strong>the</strong> mutual<br />
agreement <strong>of</strong> all <strong>of</strong> <strong>the</strong> Signatories that remain involved in this Memorandum.<br />
29. Any Signatory to this Memorandum may terminate its involvement, provided that <strong>the</strong><br />
Signatory formally notifies <strong>the</strong> o<strong>the</strong>r Signatories <strong>of</strong> its intent to withdraw from <strong>the</strong><br />
Memorandum and that such notification is received at least one full fiscal year prior to<br />
<strong>the</strong> intended date <strong>of</strong> withdrawal.<br />
AMENDMENTS<br />
30. This Memorandum may be amended by written agreement between all <strong>of</strong> <strong>the</strong> Signatories’<br />
administrative senior representatives within <strong>the</strong> Province <strong>of</strong> British Columbia.<br />
NOTICE<br />
31. Any notice required or permitted to be given under <strong>the</strong> provisions <strong>of</strong> this Memorandum<br />
shall be in writing, and sent by mail or by o<strong>the</strong>r acceptable form <strong>of</strong> communication to <strong>the</strong><br />
address <strong>of</strong> <strong>the</strong> Signatory's representative on <strong>the</strong> Management Committee. Notice shall be<br />
sufficiently served if personally delivered to <strong>the</strong> Signatory to whom it is given or mailed.<br />
REFERENCES<br />
32. Every reference to <strong>the</strong> Signatories in this Memorandum will include any person<br />
designated to act for or on <strong>the</strong>ir respective behalf with regard to any provisions <strong>of</strong> this<br />
Memorandum.<br />
