Basler Kantonalbank shall act as Principal Swiss Paying Agent in respect of the Notes. All references in the Terms and Conditions of the Notes to the Fiscal Agent and|or German Fiscal Agent shall be deemed to be references to the Principal Swiss Paying Agent. A. Die Basler Kantonalbank handelt als Schweizer Hauptzahlstelle. Alle Bezugnahmen auf die Emissionsstelle und|oder die Deutsche Emissionsstelle in den Emissionsbedingungen gelten als Bezugnahmen auf die Schweizer Hauptzahlstelle. B. § 1 sub-paragraph (3) and (4) of the Terms and Conditions of the Notes shall be amended as follows: (3) Permanent Global Note. The Notes are represented by a permanent global note (the “Permanent Global Note”) without coupons. The Permanent Global Note shall be signed manually by two authorized signatories of the Issuer and the Trustee and shall be authenticated by or on behalf of the Principal Swiss Paying Agent. Definitive Notes and interest coupons will not be issued except in accordance with subparagraph (4) below. (4) and new (5) Clearing System. The Permanent Global Note will be kept in custody by or on behalf of the Clearing System until all obligations of the Issuer under the Notes have been satisfied. “Clearing System” means SIS SegaInterSettle AG (“SIS”), Olten, Switzerland. The following paragraph shall be inserted as sub-paragraph (4): (4) Definitive Notes and Coupons. The Permanent Global Note will not be exchangeable at the option of the Holders but may be exchanged for definitive Notes in whole but not in part solely at the option of the Swiss Principal Paying Agent should it deem such exchange to be necessary or useful or if the presentation of definitive Notes and interest coupons is required by Swiss or foreign laws and regulations in connection with the enforcement of rights in respect of the Notes. In such case, the definitive Notes and interest coupons shall be signed in facsimile by two authorized signatories of the Issuer and shall be authenticated by or on behalf of the Principal Swiss Paying Agent and printed in accordance with the rules and regulations of the SWX Swiss Exchange at no cost to the Holders. B. § 1 Absatz (3) und (4) der Emissionsbedingungen wird wie folgt geändert: (3) Dauerglobalurkunde. Die Schuldverschreibungen sind durch eine Dauerglobalurkunde (die «Dauerglobalurkunde») ohne Zinsscheine verbrieft. Die Dauerglobalurkunde trägt die eigenhändigen Unterschriften zweier ordnungsgemäß bevollmächtigter Vertreter der Emittentin und des Treuhänders und ist von der Schweizer Hauptzahlstelle oder in deren Namen mit einer Kontrollunterschrift versehen. Einzelurkunden und Zinsscheine werden außer in den in § 1(4) vorgesehenen Fällen nicht ausgegeben. 15
