EXHIBITION TERMS AND CONDITIONS<br />

22. APPLICABLE LAW, PLACE OF PERFORMANCE,<br />

PLACE OF JURISDICTION<br />

22.1. The law of the Federal Republic of Germany shall apply solely to all<br />

legal relations between Solar Promotion GmbH, its employees, agents <strong>and</strong><br />

vicarious agents on the one h<strong>and</strong> <strong>and</strong> the exhibitor or its employees, agents<br />

<strong>and</strong> vicarious agents on the other h<strong>and</strong>.<br />

22.2. For both contracting parties, the place of performance <strong>and</strong> place of<br />

jurisdiction (also for legal proceedings for dishonoured cheques or bills) shall<br />

be Pforzheim, provided the exhibitor is a registered trader, a legal person<br />

under public law or a special public asset, or if there is no general place of<br />

jurisdiction in Germany. However, Solar Promotion GmbH shall reserve the<br />

right to take legal action at the general place of jurisdiction of the exhibitor.<br />

23. SUBSIDIARY AGREEMENTS, SAVING CLAUSE<br />

23.1. Subsidiary agreements shall only become legally binding if they are<br />

reported to Solar Promotion GmbH in writing or are confirmed by Solar<br />

Promotion GmbH in writing.<br />

23.2. These Exhibiting <strong>Conditions</strong> or this agreement shall also remain valid<br />

if individual provisions prove to be invalid. The provision in question shall be<br />

replaced by another provision which corresponds as far as possible to the<br />

originally intended economic purpose.<br />
