The Certifi ed <strong>EC</strong>-<strong>Council</strong> Instructor program is designed for individuals who want to become<br />

certified to deliver <strong>EC</strong>-<strong>Council</strong>’ curriculum on topics ranging from CCRMP, CPMP & CIMP.<br />

The <strong>CEI</strong> (i-Business) program provides resources for individuals to become industry-recognized<br />

trainers for security technologies.<br />

<strong>EC</strong>-<strong>Council</strong> courses are instructor-led classes that combine lectures, demonstrations, and handson<br />

student exercises. Certified <strong>EC</strong>-<strong>Council</strong> Instructors maintain a high standard of instructional<br />

preparedness through continued access to <strong>EC</strong>-<strong>Council</strong>’s training resources. Candidates will be qualified<br />

both in technical proficiency and instructional skills prior to authorization.<br />

<strong>CEI</strong> (i-Business) Requirements<br />

To become a Certified <strong>EC</strong>-<strong>Council</strong> Instructor, you must:<br />

• Submit a completed <strong>CEI</strong> (i-Business) Trainer application form<br />

• Attend the <strong>EC</strong>-<strong>Council</strong> Train-the-Trainer program for the course you want to become certified to<br />

deliver<br />

• ATC (i-Business) should sponsor your application<br />

• Pass the associated certification exam<br />

• Meet <strong>EC</strong>-<strong>Council</strong>’s quality standards by demonstrating your ability to deliver the <strong>EC</strong>-<strong>Council</strong> course<br />

at Train-the-Trainer session<br />

• Have technical expertise in and hands-on experience with security technologies and applications<br />

• Sign the <strong>EC</strong>-<strong>Council</strong> Trainer Agreement<br />

Steps to Become an Instructor<br />

Step 1: Attend the TTT class taught by <strong>EC</strong>-<strong>Council</strong> Master Trainers (EMT)<br />

Step 2: Pass the relevant exam CCRMP, CPMP & CIMP<br />

Step 3: Possess any globally recognized Instructor Certifications in the respective fields of Project<br />

Management, Customer Relationship Management and Internet Marketing<br />

Step 4: Work for an <strong>EC</strong>-<strong>Council</strong> Accredited Training Center full time or part time.<br />

Step 5: <strong>EC</strong>-<strong>Council</strong> ATC (i-Business) should sponsor your application to become a <strong>CEI</strong> (i-Business)<br />

Step 6: Complete the instructor application form and fax/mail it to us.<br />

Step 7: You will be notified via email regarding your instructor status within 4 weeks.<br />

Step 8: You will be issued a unique username and password to the <strong>EC</strong>-<strong>Council</strong> instructor login area.<br />

This will be included in your approval letter that you will receive with your <strong>CEI</strong> (i-Business) Certificate<br />

Step 9: Prepare to teach <strong>EC</strong>-<strong>Council</strong> curriculum by reviewing course outlines and additional instructions<br />

available in the Instructor login section.<br />

Membership in the <strong>CEI</strong> (i-Business) program includes the following benefits:<br />

Access to private online instructor login: All <strong>CEI</strong>s (i-Business) gain access to a wide range of current<br />

information and tools that will help you maximize your skills as a <strong>EC</strong>-<strong>Council</strong> Instructor. These tools<br />

include access to comprehensive certifi cation and course preparation materials, PowerPoint Slides,<br />

coursewares, videos, best practises, lab setup guide etc.<br />

Exclusive <strong>CEI</strong> (i-Business) logo usage: All <strong>CEI</strong>s (i-Business) have exclusive rights to use the <strong>CEI</strong><br />

(i-Business) logo for web sites, business cards, marketing materials, and other documentation.<br />

Specialized support and communications. You have access to internal <strong>EC</strong>-<strong>Council</strong> training experts who<br />

can help you with questions or concerns regarding the curriculum, exercises, and setup requirements of<br />

the course(s) you are certifi ed to teach.<br />

<strong>CEI</strong> (i-Business) Trainer Application Form<br />

Incomplete applications will not be processed, so please verify that you have included all required<br />

documentation.<br />

The purpose of the <strong>CEI</strong> (i-Business) application is to determine your eligibility to become a Certified<br />

<strong>EC</strong>-<strong>Council</strong> Instructor. The application includes a section that authorises <strong>EC</strong>-<strong>Council</strong> to run a background<br />

check. All <strong>CEI</strong> (i-Business) candidates are held to <strong>EC</strong>-<strong>Council</strong>’s high standards and must agree<br />

to a background check before they can be certified to teach for <strong>EC</strong>-<strong>Council</strong>. Processing of the application<br />

can take two to four weeks.<br />

Attend the Train-the Trainer course for which you are seeking certi cation<br />

Attending TTT is mandatory and cannot be waived. Attending the course that you plan to teach allows<br />

you to become more familiar with the curriculum, experience the flow of the course, observe student and<br />

instructor interactions, and listen to questions and answers.<br />

<strong>CEI</strong> (i-Business) candidates are responsible for tuition, courseware, exam fees as well as all personal<br />

expenses, such as food, travel, and lodging when attending an <strong>EC</strong>-<strong>Council</strong> TTT session.<br />

For a list of the available classes and a complete description of the courses, registration information, class<br />

schedules and tuition fees, please write to your Distributor or Regional Representative<br />

Demonstrate your knowledge and instructional presentation skills<br />

You must demonstrate your subject matter expertise and instructional presentation skills. Depending<br />

on the course(s) you are seeking certification to teach, you will be invited to either participate in a<br />

conference call or train-the-trainer session lead by an <strong>EC</strong>-<strong>Council</strong> Master Trainer.<br />

At the TTT session:<br />

• You will present one or more chapters of the course to a group of your peers and an <strong>EC</strong>-<strong>Council</strong><br />

Master Trainer.<br />

• The <strong>EC</strong>-<strong>Council</strong> Master Trainer will evaluate your technical proficiency and<br />

instructional presentation skills.<br />

Training Preparation<br />

Some of the ways you can polish your training and presentation skills prior to teaching a course include:<br />

• Observe an experienced instructor—Watch an experienced instructor and take notes on things such as<br />

course flow, timing, student questions, and helpful analogies.<br />

so that you can refine your presentation and identify any problem areas.<br />

The time it takes to become a <strong>CEI</strong> (i-Business) will vary, depending on factors such as:<br />

• Submitting the application<br />

• Responding to requests for information & background checks<br />

• Availability and Train-the-Trainer attendance of the course you are seeking certification to<br />

teach<br />

• Passing the certification exam<br />

• Your knowledge of <strong>EC</strong>-<strong>Council</strong> products and technologies<br />

What fees and expenses are associated with the program?<br />

Applicants pay Train-the-Trainer course fees for each course they attend, exam fees, and all personal<br />

expenses—such as travel, meals, and accommodation—incurred during the assessment periods.<br />

Do I need to take a test to become a <strong>CEI</strong> (i-Business)?<br />

If you are seeking certification to teach CIMP training course for example, you must take and pass the<br />

corresponding course exam. Exams are offered at Prometric and VUE Testing Centres around the world.<br />

If I am accepted to the program, what am I certified to do?<br />

As a <strong>CEI</strong> (i-Business), you can teach the specific <strong>EC</strong>-<strong>Council</strong> course(s) that you have been certified to<br />

teach to customers defined by <strong>EC</strong>-<strong>Council</strong> or an Accredited Training Centre.<br />

How are <strong>CEI</strong> (i-Business) trainers evaluated?<br />

For user and professional training courses, new trainers are first evaluated during the TTT session. In the<br />

TTT, you must demonstrate suffi cient professional knowledge and instructional presentation skills to<br />

competently teach the course before you receive certification to deliver the course.<br />

As a means of ongoing evaluation, students are provided an online evaluation form at the end of each<br />

course and are asked to evaluate both the course content and the trainer’s professional and instructional<br />

expertise. <strong>EC</strong>-<strong>Council</strong> will review the course evaluations.<br />

Once I am certified to teach a course, how long does that certification last?<br />

Once you are certified to teach a course, you can teach that course until any one of these conditions<br />

exists:<br />

• A major update to the curriculum, after which you may be required to demonstrate knowledge of the<br />

new technology.<br />

• Poor evaluations received on either your instructional abilities or your professional knowledge. If this<br />

occurs, you may need to repeat the TTT session and/or teach the course under supervision of an <strong>EC</strong>-<br />

<strong>Council</strong> Master Trainer<br />

• Termination of your <strong>CEI</strong> (i-Business) agreement.<br />

How will I be scheduled to teach a course?<br />

If you are teaching directly for <strong>EC</strong>-<strong>Council</strong>, you will be scheduled via iClass, <strong>EC</strong>-<strong>Council</strong>’s online<br />

training system regarding available classes and given the opportunity to accept or reject the class in<br />

question.<br />

If you work for an <strong>EC</strong>-<strong>Council</strong> Accredited Training Centre, the centre will manage your teaching<br />

schedule.<br />

How often will I be scheduled to teach?<br />

How often you teach will depend on a number of variables, such as the demand for the course you<br />

teach, your availability, your location, and the class location. The Statement of Work will indicate the<br />

dollar figure allotted to compensation for the given period. <strong>EC</strong>-<strong>Council</strong> does not guarantee that work<br />

will be assigned based on the trainer’s available dates or that all fund allotted will be used as noted in the<br />

Statement of Work.<br />

AGREEMENT (VERSION 1.5)<br />

This Certified Instructor Agreement (the "Agreement") is<br />

made and entered into as of ………………(the<br />

“Effective Date”), by and between The International<br />

<strong>Council</strong> of <strong>EC</strong>-Commerce Consultants ( “<strong>EC</strong>-<strong>Council</strong>”),<br />

and ……………………………………………………<br />

(“you”),<br />

WHEREAS, <strong>EC</strong>-<strong>Council</strong> is a certification body which<br />

distributes, licenses and promotes Security and e-<br />

Business certification and training programs.<br />

WHEREAS, you are an individual applying to obtain<br />

and maintain Certified <strong>EC</strong>-<strong>Council</strong> Instructor (“<strong>CEI</strong>”)<br />

status.<br />

WHEREAS, the parties hereto agree to enter into an<br />

independent contractor relationship whereby you agree<br />

to perform your duties as a Certified <strong>EC</strong>-<strong>Council</strong><br />

Instructor to conduct <strong>EC</strong>-<strong>Council</strong> courses only o to <strong>EC</strong>-<br />

<strong>Council</strong> licensed Accredited Training Centers.<br />

NOW, THEREFORE, in consideration of the promises<br />

and mutual covenants herein contained as well as for<br />

other good and valuable consideration, the parties do<br />

hereby agree to the following:<br />

1. QUALITY STANDARDS<br />

<strong>CEI</strong> agrees to uphold the high standards of <strong>EC</strong>-<strong>Council</strong><br />

as stated in the written policies and procedures of the<br />

organization. <strong>CEI</strong> will maintain current knowledge of<br />

<strong>CEI</strong>‟s discipline in teaching and research. In all<br />

associations with students, <strong>CEI</strong> will accept the role of<br />

mentor, foster high aspirations, communicate<br />

effectively, and instruct intelligently. <strong>CEI</strong> will promote<br />

autonomous learning, encourage a participatory<br />

environment, identify learning resources, and guide<br />

students in developing a wider network of professional<br />

colleagues. <strong>CEI</strong> will approach his/her position in a<br />

cooperative and creative manner and encourage these<br />

traits in students. <strong>CEI</strong> will exhibit sensitivity to and an<br />

understanding of the diverse academic, socioeconomic,<br />

cultural, religious, ethnic, and geographic backgrounds<br />

of students.<br />

<strong>CEI</strong> agrees that <strong>EC</strong>-<strong>Council</strong> has the right to determine it<br />

its absolute discretion whether the Training Services<br />

meet <strong>EC</strong>-<strong>Council</strong>‟s high standard s of merchantability.<br />

In the event that <strong>EC</strong>-<strong>Council</strong> determines that the <strong>CEI</strong> is<br />

no longer meeting accepted level of quality and/or<br />

integrity, <strong>EC</strong>-<strong>Council</strong> agrees to advise and provide <strong>CEI</strong><br />

with a commercially reasonable time of now less than<br />

two weeks to meet the above-referenced standards of<br />

quality and integrity.<br />

2. PUBLIC NOTICES<br />

<strong>EC</strong>-<strong>Council</strong> may publish <strong>CEI</strong>‟s name, bio and<br />

photograph in its catalogues, websites, and promotional<br />

materials and provide contact information and other<br />

essential information. The <strong>CEI</strong> will keep current all<br />

details and information contained in <strong>CEI</strong>‟s file at <strong>EC</strong>-<br />

<strong>Council</strong>, and notifies <strong>EC</strong>-<strong>Council</strong> immediately should<br />

there be changes to the contact information.<br />

<strong>EC</strong>-<strong>Council</strong> reserves the right to update its <strong>CEI</strong> policies<br />

and procedures, as and when need arises. <strong>EC</strong>-<strong>Council</strong><br />

shall use reasonable efforts to provide <strong>CEI</strong> with written<br />

notice of updates including announcement on <strong>CEI</strong><br />

Portal. <strong>CEI</strong> agrees to comply with <strong>EC</strong>-<strong>Council</strong> updated<br />

policies and procedures within 30 days from <strong>EC</strong>-<br />

<strong>Council</strong> announcement on <strong>CEI</strong> portal.<br />

3. INTELL<strong>EC</strong>TUAL PROPERTY<br />

No title or the ownership of the marks provided to <strong>CEI</strong><br />

pursuant to this agreement is transferred to <strong>CEI</strong>. <strong>EC</strong>-<br />

<strong>Council</strong> owns and retains all title and ownership of all<br />

intellectual property rights in the products,<br />

documentations and related materials. <strong>EC</strong>-<strong>Council</strong> does<br />

not transfer any portion of such title and ownership, or<br />

any of the associated goodwill to <strong>CEI</strong> , and this<br />

Agreement should not be construed to grant <strong>CEI</strong> any<br />

right or license, whether by application, estoppels, or<br />

otherwise, except as expressly provided, <strong>CEI</strong> agree to<br />

be bound by and observe the proprietary nature of the<br />

products acquired by reason of <strong>CEI</strong> status under this<br />

Agreement.<br />

All rights not expressly granted herein are reserved by<br />

<strong>EC</strong>-<strong>Council</strong>.<br />

4. AMENDMENTS<br />

This Agreement represents the complete agreement<br />

between the parties, superseding any other prior or<br />

contemporaneous oral or written agreements. Any<br />

changes, corrections or additions to this Agreement<br />

shall be in writing in the form of a supplemental<br />

agreement signed by all necessary parties and setting<br />

forth therein the proposed change, correction or<br />

addition.<br />

5. RESTRICTIONS<br />

a. <strong>CEI</strong> shall employ best efforts to use the <strong>CEI</strong> marks<br />

and designation in a manner that does not derogate<br />

from <strong>EC</strong>-<strong>Council</strong>‟s rights in the marks and<br />

designation, and shall take no action that may<br />

interfere with or diminish <strong>EC</strong>-<strong>Council</strong>‟s rights in the<br />

marks or designation.<br />

b. <strong>CEI</strong> shall not use <strong>EC</strong>-<strong>Council</strong> training materials or<br />

any materials thereof, in the delivery of non-<strong>EC</strong>-<br />

<strong>Council</strong> Courses or for any other purposes.<br />

c. <strong>CEI</strong> shall not negotiate and enter into any Agreement<br />

with <strong>EC</strong>-<strong>Council</strong> Authorized Training Centers (other<br />

than the Sponsoring ATC) to prepare and teach any<br />

<strong>EC</strong>-<strong>Council</strong> course, without the prior written consent<br />

of <strong>EC</strong>-<strong>Council</strong>.


d. <strong>CEI</strong> shall not teach any <strong>EC</strong>-<strong>Council</strong> course that <strong>CEI</strong><br />

did not attend the relevant course class and/or did<br />

not pass the relevant course exam<br />

e. <strong>CEI</strong> agrees not to file any new trademark, collective<br />

mark, service mark, certification mark, and/or trade<br />

name application (s), in any class and in any country,<br />

for any trademark, collective mark, service mark,<br />

certification mark, and/or trade name that, in <strong>EC</strong>-<br />

<strong>Council</strong>’s opinion is the same as, similar to, or that<br />

contains, in whole or in part, any or all of <strong>EC</strong>-<br />

<strong>Council</strong>’s trademark, collective mark, service mark,<br />

certification mark, and/or trade name, including<br />

without limitation, the Marks Training under this<br />

Agreement.<br />

f. <strong>CEI</strong> agrees not to register or use his/her own or any<br />

internet domain name which contains <strong>EC</strong>-<strong>Council</strong>’s<br />

marks or other trademarks in whole or in part or any<br />

other name which is confusingly similar thereto.<br />

g. <strong>CEI</strong> agrees to exert best efforts to prevent the<br />

unauthorized manufacture, copying, distribution or<br />

use of the <strong>EC</strong>-<strong>Council</strong> courses and student kits, and<br />

any component thereof.<br />

h. <strong>CEI</strong> agrees to take all available steps to protect <strong>EC</strong>-<br />

<strong>Council</strong> and its products, certification exams, and<br />

courseware against piracy or other infringement of<br />

any copyright or trademark, and the misappropriation<br />

or unauthorized disclosure of any <strong>EC</strong>-<strong>Council</strong> trade<br />

secret or confidential information and to protect <strong>EC</strong>-<br />

<strong>Council</strong>’s right, title, and interest in and to the <strong>EC</strong> -<br />

<strong>Council</strong> products, technologies and courseware.<br />

i. <strong>CEI</strong> agrees not to make public statements about <strong>EC</strong>-<br />

<strong>Council</strong> without the prior written consent of <strong>EC</strong>-<br />

<strong>Council</strong>.<br />

<strong>CEI</strong> agrees to promptly notify <strong>EC</strong>-<strong>Council</strong> at<br />

cei@eccouncil.org (or such other contact<br />

information specified by <strong>EC</strong>-<strong>Council</strong> from time to<br />

time) with specific details of any illegal use or<br />

copying of any courseware or other infringement of<br />

any mark of <strong>EC</strong>-<strong>Council</strong>, of any misappropriation or<br />

unauthorized disclosure if any trade secrets or<br />

confidential information of <strong>EC</strong>-<strong>Council</strong>.<br />

k. <strong>CEI</strong> agrees to immediately cease all used of <strong>EC</strong>-<br />

<strong>Council</strong> designation and marks upon the expiration<br />

or other termination of this Agreement.<br />

l. This section will survive the expiration or other<br />

termination of this Agreement.<br />

6. TERM AND RENEWAL<br />

The initial term of this Agreement is one (1) year,<br />

commencing on the Effective Date. Thereafter, this<br />

Agreement will automatically renew for successive one<br />

(1) year terms, unless one party gives notice to the<br />

other party that it does not desire that the term be<br />

renewed or the Agreement is terminated in accordance<br />

to Clause 7.<br />

7. TERMINATION OF AGREEMENT<br />

Termination By <strong>EC</strong>-<strong>Council</strong>: Without prejudice to any<br />

rights <strong>EC</strong>-<strong>Council</strong> may have under this Agreement or in<br />

law, equity or otherwise, <strong>EC</strong>-<strong>Council</strong> may terminate this<br />

Agreement immediately, including termination of <strong>CEI</strong><br />

certification, if <strong>CEI</strong> materially fail to comply with any of<br />

the terms of this Agreement (“Default” ). Defaults shall<br />

include the following events:<br />

a. <strong>CEI</strong> fails to perform any of his/her obligations under<br />

this Agreement.<br />

b. <strong>CEI</strong> offers trainings without complying with the<br />

testing requirements of the Agreement, or if <strong>CEI</strong><br />

discontinue offering the Training services.<br />

c. If any government agency or court finds that Training<br />

services as provided by <strong>CEI</strong> are defective or<br />

improper in any way, manner or form.<br />

d. If any actual or potential adverse publicity or other<br />

information said about <strong>CEI</strong>, his/her provision of<br />

Training services, or <strong>CEI</strong> use of the Marks causes<br />

<strong>EC</strong>-<strong>Council</strong>, in its sole judgment, to believe that <strong>EC</strong>-<br />

<strong>Council</strong> ‘s reputation will be adversely affected.<br />

e. If <strong>CEI</strong> fail to comply with the continuing certification<br />

requirement or <strong>EC</strong>-<strong>Council</strong> updated policies and<br />

procedures available on Certification website or <strong>CEI</strong><br />

Portal.<br />

f. If <strong>CEI</strong> engages in misappropriation or unauthorized<br />

disclosure of any trade secret or confidential<br />

information of <strong>EC</strong>-<strong>Council</strong> or pirate any <strong>EC</strong>-<strong>Council</strong><br />

product or course, or otherwise infringe any other<br />

intellectual property right of <strong>EC</strong>-<strong>Council</strong>, or engage in<br />

any other activities prohibited by law.<br />

g. If <strong>CEI</strong> misrepresents his/her certification status or<br />

relationship with <strong>EC</strong>-<strong>Council</strong>.<br />

h. If <strong>CEI</strong> offers Training Services below the standard of<br />

quality and integrity determined by <strong>EC</strong>-<strong>Council</strong>.<br />

i. If <strong>CEI</strong> offers Training Services of competitor’s<br />

courses at any ATC, or <strong>EC</strong>-<strong>Council</strong> courses at an<br />

<strong>EC</strong>-<strong>Council</strong> unauthorized ATC.<br />

In the event that a Default occurs, <strong>EC</strong>-<strong>Council</strong> will use<br />

reasonable efforts to provide <strong>CEI</strong> with written notice of<br />

termination of the Agreement.<br />

Termination by Either Party: Each party may<br />

terminate this Agreement at any time, with or without<br />

cause, on thirty (30) calendar days’ prior notice to the<br />

other party.


Upon termination of this Agreement for any reason, <strong>CEI</strong><br />

must immediately cease all display, advertising, and<br />

other use of the Marks and will return all badges and<br />

trademark collateral to <strong>EC</strong>-<strong>Council</strong>. Upon termination,<br />

all right granted under the Agreement will immediately<br />

and automatically revert to <strong>EC</strong>-<strong>Council</strong>.<br />

8. CONFIDENTIALITY<br />

<strong>EC</strong>-<strong>Council</strong> may, from time to time provide information<br />

to <strong>CEI</strong> which it considers to be confidential shall, if<br />

tangible, be marked as such or if communicated orally,<br />

designated at the time and promptly confirmed in<br />

writing as such. Information that is so marked or<br />

designated and confirmed, and the Instructor Training<br />

Materials regardless of form or designation, shall be<br />

“Confidential Information” under this Agreement.<br />

Confidential Information shall be held in trust and used<br />

only as necessary for the performance of this<br />

Agreement. Confidential Information shall be treated<br />

with the same degree of care to avoid the disclosure to<br />

third parties as is used with respect to <strong>CEI</strong> own<br />

Confidential Information, not less than a reasonable<br />

degree of care.<br />

Confidential Information shall be disclosed only to those<br />

students or agents of a party who have a need to know<br />

such information and are under binding obligation of<br />

confidentiality with respect to any such information<br />

received. Confidential information shall not be disclosed<br />

by <strong>CEI</strong> any other third party without the prior written<br />

consent of <strong>EC</strong>-<strong>Council</strong>. <strong>CEI</strong> agrees to defend,<br />

indemnify and save <strong>EC</strong>-<strong>Council</strong> harmless from and<br />

against any and all damages, including reasonable<br />

attorney fees, sustained as a result of the unauthorized<br />

use or disclosure of the other party‟s Confidential<br />

Information.<br />

9. HOLD HARMLESS PROVISION<br />

<strong>CEI</strong> agrees to indemnify and hold <strong>EC</strong>-<strong>Council</strong> harmless<br />

against any loss, damage , cost or expense (including<br />

reasonable legal fees) arising out of any claims or suits<br />

made against <strong>EC</strong>-<strong>Council</strong>. In no event will <strong>EC</strong>-<strong>Council</strong><br />

be liable to <strong>CEI</strong> for any special, indirect, consequential,<br />

punitive, exemplary or any similar type of damages<br />

arising out of or in any way related to this Agreement.<br />

10. REPRESENTATIONS AND WARRANTIES<br />

Each party represents and warrants that it has the right,<br />

power and authority to enter into this Agreement and to<br />

fully perform its obligations hereunder.<br />

11. HANDLING OF DISPUTES<br />

Both parties agree that irreconcilable disputes will go to<br />

mediation, and, if that fails, by binding arbitration, costs<br />

shared equally.<br />

12. APPLICABLE LAW / LEGAL FEES<br />

The laws of the State of New Mexico shall govern this<br />

Agreement. If any legal action, arbitration, or other<br />

proceeding is brought under this Agreement, the<br />

prevailing party shall be entitled to recover reasonable<br />

attorneys' fees and expenses and other costs incurred<br />

in such action, arbitration or proceeding, in addition to<br />

any other relief to which it may be entitled.<br />

13. ASSIGNMENT<br />

Neither party shall assign any of its rights or delegate<br />

any of its obligations under this Agreement without the<br />

prior written consent of the other party. Any prohibited<br />

assignment or delegation shall be null and void.<br />

14. NOTICES<br />

All notices and other communications required or<br />

permitted hereunder shall be deemed duly given only<br />

when in writing, signed by or on behalf of the person<br />

giving the same, and either (i) personally delivered (with<br />

receipt acknowledged), (ii) sent by registered or<br />

certified mail, return receipt requested, postage<br />

prepaid, or (iii) sent by overnight next business day<br />

courier, to the following addresses:<br />

specified by notice in writing to the other party hereto.<br />

All such notices and communications shall be effective<br />

(i) when received or receipt refused if delivered by<br />

personal delivery or overnight courier, or (ii) upon three<br />

days following deposit in the mail if given by certified or<br />

registered mail, when delivered to the address specified<br />

above.<br />

15. WAIVER<br />

Any waiver of the provisions of this Agreement or of a<br />

party's rights or remedies under this Agreement must<br />

be in writing signed by the waiving party to be effective.<br />

Failure, neglect or delay by a party to enforce the<br />

provisions of this Agreement or its rights or remedies at<br />

any time will not be construed and will not be deemed<br />

to be a waiver of such party's rights under this<br />

Agreement and will not in any way affect the validity of<br />

the whole or any part of this Agreement or prejudice<br />

such party's right to take subsequent action.<br />

16. SEVERABILITY<br />

If any term, condition or provision in this Agreement is<br />

found to be invalid, unlawful or unenforceable to any<br />

extent, the parties shall endeavor in good faith to agree<br />

to such amendments that will preserve, as far as<br />

possible, the intentions expressed in this Agreement. If<br />

the parties fail to agree on such an amendment, such<br />

invalid term, condition or provision will be severed from<br />

the remaining terms, conditions and provisions, which


will continue to be valid and enforceable to the fullest<br />

extent permitted by law.<br />

17. ENTIRE AGREEMENT<br />

This Agreement contains the entire agreement of the<br />

parties with respect to the subject matter of this<br />

Agreement and supersedes all previous<br />

communications, representations, understandings and<br />

agreements, whether oral or written, between the<br />

parties with respect to the subject matter hereof.<br />

18. NO THIRD PARTY BENEFICIARIES<br />

Nothing herein expressed or implied is intended or<br />

should be construed to confer upon or give to any<br />

Person other than the parties hereto and their<br />

successors and assigns any rights or remedies under<br />

or by reason of this Agreement.<br />

24. INDEPENDENT CONTRACTOR<br />

The relationship of <strong>CEI</strong> and <strong>EC</strong>-<strong>Council</strong> established by<br />

this Agreement is that of independent contractors. This<br />

Agreement does not give either party the power to<br />

direct or control the day to day activities of the other,<br />

constitute the parties as partners, joint ventures, coowners,<br />

principal-agent, franchiser-franchisee, or<br />

otherwise participants in a joint or common undertaking,<br />

or allow either party to create or assume any obligation<br />

on behalf of the other party for any purpose<br />

whatsoever.<br />

19. FORCE MAJEURE<br />

Neither <strong>CEI</strong> nor <strong>EC</strong>-<strong>Council</strong> shall be responsible for any<br />

delay in performance or failure to perform if caused by<br />

fire, flood, explosion, war, strike, embargo, government<br />

requirement, civil or military authority, act of God, or<br />

other similar causes beyond the parties' control and<br />

occurring without the fault or negligence ofF the<br />

delayed or non-performing party.<br />

20. DISPARAGING REMARKS<br />

Both parties agree that they will not make any<br />

disparaging remarks, whether orally or in writing, about<br />

<strong>EC</strong>-<strong>Council</strong> or the <strong>CEI</strong>, their subsidiaries and/or related<br />

entities, their products, services, officers, board of<br />

directors, managers, supervisors, and employees, to<br />

any persons whatsoever during the term of this<br />

agreement. The obligation under this paragraph<br />

includes, but is not limited to, refraining from making<br />

any disparaging, degrading or demeaning remarks or<br />

casting any aspersions on <strong>EC</strong>-<strong>Council</strong> or the <strong>CEI</strong> which<br />

might have a harmful effect on their reputations.<br />

21. GOVERNANCE<br />

In return for the assignment to teach the course<br />

previously specified in this contract, <strong>CEI</strong> acknowledges<br />

that the relationship with the <strong>EC</strong>-<strong>Council</strong> is governed by<br />

this agreement and that s/he will comply with the terms<br />

of this agreement.<br />

22. MATERIALS<br />

<strong>CEI</strong> agrees to utilize all <strong>EC</strong>-<strong>Council</strong> prescribed<br />

materials and texts and to verify current versions of<br />

materials and texts and courses prior to the first<br />

schedule of the course.<br />

23. COPYRIGHT<br />

<strong>CEI</strong> acknowledges that all <strong>EC</strong>-<strong>Council</strong> provided course<br />

materials and courses are copyrighted property of <strong>EC</strong>-<br />

<strong>Council</strong> and should be used only in the <strong>EC</strong>-<strong>Council</strong><br />

program.
