NAME, OBJECTS AND CODE OF ETHICS<br />

PART 1<br />

NAME<br />

1.1 The name <strong>of</strong> the Association shall be Canadian Pr<strong>of</strong>essional Golfers'<br />

Association.<br />

PART 2<br />

OBJECTS<br />

2.1 The objects <strong>of</strong> the Association are <strong>as</strong> follows:<br />

(a) to promote interest in the game <strong>of</strong> golf;<br />

(b) to advance and protect the mutual interest <strong>of</strong> its Members and<br />

Apprentices;<br />

(c) to hold golf tournaments;<br />

(d) to raise the standards <strong>of</strong> the Pr<strong>of</strong>essional Golfers' vocation;<br />

(e) to establish and maintain insurance and pension plans for its<br />

Members and Apprentices;<br />

(f) to <strong>as</strong>sist Members and Apprentices in need <strong>of</strong> help; and<br />

(g) to do any other act or thing for the benefit <strong>of</strong> its Members,<br />

Apprentices and the game <strong>of</strong> golf.<br />

PART 3<br />

CODE OF ETHICS<br />

3.1 Dedication<br />

Believing that the growth <strong>of</strong> the game <strong>of</strong> golf and its high standing in this<br />

country is largely due to the efforts <strong>of</strong> its early pr<strong>of</strong>essional exponents and<br />

because <strong>of</strong> their ideals <strong>of</strong> sportsmanship and ethical practices, the<br />

Association is dedicated to the perpetuation <strong>of</strong> those ideals. In the<br />

fulfillment <strong>of</strong> the purpose to which it is dedicated, the Association enjoins<br />

upon its Members and Non-Members rigid observance <strong>of</strong> a Code <strong>of</strong><br />

Ethics.<br />

3.2 Policy<br />

The term "Golf Pr<strong>of</strong>essional" or "Pr<strong>of</strong>essional Golfer" must be a synonym<br />

and pledge <strong>of</strong> honour, service and fair dealing. Pr<strong>of</strong>essional integrity,<br />

fidelity to the game <strong>of</strong> golf, and a sense <strong>of</strong> great responsibility to<br />

employers, employees, manufacturers, golfers and fellow pr<strong>of</strong>essionals<br />

transcend thought <strong>of</strong> material gain in the motives <strong>of</strong> the true Golf<br />

Pr<strong>of</strong>essionals or Pr<strong>of</strong>essional Golfers.<br />

3.3 Violations<br />

Members and Non-Members shall be deemed to have violated the Code<br />

<strong>of</strong> Ethics by:<br />

(a) Abusing the privileges extended to them, including by way <strong>of</strong><br />

example, playing without invitation <strong>of</strong> any golf course;<br />

(b) Causing public embarr<strong>as</strong>sment to fellow Golf Pr<strong>of</strong>essionals or<br />

Pr<strong>of</strong>essional Golfers;<br />

(c) Applying for or otherwise seeking, soliciting, discussing or<br />

accepting any employments in an unpr<strong>of</strong>essional manner. For greater<br />

clarity, unpr<strong>of</strong>essional manner may include, but shall not be limited to, the<br />

following:<br />

(i) Providing false or misleading information;<br />

(ii) Making slanderous comments;<br />

(iii) Attempting to persuade the staff <strong>of</strong> the Golf Pr<strong>of</strong>essional or<br />

Pr<strong>of</strong>essional Golfer to undermine the reputation, performance or<br />

ability to perform <strong>of</strong> the Golf Pr<strong>of</strong>essional or Pr<strong>of</strong>essional Golfer;<br />

(iv) Falsifying or tampering with the business records or financial<br />

information <strong>of</strong> the Golf Pr<strong>of</strong>essional or Pr<strong>of</strong>essional Golfer.<br />

3.4 Disciplinary Action<br />

Members or Non-Members who violate the Association’s Code <strong>of</strong> Ethics<br />

shall be subject to disciplinary action <strong>as</strong> set out in Part 18 <strong>of</strong> By-Law No.<br />

4, <strong>as</strong> the same may be amended from time to time.<br />

3.5 The Code <strong>of</strong> Ethics shall govern and be strictly adhered to by all Members<br />

and Non-Members at all times.<br />

3.6 All Members and non-Members shall abide by and comply with all the By-<br />

Laws <strong>of</strong> the Association.<br />

<strong>BY</strong>-LAW 2 - INTERPRETATION<br />

1.1 In this By-Law and all other By-Laws <strong>of</strong> the Association, unless the context<br />

otherwise specifies or requires:<br />

(a) "Act" means the Canada Corporations Act, Revised Statutes <strong>of</strong><br />

Canada, 1970, c.C-32. <strong>as</strong> amended, and every statute that may be<br />

substituted therefor and in the c<strong>as</strong>e <strong>of</strong> such amendment and<br />

substitution any references in the By-Laws <strong>of</strong> the Association shall<br />

be read <strong>as</strong> referring to the amended or substituted provisions<br />

therefor, from time to time in force and all amendments thereto<br />

made;<br />

"Actively Seeking Employment" means applications submitted for<br />

the position <strong>of</strong> Executive Pr<strong>of</strong>essional, Head Pr<strong>of</strong>essional,<br />

Teaching Pr<strong>of</strong>essional or Associate Pr<strong>of</strong>essional;<br />

"Affiliate Pr<strong>of</strong>essional" means a member who h<strong>as</strong> completed the<br />

Apprentice Training Program, p<strong>as</strong>sed the Association test and is<br />

retained or employed under agreement in one <strong>of</strong> the following<br />

capacities;<br />

1. "Golf Administrator" means a Member who is employed<br />

on a full-time b<strong>as</strong>is in a golf industry related position in<br />

management, ownership, consulting, operation and/or financing.<br />

2. "Golf Faculty" means a Member who is employed on a<br />

full-time b<strong>as</strong>is, in a C<strong>PGA</strong> recognized academic program to teach<br />

in golf related capacity at a C<strong>PGA</strong> recognized education institution<br />

or <strong>as</strong>sociation.<br />

3. "Golf Technician" means a Member who is employed on<br />

a full-time b<strong>as</strong>is in the business <strong>of</strong> club fitting/repair. A Golf<br />

Technician must be affiliated with a C<strong>PGA</strong> Approved Driving Range<br />

or a C<strong>PGA</strong> Approved Golf Course.<br />

4. "Golf Course Architect/Builder" means a Member who is<br />

employed on a full-time b<strong>as</strong>is in the design <strong>of</strong> golf courses <strong>as</strong> an<br />

architect or a Member who is employed on a full-time b<strong>as</strong>is in an<br />

ownership or management capacity <strong>as</strong> a golf course builder.<br />

5. "Golf Course Superintendent" means a Member who is<br />

employed on a full-time b<strong>as</strong>is in the management, operation and<br />

maintenance <strong>of</strong> a C<strong>PGA</strong> Approved Golf Course. These Members<br />

must satisfy the criteria <strong>of</strong> Golf Course Superintendent <strong>as</strong> defined<br />

by the Canadian Golf Course Superintendent’s Association.<br />

6. "Golf Media" means a member who is employed on a fulltime<br />

b<strong>as</strong>is in the reporting, editing, writing, commentating,<br />

broadc<strong>as</strong>ting or publishing <strong>of</strong> golf related publications in any form <strong>of</strong><br />

media.<br />

7. "Golf Manufacturer Management" means a Member who<br />

is employed on a full-time b<strong>as</strong>is in an executive, administrative or<br />

supervisory position with a golf industry manufacturer or golf<br />

industry distributor.<br />

8. "Golf Manufacturer Sales Representative" means a<br />

Member who is employed on a full-time b<strong>as</strong>is by one or more golf<br />

manufacturing or distribution companies involves in the wholesale<br />

and distribution <strong>of</strong> golf merchandise or golf related supplies to golf<br />

facilities, retail stores or other golf outlets.<br />

"Annual Meeting" means the annual meeting <strong>of</strong> Members held in<br />

accordance with the By-Laws;<br />

(e) "Application Forms" means the documents prescribed by the Board<br />

<strong>of</strong> Directors from time to time to be completed by every applicant for<br />

membership or apprenticeship in the Association;<br />

(f) "Apprentice" means a person who h<strong>as</strong> registered in the Apprentice<br />

Training Program and who h<strong>as</strong> not completed the Apprentice Training<br />

Program and who h<strong>as</strong> not p<strong>as</strong>sed the Association Test, and who is at<br />

le<strong>as</strong>t 18 years <strong>of</strong> age and h<strong>as</strong> a Secondary School Graduation Diploma or<br />

a provincially recognized equivalent;<br />

(g) "Apprentice Training Program" means educational or other<br />

programs established from time to time by the Board <strong>of</strong> Directors;<br />

(h) "Association" means the Canadian Pr<strong>of</strong>essional Golfers'<br />

Association;<br />

(i) "Associate Pr<strong>of</strong>essional" means a member employed <strong>as</strong> such by a<br />

Head Pr<strong>of</strong>essional, who h<strong>as</strong> completed the Apprentice Training Program;<br />

(j) "Association Test" means the written test prescribed and<br />

administered by the Board from time to time;<br />

(k) "Board <strong>of</strong> Directors" or "Board" means Members elected by the<br />

Members <strong>of</strong> a Zone to represent the Zone and to conduct the<br />

management <strong>of</strong> the Association in accordance with the By-Laws;<br />

(l) "By-Law or By-Laws" means any By-Law <strong>of</strong> the Association from<br />

time to time in force and effect;<br />

(m) "C.P.G.A. Approved Driving Range" means a golf driving range in<br />

Canada at which the golf shop is operated by a Teaching Pr<strong>of</strong>essional and<br />

h<strong>as</strong> a minimum <strong>of</strong> twelve hitting are<strong>as</strong> and a minimum size <strong>of</strong> fifty yards<br />

width by two hundred yards driving length <strong>of</strong> the driving area;<br />

(n) "C.P.G.A. Approved Golf Course" means a golf course in Canada<br />

with a minimum <strong>of</strong> nine holes and a minimum total playing length <strong>of</strong> 1,000<br />

yards at which the golf shop is operated by a Head Pr<strong>of</strong>essional or is<br />

being constructed and meets the requirements established by the Board<br />

from time to time. Only a "Head Pr<strong>of</strong>essional" may register at a "C.P.G.A.<br />

Approved Golf Course" under construction;<br />

(o) "C.P.G.A. Approved Teaching Centre" means an indoor facility that<br />

meets such requirements <strong>as</strong> may be determined by the Board <strong>of</strong> Directors<br />

from time to time;<br />

(p) "C.P.G.A. Nationally Conducted Tournaments" means any golfing<br />

competition organized, managed or directed by the Association and<br />

prescribed <strong>as</strong> such by the Board;<br />

(q) "C.P.G.A. Tournament Players' School" means the annual school<br />

held to qualify amateur golfers or Tournament Pr<strong>of</strong>essionals for<br />

membership in the National Association;<br />

(r) "Candidate" means an individual who is registered with and<br />

employed by a Head Pr<strong>of</strong>essional or Teaching Pr<strong>of</strong>essional and who h<strong>as</strong><br />

registered with the Zone Office but h<strong>as</strong> not yet p<strong>as</strong>sed the entry<br />

requirements for the Apprentice Training Program;<br />

(s) "Categories <strong>of</strong> Membership" shall mean such categories <strong>of</strong><br />

membership in the Association <strong>as</strong> may be established by the Board <strong>of</strong><br />

Directors from time to time;<br />

(t) "Code <strong>of</strong> Ethics" shall be the Code <strong>of</strong> Ethics set out in By-Law No.<br />

1, <strong>as</strong> the same may be amended from time to time;<br />

(u) "Executive Director" shall have the meaning set out in Part 8 <strong>of</strong> By-<br />

Law No. 4;<br />

(v) "Executive Pr<strong>of</strong>essional" means a Member who meets the<br />

requirements <strong>as</strong> an Executive Pr<strong>of</strong>essional <strong>as</strong> may be determined by the<br />

Board <strong>of</strong> Directors from time to time.<br />

(w) "Foreign Tournaments" means those competitions staged outside<br />

<strong>of</strong> Canada that are recognized or sanctioned by the Board;<br />

(x) "Golf Equipment and Merchandise" means golf related items for<br />

resale including golf clubs, balls, bags, umbrell<strong>as</strong> and clothing;<br />

(y) "Golf Pr<strong>of</strong>essional" means a Member who is a Head Pr<strong>of</strong>essional or<br />

Associate Pr<strong>of</strong>essional;<br />

(z ) "Head Pr<strong>of</strong>essional" means a member Retained <strong>as</strong> such under<br />

agreement to direct the golf activities at a C.P.G.A. Approved Golf Course.<br />

Golf activities include golf instruction, sale <strong>of</strong> golf equipment, and<br />

merchandise, club repairing and the servicing <strong>of</strong> members and clients;<br />

(aa) Head Teaching Pr<strong>of</strong>essional means the Teaching Pr<strong>of</strong>essional at a<br />

C.P.G.A. Approved Driving Range or C.P.G.A. Approved Teaching Centre<br />

who employs apprentices;<br />

(bb) "Honourary Director" means a person whether a Pr<strong>of</strong>essional<br />

Golfer or not, who h<strong>as</strong> been elected by unanimous vote <strong>of</strong> the Board in<br />

recognition <strong>of</strong> their outstanding services to the Association or the game <strong>of</strong><br />

golf;<br />

(cc) "Honourary Life Member" means a person, whether a Pr<strong>of</strong>essional<br />

Golfer or not, who h<strong>as</strong> been elected by unanimous vote <strong>of</strong> the Board in<br />

recognition <strong>of</strong> their outstanding services to the Association or the game <strong>of</strong><br />

golf;<br />

(dd) "Inactive" Member means a member who h<strong>as</strong> been placed in this<br />

category for disciplinary purposes ;<br />

(ee) "Life" Member means a member who h<strong>as</strong> met the requirements <strong>of</strong><br />

the Life category <strong>as</strong> established by the Board from time to time;<br />

(ff) "Majority Votes" means a majority <strong>of</strong> the votes c<strong>as</strong>t;<br />

(gg) "M<strong>as</strong>ter Pr<strong>of</strong>essional" means a member who h<strong>as</strong> met the<br />

requirements <strong>of</strong> the M<strong>as</strong>ter Pr<strong>of</strong>essional category <strong>as</strong> established by the<br />

Board from time to time;<br />

(hh) "Member" means a Member <strong>of</strong> the Association in good standing<br />

and shall consist <strong>of</strong> such cl<strong>as</strong>ses <strong>of</strong> Members <strong>as</strong> may be established by<br />

the Board <strong>as</strong> Categories <strong>of</strong> Membership;<br />

(ii) "Minister" means the Minister <strong>of</strong> Industry;<br />

(jj) "National Association" also means Association;<br />

(kk) "Non-Resident" Member means a member who h<strong>as</strong> met the<br />

requirements <strong>of</strong> the Non Resident category <strong>as</strong> established by the Board<br />

from time to time;<br />

(ll) "Non-Members" shall be those cl<strong>as</strong>ses <strong>of</strong> Non-Members that may<br />

be established by the Board <strong>as</strong> Categories <strong>of</strong> Membership;<br />

(mm) "Non Pr<strong>of</strong>essional Staff" means any employee <strong>of</strong> a Head<br />

Pr<strong>of</strong>essional Retained or Employed <strong>as</strong> such who is not a Member or<br />

Apprentice;<br />

(nn) "Official Prize Money" means the money won in a Tournament,<br />

excluding any amounts won in pro-ams, bonus tournaments or other<br />

monetary bonuses;<br />

(oo) "Participating <strong>as</strong> Such" means the act <strong>of</strong> playing in Tournaments <strong>as</strong><br />

a Tournament Pr<strong>of</strong>essional;<br />

(pp) "Pr<strong>of</strong>essional Golfer" means a member who is a Tournament<br />

Pr<strong>of</strong>essional or Golf Pr<strong>of</strong>essional;<br />

(qq) "Retained or Employed - Member" means continuously retained<br />

and employed on a full-time b<strong>as</strong>is, working at a C.P.G.A. Approved Golf<br />

Course, C.P.G.A. Approved Driving Range or a C.P.G.A. Approved<br />

Teaching Centre. "Full time" shall mean working not less than an average<br />

<strong>of</strong> thirty-five hours per week at that facility in the generally accepted<br />

golfing se<strong>as</strong>on for that geographical location;<br />

(rr) "Retained or Employed - Apprentice" means continuously retained<br />

or employed on a full-time b<strong>as</strong>is and paid by the Golf Pr<strong>of</strong>essional or the<br />

club, spending at le<strong>as</strong>t 50 percent <strong>of</strong> their time engaged in the duties <strong>of</strong> an<br />

Apprentice which includes, but is not limited to, such matters <strong>as</strong> teaching<br />

golf, club repair, merchandising, inventory control and tournament<br />

operations at a C.P.G.A. Approved Golf Course, C.P.G.A. Approved<br />

Driving Range, or C.P.G.A. Approved Teaching Centre. "Full-time" shall<br />

mean working not less than an average <strong>of</strong> thirty-five hours per week at<br />

that facility in the generally accepted golfing se<strong>as</strong>on for that geographical<br />

location.;<br />

(ss) "Retired" Member means a member who h<strong>as</strong> met the requirements<br />

<strong>of</strong> the Retired category <strong>as</strong> established by the Board from time to time;<br />

(tt) "Rules and Regulations" means the rules and regulations governing<br />

the Members <strong>of</strong> the Corporation, <strong>as</strong> the same may be enacted, amended<br />

and enforced by the Board <strong>of</strong> Directors from time to time;<br />

(uu) "Se<strong>as</strong>on" means the period <strong>of</strong> time comprising the generally<br />

accepted golfing se<strong>as</strong>on for that geographic location;<br />

(vv) "Stipulated Due Date" means November first <strong>of</strong> any year, unless<br />

otherwise stated in the By-Laws;<br />

(ww) "Teaching Pr<strong>of</strong>essional" means a member who h<strong>as</strong> completed the<br />

Apprentice Training Program and p<strong>as</strong>sed the Association Test and is<br />

retained or employed under agreement to direct the golf activities at a<br />

C.P.G.A. Approved Driving Range or C.P.G.A. Approved Teaching Centre<br />

or instructing golf at a C.P.G.A. Approved Golf Course for the generally<br />

accepted golfing se<strong>as</strong>on for that geographic location. Teaching<br />

Pr<strong>of</strong>essionals employed or retained at a C.P.G.A. Approved Driving<br />

Range or C.P.G.A. Approved Teaching Centre may employ Apprentices.<br />

(xx) "Tournament" means a golfing competition, either medal or match<br />

play <strong>of</strong> a minimum <strong>of</strong> 36 holes sanctioned or recognized by the<br />

Association or a Zone <strong>as</strong> such;<br />

(yy) "Tournament Pr<strong>of</strong>essional" means any pr<strong>of</strong>essional holding a<br />

current card from a Tour recognized by the Board from time to time;<br />

(zz) "Tournament Pr<strong>of</strong>essional Apprentice Training Program" means<br />

educational or other programs established from time to time by the Board<br />

<strong>of</strong> Directors;<br />

(aaa) "Unattached" Member means a member who is unemployed and<br />

h<strong>as</strong> met the requirements <strong>of</strong> the Unattached category <strong>as</strong> established by<br />

the Board from time to time;<br />

(bbb) "Voting Members" means Members <strong>of</strong> the Association and Life and<br />

M<strong>as</strong>ter Pr<strong>of</strong>essionals;<br />

(ccc) "Year" unless otherwise stipulated, means the twelve-month period<br />

from January 1st to December 31st;<br />

(ddd) "Zone" or "Zone Association" means the local area Association<br />

formed pursuant to the By-Laws;<br />

(eee) "Zone Board" means the Board <strong>of</strong> Directors <strong>of</strong> a Zone Association;<br />

1.2 In this part and all other parts <strong>of</strong> the By-Laws, unless the context<br />

otherwise requires, words importing the singular include the plural and<br />

vice versa, and words importing male persons include female persons.<br />

MEMBERSHIP<br />

1.1 The membership <strong>of</strong> the Association shall consist <strong>of</strong> the following<br />

categories <strong>of</strong> Members and Non-Members:<br />

1.2 The Board shall from time to time enact the requirements for each <strong>of</strong> the<br />

Categories <strong>of</strong> Membership, and may make such changes to the<br />

Categories <strong>of</strong> Membership, <strong>as</strong> they may deem necessary or advisable.<br />

1.3 The Board shall from time to time enact Rules and Regulations, and may<br />

make such changes to the Rules and Regulations, <strong>as</strong> they deem<br />

necessary or advisable.<br />

1.4 The Association shall make available to each Director and Member a copy<br />

<strong>of</strong> the description <strong>of</strong> the Categories <strong>of</strong> Membership and a copy <strong>of</strong> the<br />

Rules and Regulations <strong>of</strong> the Association <strong>as</strong> the same may be amended<br />

from time to time by either mailing a copy to each director or Member at<br />

their l<strong>as</strong>t known address or by publishing the same in the Association’s<br />

magazine.<br />

1.5 The following General Category Rules and General Rules <strong>of</strong> the<br />

Association shall apply:<br />

GENERAL CATEGORY RULES<br />

1. A Member or Apprentice whose qualifications for a particular category<br />

have changed at anytime during the Year, for any re<strong>as</strong>on, must advise his<br />

Zone within 30 days <strong>of</strong> such a change, and the Zone Board shall recl<strong>as</strong>sify<br />

the Member or Apprentice. Failure to report any change in qualification<br />

within 30 days shall result in a fine to be determined from time to time by<br />

the Board or loss <strong>of</strong> membership or apprenticeship.<br />

2. All Members or Apprentices shall be placed in a membership or<br />

apprenticeship category by the Zone Board, subject to Board approval, in<br />

accordance with the categories established. The respective Zone Boards<br />

shall have sole jurisdiction over membership or apprenticeship application.<br />

3. A Golf Pr<strong>of</strong>essional <strong>of</strong> foreign citizenship who is a paid up member in a<br />

recognized foreign <strong>PGA</strong> and who h<strong>as</strong> been employed or retained at a<br />

C<strong>PGA</strong> Approved Golf Course, C<strong>PGA</strong> Approved Driving Range or C<strong>PGA</strong><br />

Approved Teaching centre may apply to the National Board for<br />

membership or apprenticeship in the C<strong>PGA</strong>. He shall successfully<br />

complete the C<strong>PGA</strong> Entrance Requirements and all other C<strong>PGA</strong><br />

requirements applicable to the category decided upon by the National<br />

Board. Upon successful completion <strong>of</strong> the above and approval by the<br />

Zone Board he shall then be placed in the membership or apprenticeship<br />

category determined by the National Board. Such membership or<br />

apprenticeship category in the C<strong>PGA</strong> will not be higher than that held by<br />

the Golf Pr<strong>of</strong>essional in the recognized foreign <strong>PGA</strong>.<br />

4. Only Members may hold <strong>of</strong>fice <strong>as</strong> an Officer or Director <strong>of</strong> the Association<br />

with the exception that one Tournament Pr<strong>of</strong>essional shall be elected<br />

annually <strong>as</strong> a Director by the other Tournament Pr<strong>of</strong>essional Members.<br />

5. All Members or Apprentices shall be entitled to attend the Annual Meeting<br />

or General Meetings <strong>of</strong> the Association but only Voting Members may vote<br />

on any subject.<br />

6. A Member or Apprentice who is transferred from one category to another<br />

and whose transfer required the payment <strong>of</strong> additional dues shall be billed<br />

for such difference at the time <strong>of</strong> transfer and shall pay such difference<br />

prior to being accepted in the new category.<br />

7. A maximum <strong>of</strong> two Apprentices for each nine holes up to a maximum <strong>of</strong><br />

four Apprentices for each facility may be retained or employed at a<br />

C.P.G.A. Approved Golf Course. A maximum <strong>of</strong> one apprentice for each<br />

15 tees and a maximum <strong>of</strong> four apprentices per facility may be retained or<br />

employed at a C.P.G.A. Approved Driving Range or C.P.G.A. Approved<br />

Teaching Centre. The Head Pr<strong>of</strong>essional or Teaching Pr<strong>of</strong>essional may<br />

make application to the Zone Board to exceed the maximums and the<br />

Zone Board in consultation with the Board may approve the application.<br />

GENERAL RULES<br />

1. No Member or Apprentice shall abuse the privileges usually extended to<br />

Members or Apprentices by playing without invitation or in any way<br />

causing embarr<strong>as</strong>sment to the resident Golf Pr<strong>of</strong>essional.<br />

2. Every Member or Apprentice shall discharge his financial obligations and<br />

liabilities <strong>as</strong> they fall due. A Member or Apprentice failing to meet his<br />

financial obligations or issuing a NSF cheque shall be liable for<br />

suspension.<br />

3. Any Member or Apprentice convicted for an <strong>of</strong>fence under the Criminal<br />

Code shall be liable for suspension.<br />

4. A Member may not use the words "Canadian Pr<strong>of</strong>essional Golfers'<br />

Association", "C<strong>PGA</strong>" or the C<strong>PGA</strong> logo for any advertising, display,<br />

promotion or for other such purposes outside <strong>of</strong> his own C<strong>PGA</strong> Approved<br />

Golf Course, C<strong>PGA</strong> Approved Driving Range or C<strong>PGA</strong> Approved<br />

Teaching Centre without the written permission <strong>of</strong> the Board.<br />

5. No Member or Apprentice shall allow the use <strong>of</strong> his name, likeness or<br />

statements in such a manner <strong>as</strong> to misrepresent Golf Equipment or<br />

Merchandise.<br />

6. Any Member, former Member, Apprentice or former Apprentice <strong>of</strong> the<br />

Association who applies for reinstatement <strong>as</strong> an amateur or who<br />

participates in any amateur event shall lose all service or experience credit<br />

acquired prior to such application or participation.<br />

7. All Zones will follow the procedures <strong>as</strong> outlined below in reporting all<br />

changes (address, zone, category or otherwise);<br />

(i) Notification must be made in writing to the current Zone Office by<br />

the Member or Apprentice wishing to make the change.<br />

(ii) If the change meets with the Zone Membership Committee's<br />

approval, then the Zone Office will update the national datab<strong>as</strong>e <strong>of</strong> the<br />

Association with respect to any change.<br />

PART 1<br />

DIRECTORS<br />

1.1 The Board <strong>of</strong> Directors <strong>of</strong> the Association shall consist <strong>of</strong> thirteen<br />

directors, the Board to be composed <strong>of</strong> the following:<br />

(a) Nine Members one from each Zone Association;<br />

(b) One Tournament Player to be elected by the Tournament Players;<br />

and<br />

(c) Three Members to be appointed by their Zone Board with no more<br />

than one from any one Zone upon the election <strong>of</strong> the President,<br />

Vice-President and Secretary pursuant to Article 1.3 <strong>of</strong> By-Law 4.<br />

1.2 The directors elected by each Zone shall be elected by a majority <strong>of</strong> the<br />

Members <strong>of</strong> the Zone in question prior to the Annual Meeting at which<br />

they take <strong>of</strong>fice. Any Cl<strong>as</strong>s A member is eligible for election by his Zone<br />

<strong>as</strong> a director, provided he h<strong>as</strong> been a Cl<strong>as</strong>s A member in the Zone<br />

concerned in the immediately preceding Year.<br />

1.3 Upon the election <strong>of</strong> the President, the Vice-President and Secretary <strong>of</strong><br />

the Association in accordance with Article 7.1 <strong>of</strong> By-Law No. 4, the Board<br />

<strong>of</strong> the Zone which elected the <strong>of</strong>ficer <strong>as</strong> a director shall be entitled to<br />

appoint one <strong>of</strong> its Members <strong>as</strong> a director pursuant to Article 1.1(c) <strong>of</strong> By-<br />

Law No. 4 provided the Member so appointed h<strong>as</strong> been a Member in the<br />

Zone concerned in the immediately preceding Year. Any director so<br />

appointed may only be appointed until the next Annual Meeting <strong>of</strong><br />

Members, at which he must be elected <strong>as</strong> a Director in accordance with<br />

Article 1.2 <strong>of</strong> By-Law No. 4 to be entitled to remain <strong>as</strong> a Director.<br />

1.4 The immediate P<strong>as</strong>t-President shall be an ex-<strong>of</strong>ficio member <strong>of</strong> the Board<br />

with the right to attend all meetings but not the right to vote.<br />

PART 2<br />

ELECTION AND REMOVAL OF DIRECTORS<br />

2.1 At the dissolution or adjournment <strong>of</strong> each Annual Meeting <strong>of</strong> the<br />

Association, all the directors shall retire and the new directors elected or<br />

appointed pursuant to Article 1.1 <strong>of</strong> By-Law 4 shall take <strong>of</strong>fice for the<br />

ensuing year.<br />

2.2 A retiring director shall be eligible for re-election by his Zone.<br />

2.3 Except <strong>as</strong> otherwise provided herein or <strong>as</strong> provided in Article 1.3 <strong>of</strong> By-<br />

Law No. 4, where the Members <strong>of</strong> a Zone fail to elect its director prior to<br />

an Annual Meeting, the director elected by such Zone then in <strong>of</strong>fice shall<br />

be deemed to have been elected or appointed <strong>as</strong> that Zone's director for<br />

the ensuing year and shall remain in <strong>of</strong>fice until such Zone appoints or<br />

elects its director or until the day on which the next Annual Meeting is<br />

held, whichever shall l<strong>as</strong>t occur. Notwithstanding the foregoing, if the<br />

Members <strong>of</strong> a Zone fail to elect its director, the Association may conduct<br />

the election <strong>of</strong> a Zone director at the expense <strong>of</strong> the Zone Board.<br />

2.4 The directors shall have the power at any time and from time to time to<br />

appoint one or more Members <strong>as</strong> a director to fill a c<strong>as</strong>ual vacancy on the<br />

Board, provided such appointment complies with the provisions <strong>of</strong> Article<br />

1.1 <strong>of</strong> By-Law 4. Any director so appointed shall hold <strong>of</strong>fice only until the<br />

conclusion <strong>of</strong> the next following Annual Meeting, but shall be eligible for<br />

re-election by his Zone.<br />

2.5 The <strong>of</strong>fice <strong>of</strong> the director shall be vacated if the director:<br />

(a) dies<br />

(b) resigns his <strong>of</strong>fice by notice in writing delivered to the head <strong>of</strong>fice <strong>of</strong><br />

the Association and his Zone;<br />

(c) ce<strong>as</strong>es to be qualified to act <strong>as</strong> a director pursuant to the Act or the<br />

By-Laws; or;<br />

(d) is removed by the votes <strong>of</strong> two-thirds (2/3) <strong>of</strong> the Voting Members<br />

at a properly called and constituted Annual or General Meetings <strong>of</strong><br />

Members.<br />

2.6 A retiring director shall remain in <strong>of</strong>fice until the dissolution or adjournment<br />

<strong>of</strong> the Annual Meeting at which his successor takes <strong>of</strong>fice. A director shall<br />

hold <strong>of</strong>fice until the next Annual Meeting following that at which he takes<br />

<strong>of</strong>fice.<br />

PART 3<br />

POWERS AND DUTIES OF DIRECTORS<br />

3.1 The Board <strong>of</strong> Directors shall manage or supervise the management <strong>of</strong> the<br />

affairs and the property <strong>of</strong> the Association, and make or cause to be made<br />

for the Association, in its name, any kind <strong>of</strong> contract which the Association<br />

may lawfully enter into and generally may exercise all other powers and<br />

do all other things which the Association is by its charter or otherwise<br />

authorized to exercise and do except those things specifically required to<br />

be done by the Association in General Meeting. The Board shall also<br />

establish the Categories <strong>of</strong> Membership and Rules and Regulations to be<br />

adhered to by the Members and Non-Members <strong>of</strong> the Association.<br />

PART 4<br />

PROCEEDINGS OF DIRECTORS<br />

4.1 The President shall preside <strong>as</strong> Chairman at all meetings <strong>of</strong> the Board, and<br />

in the absence <strong>of</strong> the President, the directors present shall choose one <strong>of</strong><br />

their number to be the Chairman <strong>of</strong> the Meeting. The Chairman at any<br />

meeting <strong>of</strong> the Board shall not vote save in the event <strong>of</strong> a tie in which c<strong>as</strong>e<br />

the Chairman shall have a c<strong>as</strong>ting vote.<br />

4.2 The directors may meet together for the dispatch <strong>of</strong> business, adjourn and<br />

otherwise regulate their meetings, <strong>as</strong> they deem fit. Questions arising at<br />

any meeting shall be decided by a majority <strong>of</strong> votes.<br />

4.3 If all Directors <strong>of</strong> the Corporation, or <strong>of</strong> the Committee <strong>of</strong> the Board (<strong>as</strong> the<br />

c<strong>as</strong>e requires) consent thereto generally or in respect <strong>of</strong> a particular<br />

meeting and each h<strong>as</strong> adequate access, Directors may participate in a<br />

meeting <strong>of</strong> the Board or <strong>of</strong> a Committee <strong>of</strong> the Board by means <strong>of</strong> such<br />

conference telephone or other communications facilities <strong>as</strong> permit all<br />

persons participating in the meeting to hear each other, and a Director<br />

participating is such a meeting by such means is deemed to be present at<br />

the meeting; provided further that at the outset <strong>of</strong> each meeting, the Chair<br />

<strong>of</strong> the meeting shall call roll to establish quorum and whenever votes are<br />

required, and unless a majority <strong>of</strong> the Directors present at such meeting<br />

otherwise require, adjourn the meeting to a predetermined date, time and<br />

place whenever not satisfied that the proceedings <strong>of</strong> the meeting may<br />

proceed with adequate security and confidentiality.<br />

4.4 Seven directors shall constitute a quorum for the transaction <strong>of</strong> business<br />

at any meeting <strong>of</strong> the Board <strong>of</strong> Directors.<br />

4.5 Subject to the provisions <strong>of</strong> the Act, all acts performed at any meeting <strong>of</strong><br />

the directors or <strong>of</strong> a committee <strong>of</strong> directors, or by any person acting <strong>as</strong> a<br />

director, shall, notwithstanding that it be afterwards discovered that there<br />

w<strong>as</strong> some defect in the qualification, election or appointment <strong>of</strong> any such<br />

directors or <strong>of</strong> the members <strong>of</strong> such committee or person acting <strong>as</strong><br />

aforesaid, or that they or any <strong>of</strong> them were disqualified, be <strong>as</strong> valid <strong>as</strong> if<br />

every such person had been duly elected or appointed and w<strong>as</strong> qualified<br />

to be a director.<br />

4.6 The continuing directors may act notwithstanding any vacancy in their<br />

body, but, if and so long <strong>as</strong> their number is reduced below the number<br />

fixed by or pursuant to these By-Laws <strong>as</strong> the necessary quorum <strong>of</strong><br />

directors, the continuing directors or director may act for the purpose <strong>of</strong><br />

filling the vacancies up to that number, or for the purpose <strong>of</strong> summoning a<br />

General Meeting <strong>of</strong> the Association, but for no other purpose.<br />

4.7 Meetings <strong>of</strong> the Board <strong>of</strong> Directors may be called at any time by order <strong>of</strong><br />

the President or any three directors, and notice specifying the place, day<br />

and hour <strong>of</strong> such meeting shall be served upon each <strong>of</strong> the directors or left<br />

at, mailed to, postage prepaid, or sent by telecommunication, addressed<br />

to each <strong>of</strong> the directors at his address <strong>as</strong> it appears on the books <strong>of</strong> the<br />

Association at le<strong>as</strong>t seven days prior to the time fixed for the meeting.<br />

Any meeting so called shall be held at the head <strong>of</strong>fice <strong>of</strong> the Association or<br />

such other place <strong>as</strong> determined by a majority <strong>of</strong> the directors.<br />

4.8 No Member, Director or <strong>of</strong>ficer <strong>of</strong> the Association other than the Executive<br />

Director or any <strong>of</strong>ficer appointed by the Board pursuant to these By-Laws<br />

shall receive any remuneration or compensation from the Association.<br />

The remuneration <strong>of</strong> the Executive Director and any <strong>of</strong>ficer so appointed<br />

shall be fixed from time to time by the Board <strong>of</strong> Directors.<br />

PART 5<br />

DISCLOSURE OF INTEREST OF DIRECTORS<br />

5.1 Subject to this Part, it is the duty <strong>of</strong> a director who is in any way, whether<br />

directly or indirectly, interested in a contract or proposed contract with the<br />

Association to declare his interest at a meeting <strong>of</strong> the Board.<br />

5.2 In the c<strong>as</strong>e <strong>of</strong> a proposed contract the declaration required by this Part to<br />

be made by a director shall be made at a meeting <strong>of</strong> directors at which the<br />

question <strong>of</strong> entering into the contract is first taken into consideration, or, if<br />

the director is not at the date <strong>of</strong> that meeting interested in the proposed<br />

contract, at the next meeting <strong>of</strong> the directors held after he becomes so<br />

interested, and, in a c<strong>as</strong>e where the director becomes interested in a<br />

contract after it is made, the declaration shall be made at the first meeting<br />

<strong>of</strong> directors held after the director becomes so interested.<br />

5.3 For the purpose <strong>of</strong> this Part, a general notice given to the directors <strong>of</strong> the<br />

Association by a director to the effect that he is a shareholder <strong>of</strong> or<br />

otherwise interested in any other Company or is a member <strong>of</strong> a specified<br />

firm and is to be regarded <strong>as</strong> interested in any contract made with such<br />

other company or firm shall be deemed to be sufficient declaration <strong>of</strong><br />

interest in relation to any contract so made.<br />

5.4 No director shall vote in respect <strong>of</strong> any contract or proposed contract in<br />

which he is so interested <strong>as</strong> aforesaid and if he does so vote his vote shall<br />

not be counted.<br />

5.5 A director who h<strong>as</strong> made a declaration <strong>of</strong> his interest in a contract or<br />

proposed contract in compliance with this part and h<strong>as</strong> not voted in<br />

respect <strong>of</strong> such contract is not accountable to the Association or any <strong>of</strong> its<br />

Members or creditors by re<strong>as</strong>on only <strong>of</strong> such director holding that <strong>of</strong>fice or<br />

<strong>of</strong> the fiduciary relationship thereby established or any pr<strong>of</strong>it realized by<br />

such contract.<br />

5.6 For the purpose <strong>of</strong> this Part "contract" includes "arrangement" and<br />

"meeting <strong>of</strong> directors" includes a meeting <strong>of</strong> the Executive Committee<br />

elected in accordance with the By-Laws.<br />

5.7 Nothing in this Part imposes any liability upon a director in respect <strong>of</strong> a<br />

Members at a General Meeting called for that purpose.<br />

PART 6<br />

EXECUTIVE AND OTHER COMMITTEES<br />

6.1 The directors may elect an Executive Committee pursuant to Article 6.2 <strong>of</strong><br />

By-Law No. 4 and which, if established, shall consist <strong>of</strong> a minimum <strong>of</strong><br />

three (3) directors, which Committee shall have, and may exercise during<br />

the intervals between the meetings <strong>of</strong> the Board, all the powers vested in<br />

the Board except the power to enact or amend by-laws, fill vacancies in<br />

the Board, the power to change the membership <strong>of</strong>, or fill the vacancies in,<br />

said Committee or any other Committee <strong>of</strong> the Board and such other<br />

powers, if any, <strong>as</strong> may be specified by the Board.<br />

6.2 Any business conducted or decisions made by the Executive Committee is<br />

subject to the approval <strong>of</strong> the Board at its next scheduled Board meeting.<br />

6.3 The Executive Committee shall keep regular minutes <strong>of</strong> its transactions<br />

and shall cause them to be recorded in the books kept for that purpose,<br />

and shall report the same to the Board <strong>of</strong> Directors at the next meeting <strong>of</strong><br />

the Board following any such meeting <strong>of</strong> the Executive Committee or at<br />

such other times <strong>as</strong> the Board <strong>of</strong> Directors may from time to time require.<br />

The Board shall have the power at any time to revoke or over-ride the<br />

authority given to acts done by the Executive Committee except <strong>as</strong> to acts<br />

done before such revocation or over-riding and to remove any member <strong>of</strong><br />

such Committee and to fill vacancies in it. The Executive Committee may<br />

make rules for the conduct <strong>of</strong> its business and may appoint such<br />

<strong>as</strong>sistants, <strong>as</strong> it may deem necessary. Three (3) members <strong>of</strong> the<br />

Executive Committee shall constitute a quorum there<strong>of</strong>.<br />

6.4 The directors may appoint such other Committees to perform such<br />

business or undertakings <strong>as</strong> may be designated by the Board. Such other<br />

Committees shall keep minutes <strong>of</strong> its meetings and report same to the<br />

next regular meeting <strong>of</strong> the Board provided that, the extent <strong>of</strong> the powers<br />

<strong>of</strong> such Committees shall be clearly defined by resolution <strong>of</strong> the Board and<br />

the actions <strong>of</strong> such Committee shall not be binding upon the Corporation<br />

without the approval <strong>of</strong> the Board.<br />

6.5 The Executive Committee and any other committee may meet and<br />

adjourn, <strong>as</strong> it thinks proper. Questions arising at any meeting shall be<br />

determined by a majority <strong>of</strong> votes <strong>of</strong> the members <strong>of</strong> the committee<br />

present, and in the c<strong>as</strong>e <strong>of</strong> an equality <strong>of</strong> votes the Chairman shall not<br />

have a second or c<strong>as</strong>ting vote.<br />

6.6 The Executive Director shall be an ex-<strong>of</strong>ficio Member <strong>of</strong> all Committees <strong>of</strong><br />

the Board, but shall not have the right to vote on any questions or<br />

resolution <strong>of</strong> any such Committees.<br />

PART 7<br />

OFFICERS<br />

7.1 The <strong>of</strong>ficers <strong>of</strong> the Association shall be the President, the Vice-President,<br />

and the Secretary, each <strong>of</strong> who shall be elected at the Annual Meeting <strong>of</strong><br />

Members by a majority <strong>of</strong> votes c<strong>as</strong>t in respect <strong>of</strong> such election. No two<br />

<strong>of</strong>ficers may be Members <strong>of</strong> the same Zone.<br />

7.2 The <strong>of</strong>ficers <strong>of</strong> the Association shall hold <strong>of</strong>fice until the next Annual<br />

Meeting <strong>of</strong> Members or until their successors are duly elected or<br />

appointed.<br />

7.3 Only those directors who have been a director for at le<strong>as</strong>t two consecutive<br />

years and an Officer <strong>of</strong> the Association in the immediately preceding Year<br />

are eligible for election <strong>as</strong> the President. He shall preside at all meetings<br />

<strong>of</strong> the Board <strong>of</strong> Directors, carry out the decisions and policies <strong>of</strong> the<br />

Annual Meeting and exercise a general control <strong>of</strong> and supervision over the<br />

affairs <strong>of</strong> the Association. He shall have a c<strong>as</strong>ting vote at all meetings <strong>of</strong><br />

the Board <strong>of</strong> Directors. The President shall not hold any other <strong>of</strong>fice with<br />

the Association while he is President.<br />

7.4 Only a director who h<strong>as</strong> been a director <strong>of</strong> the Association for at le<strong>as</strong>t two<br />

consecutive Years shall be eligible for election <strong>as</strong> the Vice-President. The<br />

Vice-President shall generally <strong>as</strong>sist the President in his duties and shall<br />

perform such other duties <strong>as</strong> shall from time to time be imposed upon him<br />

by the Board. In c<strong>as</strong>e <strong>of</strong> absence or disability <strong>of</strong> the President, the Vice-<br />

President shall exercise the powers and perform the duties <strong>of</strong> the<br />

President and in the event that the <strong>of</strong>fice <strong>of</strong> the President should become<br />

vacant, the Vice-President shall become President and <strong>as</strong>sume all <strong>of</strong> the<br />

rights, duties and obligations <strong>of</strong> the President.<br />

7.5 Any director who h<strong>as</strong> been a director <strong>of</strong> the Association for at le<strong>as</strong>t two<br />

consecutive Years shall be eligible for election <strong>as</strong> the Secretary. The<br />

Secretary shall perform such duties <strong>as</strong> shall from time to time be imposed<br />

upon him by the Board.<br />

7.6 The Board may from time to time appoint any other employee <strong>of</strong> the<br />

Association, who shall <strong>as</strong>sume such duties and be paid such<br />

remuneration <strong>as</strong> may be determined by the Board.<br />

8.1 The Board shall appoint a Executive Director on such terms and at such<br />

remuneration <strong>as</strong> the Board sees fit, who shall perform the duties set out in<br />

these By-Laws, subject always to the authority <strong>of</strong> the Board.<br />

8.2 The Executive Director shall be the Executive Director <strong>of</strong> the Association<br />

and shall attend all meetings <strong>of</strong> the Board and all meetings <strong>of</strong> the<br />

Members and shall record all votes and minutes <strong>of</strong> all proceedings at such<br />

meetings in the books to be kept for that purpose. Copies <strong>of</strong> all minutes <strong>of</strong><br />

all Annual Meetings or General Meetings <strong>of</strong> the Association and <strong>of</strong> all<br />

meetings <strong>of</strong> the Board <strong>of</strong> Directors shall be distributed to all members <strong>of</strong><br />

the Board promptly after the holding <strong>of</strong> such meetings.<br />

8.3 The Executive Director shall issue all notices <strong>of</strong> meetings, conduct and<br />

preserve correspondence received and dispatched by the Association and<br />

make the same available for inspection by the <strong>of</strong>ficers and directors <strong>of</strong> the<br />

Association at any time.<br />

8.4 The Executive Director shall keep and preserve all necessary books <strong>of</strong> the<br />

Association. He shall collect all annual dues, <strong>as</strong>sessments or other<br />

monies payable to the Association and shall deposit the same in a<br />

chartered bank to be selected by the Board.<br />

8.5 The Executive Director shall have custody <strong>of</strong> the seal <strong>of</strong> the Association,<br />

which he shall deliver only when authorized by a resolution <strong>of</strong> the Board to<br />

do so and to such person or persons <strong>as</strong> may be named in the resolution.<br />

8.6 The Executive Director shall receive and verify for payment all accounts<br />

payable by the Association for any purpose whatsoever and shall disburse<br />

the funds <strong>of</strong> the Association <strong>as</strong> may be ordered by the Board. All cheques<br />

<strong>of</strong> the Association in excess <strong>of</strong> an amount to be determined from time to<br />

time by the Board shall be countersigned by an <strong>of</strong>ficer or such other<br />

person <strong>as</strong> the Board determines from time to time.<br />

8.7 The Executive Director shall be responsible for the procurement and<br />

maintenance <strong>of</strong> all insurance on behalf <strong>of</strong> the Members and Apprentices<br />

under any insurance plan operated by the Association. He shall have<br />

power to cancel the insurance <strong>of</strong> any Member or Apprentice when the<br />

Member or Apprentice becomes sixty days in arrears in payment <strong>of</strong> the<br />

premium or <strong>as</strong>sessments due in respect <strong>of</strong> such insurance.<br />

8.8 The Executive Director shall prepare and supply to the Board interim<br />

financial statements <strong>as</strong> required showing the true state <strong>of</strong> the<br />

Association's financial position. The Executive Director shall submit all<br />

books <strong>of</strong> account, bankbooks, cheques, vouchers or other records to the<br />

auditor appointed by the Association for the purpose <strong>of</strong> preparation <strong>of</strong> the<br />

auditor's report and financial statement for each fiscal year.<br />

8.9 The Executive Director shall provide a suretyship or other fidelity bond<br />

from a licensed insurance company in favour <strong>of</strong> the Association in such<br />

amounts <strong>as</strong> shall be determined by the Board.<br />

8.10 The Executive Director shall, upon demand being made pursuant to a<br />

resolution <strong>of</strong> the Board, deliver all the books, records, correspondence<br />

and other papers belonging to or pertaining to the affairs <strong>of</strong> the<br />

Association together with the seal <strong>of</strong> the Association to such person <strong>as</strong><br />

shall be designated in the resolution.<br />

8.11 The Executive Director shall be an ex-<strong>of</strong>ficio Member <strong>of</strong> all Committees <strong>of</strong><br />

the Board, but shall not have the right to vote on any question or<br />

resolution <strong>of</strong> any such Committee.<br />

8.12 The Executive Director shall have such other duties <strong>as</strong> may be set out in<br />

any employment contract in force or <strong>as</strong> may be imposed by the Board <strong>of</strong><br />

Directors.<br />

PART 9<br />

INDEMNITY OF DIRECTORS AND OFFICERS<br />

9.1 No director or <strong>of</strong>ficer <strong>of</strong> the Association shall be liable for the acts,<br />

receipts, neglects or defaults <strong>of</strong> any other director or <strong>of</strong>ficer, or for joining<br />

in any receipts or other act for conformity, or for any loss or expense<br />

happening to the Association through the insufficiency or deficiency <strong>of</strong> any<br />

security in or upon which any <strong>of</strong> the monies <strong>of</strong> the Association shall be<br />

invested, or for any loss or damage arising from the bankruptcy,<br />

insolvency or wrongful act <strong>of</strong> any person with whom any <strong>of</strong> the monies,<br />

securities or effects <strong>of</strong> the Association shall be deposited, or for any loss<br />

occ<strong>as</strong>ioned by any error <strong>of</strong> judgement or oversight on his part, or for any<br />

other loss, damage or misfortune whatever which shall happen through his<br />

own dishonesty.<br />

9.2 Every director or <strong>of</strong>ficer <strong>of</strong> the Association and his heirs, executors and<br />

administrators and estates and effects respectively, shall from time to time<br />

and at all times, be indemnified and saved harmless out <strong>of</strong> the funds <strong>of</strong> the<br />

Association, from and against:<br />

(a) all costs, charges and expenses whatsoever which such<br />

director, <strong>of</strong>ficer or other person sustains or incurs in or about any action,<br />

suit or proceeding which is brought, commenced or prosecuted against<br />

him, for or in respect <strong>of</strong> any act, deed, matter or thing whatsoever made,<br />

done or permitted by him, in or about the execution <strong>of</strong> the duties <strong>of</strong> his<br />

<strong>of</strong>fice or in respect <strong>of</strong> any such liability; and<br />

(b) all other costs, charges and expenses he sustains or incurs<br />

in or `about or in relation to the affairs there<strong>of</strong>, except such costs, charges<br />

or expenses <strong>as</strong> are occ<strong>as</strong>ioned by his own wilful neglect or default.<br />

PART 10<br />

EXECUTION OF INSTRUMENTS<br />

10.1 Contracts, documents or instruments in writing requiring the signature <strong>of</strong><br />

the Association may be signed by the President or the Vice President<br />

together with the Executive Director or other <strong>of</strong>ficer <strong>of</strong> the Association, and<br />

all contracts, documents or instruments in writing so signed shall be<br />

binding upon the Association without any further authorization or formality.<br />

Notwithstanding the foregoing, contracts, documents or other instruments<br />

in writing having a value stipulated or restricted annually by the Board <strong>of</strong><br />

Directors at the first meeting following the Annual Meeting, or at such<br />

other times <strong>as</strong> may be determined by the Board, may be signed by any<br />

one <strong>of</strong>ficer <strong>of</strong> the Corporation. The Board <strong>of</strong> Directors is authorized from<br />

time to time by resolution to appoint any <strong>of</strong>ficer or <strong>of</strong>ficers or any director<br />

or directors on behalf <strong>of</strong> the Association either to sign contracts,<br />

documents or instruments in writing generally or to sign specific contracts,<br />

documents or instruments in writing.<br />

10.2 The seal <strong>of</strong> the Association may when required be affixed to contracts,<br />

documents or instruments in writing signed <strong>as</strong> aforesaid or by any <strong>of</strong>ficer<br />

or <strong>of</strong>ficers, director or directors, appointed <strong>as</strong> aforesaid by resolution <strong>of</strong> the<br />

Board <strong>of</strong> Directors.<br />

PART 11<br />

ADMISSION AND RE-INSTATEMENT OF MEMBERS<br />

11.1 Application for Membership or Apprenticeship or for reinstatement <strong>of</strong> a<br />

Member or Apprentice shall be made in the form prescribed by the Board,<br />

and shall be accompanied by such information and documentation<br />

determined by the Board from time to time. All applications shall be made<br />

to the Zone Association in which the individual is employed or retained.<br />

11.2 Every application for membership or apprenticeship shall be accompanied<br />

by the entrance fee, where applicable, and the annual dues payable in<br />

respect <strong>of</strong> the cl<strong>as</strong>s <strong>of</strong> membership or apprenticeship applied for. All dues<br />

less the application fee shall be returned to any applicant whose<br />

application is refused.<br />

11.3 Every application for membership or apprenticeship shall be accompanied<br />

by a duly completed application for insurance, if applicable under any plan<br />

<strong>of</strong> insurance from time to time in force with any organization in the name<br />

<strong>of</strong> the Association.<br />

11.4 All applications for membership or apprenticeship received by a Zone<br />

Association shall be considered by its Zone Board at its next regularly<br />

convened meeting. Approval <strong>of</strong> the application by the Zone Board shall<br />

be by the vote <strong>of</strong> the directors present at a meeting <strong>of</strong> the Zone Board.<br />

11.5 Every application, when approved by a Zone Board shall be submitted to<br />

the Executive Director, or such other persons <strong>as</strong> the Board <strong>of</strong> Directors<br />

may from time to time appoint, who shall notify the applicant <strong>of</strong> his election<br />

and shall supply the applicant with a certificate or other insignia <strong>of</strong><br />

membership or apprenticeship, together with a copy <strong>of</strong> the By-Laws <strong>of</strong> the<br />

Association, and he shall thereupon be entitled to all the rights and<br />

privileges <strong>of</strong> the category <strong>of</strong> membership or apprenticeship for which he<br />

h<strong>as</strong> been approved, and he shall thereafter be bound by all the By-Laws<br />

<strong>of</strong> the Association.<br />

PART 12<br />

TOURNAMENT PLAYERS' SCHOOL<br />

12.1 The Association will ensure that an annual C.P.G.A. Tournament Players'<br />

School will be conducted, which must be attended by every applicant for<br />

Tournament Pr<strong>of</strong>essional membership other than those otherwise<br />

exempted. The date, location, content, fees and minimum requirements to<br />

determine success or failure <strong>of</strong> the applicant at each annual C.P.G.A.<br />

Tournament Players' School shall be determined from time to time by the<br />

Board.<br />

12.2 Upon successfully completing a C.P.G.A. Tournament Players' School and<br />

meeting eligibility requirements, the applicant shall join the National<br />

Association and shall pay such dues <strong>as</strong> may be applicable to his category<br />

from time to time.<br />

PART 13<br />

ANNUAL DUES AND ENTRANCE FEES<br />

13.1 The annual dues payable by Members or Apprentices shall be fixed by the<br />

Board <strong>of</strong> Directors and confirmed at the Annual Meeting.<br />

13.2 The entrance fee payable by an applicant shall be fixed by the Board and<br />

confirmed at the Annual Meeting.<br />

13.3 The Association shall send to each <strong>of</strong> its Members or Apprentices at his<br />

l<strong>as</strong>t known address not later than sixty days prior to the due date, a<br />

statement <strong>of</strong> his annual dues payable and advising him that such annual<br />

dues must be received at the Head Office <strong>of</strong> the Association on or before<br />

the Stipulated Due Date.<br />

PART 14<br />

SUSPENSION FOR NON-PAYMENT<br />

14.1 A Member or Apprentice shall be suspended from all privileges <strong>of</strong> the<br />

Association for non-payment <strong>of</strong> Annual Dues by or on the Stipulated Due<br />

Date.<br />

14.2 The Association shall notify the Member or Apprentice <strong>of</strong> such suspension<br />

by registered letter and the suspension shall take effect ten days after the<br />

mailing <strong>of</strong> such registered letter.<br />

PART 15<br />

REINSTATEMENT<br />

15.1 A Member or Apprentice who h<strong>as</strong> been sent a registered letter advising<br />

him <strong>of</strong> his suspension for non-payment <strong>of</strong> Annual Dues shall be reinstated<br />

to good standing provided he h<strong>as</strong> paid outstanding Annual Dues in full<br />

together with such reinstatement fee determined by the Board from time to<br />

time within thirty days after the Stipulated Due Date, or ten days after the<br />

mailing <strong>of</strong> the registered letter notifying him <strong>of</strong> suspension, whichever shall<br />

l<strong>as</strong>t occur.<br />

15.2 A Member or Apprentice who h<strong>as</strong> not become reinstated to good standing<br />

within the time set out in the immediately preceding Article must apply for<br />

reinstatement to the Zone in writing and in due course appear in person<br />

before his Zone Board and satisfy them that he had just cause for failing to<br />

pay his annual dues by or on the Stipulated Due Date.<br />

15.3 The Board may cancel the membership or apprenticeship <strong>of</strong> any Member<br />

or Apprentice who h<strong>as</strong> been suspended for non-payment <strong>of</strong> annual dues<br />

or <strong>as</strong>sessments and his name shall be removed from the membership or<br />

apprenticeship roster and all his rights and privileges in the Association<br />

shall ce<strong>as</strong>e.<br />

PART 16<br />

MEETINGS OF MEMBERS<br />

16.1 The Annual Meeting <strong>of</strong> the Members <strong>of</strong> the Association shall be held at<br />

le<strong>as</strong>t once in each calendar year and not more than fifteen months after<br />

the holding <strong>of</strong> the l<strong>as</strong>t preceding Annual Meeting, at such time and place<br />

<strong>as</strong> may be determined by the Board.<br />

16.2 All Members shall be entitled to receive notice <strong>of</strong> and to attend all Annual<br />

Meetings and General Meetings <strong>of</strong> the Association, but only Voting<br />

Members shall be entitled to vote at such meetings.<br />

16.2a A Member entitled to vote at any meeting <strong>of</strong> Members may vote either in<br />

person or by proxy appointed by an instrument in writing on those<br />

resolutions on which the Members receive a notice with the notice for the<br />

Annual Meeting. Any resolution on which proxy voting is permitted may<br />

not be amended at the Annual Meeting. A proxy must be a Voting<br />

Member entitled to vote at such meeting. The requirements <strong>of</strong> the<br />

instrument appointing a proxy shall be determined from time to time by the<br />

Board <strong>of</strong> Directors. To be valid, a proxy must be filed with the President or<br />

the Executive Director at le<strong>as</strong>t forty-eight hours before the time <strong>of</strong> the<br />

meeting set out in the Notice calling the meeting.<br />

16.3 Notice <strong>of</strong> the time and place for holding any meeting <strong>of</strong> the Members and<br />

the general nature <strong>of</strong> the business to be transacted shall be given by<br />

sending the notice to each Member and the Association’s Auditor through<br />

the post, in a prepaid wrapper or letter, not less than fourteen days or<br />

more than sixty days before the date <strong>of</strong> the meeting, to his latest address<br />

<strong>as</strong> shown on the books <strong>of</strong> the Association.<br />

16.4 The business <strong>of</strong> the Annual Meeting shall include;<br />

(a) Report <strong>of</strong> the Board <strong>of</strong> Directors for the preceding year;<br />

(b) The Auditor's report and financial statements for the fiscal year;<br />

(c) Election <strong>of</strong> Officers;<br />

(d) Appointment <strong>of</strong> the Auditor;<br />

(e) Other business.<br />

16.5 General Meetings <strong>of</strong> the Association may be called at any time by order or<br />

upon requisition in writing to the President, signed by not less than ten<br />

percent <strong>of</strong> the Voting Members setting out in detail the nature <strong>of</strong> the<br />

business or resolution to be considered. Upon receipt <strong>of</strong> such requisition,<br />

the President shall convene a General Meeting within sixty days<br />

thereafter.<br />

16.6 Forty Voting Members present in person or represented by proxy shall<br />

constitute a quorum at all Annual Meetings and General Meetings <strong>of</strong> the<br />

Association.<br />

16.7 The accidental omission to give notice to any Member or auditor or any<br />

error in any notice not affecting the substance there<strong>of</strong> shall not invalidate<br />

any action taken at any meeting held pursuant to such notice or otherwise<br />

founded thereon.<br />

16.8 Any Member or auditor may waive any notice required to be given, and<br />

such waiver, whether given before or after the meeting, shall cure any<br />

default in giving the notice.<br />

16.9 At all meetings <strong>of</strong> Members, questions shall, unless otherwise required by<br />

the By-Laws or by law, be decided by majority vote.<br />

16.10 In the absence <strong>of</strong> the President and Vice-President, the Members present<br />

shall choose another director <strong>as</strong> Chairman and if no director is present or<br />

if all the directors present decline to act <strong>as</strong> Chairman the Members<br />

present shall choose one <strong>of</strong> the Members present to be Chairman.<br />

16.11 At all meetings <strong>of</strong> the Members, every question shall be decided by a<br />

show <strong>of</strong> hands, unless a ballot be ordered by the Chairman or be<br />

demanded by a majority vote <strong>of</strong> Voting Members in attendance. The<br />

Chairman at any meeting <strong>of</strong> Members shall not vote save in the event <strong>of</strong> a<br />

tie in which c<strong>as</strong>e the Chairman shall have a c<strong>as</strong>ting vote.<br />

16.12 At all meetings <strong>of</strong> the Members unless a ballot is ordered or demanded, a<br />

declaration by the Chairman <strong>of</strong> the meeting that a resolution h<strong>as</strong> been<br />

carried or carried unanimously or by a particular majority or lost or not<br />

carried by a particular majority shall be conclusive evidence <strong>of</strong> the fact<br />

without pro<strong>of</strong> <strong>of</strong> the number or proportion <strong>of</strong> the votes recorded in favor <strong>of</strong><br />

or against the motion.<br />

16.13 All Members shall be entitled to receive a copy <strong>of</strong> the minutes <strong>of</strong> the<br />

Annual Meeting and <strong>of</strong> any General Meeting <strong>of</strong> the Association, including<br />

the financial statement for each fiscal year together with the auditor’s<br />

report thereon.<br />

16.14 Any meetings <strong>of</strong> the Members <strong>of</strong> the Association or <strong>of</strong> the directors may<br />

be adjourned to any time and from time to time and such business may be<br />

transacted at such adjourned meeting <strong>as</strong> might have been transacted at<br />

the original meeting from which adjournment took place. No notice shall<br />

be required <strong>of</strong> any such adjournment.<br />

PART 17<br />

RESIGNATIONS<br />

17.1 Any Member <strong>of</strong> any category or Apprentice may resign at any time<br />

provided he is in good standing and is not indebted to the Association in<br />

any manner whatsoever. Resignations shall be in writing and shall be<br />

directed to the Member's or Apprentice's Zone Board. Before accepting<br />

the resignation the Zone will ensure that the Member or Apprentice h<strong>as</strong> no<br />

outstanding indebtedness at the Zone and National levels. Any Member<br />

or Apprentice who h<strong>as</strong> tendered his resignation shall be entitled to receive<br />

a full refund if the request is received by the Association by April 1, a<br />

partial refund (dues minus amount paid for insurance is given) if request is<br />

received after April 1, but before <strong>June</strong> 30, and shall not be entitled to any<br />

refund if the request is received after <strong>June</strong> 30.<br />

17.2 When a former Member <strong>of</strong> the Association <strong>of</strong> any category or Apprentice<br />

wishes to re-apply for membership or apprenticeship, the Board <strong>of</strong> the<br />

Association may reactivate such Member or Apprentice provided he pays<br />

all fees and <strong>as</strong>sessments for the period during which he w<strong>as</strong> not a<br />

Member or Apprentice or the re-entry fee whichever is the lesser, plus all<br />

outstanding indebtedness to the Association. Before being granted<br />

membership in the Association or the Apprentice Training Program the<br />

former Members or Apprentices shall be required to successfully complete<br />

an examination applicable to the category <strong>of</strong> membership or<br />

apprenticeship held at the time <strong>of</strong> their resignation. The Board <strong>of</strong> the<br />

Association in its sole discretion shall determine and <strong>as</strong>sign the category<br />

to be granted the former Member or Apprentice.<br />

17.3 This Part 17 is applicable to the Categories <strong>of</strong> Membership set out in By-<br />

Law No. 3.<br />

17.4 The Board <strong>of</strong> the Association from time to time shall establish the re-entry<br />

fees to be paid by any Category <strong>of</strong> Membership.<br />

PART 18<br />

DISCIPLINE<br />

18.1 Members or Apprentices who violate the Code <strong>of</strong> Ethics or Rules and<br />

Regulations <strong>of</strong> the Association shall be subject to disciplinary action <strong>as</strong><br />

hereinafter set out in this Part 18.<br />

18.2 Either a Zone Board or the Association Board, through its National Board<br />

Disciplinary Committee (<strong>as</strong> hereinafter defined) may initiate discipline over<br />

a Member or Apprentice. Such disciplinary action is at the discretion <strong>of</strong><br />

the Zone Board or the Association Board, <strong>as</strong> applicable, and may include,<br />

but shall not be limited to, one or more <strong>of</strong> the following:<br />

(a) imposition <strong>of</strong> fines not to exceed $1,000;<br />

(b) revocation <strong>of</strong> playing privileges to participate in certain<br />

Tournaments or other Association activities for a limited period <strong>of</strong> time;<br />

(c) such other re<strong>as</strong>onable actions <strong>as</strong> may be determined.<br />

18.3 The Association’s Board <strong>of</strong> Directors shall determine whether the Zone<br />

Board or the National Board Disciplinary Committee will hear the initial<br />

hearing. If the Zone Board fails to hold an initial hearing within sixty (60)<br />

days <strong>of</strong> being advised to do so by the Association’s Board, the<br />

Association’s Board may instruct the National Board Disciplinary<br />

Committee to hold such hearing at such time and at such location <strong>as</strong><br />

determined by the National Board Disciplinary Committee. Any decision<br />

<strong>of</strong> the National Board Disciplinary Committee shall be final and binding<br />

with no right <strong>of</strong> appeal.<br />

18.4 The Association may initiate discipline against a Zone Board for failure <strong>of</strong><br />

such Zone Board to file with the Association its By-Laws, Rules and<br />

Regulations and all amendments thereto. Such disciplinary action may<br />

include a fine to the Zone Board <strong>of</strong> $1,000.00, probation or such other<br />

sanctions against the Zone Board <strong>as</strong> the Association’s Board shall<br />

determine.<br />

18.5 Subject to Article 18.2 <strong>of</strong> By-Law No. 4, Zone Boards shall have<br />

disciplinary powers over the Members and Apprentices in their particular<br />

zone and shall establish Zone Disciplinary Committees.<br />

18.6 Subject to Articles 18.2 <strong>of</strong> By-Law No. 4, a Zone Board shall have the<br />

power to receive and consider complaints made against any Member <strong>of</strong><br />

any category or Apprentice within its Zone arising out <strong>of</strong> alleged breaches<br />

<strong>of</strong> the By-Laws.<br />

18.7 Subject to Articles <strong>of</strong> 18.2 <strong>of</strong> By-Law No. 4, a Zone Board shall have the<br />

power to discipline, fine, suspend or expel any Member <strong>of</strong> any category or<br />

Apprentice for a breach <strong>of</strong> the By-Laws.<br />

18.8 There shall be a National Board Disciplinary Committee consisting <strong>of</strong> the<br />

President, the Secretary and Chairman <strong>of</strong> the Membership Committee. In<br />

the event that the Secretary is also the Membership Chairman, the Vice<br />

President shall become the third Member <strong>of</strong> the Committee.<br />

18.9 A Zone Board may from time to time require pro<strong>of</strong> from any Member or<br />

Apprentice that such Member or Apprentice h<strong>as</strong> not transgressed, broken,<br />

breached, violated or otherwise evaded the provisions <strong>of</strong> the By-Laws.<br />

18.10 A Zone Board may initiate any investigation into possible breach <strong>of</strong> the By-<br />

Laws without receiving a written complaint in respect there<strong>of</strong>.<br />

18.11 Any complaint dealt with by a Zone Board shall be in writing and upon<br />

receipt <strong>of</strong> the complaint the Zone Board shall deal with the complaint <strong>as</strong><br />

follows:<br />

(a) The President <strong>of</strong> the Zone Board shall decide when the<br />

complaint shall be dealt with, either at a special meeting <strong>of</strong> the Zone<br />

Board or at the next regular meeting <strong>of</strong> the Zone Board.<br />

(b) If a hearing is to be held, a true copy <strong>of</strong> the complaint,<br />

together with time and place <strong>of</strong> the meeting <strong>of</strong> the Zone Board at which<br />

the hearing will be held, shall be delivered to the Member or Apprentice<br />

against whom the complaint w<strong>as</strong> made either personally or by registered<br />

mail addressed to him at his address <strong>as</strong> shown on the books <strong>of</strong> the<br />

Association at le<strong>as</strong>t seven days before the time fixed for the hearing <strong>of</strong> the<br />

complaint.<br />

(c) At the hearing, both the complainant and the Member or<br />

Apprentice complained <strong>of</strong> shall be entitled to be present and may be<br />

represented by counsel, and to submit such evidence <strong>as</strong> may be relevant<br />

to the determination <strong>of</strong> the validity or otherwise <strong>of</strong> the complaint.<br />

(d) Upon completion <strong>of</strong> the hearing the Zone Board shall have<br />

the power to discipline the Member or Apprentice complained <strong>of</strong> by way <strong>of</strong><br />

reprimand, fine, suspension from tournament play, suspension and/or<br />

expulsion from the Association or to dismiss the complaint.<br />

(e) The decision <strong>of</strong> the Zone Board need not be given<br />

immediately following the conclusion <strong>of</strong> the hearing, but may be sent to<br />

the complainant and the Member or Apprentice complained <strong>of</strong> by<br />

registered mail after the final decision h<strong>as</strong> been made.<br />

18.12 Any Member or Apprentice disciplined by the Zone Board or the<br />

complainant in a disciplinary action may appeal the result <strong>of</strong> the hearing to<br />

a meeting <strong>of</strong> the Association’s Board <strong>of</strong> Directors by delivering his appeal<br />

to the head <strong>of</strong>fice <strong>of</strong> the Association by registered mail not later than thirty<br />

days after the date <strong>of</strong> the decision <strong>of</strong> the Zone Board. In the event <strong>of</strong> such<br />

appeal, the Zone Board <strong>of</strong> Member or Apprentice disciplined shall be<br />

advised <strong>of</strong> the Appeal and shall be entitled to have a representative<br />

thereat.<br />

18.13 Upon receipt <strong>of</strong> an appeal the Association’s Board <strong>of</strong> Directors shall deal<br />

with the appeal <strong>as</strong> follows:<br />

(a) The President shall decide when the appeal shall be dealt<br />

with, whether at a special meeting <strong>of</strong> the National Board Disciplinary<br />

Committee or at the next regular meeting <strong>of</strong> the Association’s Board;<br />

(b) Notice <strong>of</strong> the time and place <strong>of</strong> the Meeting <strong>of</strong> the National<br />

Board Disciplinary Committee or the Association’s Board at which the<br />

appeal will be held, shall be delivered to the Member or Apprentice<br />

appealing either personally or by registered mail addressed to him at his<br />

address <strong>as</strong> shown on the books <strong>of</strong> the Association, at le<strong>as</strong>t ten days<br />

before the time fixed for the hearing <strong>of</strong> the appeal;<br />

(c) At the hearing <strong>of</strong> the appeal, both the complainant and the<br />

Member or Apprentice appealing shall be entitled to be present and may<br />

be represented by counsel, and to submit such evidence <strong>as</strong> may be<br />

relevant to the determination <strong>of</strong> the appeal;<br />

(d) Upon completion <strong>of</strong> the hearing <strong>of</strong> the appeal, the National<br />

Board Discipline Committee <strong>of</strong> the Association’s Board <strong>of</strong> Directors shall<br />

have the power to dispose <strong>of</strong> the appeal <strong>as</strong> it sees fit;<br />

(e) The decision <strong>of</strong> the National Board Discipline Committee <strong>of</strong><br />

the Association’s Board <strong>of</strong> Directors need not be given immediately at the<br />

end <strong>of</strong> the hearing <strong>of</strong> the appeal, but may be sent to the complainant and<br />

the Member or Apprentice appealing by registered mail after the final<br />

decision h<strong>as</strong> been made.<br />

18.14 The Members at an Annual Meeting may by majority vote restore the<br />

name <strong>of</strong> a suspended or expelled Member or Apprentice to membership<br />

or apprenticeship on such terms <strong>as</strong> they see fit.<br />

PART 19<br />

FISCAL YEAR, ACCOUNTS AND AUDIT<br />

19.1 The fiscal year <strong>of</strong> the Association shall end on the 31st day <strong>of</strong> December<br />

in each year or on such other date <strong>as</strong> the Board may from time to time<br />

determine.<br />

19.2 At each Annual Meeting the Members shall appoint an auditor to audit the<br />

accounts <strong>of</strong> the Association to hold <strong>of</strong>fice until the next Annual Meeting<br />

provided that the Board <strong>of</strong> Directors may fill any c<strong>as</strong>ual vacancy in the<br />

<strong>of</strong>fice <strong>of</strong> auditor. The remuneration <strong>of</strong> the auditor shall be fixed by the<br />

Board <strong>of</strong> Directors.<br />

19.3 The books <strong>of</strong> account shall be kept at the head <strong>of</strong>fice <strong>of</strong> the Association or<br />

at such other place <strong>as</strong> permitted by law <strong>as</strong> the Board sees fit to designate<br />

and shall at all times be open to inspection by each <strong>of</strong> the directors.<br />

19.4 The Board shall keep proper books <strong>of</strong> account with respect to all sums <strong>of</strong><br />

money received and expended by the Association and the matters in<br />

respect <strong>of</strong> which such receipts and expenditures take place, all sales and<br />

purch<strong>as</strong>es by the Association, the <strong>as</strong>sets and liabilities <strong>of</strong> the Association<br />

and all other transactions affecting the financial position <strong>of</strong> the<br />

Association.<br />

PART 20<br />

HEAD OFFICE<br />

20.1 The head <strong>of</strong>fice <strong>of</strong> the Association shall be located in the Regional<br />

Municipality <strong>of</strong> Halton, Province <strong>of</strong> Ontario, at such address <strong>as</strong> may be<br />

determined from time to time by the Board. The Association may<br />

establish and maintain in addition to its head <strong>of</strong>fice such other <strong>of</strong>fices,<br />

places <strong>of</strong> business and agencies elsewhere <strong>as</strong> the Board determines from<br />

time to time.<br />

PART 21<br />

NOTICE<br />

21.1 Any notice to be given to any Member, Apprentice, Director or Auditor<br />

shall be served either personally or by sending it through the post in a<br />

prepaid envelope or wrapper or by telegram or cablegram to such<br />

Member, Apprentice, Director or Auditor addressed to him at his address<br />

<strong>as</strong> the same appears in the books <strong>of</strong> the Association or, if no address is<br />

given therein, then addressed to the l<strong>as</strong>t address <strong>of</strong> such Member,<br />

Apprentice, Director or Auditor known to the Executive Director. With<br />

respect to every notice sent by post it shall be sufficient to prove that the<br />

envelope or wrapper w<strong>as</strong> properly addressed and put into a post <strong>of</strong>fice or<br />

into a post <strong>of</strong>fice box.<br />

PART 22<br />

INSURANCE AND PENSION PROGRAMS<br />

22.1 The Board shall have the power to enter into contracts with an insurance<br />

company to provide pension and/or insurance (including life, sickness,<br />

accident or disability) on behalf <strong>of</strong> Members and Apprentices both<br />

individually and/or <strong>as</strong> a group on such terms <strong>as</strong> shall be approved by a<br />

majority <strong>of</strong> Voting Members at any Annual Meeting or General Meeting.<br />

22.2 Every Member or Apprentice is eligible to participate in any such policy <strong>of</strong><br />

insurance entered into with an insurance company by and in the name <strong>of</strong><br />

the Association, shall apply for such insurance and pay to the Association,<br />

the premium or premiums payable in respect thereto which shall be<br />

forwarded by the Association to the insurance company. The Executive<br />

Director shall send to each Member or Apprentice at his l<strong>as</strong>t known<br />

address an account for any insurance premiums for which he is liable and<br />

advising <strong>of</strong> the due date.<br />

22.3 Where the coverage under the policy <strong>of</strong> insurance is optional with the<br />

Member or Apprentice and the premium payable by any such Member or<br />

Apprentice remains in arrears for sixty days, the Executive Director shall<br />

have power to request the insurer to cancel the insurance in respect <strong>of</strong><br />

such Member or Apprentice.<br />

22.4 Where the coverage under the policy <strong>of</strong> insurance is compulsory on the<br />

Members and Apprentices and the premium payable by any such Member<br />

or Apprentice remains in arrears for sixty days the Executive Director shall<br />

have the power to request the insurer to cancel the insurance in respect <strong>of</strong><br />

such Member or Apprentice and his membership or apprenticeship shall<br />

be automatically suspended in respect <strong>of</strong> all privileges in the Association<br />

until such insurance h<strong>as</strong> been paid in full.<br />

22.5 An insurance trust fund shall be maintained and administered by three<br />

trustees appointed in such manner <strong>as</strong> may be determined from time to<br />

time by the Board. The terms <strong>of</strong> such trust shall be documented in a trust<br />

agreement signed by the three trustees and a copy <strong>of</strong> such agreement<br />

shall be kept at the head <strong>of</strong>fice <strong>of</strong> the Association.<br />

22.6 All Members and Apprentices, except those excluded by virtue <strong>of</strong> age or<br />

location shall be covered by such insurance programs <strong>as</strong> are arranged by<br />

the Board.<br />

PART 23<br />

AFFILIATIONS<br />

23.1 The Board shall have power to make agreements with equivalent<br />

<strong>as</strong>sociations <strong>of</strong> pr<strong>of</strong>essional golfers in other countries or with other<br />

organizations having <strong>as</strong> their object the advancement <strong>of</strong> the mutual<br />

interests <strong>of</strong> the Members and Apprentices <strong>of</strong> both <strong>as</strong>sociations or the<br />

welfare <strong>of</strong> golf international competition.<br />

PART 24<br />

ZONE <strong>ASSOCIATION</strong>S<br />

24.1 The Board may authorize and promote the formation <strong>of</strong> Zone Associations<br />

in Canada having <strong>as</strong> their objective the advancement <strong>of</strong> the interests <strong>of</strong><br />

pr<strong>of</strong>essional golf and the welfare <strong>of</strong> golf in their respective are<strong>as</strong>. For this<br />

purpose, the Board shall fix the Zones in which such <strong>as</strong>sociations may<br />

operate, which Zones shall be designated by name and the Board shall<br />

have power to alter the boundaries <strong>of</strong> such Zones from time to time upon<br />

consultation <strong>of</strong> both Zones involved. The Zone Association shall be bound<br />

by the By-Laws and Rules and Regulations <strong>of</strong> the Association and may<br />

adopt other By-Laws or Rules and Regulations not inconsistent therewith;<br />

provided that each Zone Association shall file with the Association any<br />

Zone By-Laws, Rules and Regulations and amendments thereto. Failure<br />

to comply with this requirement may result in the Zone Association facing<br />

disciplinary action <strong>as</strong> set out in Articles 18.4 <strong>of</strong> By-Law No. 4.<br />

24.2 All Members and Apprentices <strong>of</strong> such Zone Associations must be<br />

Members or Apprentices in good standing <strong>of</strong> the Association and all<br />

Members and Apprentices <strong>of</strong> the Association with the exception <strong>of</strong> the<br />

Tournament Pr<strong>of</strong>essional category must be Members or Apprentices <strong>of</strong><br />

the Zone Association.<br />

24.3 A Member <strong>of</strong> the Association or Apprentice must be a Member or<br />

Apprentice in the Zone in which he is employed or retained.<br />

24.4 Each Zone Board shall have the power to accept or reject any application<br />

for membership or apprenticeship in the Association received by it.<br />

24.5 A Member or Apprentice accepting a position in, or moving to, another<br />

Zone must notify both Zone <strong>of</strong>fices immediately <strong>of</strong> such change. The<br />

former Zone shall transfer all membership or apprenticeship information<br />

including application forms concerning the Member or Apprentice to the<br />

new Zone. The Member or Apprentice transferring shall be subject to all<br />

requirements <strong>of</strong> membership or apprenticeship and shall furnish such<br />

information <strong>as</strong> may be requested by the Zone Board <strong>of</strong> his new Zone.<br />

Upon meeting such qualifications and supplying such information he shall<br />

be subject to such privileges <strong>of</strong> membership or apprenticeship <strong>as</strong> his<br />

category allows.<br />

24.6 If a Member or Apprentice transfers from one Zone to another after April<br />

1st in any year no difference in zone dues between the two Zones shall be<br />

charged or credited to the Member or Apprentice so transferring. Any<br />

difference in dues will be charged or credited only if the transfer is made<br />

prior to April 1st in any year.<br />

PART 25<br />

AMENDMENT<br />

The Board may from time enact or p<strong>as</strong>s By-Laws not contrary to law or to<br />

the charter <strong>of</strong> the Association, and may repeal, amend, or re-enact By-<br />

Laws <strong>of</strong> the Association, but every such By-Law, excepting such a By-Law<br />

<strong>as</strong> the provisions <strong>of</strong> the By-Laws governing the Association require to be<br />

sanctioned, approved or confirmed by the Members before becoming<br />

effective, and every repeal, amendment or re-enactment there<strong>of</strong>, unless in<br />

the meantime sanctioned at a General Meeting <strong>of</strong> the Members <strong>of</strong> the<br />

Association duly called for that purpose, shall only have force until the<br />

next Annual Meeting <strong>of</strong> the Members <strong>of</strong> the Association, and in default <strong>of</strong><br />

confirmation thereat shall, <strong>as</strong> and from that time only, ce<strong>as</strong>e to be in force.<br />

In all <strong>of</strong> the foregoing c<strong>as</strong>es, a two-thirds majority <strong>of</strong> the votes c<strong>as</strong>t by the<br />

Directors and Members is required at a meeting duly called for that<br />

purpose. The repeal or amendment <strong>of</strong> the By-Laws shall not be enforced<br />

or acted upon until the approval <strong>of</strong> the Minister h<strong>as</strong> been obtained.<br />

PART 26<br />

REPEAL<br />

All previous By-Laws <strong>of</strong> the Association are repealed <strong>as</strong> <strong>of</strong> the coming into<br />

force <strong>of</strong> these By-Laws provided that such repeal shall not affect the<br />

previous operation <strong>of</strong> any By-Law so repealed or affect the validity <strong>of</strong> any<br />

act done or right, privilege, obligation or liability acquired or incurred under<br />

or the validity <strong>of</strong> any contract or agreement made pursuant to any such<br />

By-Law prior to its repeal. All <strong>of</strong>ficers and persons acting under any By-<br />

Law so repealed shall continue to act <strong>as</strong> if appointed under the provisions<br />

<strong>of</strong> these By-Laws and all resolutions <strong>of</strong> the Members or Board with<br />

continuing effect p<strong>as</strong>sed under any repealed by-law shall continue good<br />

and valid except to the extent inconsistent with these By-Laws and until<br />

amended or repealed.<br />

PART 27<br />

LEAVE OF ABSENCE<br />

27.1 Any Retained or Employed Member or Apprentice may apply at any time<br />

that he or she is in good standing and is not indebted to the Association in<br />

any manner whatsoever for a leave <strong>of</strong> absence. This application shall be<br />

in writing and shall be directed to the Member’s/Apprentice’s Zone Board<br />

and is subject to annual approval. This leave <strong>of</strong> absence shall be for a<br />

twelve-month time limit and must be pre-approved. Before accepting the<br />

application the Zone will ensure that the Member/Apprentice h<strong>as</strong> no<br />

outstanding indebtedness to the Zone or the Association.<br />

27.2 A Member/Apprentice on a leave <strong>of</strong> absence shall not be eligible to enter<br />

nationally conducted tournaments and shall not be entitled to vote at any<br />

Annual Meeting or General Meeting or hold <strong>of</strong>fice <strong>as</strong> a Director <strong>of</strong> the<br />

Association. Members/Apprentices on a leave <strong>of</strong> absence shall be subject<br />

to Zone privileges <strong>as</strong> may be determined by the Zone Board in its sole<br />

discretion. A Member/Apprentice on a Leave <strong>of</strong> Absence shall not be<br />

subject to any pr<strong>of</strong>essional development requirements.<br />

Members/Apprentices in this category may pay Association Dues and<br />

insurance premiums <strong>as</strong> determined from time to time by the Board.<br />

27.3 When a Member/Apprentice on a leave <strong>of</strong> absence from the Association<br />

wishes to re-apply for membership, the Association Board may reactivate<br />

such a Member/Apprentice provided he/she complies with any <strong>of</strong> the<br />

reentry terms determined by the Board from time to time, and pays all<br />

outstanding indebtedness to the Association. The Association Board in its<br />

sole discretion shall determine and <strong>as</strong>sign the category to be granted the<br />

former Member/Apprentice.<br />

27.4 The Association Board from time to time shall establish the re-entry fees<br />

from a leave <strong>of</strong> absence.<br />

<strong>BY</strong>-LAW 5 - TRANSITION<br />

PART 1<br />

MEMBERSHIP CATEGORIES<br />

1.1 As <strong>of</strong> the coming into force <strong>of</strong> this By-Law the Executive Director shall<br />

forthwith put each Member into his appropriate category under the<br />

Categories <strong>of</strong> Membership established by the By-Laws on the b<strong>as</strong>is <strong>of</strong><br />

their cl<strong>as</strong>s <strong>of</strong> membership and number <strong>of</strong> years <strong>of</strong> membership in the<br />

Association at that time, and notify each Member in writing <strong>of</strong> his new<br />

category.<br />

1.1 Definitions. In this by-law and all other by-laws and special resolutions <strong>of</strong><br />

the Corporation, unless the context otherwise requires:<br />

“Act” means the Canada Corporations Act, and any Act that may<br />

be substituted therefor, <strong>as</strong> from time to time amended;<br />

“Board” means the board <strong>of</strong> directors <strong>of</strong> the Corporation.<br />

“by-laws” means this by-law and all other by-laws <strong>of</strong> the<br />

Corporation from time to time in force and effect;<br />

“Corporation” means Canadian Pr<strong>of</strong>essional Golfers’ Association<br />

(or such other name <strong>as</strong> the Corporation may in the future legally<br />

adopt).<br />

1.2 Words and expressions defined in the Act have the same meanings when<br />

used herein; the singular includes the plural and vice versa; words importing<br />

gender include m<strong>as</strong>culine, feminine and neuter genders; and words importing<br />

persons include individuals, corporations, partnerships, trusts and unincorporated<br />

organizations.<br />

1.3 Words and expressions defined in By-Law 2 have the same meanings when<br />

used herein.<br />

2. <strong>BY</strong>-LAW AMENDMENT<br />

2.1 Subparagraphs 1.1(v), 1.1(w) and 1.1(x) <strong>of</strong> By-Law 2 be and the same are<br />

hereby repealed without prejudice to any action taken thereunder and the By-<br />

Laws <strong>of</strong> the Corporation, including subparagraph 1.1(gg) <strong>of</strong> By-Law 2, paragraph<br />

6 under the heading “General Rules” <strong>of</strong> By-law 3, and paragraph 27.2 <strong>of</strong> Part 27<br />

<strong>of</strong> By-Law 4, be and the same are hereby further amended to delete all<br />

references to “Continuing Education Credit File”, “Continuing Education Credits”<br />

and “Continuing Education Credit Program” and all section, paragraph and subparagraph<br />

numbers and all references in the by-laws to such numbers, be and<br />

the same are hereby amended accordingly.<br />

2.2 The By-Laws <strong>of</strong> the Corporation, including Part 8 <strong>of</strong> By-Law 4 <strong>of</strong> the<br />

Corporation, be and the same are hereby amended without prejudice to any<br />

action taken thereunder to delete all reference to “Executive Director” and to<br />

substitute therefor reference to “Executive Director”.<br />

3. EFFECTIVE DATE<br />

Effective Date. This by-law shall come into force upon receipt <strong>of</strong> Ministerial<br />

approval in accordance with the Act.<br />

B. EXECUTIVE PROFESSIONAL<br />

EXECUTIVE PROFESSIONAL - shall have completed the Apprentice<br />

Training Program, successfully completed the Association Test and meet<br />

the annual requirements <strong>as</strong> determined by the Board from time to time.<br />

C. HEAD PROFESSIONAL<br />

HEAD PROFESSIONAL - who h<strong>as</strong> completed the Apprentice Training<br />

Program, and successfully completed the Association Test.<br />

D. ASSOCIATE PROFESSIONAL<br />

ASSOCIATE PROFESSIONAL - h<strong>as</strong> completed the Apprentice Training<br />

Program, and successfully completed the Association Test.<br />

E. TEACHING PROFESSIONAL<br />

TEACHING PROFESSIONAL - h<strong>as</strong> completed the Apprentice Training<br />

Program, and successfully completed the Association Test.<br />

1. Every Associate Pr<strong>of</strong>essional or Head Pr<strong>of</strong>essional must play in at<br />

le<strong>as</strong>t one Zone or Association conducted Tournament each Year. The<br />

Zone Board or the Board <strong>of</strong> Directors may waive this requirement in its<br />

sole discretion.<br />

2. A Head Pr<strong>of</strong>essional who is Retained <strong>as</strong> Head Pr<strong>of</strong>essional at more<br />

than one C<strong>PGA</strong> Approved Golf Course, must hire a Head Pr<strong>of</strong>essional or<br />

Associate Pr<strong>of</strong>essional for each C<strong>PGA</strong> Approved Golf Course, or C<strong>PGA</strong><br />

Associate Pr<strong>of</strong>essional at which he is Head Pr<strong>of</strong>essional.<br />

3. An Executive Pr<strong>of</strong>essional who is Retained <strong>as</strong> an Executive<br />

Pr<strong>of</strong>essional at more than one C<strong>PGA</strong> Approved Golf Course must hire a<br />

Head Pr<strong>of</strong>essional for each C<strong>PGA</strong> Approved Golf Course at which he is<br />

Executive Pr<strong>of</strong>essional.<br />

4. A Teaching Pr<strong>of</strong>essional shall not be eligible to compete in the Club<br />

Pr<strong>of</strong>essional Championship, except by invitation by the Board. However,<br />

Teaching Pr<strong>of</strong>essionals are eligible to compete in the Assistants'<br />

Championship.<br />

5. Members in the Teaching category shall be subject to Zone<br />

privileges <strong>as</strong> may be determined by their Zone Board in its sole discretion.<br />

6. All Teaching Pr<strong>of</strong>essionals shall be covered by the Association<br />

insurance and pension programs and will pay full Zone and Association<br />

dues <strong>as</strong> may be determined by the Board.<br />

7. The Teaching Pr<strong>of</strong>essional who employs apprentices shall be<br />

referred to <strong>as</strong> the Head Teaching Pr<strong>of</strong>essional <strong>as</strong> defined in By-Law 2<br />

Interpretation (aa).<br />

F. TOURNAMENT PROFESSIONAL<br />

1. Male Tournament Pr<strong>of</strong>essionals who meet eligibility requirements<br />

shall be members <strong>of</strong> the Association.<br />

Eligibility Requirements are <strong>as</strong> follows:<br />

(a) must be a Canadian Citizen or Canadian landed immigrant and<br />

(b) must have successfully completed the Tournament Players' School<br />

except those otherwise exempt.<br />

Exemptions for C<strong>PGA</strong> Tournament Players' School:<br />

(a) C<strong>PGA</strong> Cl<strong>as</strong>s A Pr<strong>of</strong>essionals meeting the eligibility standards <strong>as</strong><br />

determined by the Board;<br />

(b) Any applicant who w<strong>as</strong> won a National Open or C<strong>PGA</strong> approved<br />

pr<strong>of</strong>essional event;<br />

(c) Any pr<strong>of</strong>essional holding a current "C<strong>PGA</strong> recognized <strong>PGA</strong> Tour"<br />

Card;<br />

(d) Current members <strong>of</strong> the Male Tournament Pr<strong>of</strong>essional category<br />

who meet playing ability requirements;<br />

(e) Such other Pr<strong>of</strong>essionals <strong>as</strong> the Board may unanimously prescribe<br />

from time to time, subject to Board ratification;<br />

Exemptions (a) and (b) may only be used once by an applicant.<br />

All Pr<strong>of</strong>essionals not holding Canadian citizenship, may apply to the Board<br />

for limited privileges <strong>as</strong> determined from time to time by the Board<br />

providing they meet all other eligibility requirements.<br />

Such pr<strong>of</strong>essionals shall be required to produce documentary evidence <strong>of</strong><br />

their qualifications. The affiliation fee (<strong>as</strong> determined by the Board from<br />

time to time) shall, when paid and upon approval, render the pr<strong>of</strong>essional<br />

liable to the Rules and Regulations and Control <strong>of</strong> the C<strong>PGA</strong>. Such<br />

affiliation shall be for the current playing se<strong>as</strong>on and any extension must<br />

be applied for.<br />

Minimum Requirements to Retain Tournament Pr<strong>of</strong>essional Membership:<br />

Tournament Pr<strong>of</strong>essional members must compete in a minimum number<br />

<strong>of</strong> C<strong>PGA</strong> approved events and earn a minimum amount in <strong>of</strong>ficial earnings<br />

from time to time and must receive Association Board approval.<br />

Any Tournament Pr<strong>of</strong>essional member not meeting the minimum<br />

requirements for re<strong>as</strong>on such <strong>as</strong>:<br />

(a) illness or medical re<strong>as</strong>ons;<br />

(b) approved participation on C<strong>PGA</strong> recognized foreign tours;<br />

(c) other justified causes<br />

would have his membership subject to Board review.<br />

If Tournament Pr<strong>of</strong>essional membership is cancelled due to any<br />

circumstances an individual wishing to apply for Tournament Pr<strong>of</strong>essional<br />

membership must apply through the Tour School.<br />

2. Female Tournament Pr<strong>of</strong>essionals who meet eligibility<br />

requirements shall be members <strong>of</strong> the Association<br />

Eligibility Requirements are <strong>as</strong> follows:<br />

Minimum Requirements to Retain Female Tournament Pr<strong>of</strong>essional<br />

Membership:<br />

Tournament Pr<strong>of</strong>essional Female members must compete in a minimum<br />

number <strong>of</strong> Board approved events and earn a minimum amount in <strong>of</strong>ficial<br />

earnings during each calendar year. Minimum requirements may be<br />

established by the Board from time to time.<br />

Any Tournament Pr<strong>of</strong>essional Female member not meeting the minimum<br />

requirements for re<strong>as</strong>ons such <strong>as</strong>:<br />

a) illness or medical re<strong>as</strong>ons;<br />

(b) approved participation in C<strong>PGA</strong> recognized foreign tours;<br />

(c) other justified causes<br />

would have her membership subject to Board review.<br />

If Tournament Pr<strong>of</strong>essional Female membership is cancelled due to any<br />

Veteran TPD (Male and Female)<br />

Eligibility and Requirements<br />

1. Canadian <strong>PGA</strong> Tournament Pr<strong>of</strong>essional Division members<br />

(TPD) who have maintained their membership for a minimum <strong>of</strong><br />

7 consecutive years. Minimum requirements shall be<br />

established from time to time and must receive Association<br />

board approval or;<br />

2. Canadian Tournament Pr<strong>of</strong>essional Division (TPD) members<br />

that have maintained status <strong>as</strong> an L<strong>PGA</strong>/<strong>PGA</strong> TOUR exempt<br />

status member for three consecutive years or;<br />

3. Canadian Tournament Pr<strong>of</strong>essional Division (TPD) members<br />

that have won the Canadian <strong>PGA</strong> Championship or an<br />

L<strong>PGA</strong>/<strong>PGA</strong> TOUR event<br />

4. Canadian <strong>PGA</strong> Tournament Pr<strong>of</strong>essional Division (TPD)<br />

members that from time to time are nominated by the Board.<br />

Privileges<br />

1. Veteran members shall be permitted to play in any Canadian<br />

<strong>PGA</strong> nationally conducted championship (provided they meet<br />

eligibility requirements).<br />

2. Association insurance (<strong>as</strong>suming eligibility)<br />

3. Participation in the Apprentice Training Program if desired.<br />

3. Any Tournament Pr<strong>of</strong>essional transferring to the Apprentice<br />

category must be at le<strong>as</strong>t 18 years <strong>of</strong> age and possess a Secondary<br />

School Graduation Diploma or a Provincially recognized equivalent.<br />

4. Tournament Pr<strong>of</strong>essionals who successfully complete the<br />

Tournament Pr<strong>of</strong>essional Apprentice Training Program shall be entitled to<br />

complete the Association Test. Upon successful completion <strong>of</strong> the<br />

Association Test, the Tournament Pr<strong>of</strong>essional shall have attained Cl<strong>as</strong>s<br />

A status.<br />

5. A Tournament Pr<strong>of</strong>essional who previously p<strong>as</strong>sed the Association<br />

Test and attained Cl<strong>as</strong>s A standing in the C<strong>PGA</strong> may transfer from the<br />

Tournament Pr<strong>of</strong>essional category and be recl<strong>as</strong>sified <strong>as</strong> a Cl<strong>as</strong>s A<br />

Member. If the former Cl<strong>as</strong>s A Member had been a Tournament<br />

Pr<strong>of</strong>essional for five years or more, his/her category shall be maintained<br />

by a system <strong>of</strong> review established by the Board <strong>of</strong> Directors <strong>of</strong> the C<strong>PGA</strong>.<br />

G. RETIRED<br />

A Retired Member shall be a Member who:<br />

1. (a) h<strong>as</strong> been a Cl<strong>as</strong>s A Member <strong>of</strong> the Association in an active<br />

capacity for a minimum <strong>of</strong> twenty years at time <strong>of</strong> retirement and is<br />

no longer active <strong>as</strong> a Golf Pr<strong>of</strong>essional on a full-time b<strong>as</strong>is; and<br />

(b) h<strong>as</strong> been recommended by his/her Zone Board and<br />

approved by the Board to a Retired Member.<br />

2. The Board shall have discretionary powers to grant Retired status<br />

to a Member who by re<strong>as</strong>ons <strong>of</strong> debilitating illness or injury is unable to<br />

meet the Retired category requirements.<br />

3. He shall have full membership privileges except he shall not be<br />

eligible to enter C<strong>PGA</strong> nationally conducted tournaments with the<br />

exception <strong>of</strong> the Seniors' Championship, if he meets age requirements<br />

(except by invitation <strong>of</strong> the Tournament Committee) and shall not be<br />

entitled to vote at any Annual Meeting or special general meeting or hold<br />

<strong>of</strong>fice <strong>as</strong> a Director <strong>of</strong> the Association.<br />

H. LIFE<br />

1. 1. A Life Member shall be a Member who:<br />

(a) h<strong>as</strong> been an active Cl<strong>as</strong>s A Member <strong>of</strong> the Association for a<br />

minimum <strong>of</strong> twenty-five years and h<strong>as</strong> the combination <strong>of</strong> age and<br />

active years <strong>of</strong> Cl<strong>as</strong>s “A” Membership totaling 90;<br />

(b) h<strong>as</strong> been recommended by his Zone Board and approved by the<br />

Board; and<br />

(c) h<strong>as</strong> been elected at the Annual Meeting <strong>as</strong> a Life Member.<br />

(d) h<strong>as</strong> made a significant contribution to the Association<br />

(e) is no longer active <strong>as</strong> a golf pr<strong>of</strong>essional or teaching pr<strong>of</strong>essional on<br />

a full-time b<strong>as</strong>is.<br />

h<strong>as</strong> been a President <strong>of</strong> the Association for a minimum <strong>of</strong> one year.<br />

2. A Life Member may at any time apply to be reinstated in an active<br />

category, such reinstatement to be subject to the approval <strong>of</strong> the Board.<br />

3. Life Members are not required to pay dues but they shall pay the<br />

Association Life Insurance fees to their sixty-fifth birthday.<br />

4. Life Members shall have full membership privileges.<br />

I. NON-RESIDENT<br />

1. A C<strong>PGA</strong> Golf Pr<strong>of</strong>essional who h<strong>as</strong> been employed or retained at a<br />

Golf Course or Driving Range in a foreign country and who had<br />

successfully achieved Cl<strong>as</strong>s A Standing in the C<strong>PGA</strong> while employed or<br />

retained in Canada, will be cl<strong>as</strong>sed <strong>as</strong> a Non Resident member <strong>of</strong> the<br />

Association. Such Member will be a Member at both the National and<br />

Zone levels and will pay such annual dues <strong>as</strong> may be set by the Board. A<br />

Non-Resident Member will have no privileges in the Association though he<br />

may participate in both National and Zone Tournaments at the invitation <strong>of</strong><br />

the Tournament Committees at the National and Zone levels.<br />

J. UNATTACHED<br />

1. A M<strong>as</strong>ter Pr<strong>of</strong>essional, an Executive Pr<strong>of</strong>essional, a Head<br />

Pr<strong>of</strong>essional an Associate Pr<strong>of</strong>essional, a Teaching Pr<strong>of</strong>essional, or a<br />

Head Teaching Pr<strong>of</strong>essional who is unemployed may retain his category<br />

for two full Se<strong>as</strong>ons. Members failing to provide the Zone with verification<br />

<strong>of</strong> employment by May 1 <strong>of</strong> each year shall be placed in the Unattached<br />

category.<br />

2. A member in this category shall pay full Zone and Association dues<br />

<strong>as</strong> determined by the Board. A member in this category shall not be<br />

eligible to enter C<strong>PGA</strong> nationally conducted tournaments with the<br />

exception <strong>of</strong> the C<strong>PGA</strong> Championship and the C<strong>PGA</strong> Seniors'<br />

Championship Members in the Unattached category shall be subject to<br />

Zone privileges <strong>as</strong> may be determined by the Zone Board in its sole<br />

discretion.<br />

3. If at the end <strong>of</strong> two se<strong>as</strong>ons the pr<strong>of</strong>essional h<strong>as</strong> not attained<br />

employment, he shall ce<strong>as</strong>e to be a Member on May 1 <strong>of</strong> that year and<br />

shall be notified by the Zone. If the Member meets the requirements he<br />

shall be eligible to apply to become a Member <strong>of</strong> the Retired or Life<br />

Category <strong>as</strong> determined by the Board.<br />

4. To advance from the Unattached Category he must be retained at a<br />

C<strong>PGA</strong> approved facility. On completion <strong>of</strong> this requirement he shall<br />

transfer to the l<strong>as</strong>t category held prior to becoming Unattached.<br />

5. Se<strong>as</strong>ons spent in this category will not count towards Retired or<br />

Life status.<br />

K. INACTIVE<br />

1. A Member will be placed in the Inactive category for disciplinary<br />

purposes.<br />

2. A Member in this category shall pay full Zone and Association dues<br />

<strong>as</strong> determined from time to time by the Board. A Member in this category<br />

may appeal the Zone decision to the National Board.<br />

3. A Member in this category shall not be eligible to enter C<strong>PGA</strong><br />

Nationally Conducted Tournaments and shall not be entitled to vote at any<br />

Annual Meeting or special general meeting or hold <strong>of</strong>fice <strong>as</strong> a Director <strong>of</strong><br />

the Association. Members in the Inactive category shall be subject to<br />

Zone privileges <strong>as</strong> may be determined by their Zone Board in its sole<br />

discretion.<br />

4. A Member in the Inactive Category for disciplinary purpose, who<br />

wishes to advance, must apply to the Zone Board.<br />

5. Years spent in this category shall not count towards Retired or Life<br />

Status.<br />

L. AFFILIATE PROFESSIONAL<br />

1. An Affiliate Pr<strong>of</strong>essional shall be a Cl<strong>as</strong>s A Member who becomes<br />

employed on a full-time b<strong>as</strong>is under one <strong>of</strong> following subcategories: Golf<br />

Administrator, Golf Faculty, Golf Technician, Golf Course<br />

Architect/Builder, Golf Course Superintendent, Golf Media, Golf<br />

Manufacturer Management or Golf Manufacturer Sales Representative.<br />

2. Members in this category shall pay Association Dues <strong>as</strong><br />

determined from time to time by the Board.<br />

3. Members in this category shall be eligible to play in nationally<br />

conducted tournaments at the invitation <strong>of</strong> the Tournament Committee.<br />

4. Members in this category may not employ Apprentices.<br />

NON-MEMBERS<br />

M. APPRENTICE<br />

1. An Apprentice must be registered in the Apprentice Training<br />

Program and must be employed by a Head Pr<strong>of</strong>essional, Teaching<br />

Pr<strong>of</strong>essional or a Head Pr<strong>of</strong>essional who h<strong>as</strong> a Cl<strong>as</strong>s A Associate<br />

member present and working at the same C<strong>PGA</strong> Approved Golf Course<br />

on a full time b<strong>as</strong>is where the Apprentice is employed.<br />

2. All Apprentices shall be subject to the educational and playing<br />

ability requirements prescribed by the Board from time to time.<br />

3. Apprentices not successfully completing a Year shall remain in their<br />

existing category for another year.<br />

4. All Apprentices shall be covered by the Association insurance and<br />

pension programs and will pay dues <strong>as</strong> may be determined by the Board.<br />

5. No Apprentice may participate in more than two C<strong>PGA</strong> Nationally<br />

Conducted Tournaments in each year. Apprentices wishing to play in<br />

more than two C<strong>PGA</strong> Nationally Conducted Tournaments must apply for<br />

the Tournament Pr<strong>of</strong>essional Category and successfully complete the<br />

C<strong>PGA</strong> Tournament Players' School.<br />

6. Apprentices may, by special invitation by the Board, participate in<br />

more than two C<strong>PGA</strong> Nationally Conducted Tournaments.<br />

7. An Apprentice must receive a minimum <strong>of</strong> one year's credit in the<br />

Apprentice Training Program while employed at a C<strong>PGA</strong> Approved Golf<br />

Course.<br />

N. CANDIDATES<br />

1. Candidates shall be those individuals who have registered with and<br />

are employed by a Head Pr<strong>of</strong>essional or Teaching Pr<strong>of</strong>essional for not<br />

more nor not less than one (1) se<strong>as</strong>on but who have not applied for or<br />

been accepted <strong>as</strong> an Apprentice in the Association.<br />

2. (a) Candidates must be registered with the Zone Association not<br />

later than 1 JUNE <strong>of</strong> the year in which employment commences.<br />

(b) Candidates must declare intent to apply for registration in the<br />

Apprenticeship Training Program in the Association not later than 1<br />

SEPTEMBER <strong>of</strong> the Probationary Year. A Candidate who applies for<br />

apprenticeship will complete the Association Application for<br />

Apprenticeship Forms, successfully complete the Entrance Requirements,<br />

successfully complete the first year requirements <strong>of</strong> the Apprentice<br />

Training Program, p<strong>as</strong>s the playing ability test, pay the Entrance Fees and<br />

the Annual Dues for the year <strong>of</strong> registration <strong>as</strong> a Candidate and for the<br />

following year, and follow any other procedures <strong>as</strong> established.<br />

3. Candidates are not eligible to participate in C<strong>PGA</strong> nationally<br />

conducted tournaments, Zone tournaments or other pr<strong>of</strong>essional<br />

tournaments nor are they permitted to teach golf during their candidate<br />

year.<br />

4. The Board shall from time to time p<strong>as</strong>s procedures for registering<br />

Candidates.<br />

O. HONOURARY DIRECTORS<br />

1. Honourary Directors shall be persons whether Pr<strong>of</strong>essional Golfers<br />

or not, who have been elected by unanimous vote <strong>of</strong> the Board in<br />

recognition <strong>of</strong> their outstanding services to the Association or the game <strong>of</strong><br />

golf.<br />

2. Honourary Directors shall have such privileges <strong>of</strong> membership <strong>as</strong><br />

may be determined by the Board <strong>of</strong> Directors from time to time.<br />

P. HONOURARY LIFE MEMBERS<br />

1. Honourary Life Members shall be persons whether Pr<strong>of</strong>essional<br />

Golfers or not, who have been elected by unanimous vote <strong>of</strong> the Board in<br />

Honourary Life Members shall have such privileges <strong>of</strong> membership <strong>as</strong><br />

may be determined by the Board <strong>of</strong> Directors from time to time.<br />

C<strong>PGA</strong> TOURNAMENT RULES<br />

1. The Board shall have complete control <strong>of</strong> the conduct <strong>of</strong> all Tournaments<br />

staged by or with the approval <strong>of</strong> the Association and for that purpose may<br />

enter into contracts with sponsors, golf clubs or others concerning the club<br />

and course facilities, purses, player guarantees, golf clinics, radio and<br />

television rights, motion pictures, programmes, ticket sales and<br />

concessions connected therewith.<br />

2. The Board may engage the services <strong>of</strong> a Tournament Director for all or<br />

any <strong>of</strong> the Tournaments staged by or with the approval <strong>of</strong> the Association.<br />

The Tournament Director shall act in the capacity <strong>of</strong> supervisor <strong>of</strong> all<br />

Tournaments for which he is appointed and shall have complete control<br />

over each such Tournament, subject to the directions <strong>of</strong> the Board.<br />

3. No Member or Apprentice shall be permitted to play in any Tournaments<br />

until he h<strong>as</strong> paid his annual dues.<br />

4. All Tournaments shall be conducted under the rules <strong>of</strong> the Royal<br />

Canadian Golf Association.<br />

5. Members or Apprentices subject to meeting entry requirements identified<br />

on the entry form, shall only be entitled to play in Tournaments <strong>as</strong> follows:<br />

(a) Head Pr<strong>of</strong>essionals, Executive Pr<strong>of</strong>essionals and Head Teaching<br />

Pr<strong>of</strong>essionals shall be entitled to play in all C<strong>PGA</strong> Nationally Conducted<br />

Tournaments with the exception <strong>of</strong> C<strong>PGA</strong> Assistants' Championship and<br />

the C<strong>PGA</strong> Seniors' Championship. They may play in the C<strong>PGA</strong> Seniors'<br />

Championship if they qualify by virtue <strong>of</strong> age requirements.<br />

(b) Teaching Pr<strong>of</strong>essionals and Associate Pr<strong>of</strong>essionals shall be<br />

entitled to play in all C<strong>PGA</strong> Nationally Conducted Tournaments with the<br />

exception <strong>of</strong> the C<strong>PGA</strong> Club Pr<strong>of</strong>essional Championship and the C<strong>PGA</strong><br />

Seniors' Championship. They may play in the C<strong>PGA</strong> Seniors'<br />

Championship if they qualify by virtue <strong>of</strong> age requirements.<br />

(c) Retired and Life members shall be entitled to play in all C<strong>PGA</strong><br />

nationally conducted tournaments, provided they meet tournament<br />

eligibility requirements, with the exception <strong>of</strong> the C<strong>PGA</strong> Club Pr<strong>of</strong>essional<br />

Championship and the C<strong>PGA</strong> Assistants' Championship.<br />
