American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated
in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Fort Worth, TX and judgment on
the arbitration award may be entered into any court having jurisdiction thereof. Should either party file an action contrary to this
provision, the other party may recover attorney's fees and costs.
12. General. This Agreement shall be governed in all respects by the laws of the State of Texas as such laws are applied to
agreements entered into and to be performed entirely within Texas between Texas residents. The laws of the State of Texas, excluding
its conflicts-of-law rules, govern the Terms and Conditions of this Disclaimer. As noted elsewhere, your conduct may be subject to other
local, state, and national laws. You expressly agree that exclusive jurisdiction for any claim or dispute resides in the courts of the State
of Texas. You further agree and expressly consent to the exercise of personal jurisdiction in the State of Texas in connection with any
dispute or claim involving preferredpump.com and/or Preferred Pump & Equipment. L.P. The Terms and Conditions of this Disclaimer
may be amended from time to time, by Preferred Pump in its sole discretion. If any provision of this Agreement is held to be invalid or
unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement and all
incorporated agreements may be automatically assigned by Preferred Pump, in our sole discretion, to a third party in the event of a
