QUALITY 

Fittings 

The fittings combine technical perfection with a high level of practicality. The “soft edge” 

styling reflects the aspiration to create timeless bathroom architecture and brings the Esprit 

brand into the bathroom. New in the shower room, and with the option of on-wall or concealed 

mounting solutions, the Dual Shower System is a practical shower designed for fixed installation 

on the wall. The Shower Family with its four individually adjustable side jets combined 

with the concealed thermostat offers a constant comfortable temperature of 38 °C. 

Elegant highlight: the new single-lever wash bowl mixer, standardly equipped with 

well-known and tested water-saving aerator, the s-pointer Eco. 

Furnitures 

In the Master Bathroom this range is presented as a modular set of components in inspiring 

colours, stylish wood décors and hand-polished painted surfaces. The repertoire of possibilities 

which follows the promises and desires for change or completion individually. Now even 

small spaces and guest bathrooms can rejoice in classy, colourful and modular fittings. 

Multiple combination options are provided by the flexible U-Frame shelf. The chic Counter 

Module supports the washstand and together with the units gives double the storage space! 

As in the Master Bathroom, the handle-free units open easily at a touch. 

Ceramics and acrylics 

The design styling of ceramics and the acrylic bathtub have been brought into perfect 

harmony. High-quality crystal porcelain is used for the manufacture of the washstand and the 

sanitary ceramics. The spacious acrylic bathtub provides enough room for two to share a bath. 

Sophisticated tea light holders soon add to the atmosphere of well-being. The new surfacemounted 

washbasin is made of high quality crystal porcelain with elegant “soft edge” styling 

and is the perfect partner for the single-lever basin mixer and the Counter Module. 

Glass shower enclosures 

With an uncompromising selection of materials and precise finishing a long life is guaranteed. 

Single-layer safety glass ensures high impact and shock resistance as well as maximum safety. The 

standard protective coating prevents dirt and limescale deposits. Simple and quick installation 

and wall adjustment using multifunctional profiles. Highly robust, virtually wear-free fittings. 

Accessories 

The lavish, mouth-blown triplex glass comprises three layers for the exceptionally elegant look: 

the interior is made of opal glass, the exterior is made of crystal glass. A plastic insert ensures the 

stability of the glass in the chrome holder and prevents it from moving. Fittings and accessories 

blend into a single, formal unit and are incorporated harmoniously into the overall design.

BATHROOM AREAS 

Bathroom areas become individual bathrooms 

Modules are combined to create individual bathrooms. The modules are just as flexible in small rooms 

as in a luxury bathroom suite. The bathrooms are recommendations for the design of the showroom and 

can support the bathroom consultation. More details and ideas can be found in the customer handbook.

STANDARD TERMS AND CONDITIONS FOR THE SALE OF GOODS

§ 1 General conditions scope of application 

(1) Our Conditions of Sale shall apply exclusively; we shall not accept contrary conditions 

or conditions differing from our Conditions of Sale that are imposed by the Purchaser 

unless we have expressly agreed in writing that they shall have validity. Our Conditions 

of Sale shall continue to apply even if we effect unconditional delivery to the Purchaser 

while aware of contrary conditions or conditions differing from our Conditions of Sale 

that are imposed by the Purchaser. 

(2) All the agreements made between us and the Purchaser for the purpose of the performance 

of this contract are set down in writing in this contract. If there are in existence 

differing unilateral or multilateral contractual agreements between ourselves and the 

purchaser and individual clauses of these contracts conflict with clauses of our General 

Conditions of Sale, the clauses contained therein shall replace the appropriate clauses in 

our General Conditions of Sale only if this has been expressly agreed in writing. 

(3) Our Conditions of Sale shall only apply with respect to entrepreneurs within the meaning 

of § 310 BGB [German Civil Code]. 

(4) Our Conditions of Sale shall also apply to all future business transacted with the Purchaser. 

§ 2 Information, advice 

Information and advice regarding our products shall be given on the basis of our experience 

to date. The figures given in this connection shall be average figures which have 

been established. Information and advice shall not make it unnecessary to carry out 

suitability tests on the goods delivered and to observe processing instructions. Statements 

made orally shall not be binding. 

§ 3 Offer Offer documentation 

(1) If the order constitutes an offer for the purposes of § 145 BGB, we shall have three 

weeks within which to accept it. A supply contract or other contract shall only come 

into being when we have confirmed the order or other commission in writing or have 

delivered the goods. 

(2) Specimens and samples shall be specimens for approval, without obligation. In the 

event of purchase on the basis of specimens and/or samples, we reserve the right for 

there to be such variances as are customary in the sector or as occur during normal 

manufacture. In the event of purchase by sample, we reserve the right for there to be 

such variances as are customary in the sector or as occur within the scope of normal 

manufacture or serve the purposes of technical improvement. 

(3) Specimens and samples are to be returned to us within four weeks in perfect condition. 

If they are not returned within this period, we shall be entitled to charge the purchase 

price as stated in the price list. Price lists may be requested from us at any time. 

(4) Unless expressly agreed otherwise, the information published by us in catalogues, brochures 

and other publications, in the form of text or pictures (e.g. descriptions, illustrations 

or drawings) shall constitute the conclusive characterization of the composition 

of the goods supplied by us and their possible uses. Our information shall not represent 

any guarantee regarding composition or durability and shall correspond to our current 

level of knowledge. We shall bear no liability for successful use. 

(5) We reserve ownership rights and copyrights in respect of illustrations, drawings, calculations 

and other documentation; they may not be disclosed to third parties. This 

applies in particular to written documentation that is marked as “confidential”; the Purchaser 

must obtain our express written agreement before disclosing it to third parties. 

§ 4 Prices terms of payment 

(1) Provided that no contrary arrangements are made in the order confirmation, our prices 

are those prevailing at the time of delivery, on an “ex works” basis; they exclude packaging, 

which will be invoiced separately. 

(2) Statutory purchase tax is not included in our prices; it will be included as a separate item 

on the invoice at its legal level on the day the invoice is issued. 

(3) A free delivery limit of 750,00 euros per individual order shall be deemed to have 

been agreed, as shall a markup for smallvolume purchases in the amount of 6,00 

euros for individual orders worth less than 50,00 euros. If the Purchaser requests 

delivery to a second or third address, a supplement in the amount of 10% of the invoice 

value of the order shall be levied on these thirdparty deliveries in addition to 

the agreed price. 

(4) Provided that no contrary arrangements are made in the order confirmation, the purchase 

price shall be payable net (without deductions) within 30 days of the invoice 

date. The statutory rules regarding the consequences of delayed payment shall apply. If 

the Purchaser pays the purchase price within 10 days of the invoice date, it shall be entitled 

to a cash discount deduction of 3% of the invoice amount if at that time all previous 

purchase price invoices have been settled in their entirety. Any more wideranging cash 

discount deduction shall require special written agreement. Payments shall be made 

in euro and must be effected free of postage and costs to the payment points named 

by Kludi. Bills of exchange and cheques shall only be considered valid means of payment 

after redemption and shall be accepted without an obligation to present them in a 

timely manner and without an obligation of protestation. 

(5) The Purchaser shall only be entitled to setoff rights if its counterclaims have been legally 

determined, are undisputed or are recognized by us. In addition, it shall be authorized 

to exercise its right of retention to the extent that its counterclaim is based on the same 

contractual relationship. We shall be entitled – in spite of any differing provisions on 

the part of the customer – to set off payments in the first instance against the customer’s 

older liabilities. If costs and interest have already come into being, we shall be entitled 

to set off payment in the first instance against the costs, then against the interest and 

finally against the chief claim. 

§ 5 Delivery period 

(1) In order for the delivery period specified by us to begin, it is a precondition that all 

technical questions have been clarified and that we have provided further written confirmation 

of the delivery period. 

(2) In order for us to comply with our obligation to deliver, it is a further precondition that 

the Purchaser has fulfilled its obligations in good time and in due form. We reserve the 

right to the defence that the contract has not been fulfilled. 

(3) We are entitled to make part deliveries in so far as the Purchaser finds them reasonable. 

Part deliveries may be invoiced separately. 

(4) If the Purchaser defaults on acceptance or culpably infringes other cooperation obligations, 

we shall be entitled to demand compensation for the damage caused to us in 

this respect, including any additional expenditure. We reserve the right to make more 

wideranging claims. 

(5) Provided that the preconditions of paragraph (4) have been met, the risk of accidental 

loss or accidental deterioration of the purchased item shall pass to the Purchaser at the 

time when the latter defaults on acceptance or defaults on the debt. 

(6) We shall bear liability in accordance with the statutory provisions, in so far as the underlying 

contract of purchase is a fixeddate transaction within the meaning of § 286(2) 

BGB or § 376 HGB [German Commercial Code]. We shall also bear liability in accordance 

with the statutory provisions provided that as a consequence of a default in delivery 

for which we are responsible the Purchaser is entitled to assert that its interest in 

continuing to fulfil the contract has ceased. This shall be subject to us receiving timely 

and correct delivery ourselves. 

(7) We shall furthermore bear liability in accordance with the statutory provisions provided 

that the default in delivery is due to a wilful or grossly negligent infringement of 

the contract for which we are responsible; any fault on the part of our representatives or 

agents is to be attributed to us. Provided that the default in delivery is not due to a wilful 

infringement of the contract for which we are responsible, our liability for damages is 

limited to foreseeable damage that typically occurs. 

(8) We shall also bear liability in accordance with the statutory provisions in so far as the 

default in delivery for which we are responsible is due to the culpable infringement of 

a substantial contractual obligation; however, in this case our liability for damages shall 

be limited to foreseeable damage that typically occurs. 

(9) Moreover, we shall bear liability in the case of default in delivery, within the scope of 

compensation for delay, consolidated into a lump sum, in the amount of 3% of the value 

of the goods to be delivered for each complete week’s delay, but of no more than 9% of 

the value of the goods to be delivered. 

(10) Further legal claims and rights of the Purchaser are reserved. 

§ 6 Transfer of risk 

(1) Provided that no contrary arrangements are made in the order confirmation, delivery is 

agreed to be on an “ex works” basis. 

(2) Packaging for transport and all other packaging in accordance with the packaging regulations 

shall not be taken back, with the exception of pallets. The Purchaser shall be 

obliged to dispose of the packaging at its own expense. 

(3) In the event of subsequent performance by means of delivery of an item that is free of 

defects, the warranty obligation shall end at the point in time at which it would also 

have ended for the defective item.

(4) If the Purchaser wishes, we shall cover the delivery by means of transport insurance; the 

Purchaser shall bear the costs incurred in this respect. 

§ 7 Warranty for defects 

(1) It shall be a precondition of warranty claims by the Purchaser that the latter has carried 

out its obligations of examination and giving notice of defects pursuant to § 377 HGB in 

due form. We shall not be liable for misuse or unsuitable use, in particular excessive operational 

demands, faulty installation or incorrect use by the customer or third parties, natural 

wear (wear and tear), incorrect and careless treatment and handling, in particular by untrained 

personnel. 

(2) If there is a defect in the purchased item for which we are responsible, the purchaser 

shall be entitled at its option to request subsequent performance in the form of the 

remedying of the defects or the delivery of a new item which is free of defects. If the 

defects are to be remedied, we shall be obliged to bear all the expenses necessary for the 

purpose of remedying the defects, in particular transport, travelling, labour and material 

costs, provided that these are not increased as a result of the purchased item having 

been taken to a place other than the place of performance. 

(3) If the subsequent performance is unsuccessful, the Purchaser shall be entitled at its option 

to request withdrawal or reduction of the price. 

(4) We shall bear liability in accordance with the statutory provisions provided that the 

Purchaser asserts claims for compensation that are based on a deliberate act or gross 

negligence, including a deliberate act or gross negligence on the part of our representatives 

or agents. Provided that no intentional infringement of the contract is imputed 

to us, our liability for damages is limited to foreseeable damage that typically occurs. 

(5) We shall bear liability in accordance with the statutory provisions if we culpably infringe 

a substantial contractual obligation; however, in this case our liability for damages shall 

be limited to foreseeable damage that typically occurs. 

(6) If the Purchaser is entitled to claim compensation for the damage instead of performance, 

our liability is also limited within the scope of paragraph 3 to compensation for 

foreseeable damage that typically occurs. 

(7) Liability for culpability in fatal injury, bodily injury or injury to health shall not be affected; 

this shall also apply to mandatory liability under the German Product Liability 

Act [Produkthaftungsgesetz]. 

(8) If no differing provisions have been made above, liability is excluded. 

(9) The limitation period for warranty claims shall be 12 months, calculated from the time 

of transfer of risk. 

(10) The limitation period in the case of delivery recourse pursuant to § 478 and § 479 

BGB shall not be affected; it shall be no more than 5 years, calculated from the time of 

delivery of the defective item. 

§ 8 Joint liability 

(1) Any more wideranging liability for compensation than that provided for in § 6 is excluded, 

regardless of the legal nature of the asserted claim. This applies in particular to 

claims for compensation arising from faults on conclusion of the contract, by reason of 

other breaches of obligations or by reason of tortious claims for compensation for damage 

to property pursuant to § 823 BGB. 

(2) In so far as liability for compensation is excluded or limited with regard to us, this also 

applies with regard to the personal liability for compensation of our salaried employees, 

persons in our employ, members of staff, representatives and agents. 

§ 9 Returned goods 

(1) Returns of the purchased item are excluded, except in cases specified in § 7. 

(2) Purchased items returned without our approval will not be accepted or will be sent back 

to the purchaser at the latter’s expense. 

(3) If in a particular instance we agree to the return by way of exception after prior written 

agreement, we will charge a handling fee of at least 30% of the net value of the goods, 

as applicable. 

(4) The risk of transport and the transport costs shall be borne by the purchaser. 

§ 10 Reservation of ownership 

(1) We reserve the right of ownership in respect of the purchased item until such time as 

all payments arising from the supply contract have been received. In the event of the 

Purchaser taking actions that breach the contract, in particular in the event of a delay in 

payment, we shall be entitled to take back the purchased item. If we take back the purchased 

item this does not constitute withdrawal from the contract unless we expressly 

declare such withdrawal in writing. If we take the purchased item in seizure, this shall 

always constitute withdrawal from the contract. After taking back the purchased item, 

we shall be authorized to utilize it; the proceeds of the utilization are to be credited 

against the Purchaser’s debts, deducting appropriate utilization costs. 

(2) The Purchaser shall be obliged to treat the purchased item carefully; in particular it shall 

be obliged to insure the item adequately for its replacement value at its own expense 

against damage by fire, water and theft. If maintenance and inspection work is required, 

the Purchaser must carry out the work in good time at its own expense. 

(3) In the event of attachments or other encroachments by third parties, the Purchaser 

must inform us in writing without delay, so that we can institute an action in accordance 

with § 771 ZPO [German Code of Civil Procedure]. If the third party is not able 

to repay to us the costs, in and out of court, of a legal action in accordance with § 771 

ZPO, the Purchaser shall be liable for the shortfall we incur. 

(4) The Purchaser shall be entitled to resell the purchased item as part of the ordinary 

course of business; however, it shall assign to us now all receivables, in the amount of 

the final invoice amount agreed with us (including purchase tax) which we are entitled 

to claim, that accrue to it from the resale from its purchaser or third parties; this 

shall apply irrespective of whether the purchased item has been resold without having 

been processed or after processing. The Purchaser shall retain authorization to recover 

this debt even after the assignment. This shall not affect our authorization to recover 

the debt ourselves. However, we undertake not to recover the debt as long as the Purchaser 

satisfies its payment obligations from the proceeds received, does not default 

on payment and in particular as long as no application is made to institute bankruptcy 

proceedings, composition proceedings or insolvency proceedings and there is no suspension 

of payments. However, if this is the case, we can demand that the Purchaser notifies 

us of the assigned receivables and the debtor involved, supply all the information 

necessary for recovery, hand over the associated documents and inform the debtors 

(third parties) of the assignment. 

(5) Any processing or reconstruction of the purchased item undertaken by the Purchaser 

shall in all cases be undertaken for us. If the purchased item is processed using other 

articles that do not belong to us, we shall acquire joint ownership of the new article 

according to the ratio of the objective value of the purchased item (final invoice amount 

including purchase tax) to the other processed articles at the time of processing. Moreover, 

the same terms shall apply to the article which has been produced as a result of the 

processing as to the conditionally supplied purchased item. 

(6) If the purchased item is inseparably admixed with other articles that do not belong 

to us, we shall acquire joint ownership of the new article according to the ratio of the 

objective value of the purchased item (final invoice amount including purchase tax) to 

the other admixed articles at the time of admixture. If the admixture takes place in such 

a way that the Purchaser’s article is to be regarded as being the main article, it is agreed 

that the Purchaser shall transfer joint ownership to us proportionately. The Purchaser 

shall keep safe for us the sole or joint property that has thus come into being. 

(7) The Purchaser shall also assign to us, in order to safeguard our claims against it, those 

claims which have accrued against a third party as a result of combining the purchased 

item with a piece of real estate. 

(8) On request by the Purchaser, we undertake to release the securities to which we are 

entitled if the realizable value of our securities exceeds the debts to be secured by more 

than 10%; we shall decide which securities are to be released. 

§ 11 Applicable law place of jurisdiction place of performance 

(1) If the Purchaser is a businessman, our place of business shall be the place of jurisdiction. 

However, we shall also be entitled to take legal proceedings against the Purchaser in 

another lawful place of jurisdiction. 

(2) The laws of the Federal Republic of Germany shall apply; any applicability of UN sales 

law shall be excluded. 

(3) Provided that no contrary arrangements are made in the order confirmation, our place 

of business shall be the place of performance. 

(4) Should any individual provisions be ineffective or lose their effectiveness as a result of 

circumstances arising later, this shall not affect the effectiveness of the other provisions.
