For more than 60 years, HAI has been the association for member<br />

advocating for its members on legislative and regulatory issues and<br />
promoting the unique contributions of vertical flight.<br />

When signed by the advertiser, this insertion order constitutes a contractual agreement,<br />
and the advertiser is bound by HAI’s General Terms and Conditions for Advertising (see<br />
reverse or visit rotor.com/ad-terms). Unless HAI receives a cancellation by the space<br />
reservation date, advertisers/agencies are liable for all advertising charges incurred by<br />
the submission of this insertion order. Advertising materials may not be changed after<br />
the materials deadline. HAI reserves the right to charge $75 per hour to correct any<br />
advertising materials that do not conform to ad specifications.<br />

General Terms and Conditions for Advertising<br />
By submission of an advertisement of any kind to <strong>Helicopter</strong> <strong>Association</strong> <strong>International</strong> (“HAI”) for publication in HAI materials, <strong>Advertise</strong>r or<br />
its Agency (collectively “<strong>Advertise</strong>r”) agree(s) to abide by the following terms and conditions:<br />
1. These general terms and conditions for advertising and rates are subject to change without notice. <strong>Advertise</strong>r’s submission of an<br />
insertion order to HAI represents <strong>Advertise</strong>r’s acceptance of all HAI advertising rates and conditions in effect as of the date that insertion<br />
order is submitted.<br />
2. <strong>Advertise</strong>r acknowledges and agrees that Insertion orders are subject to strict publication deadlines. Accordingly, HAI cannot accept<br />
cancellations or changes to insertion orders after the space reservation date reflected on the rate card. HAI shall have the right to<br />
hold <strong>Advertise</strong>r and/or its advertising agency jointly and severally liable for such charges as are due and payable for insertion orders<br />
received by HAI by the space reservation date.<br />
3. HAI reserves the right to charge <strong>Advertise</strong>r additional amounts for production work required to make an advertisement print ready.<br />
HAI shall provide to <strong>Advertise</strong>r a quote of estimated production charges within a reasonable period after HAI’s receipt of advertising<br />
copy from <strong>Advertise</strong>r.<br />
4. Insertion orders that through the <strong>Advertise</strong>r’s error do not correspond with HAI published current rates will be charged at the HAI rates<br />
in effect at the time of the publication, without further notice.<br />
5. Payment in full for insertion orders is due to HAI no later than 30 days after HAI’s invoice date. Accounts not paid within these terms<br />
are subject to a late-payment finance charge computed at 2% per month (24% annual percentage rate) on any balance after due date.<br />
6. <strong>Advertise</strong>r acknowledges and agrees that only HAI Regular, Associate, and Affiliate Members may qualify for HAI member<br />
advertising rates.<br />
7. A 15% agency discount will be extended to advertisement agencies, provided that full payment is received within 30 days of invoice<br />
date. Agency discounts will be withdrawn on invoices not paid within 30 days.<br />
8. Changes to advertising copy must be received by HAI no later than the materials deadline reflected in the rate card. If HAI does not<br />
receive such changes prior to the materials deadline, HAI reserves the right to publish previously received advertisements without<br />
changes.<br />
9. HAI shall discard all advertising copy or other materials provided by <strong>Advertise</strong>r within one year after publication unless <strong>Advertise</strong>r<br />
advises HAI otherwise in writing.<br />
10. <strong>Advertise</strong>r acknowledges and agrees that HAI shall have sole discretion to determine the positioning of any advertisement in an HAI<br />
publication, with the exception of premium positioning purchased by the <strong>Advertise</strong>r.<br />
11. <strong>Advertise</strong>r’s submission of an advertisement to HAI constitutes <strong>Advertise</strong>r’s representation that <strong>Advertise</strong>r has the right to publish the<br />
contents thereof.<br />
12. <strong>Advertise</strong>r acknowledges and agrees that no terms or conditions other than those set forth in these general terms and conditions for<br />
advertising shall be binding on HAI unless an authorized representative of HAI expressly agrees otherwise in writing. HAI shall not be<br />
bound by conditions appearing on insertion orders that were placed by anyone other than an authorized representative of HAI.<br />
13. <strong>Advertise</strong>r and its agency agree to indemnify HAI and HAI’s officers, employees, and representatives for any claim, loss, damage, or<br />
expense caused by or arising out of the publication of <strong>Advertise</strong>r’s advertisement.<br />
14. HAI shall not be liable for any consequential damages if for any reason it fails to publish an advertisement. HAI’s sole liability for any<br />
failure to publish an advertisement will not exceed the cost of the space ordered by the <strong>Advertise</strong>r.<br />
15. HAI reserves the right to review contents of advertisements and to reject or cancel any advertisement, insertion order, space reservation,<br />
or position commitment at any time.<br />
16. HAI is not liable for nonpublication of advertisements to the extent nonpublication is due, in whole or in part, to an act of God,<br />
action by a governmental entity, fire, flood, insurrection, riot, explosion, embargo, strikes, labor or material shortages, transportation<br />
interruption of any kind, work slowdown, or any condition beyond the reasonable control of HAI.<br />
