<strong>Invitation</strong> <strong>to</strong> <strong>Tender</strong><br />
1. DEFINITIONS AND INTERPRETATIONS<br />
1.1 For the purposes <strong>of</strong> the <strong>Contract</strong> except where expressly stated <strong>to</strong> the contrary, the<br />
following words in capitals shall have the following meanings:-<br />

CONSULTANT<br />
CONTRACT<br />
CONTRACT<br />
PRICE<br />
DATA<br />
SCOPE<br />
SERVICES<br />
SITE<br />
means The University <strong>of</strong> Cambridge and includes its successors and<br />
assignees.<br />
means the person, firm or company awarded the CONTRACT by the<br />
UNIVERSITY and includes the CONSULTANT’S legal personal<br />
representatives, successors and permitted assignees.<br />
means the documents described in the Form <strong>of</strong> Agreement as <strong>for</strong>ming the<br />
CONTRACT or, if there is no Form <strong>of</strong> Agreement, the documents<br />
described as <strong>for</strong>ming the CONTRACT in the UNIVERSITY’S written<br />
notification <strong>to</strong> the CONSULTANT <strong>of</strong> the award <strong>of</strong> the CONTRACT.<br />
means the sum <strong>to</strong> be paid by the UNIVERSITY <strong>to</strong> the CONSULTANT<br />
calculated in accordance with the prices and/or rates detailed under the<br />
CONTRACT.<br />
means all designs, models, drawings, prints, samples, transparencies,<br />
specifications, reports, manuscripts, working notes, documentation,<br />
manuals, pho<strong>to</strong>graphs, negatives, tapes, discs, s<strong>of</strong>tware or any other<br />
similar items.<br />
means the description <strong>of</strong> the activities <strong>to</strong> be per<strong>for</strong>med by the<br />
CONSULTANT in accordance with the CONTRACT and any<br />
modification there<strong>of</strong> as may from time <strong>to</strong> time be provided or approved in<br />
writing <strong>to</strong> the CONSULTANT by the UNIVERSITY.<br />
means the carrying out <strong>of</strong> the SCOPE as required under the CONTRACT<br />
including, but not limited <strong>to</strong>, the provision by the CONSULTANT <strong>of</strong> all<br />
necessary resources including personnel.<br />
means the place where the SERVICES or any part there<strong>of</strong> are <strong>to</strong> be<br />
per<strong>for</strong>med.<br />
1.2 The terms defined under Clause 1.1 shall include the singular and plural as the<br />
context requires.
2. DESIGNATED REPRESENTATIVES<br />
2.1 The UNIVERSITY may by notice <strong>to</strong> the CONSULTANT appoint a UNIVERSITY<br />
Representative who shall have the authority <strong>to</strong> act on behalf <strong>of</strong> the UNIVERSITY<br />
on such matters in connection with the CONTRACT as shall be specified in such<br />
notice. The UNIVERSITY may by further notice <strong>to</strong> the CONSULTANT revoke or<br />
amend the authority <strong>of</strong> the UNIVERSITY Representative or appoint a new<br />
UNIVERSITY Representative.<br />
2.2 Subject <strong>to</strong> any limitations specified by the UNIVERSITY in the notice referred <strong>to</strong> in<br />
Clause 2.1 the UNIVERSITY Representative may from time <strong>to</strong> time by notice <strong>to</strong><br />
the CONSULTANT delegate all or any part <strong>of</strong> his authority <strong>to</strong> an assistant or<br />
assistants who shall be known as “UNIVERSITY Assistant Representative”. The<br />
UNIVERSITY Representative may by further notice <strong>to</strong> the CONSULTANT revoke<br />
or amend the delegated authority <strong>of</strong> any UNIVERSITY Assistant Representative or<br />
appoint a new UNIVERSITY Assistant Representative.<br />
2.3 The CONSULTANT shall by notice <strong>to</strong> the UNIVERSITY appoint a<br />
CONSULTANT Representative who shall have authority <strong>to</strong> act on behalf <strong>of</strong> the<br />
CONSULTANT on such matters in connection with the CONTRACT as shall be<br />
specified in such notice.<br />
3. ASSIGNMENT AND SUB-CONTRACTING<br />
3.1 The CONSULTANT shall not assign the CONTRACT in whole or in part or any<br />
benefit or interest therein without the prior written consent <strong>of</strong> the UNIVERSITY.<br />
3.2 The UNIVERSITY may assign or otherwise transfer the CONTRACT in whole or<br />
in part or any benefit or interest therein by notice <strong>to</strong> the CONSULTANT.<br />
3.3 The CONSULTANT shall not sub-contract the whole or any part <strong>of</strong> the<br />
SERVICES without the prior written consent <strong>of</strong> the UNIVERSITY. If such consent<br />
is given it shall not relieve the CONSULTANT from any liability or obligation<br />
under the CONTRACT and the CONSULTANT shall be responsible <strong>for</strong> the acts,<br />
omissions, defaults or negligence <strong>of</strong> its sub-contrac<strong>to</strong>rs, its agents or servants as<br />
fully as if they were the acts, omissions, defaults or negligence <strong>of</strong> the<br />
CONSULTANT.<br />
3.4 If consent is granted by the UNIVERSITY under Clause 3.3 the CONSULTANT<br />
shall ensure that all rights, duties and obligations the CONSULTANT has under<br />
the CONTRACT shall be included in any CONTRACT that the CONSULTANT<br />
enters in<strong>to</strong> with any sub-contrac<strong>to</strong>r.<br />
4. RELATIONSHIP OF PARTIES<br />
4.1 The CONSULTANT’S status shall be that <strong>of</strong> an independent CONSULTANT and<br />
the relationship <strong>of</strong> the parties shall not be that <strong>of</strong> principal and agent or employer<br />
and employee.
5. QUALITY OF THE SERVICES<br />
5.1 The SERVICES shall be carried out <strong>to</strong> the satisfaction <strong>of</strong> the UNIVERSITY and the<br />
CONSULTANT shall use the highest standard <strong>of</strong> skill and care which is ordinarily<br />
exercised by experienced and competent Consultants carrying out services <strong>of</strong> a<br />
similar nature <strong>to</strong> the SERVICES.<br />
5.2 Notwithstanding that the SERVICES or any part there<strong>of</strong> have been the subject <strong>of</strong><br />
any instruction, review, approval, acknowledgement or inspection, the<br />
CONSULTANT shall not be relieved from any liability or obligation under the<br />
CONTRACT.<br />
5.3 If the UNIVERSITY notifies the CONSULTANT <strong>of</strong> any deficiency in the<br />
SERVICES, which in the reasonable opinion <strong>of</strong> the UNIVERSITY is attributable <strong>to</strong><br />
the CONSULTANT, the CONSULTANT shall, without prejudice <strong>to</strong> the<br />
UNIVERSITY’S other rights, promptly remedy the deficiency in the SERVICES as<br />
required by the UNIVERSITY. All costs <strong>of</strong> such remedy shall be borne by the<br />
CONSULTANT. If the CONSULTANT fails <strong>to</strong> remedy the deficiency promptly in<br />
accordance with the UNIVERSITY’S notice, the UNIVERSITY may remedy or<br />
cause <strong>to</strong> be remedied any deficiency at the CONSULTANT’S cost.<br />
6. UNIVERSITY SUPPLIED DATA<br />
6.1 The CONSULTANT shall promptly notify the UNIVERSITY if it considers that<br />
DATA supplied by the UNIVERSITY is insufficient or if there are any important<br />
inconsistencies in any DATA supplied by the UNIVERSITY.<br />
7. RATE OF PROGRESS/COMPLETION<br />
7.1 The CONSULTANT shall carry out and complete the SERVICES within the period<br />
(if any) specified in the CONTRACT and, where applicable, in accordance with<br />
any programme which has been agreed by the UNIVERSITY. The<br />
CONSULTANT shall, if required by the UNIVERSITY, take such steps as may be<br />
necessary and as the UNIVERSITY may approve <strong>to</strong> remedy or mitigate any delay,<br />
including revision <strong>of</strong> the programme. The CONSULTANT shall not be entitled <strong>to</strong><br />
any additional payment <strong>for</strong> taking such steps except where:-<br />
7.1.1 the delay has been caused by the UNIVERSITY, its agents, servants or its<br />
other contrac<strong>to</strong>rs; or<br />
7.1.2 the CONSULTANT is otherwise relieved <strong>of</strong> responsibility <strong>for</strong> such delay<br />
under the CONTRACT.<br />
8. CONSULTANT’S PERSONNEL<br />
8.1 The CONSULTANT shall provide all personnel necessary <strong>to</strong> carry out the<br />
SERVICES. On completion <strong>of</strong> the part or parts <strong>of</strong> the SERVICES assigned <strong>to</strong> each<br />
member <strong>of</strong> the CONSULTANT’S personnel, the CONSULTANT shall immediately<br />
remove such person from the SERVICES unless otherwise requested by the<br />
UNIVERSITY.
8.2 The CONSULTANT shall assign <strong>to</strong> the SERVICES <strong>for</strong> the duration <strong>of</strong> the<br />
CONTRACT only such personnel as are qualified, skilled and experienced in their<br />
several pr<strong>of</strong>essions, trade and calling.<br />
8.3 The CONSULTANT shall use its best endeavours <strong>to</strong> ensure that the personnel it<br />
has assigned <strong>to</strong> the SERVICES continue in the functions and responsibilities <strong>to</strong><br />
which they are initially assigned <strong>for</strong> as long as is necessary <strong>to</strong> achieve completion <strong>of</strong><br />
the SERVICES.<br />
8.4 If the UNIVERSITY shall at any time be dissatisfied <strong>for</strong> any reason with the<br />
per<strong>for</strong>mance <strong>of</strong> any person engaged in the carrying out <strong>of</strong> the SERVICES, the<br />
CONSULTANT shall, if the UNIVERSITY so requires, cease <strong>to</strong> engage such<br />
person in the carrying out <strong>of</strong> the SERVICES and promptly provide a suitable<br />
substitute at no additional cost <strong>to</strong> the UNIVERSITY.<br />
8.5 Unless previously provided the CONSULTANT shall as soon as reasonably<br />
practicable prior <strong>to</strong> the carrying out <strong>of</strong> the SERVICES provide the UNIVERSITY<br />
with a written list <strong>of</strong> the personnel it proposes <strong>to</strong> use <strong>to</strong>gether with a written<br />
pr<strong>of</strong>ile there<strong>of</strong>. Following receipt <strong>of</strong> such a list the UNIVERSITY may <strong>for</strong> any<br />
reason ve<strong>to</strong> the selection <strong>of</strong> any person proposed by the CONSULTANT <strong>for</strong> the<br />
carrying out <strong>of</strong> the SERVICES.<br />
9. VARIATIONS<br />
9.1 The UNIVERSITY may from time <strong>to</strong> time during the SERVICES vary the SCOPE.<br />
Such variations may include, but are not limited <strong>to</strong>, additions, omissions,<br />
substitutions, alterations, changes in quality, <strong>for</strong>m, character, kind and changes in<br />
any specified sequence, method or timing <strong>of</strong> the SERVICES.<br />
9.2 If the CONSULTANT considers that any directions <strong>of</strong> the UNIVERSITY vary the<br />
SCOPE and/or will then or later justify a change <strong>to</strong> the CONTRACT PRICE, the<br />
CONSULTANT shall promptly notify the UNIVERSITY giving details there<strong>of</strong>.<br />
9.3 Any adjustment <strong>to</strong> the CONTRACT PRICE shall be determined in accordance<br />
with the rates/prices specified in the CONTRACT (if applicable). If the<br />
CONTRACT shall not contain such rates/prices then reasonable rates/prices shall<br />
be agreed by the parties and the CONSULTANT shall provide whatever<br />
supporting evidence the UNIVERSITY may reasonably require <strong>to</strong> enable such<br />
reasonable rates/prices <strong>to</strong> be determined.<br />
9.4 If:-<br />
9.4.1 following receipt <strong>of</strong> a notice under Clause 9.2 the UNIVERSITY does not<br />
agree that its directions vary the SCOPE or will reduce or increase the<br />
CONTRACT PRICE, or<br />
9.4.2 reasonable rates/prices are not agreed between the UNIVERSITY and the<br />
CONSULTANT under Clause 9.3
the UNIVERSITY shall notify the CONSULTANT in writing <strong>of</strong> its reasons.<br />
Notwithstanding such disagreement the CONSULTANT shall, unless<br />
otherwise notified by the UNIVERSITY, carry out such variations without<br />
prejudice <strong>to</strong> any <strong>of</strong> its other rights under the CONTRACT or at law.<br />
9.5 The CONSULTANT shall when carrying out such variations be bound by the<br />
CONTRACT.<br />
10. TERMINATION<br />
10.1 Either party may terminate the whole or any part <strong>of</strong> the CONTRACT <strong>for</strong>thwith<br />
if:-<br />
10.1.1 notice has been given <strong>to</strong> the other party <strong>of</strong> a substantial or persistent breach<br />
stating a reasonable period during which such breach is <strong>to</strong> be rectified and<br />
the party given such notice has failed <strong>to</strong> satisfac<strong>to</strong>rily remedy such breach<br />
within the period stated; or<br />
10.1.2 the other party:-<br />
10.1.2.1 either becomes or threatens <strong>to</strong> become bankrupt or<br />
insolvent or is adjudicated bankrupt or insolvent by a court<br />
<strong>of</strong> competent jurisdiction in its country <strong>of</strong> incorporation; or<br />
10.1.2.2 has a body or person (including, but not limited <strong>to</strong>, a<br />
liquida<strong>to</strong>r, administrative or other receiver or manager)<br />
appointed <strong>to</strong> manage its affairs or assets or its undertakings<br />
on behalf <strong>of</strong> its credi<strong>to</strong>rs, members or a court <strong>of</strong> competent<br />
jurisdiction; or<br />
10.1.2.3 issues a notice proposing that it be wound up or passes a<br />
resolution <strong>for</strong> its winding up; or<br />
10.1.2.4 ceases <strong>to</strong> carry on all or substantially all <strong>of</strong> its business or is<br />
unable <strong>to</strong> pay its debts as defined in accordance with<br />
relevant legislation (in the case <strong>of</strong> a UNIVERSITY<br />
incorporated in England and Wales, within the meaning <strong>of</strong><br />
Section 123 <strong>of</strong> the Insolvency Act 1986) including any<br />
amendments and re-enactment there<strong>of</strong>.<br />
10.2 If the UNIVERSITY terminates:<br />
10.2.1 under Clauses 10.1 or 10.4 the CONSULTANT shall if so required by the<br />
UNIVERSITY immediately vacate the SITE (where applicable).<br />
10.2.2 under Clause 10.1 only but without prejudice <strong>to</strong> any other rights <strong>of</strong> the<br />
UNIVERSITY, the CONSULTANT shall be liable <strong>for</strong> any additional cost<br />
over and above the CONTRACT PRICE incurred by the UNIVERSITY in<br />
completing the SERVICES. The UNIVERSITY may deduct such additional
cost from amounts (if any) as are due <strong>to</strong> the CONSULTANT or otherwise<br />
recover such cost as a debt due from the CONSULTANT. Subject <strong>to</strong> the<br />
<strong>for</strong>egoing, however, the CONSULTANT may recover from the<br />
UNIVERSITY, by way <strong>of</strong> full and final satisfaction <strong>of</strong> all claims, those<br />
moneys which the UNIVERSITY agrees were accrued due prior <strong>to</strong> such<br />
termination.<br />
10.3 If the CONSULTANT terminates under Clause 10.1, the CONSULTANT shall<br />
immediately vacate the SITE (where applicable). Thereafter, the CONSULTANT<br />
may, without prejudice <strong>to</strong> any <strong>of</strong> its other rights or remedies under the<br />
CONTRACT, recover from the UNIVERSITY, by way <strong>of</strong> full and final satisfaction<br />
<strong>of</strong> all claims, all moneys accrued due prior <strong>to</strong> such termination plus all reasonable<br />
costs actually and necessarily incurred by the CONSULTANT directly and<br />
exclusively as the result <strong>of</strong> such termination.<br />
10.4 Without prejudice <strong>to</strong> the rights <strong>of</strong> the UNIVERSITY <strong>to</strong> terminate the CONTRACT<br />
under Clause 10.1, the UNIVERSITY may <strong>for</strong> any other reason whatsoever<br />
terminate the CONTRACT or any part there<strong>of</strong> at any time by giving reasonable<br />
notice <strong>to</strong> the CONSULTANT and specifying the date from which termination shall<br />
be effective. In such event the UNIVERSITY shall make reasonable payment <strong>to</strong> the<br />
CONSULTANT <strong>for</strong> all work per<strong>for</strong>med prior <strong>to</strong> the date <strong>of</strong> termination and any<br />
approved additional costs necessarily and reasonably incurred by the<br />
CONSULTANT as a direct result <strong>of</strong> such termination.<br />
10.5 Any sums recoverable by the CONSULTANT under Clauses 10.2.2, 10.3 and 10.4<br />
shall not exceed the CONTRACT PRICE.<br />
11. PAYMENT<br />
11.1 The CONSULTANT shall submit <strong>to</strong> the UNIVERSITY at the address stated in the<br />
CONTRACT a detailed priced invoice in accordance with the CONTRACT and/or<br />
pricing schedule. The invoice shall show or have attached all in<strong>for</strong>mation<br />
necessary <strong>to</strong> support the invoiced amount therein including all relevant time sheets<br />
or schedules.<br />
11.2 Unless otherwise specified in the CONTRACTand/or pricing schedule, the<br />
UNIVERSITY will pay <strong>for</strong> the SERVICES within such time period as may be<br />
agreed, but not earlier than 30 days after the end <strong>of</strong> the month <strong>of</strong> receipt by the<br />
UNIVERSITY <strong>of</strong> the CONSULTANT’s invoice and appropriate supporting<br />
in<strong>for</strong>mation in respect <strong>of</strong> SERVICES properly carried out. Payment shall not operate<br />
as a waiver <strong>of</strong> any <strong>of</strong> the UNIVERSITY’S rights under the CONTRACT.<br />
11.3 All sums payable under the CONTRACT shall be exclusive <strong>of</strong> Value Added Tax<br />
which may be added <strong>to</strong> the invoice where appropriate. The UNIVERSITY shall<br />
pay <strong>to</strong> the CONSULTANT all Value Added Tax properly chargeable in respect <strong>of</strong><br />
the SERVICES, provided that the CONSULTANT gives the UNIVERSITY a valid<br />
tax invoice in accordance with relevant legislation. The CONSULTANT shall pay<br />
all other taxes arising under the CONTRACT.
11.4 The UNIVERSITY shall unless otherwise specified in the CONTRACT make<br />
payment in Pounds Sterling.<br />
11.5 The UNIVERSITY may set-<strong>of</strong>f part or all <strong>of</strong> payments due <strong>to</strong> the CONSULTANT<br />
under the CONTRACT against amounts due from the CONSULTANT <strong>to</strong> the<br />
UNIVERSITY under the CONTRACT or any other contract.<br />
12. INDEMNITY<br />
12.1 The CONSULTANT shall be liable <strong>for</strong> and shall indemnify and defend the<br />
UNIVERSITY from all losses, costs, damages and expenses arising out <strong>of</strong> any claim<br />
in respect <strong>of</strong> injury or sickness, disease or death <strong>of</strong> any person or loss <strong>of</strong> or damage<br />
<strong>to</strong> any property arising out <strong>of</strong> the CONTRACT and shall, at its own cost at the<br />
UNIVERSITY’S request, defend the UNIVERSITY in any proceedings involving<br />
the same, except that the UNIVERSITY shall be liable <strong>for</strong> and shall indemnify and<br />
defend the CONSULTANT from all losses, costs, damages and expenses, arising<br />
out <strong>of</strong> any claim <strong>to</strong> the extent that the said injury, sickness, disease, death, loss or<br />
damage is caused or contributed <strong>to</strong> by the negligence <strong>of</strong> the UNIVERSITY.<br />
12.2 The CONSULTANT shall be liable <strong>for</strong> and shall indemnify and defend the<br />
UNIVERSITY from all losses, costs, damages and expenses arising out <strong>of</strong> any claim<br />
in respect <strong>of</strong> any infringement or alleged infringement <strong>of</strong> any patent, copyright or<br />
other intellectual property rights arising by reason <strong>of</strong> the per<strong>for</strong>mance <strong>of</strong> the<br />
SERVICES or the possession or use <strong>of</strong> any DATA supplied by the CONSULTANT<br />
or which arises out <strong>of</strong> or in connection with the CONSULTANT’S obligations<br />
under the CONTRACT, except that this indemnity shall not apply in respect <strong>of</strong><br />
any infringement or alleged infringement arising as a result <strong>of</strong> the correct use by<br />
the CONSULTANT <strong>of</strong> any DATA supplied by the UNIVERSITY.<br />
13. INSURANCE<br />
13.1 The CONSULTANT shall effect and maintain and shall require its sub-contrac<strong>to</strong>rs<br />
<strong>to</strong> effect and maintain throughout the continuance <strong>of</strong> the CONTRACT insurance<br />
policies with insurers under <strong>for</strong>ms <strong>of</strong> policies satisfac<strong>to</strong>ry <strong>to</strong> the UNIVERSITY<br />
which shall include, but not be limited <strong>to</strong>, the types and amounts set out in Clause<br />
13.4. Such policies shall contain a waiver <strong>of</strong> subrogation rights in favour <strong>of</strong> the<br />
UNIVERSITY which reflect the provisions <strong>of</strong> Clause 12. The CONSULTANT<br />
shall bear any and all excesses, deductibles or franchises incorporated therein.<br />
13.2 The CONSULTANT may be requested <strong>to</strong> provide the UNIVERSITY with<br />
Certificates <strong>of</strong> Insurance. Certificates shall be provided within fifteen (15) days <strong>of</strong><br />
such request. Failure <strong>to</strong> provide such Certificates may be taken by the<br />
UNIVERSITY <strong>to</strong> indicate that the CONSULTANT has failed <strong>to</strong> meet its<br />
obligations <strong>to</strong> provide the insurance cover required under the CONTRACT. The<br />
CONSULTANT shall also provide the UNIVERSITY with updated Certificates on<br />
the renewal <strong>of</strong> any policies required hereunder.
13.3 The CONSULTANT shall give immediate written notice <strong>to</strong> the UNIVERSITY and<br />
all insured parties in the event <strong>of</strong> cancellation or material change which may affect<br />
the UNIVERSITY’S or any injured party’s interest.<br />
13.4 The insurance polices referred <strong>to</strong> in Clause 13.1 are:-<br />
13.4.1 insurance in accordance with workman’s compensation and occupational<br />
disease laws and employer’s liability insurance <strong>for</strong> an amount <strong>of</strong> not less<br />
than five million pounds (£5,000,000) per occurrence or series <strong>of</strong><br />
occurrences arising from the one event, which shall comply with all<br />
applicable laws. Such insurance shall cover all employees <strong>of</strong> the<br />
CONSULTANT engaged in the per<strong>for</strong>mance <strong>of</strong> the CONSULTANT’S<br />
obligations under the CONTRACT and shall contain an indemnity <strong>to</strong><br />
principals clause;<br />
13.5<br />
13.4.2 general third party insurance with a combined bodily injury and property<br />
damage limit <strong>of</strong> not less than two million pounds (£2,000,000) or such<br />
other sum as may be specified by the UNIVERSITY per occurrence or series<br />
<strong>of</strong> occurrences arising from the one event. Such insurance shall contain an<br />
indemnity <strong>to</strong> principals clause.<br />
Without limiting its liabilities under clause 12 the Contrac<strong>to</strong>r shall take out and<br />
maintain with a reputable insurance company pr<strong>of</strong>essional indemnity insurance in<br />
respect <strong>of</strong> the Contrac<strong>to</strong>r's business generally, which insurance may be limited in<br />
respect <strong>of</strong> any one claim and in aggregate provided that any such limit (and any<br />
limit <strong>of</strong> liability under the <strong>Contract</strong>) shall be at least £200,000???.<br />
14. INTELLECTUAL PROPERTY<br />
14.1 All patents, copyright, design rights and other intellectual property rights<br />
(“IP Rights”) in all DATA prepared or supplied by the UNIVERSITY <strong>to</strong> the<br />
CONSULTANT shall remain the property <strong>of</strong> the UNIVERSITY.<br />
14.2 All “IP Rights” in all DATA prepared or developed by the CONSULTANT under<br />
or in connection with the CONTRACT shall vest in the UNIVERSITY.<br />
14.3 All “IP Rights” in all DATA not prepared or developed by the CONSULTANT<br />
under or in connection with the CONTRACT but which are:-<br />
14.3.1 already vested in the CONSULTANT and<br />
14.3.2 used by the CONSULTANT in connection with the CONTRACT<br />
shall remain vested in the CONSULTANT but the CONSULTANT hereby grants a<br />
non-exclusive, irrevocable, royalty-free licence <strong>to</strong> both the UNIVERSITY and <strong>to</strong><br />
any third party whom the UNIVERSITY has authorised or may in the future<br />
authorise <strong>to</strong> use, copy or modify such DATA provided it is <strong>to</strong> enable the
UNIVERSITY or such third party <strong>to</strong> utilise the DATA prepared or developed<br />
under or in connection with the CONTRACT.<br />
14.4 The CONSULTANT shall disclose <strong>to</strong> the UNIVERSITY all inventions which the<br />
CONSULTANT or the CONSULTANT’S personnel may make in the per<strong>for</strong>mance<br />
<strong>of</strong> the SERVICES and which are wholly or substantially based on concepts or<br />
DATA developed or supplied by the UNIVERSITY. All “IP Rights” <strong>to</strong> such<br />
inventions shall vest in the UNIVERSITY.<br />
14.5 The CONSULTANT shall execute all documents and per<strong>for</strong>m such acts as may be<br />
reasonably necessary <strong>to</strong> enable the UNIVERSITY <strong>to</strong> obtain and/or maintain all “IP<br />
Rights” and perfect its title <strong>to</strong> any inventions referred <strong>to</strong> in Clause 14.4 and all<br />
DATA referred <strong>to</strong> in Clause 14.2.<br />
14.6 The CONSULTANT shall ensure that all “IP Rights” in all DATA prepared or<br />
developed by any third party under or in connection with the CONTRACT,<br />
including permitted sub-contrac<strong>to</strong>rs under Clause 3.3, shall become vested in the<br />
UNIVERSITY.<br />
14.7 In respect <strong>of</strong> any “IP Rights” vested in any third party supplied but not prepared or<br />
developed under or in connection with the CONTRACT, the CONSULTANT shall<br />
obtain from such third party (at no cost and expense <strong>to</strong> the UNIVERSITY) such<br />
permission, waiver or licence as may be necessary <strong>to</strong> enable the SERVICES <strong>to</strong> be<br />
per<strong>for</strong>med and completed and/or the DATA used, copied or modified by either the<br />
UNIVERSITY or by any third party whom the UNIVERSITY has authorised.<br />
14.8 The CONSULTANT waives, and shall procure from any third party the waiver <strong>of</strong>,<br />
the exercise against the UNIVERSITY <strong>of</strong> all moral rights in DATA that are or<br />
become vested in the CONSULTANT and/or any third party.<br />
15. RETURN OF UNIVERSITY PROPERTY<br />
15.1 Upon completion or termination <strong>of</strong> the SERVICES or earlier upon receipt by the<br />
CONSULTANT <strong>of</strong> the UNIVERSITY’S notice requiring the CONSULTANT so <strong>to</strong><br />
do the CONSULTANT shall send all property <strong>of</strong> the UNIVERSITY <strong>to</strong> the<br />
UNIVERSITY and in the case <strong>of</strong> DATA referred <strong>to</strong> in Clause 14:<br />
16. LIENS<br />
15.1.1 which is in physical <strong>for</strong>m shall, at the UNIVERSITY’S option, either send<br />
such DATA and all copies <strong>to</strong> the UNIVERSITY or certify <strong>to</strong> the<br />
UNIVERSITY that they have been destroyed;<br />
15.1.2 which is not in physical <strong>for</strong>m or where it is not practical <strong>to</strong> send the DATA<br />
<strong>for</strong>m <strong>to</strong> the UNIVERSITY, shall unless otherwise notified by the<br />
UNIVERSITY certify <strong>to</strong> the UNIVERSITY that such DATA has been<br />
destroyed or erased.<br />
16.1 The CONSULTANT shall protect and hold all property <strong>of</strong> the UNIVERSITY free<br />
from liens, charges and other encumbrances.
17. PUBLICITY<br />
17.1 The CONSULTANT shall obtain written approval from the UNIVERSITY prior <strong>to</strong><br />
taking pho<strong>to</strong>graphs or making publicity releases or announcements including<br />
advertisements regarding either the CONTRACT or the activities <strong>of</strong> the<br />
CONSULTANT related <strong>to</strong> its participation in the CONTRACT.<br />
18. CONFIDENTIALITY<br />
18.1 The CONSULTANT shall keep confidential all in<strong>for</strong>mation connected with the<br />
business <strong>of</strong> the UNIVERSITY or which comes <strong>to</strong> the CONSULTANT’S knowledge<br />
under or as a result <strong>of</strong> the CONTRACT and shall not disclose it <strong>to</strong> any third party<br />
or use it other than <strong>for</strong> per<strong>for</strong>mance <strong>of</strong> the SERVICES except:-<br />
18.1.1 with the prior written agreement <strong>of</strong> the UNIVERSITY; or<br />
18.1.2 by requirement <strong>of</strong> law.<br />
18.2 The provisions <strong>of</strong> Clause 18.1 shall not apply <strong>to</strong> such in<strong>for</strong>mation if it is:-<br />
18.2.1 in the public domain otherwise than by failure <strong>of</strong> the CONSULTANT <strong>to</strong><br />
comply with Clause 18.1, or<br />
18.2.2 in the possession <strong>of</strong> the CONSULTANT be<strong>for</strong>e these confidentiality<br />
obligations came in<strong>to</strong> effect, or<br />
18.2.3 obtained from a third party who is free <strong>to</strong> disclose the same.<br />
18.3 If the CONSULTANT enters or has entered in<strong>to</strong> a separate confidentiality<br />
agreement with the UNIVERSITY, the terms <strong>of</strong> such confidentiality agreement<br />
shall take precedence over this Clause 18.<br />
19. AUDIT ACCESS<br />
19.1 The CONSULTANT shall maintain accurate records relevant <strong>to</strong> the CONTRACT<br />
and shall permit the UNIVERSITY or its authorised personnel and/or agents access<br />
at all reasonable times <strong>to</strong> such records.<br />
20. LAWS, REGULATIONS AND BYE-LAWS<br />
20.1 The CONSULTANT shall observe and comply with all statutes and regulations<br />
<strong>to</strong>gether with any bye-laws and regulations <strong>of</strong> local and other authorities<br />
applicable <strong>to</strong> the SERVICES.<br />
20.2 The CONSULTANT shall observe any rules <strong>of</strong> the UNIVERSITY applicable <strong>to</strong> the<br />
SITE <strong>of</strong> the UNIVERSITY.<br />
21. COMMISSION
21.1 The CONSULTANT shall not without the prior written approval <strong>of</strong> the<br />
UNIVERSITY accept any commission or any other payment from tenderers,<br />
contrac<strong>to</strong>rs, vendors or any party (other than the UNIVERSITY) concerned with<br />
the SERVICES.<br />
22. WAIVER<br />
22.1 The CONTRACT shall not be waived in whole or in part except where agreed by<br />
both parties in writing.<br />
22.2 The non-en<strong>for</strong>cement <strong>of</strong> any <strong>of</strong> the terms <strong>of</strong> the CONTRACT by either party shall<br />
not be construed as a waiver <strong>of</strong> any <strong>of</strong> that party’s other rights.<br />
FORCE MAJEURE<br />
23.1 Neither party shall be liable <strong>to</strong> the other or be deemed <strong>to</strong> be in breach <strong>of</strong> contract by<br />
reason <strong>of</strong> any delay in per<strong>for</strong>ming, or any failure <strong>to</strong> per<strong>for</strong>m any <strong>of</strong> their respective<br />
obligations in relation <strong>to</strong> the CONTRACT if the delay or failure was due <strong>to</strong> any<br />
cause beyond said party’s reasonable control including, but not limited <strong>to</strong>, industrial<br />
action, war, fire, prohibition or enactment <strong>of</strong> any kind.<br />
24. GOVERNING LAW<br />
24.1 Unless the parties here<strong>to</strong> otherwise agree, the CONTRACT shall be governed by<br />
and construed in accordance with English Law, except where the SERVICES are<br />
situated wholly or substantially in Scotland in which case Scottish Law shall apply.<br />
24.2 In respect <strong>of</strong> any dispute under or arising out <strong>of</strong> the CONTRACT, the parties<br />
here<strong>to</strong> agree <strong>to</strong> submit <strong>to</strong> the jurisdiction <strong>of</strong> the English Courts, except where<br />
Scottish Law applies in which case the parties shall submit <strong>to</strong> the jurisdiction <strong>of</strong> the<br />
Scottish Courts.<br />
25. NOTICES<br />
25.1 All notices shall be given in writing and be delivered by hand or sent by telex,<br />
facsimile or recorded delivery post <strong>to</strong> the address <strong>of</strong> the relevant party as stated<br />
herein or <strong>to</strong> any subsequently notified address. Any notice sent by telex or<br />
facsimile shall be deemed <strong>to</strong> have been served at the time <strong>of</strong> transmission. A notice<br />
sent by post shall be deemed <strong>to</strong> have been served four (4) days after posting.<br />
26. ENTIRETY<br />
26.1 The CONTRACT comprises the entire agreement between the parties <strong>to</strong> the<br />
exclusion <strong>of</strong> all other terms and conditions and prior <strong>to</strong> collateral agreements,<br />
negotiations, notices <strong>of</strong> intention and representation and the parties agree that they<br />
have not been induced <strong>to</strong> enter in<strong>to</strong> the CONTRACT on the basis <strong>of</strong> any<br />
representation. Furthermore, the parties shall not be bound by or be liable <strong>for</strong> any<br />
statement, representation, promise, inducement or understanding <strong>of</strong> any kind or
nature not set <strong>for</strong>th in the CONTRACT and no amendment <strong>to</strong> the CONTRACT,<br />
other than variations <strong>to</strong> the SCOPE in accordance with Clause 9, shall be binding<br />
on either party unless in writing and signed by an authorised representative <strong>of</strong> each<br />
