MATTER EXPANSION, TRENDS AND “NEW” GUIDANCE<br />

2012 brought high-pr<strong>of</strong>ile white collar enforcement developments<br />

that signal new challenges for corporations, executives and inhouse<br />

counsel. Highlights include the indictment <strong>of</strong> BP employees<br />

on involuntary manslaughter and obstruction <strong>of</strong> justice charges,<br />

the congressional and criminal probes <strong>of</strong> a Massachusetts drug<br />

compounding company regarding its possible role in a deadly<br />

Stephen R. Martin, II has a long history <strong>of</strong> handling corporate<br />

compliance and governmental investigations as an in-house<br />

counsel and compliance <strong>of</strong>ficer to several major corporations, a<br />

former federal and state prosecutor, a corporate consultant and<br />

a business ethics pr<strong>of</strong>essor. Mr. Martin has extensive experience<br />

developing, implementing, evaluating and enhancing corporate<br />

compliance/ethics programs internationally. He addresses a wide<br />

HANDLING THE CATASTROPHIC CLAIM - IT’S PROBABLY NOT<br />

THE END OF THE WORLD AS YOU KNOW IT (HOPEFULLY!)<br />

Literature has suggested that many general counsel and senior<br />

managers share a common and recurring nightmare – they learn<br />

about a potentially crippling corporate catastrophe and/or careerdefining<br />

problem for the first time just as its about to make the<br />

news – or worse – it is the news! Neither they nor their colleagues<br />

saw it coming or, if they did, they woefully miscalculated how<br />

bad it could get, how large and multifaceted the company’s<br />

exposure could be, how relentless and destructive media coverage<br />

is, and just how many zeros there are in a devastating multimillion/billion<br />

dollar jury award or settlement. When headlinemaking<br />

problems arise, companies must be prepared to move<br />

quickly and in a number <strong>of</strong> diverse directions.<br />

A panel <strong>of</strong> experienced and nationally renowned in-house<br />

lawyers, outside trial counsel, a senior insurance complex claims<br />

manager and a crisis communication/media management expert<br />

will discuss best practices when companies are confronted with<br />

such nightmare scenarios. The panel will look at actions to be<br />

considered when a product recall is identified, a catastrophic<br />

environmental hazard is exposed, or a devastating financial<br />

miscalculation or transgression has been uncovered. The panel<br />

will discuss what to do before the first lawsuit is filed, after<br />

litigation has commenced, and when a mind-numbing verdict is<br />

awarded. We will consider such issues as pre-suit investigations;<br />

media management; forum choices; retention <strong>of</strong> lawyers with<br />

Outside counsel members and partners <strong>of</strong> members can attend the <strong>College</strong> only if they are accompanied by a client. The package<br />

registration fee is $1,675 (includes one outside counsel and one in-house client). Fee for first additional client: $700; second additional<br />

client: $650; third or greater additional client: $600. For in-house counsel and insurance executive members and in-house counsel and<br />

CLE Credit<br />

Approximately 9 hours <strong>of</strong> general CLE credit in 60-minute states and 10.8 hours <strong>of</strong> general CLE credit in 50-minute states will be<br />

requested for accreditation from all mandatory continuing legal education jurisdictions.<br />

CPD Credit (U.K. and Canada)<br />

The IADC is an Authorised Provider <strong>of</strong> CPD Credit with the Solicitors Regulation Authority <strong>of</strong> England and Wales. The IADC is also<br />

a Pre-Approved Provider <strong>of</strong> CPD Credit with the Law Society <strong>of</strong> British Columbia. The Quebec CPD Committee recognizes courses<br />

approved by other Canadian bars as approved in Quebec. 9 CPD credits are available for attendance at the <strong>Corporate</strong> <strong>Counsel</strong> <strong>College</strong>.<br />

Cancellation Policies<br />

Registration Fee: A CASH REFUND, less a $150 processing fee, will be made if a written notice <strong>of</strong> cancellation is received by the<br />

IADC <strong>of</strong>fice more than thirty (30) days prior to the first day <strong>of</strong> the meeting. No reason for the cancellation need be provided for a timely<br />

notice <strong>of</strong> cancellation. NO CASH REFUND will be made if notice <strong>of</strong> cancellation is received by the IADC <strong>of</strong>fice thirty (30) days or less<br />

prior to the first day <strong>of</strong> the meeting. However, if special circumstances arise before the meeting which prevent attendance, a member<br />

may request a future meeting credit. The request needs to be in writing and submitted to the IADC <strong>of</strong>fice. It should be directed to the<br />

Finance Committee’s attention and note the special circumstances which caused cancellation. The credit request can only apply to meeting<br />

registration fees (not air, hotel, activity, tour, or special event fees) and, if approved, will be valid for use toward any IADC meeting for one<br />

(1) year from the date <strong>of</strong> the meeting for which credit is requested. A $150 processing fee will be deducted from the total future meeting<br />

credit. All future meeting credit requests will be considered by the Finance Committee and the decision <strong>of</strong> that Committee will be final.<br />

While each session will follow a slightly different format,<br />
