Dear Madam / Sir,<br />
Mr. Esko Hamilo, Under-Secretary of State for External Economic Relations, Ministry for Foreign Affairs of<br />
Finland, will visit <strong>Kenya</strong> (Nairobi) and <strong>Uganda</strong> (Kampala) on September 30 – October 4, 2012. Finpro<br />
cordially invites high-level representatives of Finnish companies to join a Business Delegation in connection<br />
with this visit.<br />
The focus of this high-level visit will be on the following Industry Sectors:<br />
• Oil and Gas<br />
• Infrastructure and Logistics<br />
• Energy and Renewable Energy<br />
• ICT<br />
• Manufacturing Industry and<br />
• Agriculture.<br />
The purpose of the visit will be:<br />
• to foster and increase bilateral economic relations by promoting Finnish business offerings at<br />
governmental and business levels<br />
• to gather information on the opportunities <strong>Kenya</strong> and <strong>Uganda</strong> can offer Finnish businesses<br />
• to enhance and support existing Finnish business activities in <strong>Kenya</strong> and <strong>Uganda</strong>.<br />
Finpro is responsible for the program of the Business Delegation. During the visit Business Delegates will<br />
have an opportunity to attend various Networking Events and to request Under-Secretary -led meetings<br />
with organizations and authorities which Finpro will organize together with its local partners and the<br />
Embassy of Finland in Nairobi.<br />
Finpro provides the following services for participants in the Business Delegation:<br />
• Arranging meetings with authorities and business leaders;<br />
• Participation in selected events of the Under-Secretary’s program;<br />
• The Under-Secretary’s participation in various business events;<br />
• <strong>Invitation</strong>s to your company’s customers or other contacts to networking events;<br />
• Inclusion of your company in the Business Delegation Brochure which will be widely distributed<br />
during the visit;<br />
• Background information on <strong>Kenya</strong> and <strong>Uganda</strong>;<br />
• Block reservation for the hotels in Nairobi and Kampala; and<br />
• Group ground transportation in Nairobi and Kampala by bus according to the program.<br />
To cover the expenses, Finpro will charge a participation fee of<br />
• Major Companies: EUR 2800 + 23% VAT per person<br />
• SMEs: EUR 2600 + 23% VAT per person<br />

The participation fee includes arrangements in Nairobi and Kampala for September 30 – October 4, 2012. A<br />
50 percent discount of the participation fee will be granted for each additional representative of your<br />

company. If the company will be represented by a person stationed in <strong>Kenya</strong> or <strong>Uganda</strong>, a 25 percent<br />
discount will be granted. The discounts are not accumulative. The participation fee does not include flights<br />
or accommodation of the participant nor meals outside the Business Delegation program.<br />

TERMS OF OFFER FOR BUSINESS DELEGATIONS<br />
Finpro organizes business delegations for Finnish companies in order to promote their businesses in<br />
selected markets.<br />
1 Definition of Company Size: (for reference only)<br />
A small business is defined as<br />
a firm with personnel not<br />
exceeding 50 employees and<br />
with either an annual turnover<br />
of maximum EUR 7 million<br />
or a balance sheet total of<br />
maximum EUR 5 million.<br />
Businesses larger than that shall<br />
not own more than a quarter of<br />
the capital of a<br />
small business.<br />
A small or medium-sized<br />
enterprise (SME) is a firm with<br />
personnel not exceeding 250<br />
employees and with either an<br />
annual turnover of maximum<br />
EUR 7-40 million or a balance<br />
sheet total of maximum EUR<br />
27 million. Businesses larger<br />
than that shall not own more<br />
than a quarter of the capital of<br />
an SME.<br />
A major company is<br />
defined as a firm with<br />
personnel exceeding 250<br />

2 The contents and the price of the offer are indicated in the invitation letter of each visit. If there is a<br />
need to determine the size of a company, an EU definition of small and medium-size companies is<br />
applied (96/280/EC).<br />
3 Finpro has the right to nominate the delegation and select its leadership.<br />
4 If less than ten companies are to join the delegation, Finpro has the right to reconsider or cancel the<br />
offer. If Finpro is to cancel, its liability is limited to a full refund of the participation fees. If this is to<br />
occur, the company registered in the delegation has the right to cancel its participation against a full<br />
refund.<br />
5 A registration is binding. If a company is to cancel its participation, a refund will be granted as<br />
follows:<br />
• Cancellation by August 17, 2012: a 100 percent refund.<br />
• Cancellation after August 17, 2012: no refund.<br />
A company may change its delegate after the registration. All changes to the registration or<br />
cancellation are to be made in writing.<br />
6 Finpro will confirm and invoice the participation one month prior to the visit or, made the<br />
registration within a month to the departure, immediately after the registration.<br />

1. GENERAL<br />
This document constitutes part of Finpro Association’s (Finpro) quotation to the<br />
client. It defines responsibilities and rights related to assignment.<br />
In case of conflicting provisions, the other parts of the quotation shall prevail<br />
over these general conditions.<br />
2. CONTRACTING PARTIES<br />
The contracting parties consist of the client as the ordering party and Finpro as<br />
the party carrying out the assignment.<br />
3. CONTRACT OF ASSIGNMENT<br />
The contract includes Finpro’s written quotation and appendices to it approved<br />
by the client in writing, as well as any agreed and recorded amendments to it.<br />
4. BACKGROUND INFORMATION<br />
The client shall give Finpro sufficient, accurate and up-to-date material and<br />
information for carrying out the assignment.<br />
FINPRO GENERAL CONDITIONS OF A CONTRACT<br />
5. CONTRACTUAL AMENDMENTS<br />
The pricing of the assignment is based on the quotation and its scope.<br />
In case there is a need to change the scope or contract, the parties shall<br />
negotiate and agree on the matter as well as the impact on the delivery time and<br />
price. Any amendments must be agreed in writing.<br />
Finpro is entitled to change the charge (e.g. due to changes in value-added tax or<br />
other tax) and receive compensation from the client for those additional costs<br />
that have to be remitted due to changed law or orders of the authorities. Finpro<br />
is obliged to immediately inform the client of any such changes.<br />
6. INVOICING<br />
Invoicing takes place in euro from Finland. Furthermore, the value-added tax in<br />
accordance with the Finnish legislation will be added to the charge. The term of<br />
payment is 21 days from the date of the invoice.<br />
In case the client does not comply with the liability to pay as specified in the<br />
contract, Finpro is entitled to suspend the assignment as well as to retain the<br />
results of the work performed and the documents until the client has paid the<br />
outstanding payments.<br />
7. SUSPENDING AND TERMINATING THE ASSIGNMENT<br />
Both parties are entitled to suspend or to terminate the contract if the<br />
circumstances change during the course of the assignment in such a way that<br />
completing of the assignment becomes unreasonable.<br />
Notice of suspension or termination shall be given in writing within one week<br />
from the arising of the grounds.<br />
The client shall compensate Finpro for the costs of the assignment work so far<br />
based on a separate account. After receiving the payment Finpro will at client’s<br />
request hand over the results of the assignment so far. The parties shall<br />
separately agree on possible continuation of the assignment.<br />
Both parties are entitled to terminate the contract if the other party breaches the<br />
contract and has not remedied his breach within one month from the other<br />
party’s written notice. In case the breach is repeated, the contract can be<br />
terminated immediately.<br />
Otherwise the assignment is deemed as completed when the scope of the<br />
contract is fulfilled.<br />
8. SUBLETTING<br />
During the course of the assignment Finpro is entitled to use sub suppliers.<br />
Finpro assumes the same responsibilities for their work that are defined in its<br />
own contractual liabilities.<br />
9. TRANSFER OF THE CONTRACT<br />
Neither party has the right to transfer the contract to a third party without a<br />
written consent from the other party.<br />
10. CONFIDENTIALITY<br />
The quotation submitted to the client and the cooperation with the client<br />
regarding preparation, implementation and follow-up of the assignment is<br />
confidential and no information on the above may be given to a third party.<br />
Finpro is not obliged to disclose information and material received from the<br />
client as business secrets and whose disclosure to competitors or other<br />
outside parties could harm the client’s financial interests. This does not,<br />
however, apply to generally available public information and material.<br />
11. RIGHTS TO QUOTATION AND WORK RESULTS<br />
All rights to the quotation made, such as proprietary right, copyright,<br />
exploitation right and modification right belong to Finpro unless otherwise<br />
agreed in writing.<br />
All rights to the results of the assignment belong to the client. The client may<br />
not, however, hand over the results of the assignment or the material<br />
generated by it for the purpose of exploitation to a third party without<br />
Finpro’s written consent.<br />
Finpro, however, has the right to keep the background and reporting<br />
material related to the assignment unless otherwise agreed in writing.<br />
All rights to work methods, calculation models and other tools generated or<br />
used when carrying out the assignment are solely Finpro’s property.<br />
The limitations do not, however, apply to generally available, public<br />
information and material.<br />
12. LIMITATION OF LIABILITY<br />
Finpro is responsible for conducting the assignment in accordance with the<br />
contract. The anticipated benefits from the assignment to the client, as they<br />
were determined at the offering stage bind Finpro only as guiding targets<br />
when conducting the work. Moreover, on top of them the advice,<br />
recommendations or opinions generated in connection with or as a result of<br />
the assignment do not form any legal liability.<br />
Finpro’s liability is limited to client’s proven direct damages only and may not<br />
exceed the sum of the charge paid without value-added tax. The claim<br />
challenging the liability shall be presented to Finpro within six months from<br />
the completion of the contract.<br />
Finpro aims to use only sources assessed to be reliable, but it is not liable for<br />
inaccuracies or omissions in such information.<br />
The client is responsible for the damage it causes. In order to avoid any<br />
further damage the client shall immediately inform Finpro in writing of any<br />
emerging or already existing damage. The client is responsible for his<br />
information and instructions to Finpro.<br />
13. SETTLEMENT OF DISPUTES<br />
Any possible disputes arising from the assignment are primarily to be settled<br />
by means of negotiations. In case no settlement can be reached within 30<br />
days after beginning the negotiations, the disputes will be settled at the<br />
Helsinki District Court applying Finnish legislation.<br />
