Dear Madam / Sir,
Mr. Esko Hamilo, Under-Secretary of State for External Economic Relations, Ministry for Foreign Affairs of
Finland, will visit Kenya (Nairobi) and Uganda (Kampala) on September 30 – October 4, 2012. Finpro
cordially invites high-level representatives of Finnish companies to join a Business Delegation in connection
with this visit.
The focus of this high-level visit will be on the following Industry Sectors:
• Oil and Gas
• Infrastructure and Logistics
• Energy and Renewable Energy
• ICT
• Manufacturing Industry and
• Agriculture.
The purpose of the visit will be:
• to foster and increase bilateral economic relations by promoting Finnish business offerings at
governmental and business levels
• to gather information on the opportunities Kenya and Uganda can offer Finnish businesses
• to enhance and support existing Finnish business activities in Kenya and Uganda.
Finpro is responsible for the program of the Business Delegation. During the visit Business Delegates will
have an opportunity to attend various Networking Events and to request Under-Secretary -led meetings
with organizations and authorities which Finpro will organize together with its local partners and the
Embassy of Finland in Nairobi.
Finpro provides the following services for participants in the Business Delegation:
• Arranging meetings with authorities and business leaders;
• Participation in selected events of the Under-Secretary’s program;
• The Under-Secretary’s participation in various business events;
• Invitations to your company’s customers or other contacts to networking events;
• Inclusion of your company in the Business Delegation Brochure which will be widely distributed
during the visit;
• Background information on Kenya and Uganda;
• Block reservation for the hotels in Nairobi and Kampala; and
• Group ground transportation in Nairobi and Kampala by bus according to the program.
To cover the expenses, Finpro will charge a participation fee of
• Major Companies: EUR 2800 + 23% VAT per person
• SMEs: EUR 2600 + 23% VAT per person

The participation fee includes arrangements in Nairobi and Kampala for September 30 – October 4, 2012. A
50 percent discount of the participation fee will be granted for each additional representative of your

company. If the company will be represented by a person stationed in Kenya or Uganda, a 25 percent
discount will be granted. The discounts are not accumulative. The participation fee does not include flights
or accommodation of the participant nor meals outside the Business Delegation program.

binding (see terms on pages 4-5). Upon registration, delegates will be contacted for more information

TERMS OF OFFER FOR BUSINESS DELEGATIONS
Finpro organizes business delegations for Finnish companies in order to promote their businesses in
selected markets.
1 Definition of Company Size: (for reference only)
A small business is defined as
a firm with personnel not
exceeding 50 employees and
with either an annual turnover
of maximum EUR 7 million
or a balance sheet total of
maximum EUR 5 million.
Businesses larger than that shall
not own more than a quarter of
the capital of a
small business.
A small or medium-sized
enterprise (SME) is a firm with
personnel not exceeding 250
employees and with either an
annual turnover of maximum
EUR 7-40 million or a balance
sheet total of maximum EUR
27 million. Businesses larger
than that shall not own more
than a quarter of the capital of
an SME.
A major company is
defined as a firm with
personnel exceeding 250
employees and with either
an annual turnover of
more than EUR 40 million
or a balance sheet total of
more than EUR 27 million.
2 The contents and the price of the offer are indicated in the invitation letter of each visit. If there is a
need to determine the size of a company, an EU definition of small and medium-size companies is
applied (96/280/EC).
3 Finpro has the right to nominate the delegation and select its leadership.
4 If less than ten companies are to join the delegation, Finpro has the right to reconsider or cancel the
offer. If Finpro is to cancel, its liability is limited to a full refund of the participation fees. If this is to
occur, the company registered in the delegation has the right to cancel its participation against a full
refund.
5 A registration is binding. If a company is to cancel its participation, a refund will be granted as
follows:
• Cancellation by August 17, 2012: a 100 percent refund.
• Cancellation after August 17, 2012: no refund.
A company may change its delegate after the registration. All changes to the registration or
cancellation are to be made in writing.
6 Finpro will confirm and invoice the participation one month prior to the visit or, made the
registration within a month to the departure, immediately after the registration.

1. GENERAL
This document constitutes part of Finpro Association’s (Finpro) quotation to the
client. It defines responsibilities and rights related to assignment.
In case of conflicting provisions, the other parts of the quotation shall prevail
over these general conditions.
2. CONTRACTING PARTIES
The contracting parties consist of the client as the ordering party and Finpro as
the party carrying out the assignment.
3. CONTRACT OF ASSIGNMENT
The contract includes Finpro’s written quotation and appendices to it approved
by the client in writing, as well as any agreed and recorded amendments to it.
4. BACKGROUND INFORMATION
The client shall give Finpro sufficient, accurate and up-to-date material and
information for carrying out the assignment.
FINPRO GENERAL CONDITIONS OF A CONTRACT
5. CONTRACTUAL AMENDMENTS
The pricing of the assignment is based on the quotation and its scope.
In case there is a need to change the scope or contract, the parties shall
negotiate and agree on the matter as well as the impact on the delivery time and
price. Any amendments must be agreed in writing.
Finpro is entitled to change the charge (e.g. due to changes in value-added tax or
other tax) and receive compensation from the client for those additional costs
that have to be remitted due to changed law or orders of the authorities. Finpro
is obliged to immediately inform the client of any such changes.
6. INVOICING
Invoicing takes place in euro from Finland. Furthermore, the value-added tax in
accordance with the Finnish legislation will be added to the charge. The term of
payment is 21 days from the date of the invoice.
In case the client does not comply with the liability to pay as specified in the
contract, Finpro is entitled to suspend the assignment as well as to retain the
results of the work performed and the documents until the client has paid the
outstanding payments.
7. SUSPENDING AND TERMINATING THE ASSIGNMENT
Both parties are entitled to suspend or to terminate the contract if the
circumstances change during the course of the assignment in such a way that
completing of the assignment becomes unreasonable.
Notice of suspension or termination shall be given in writing within one week
from the arising of the grounds.
The client shall compensate Finpro for the costs of the assignment work so far
based on a separate account. After receiving the payment Finpro will at client’s
request hand over the results of the assignment so far. The parties shall
separately agree on possible continuation of the assignment.
Both parties are entitled to terminate the contract if the other party breaches the
contract and has not remedied his breach within one month from the other
party’s written notice. In case the breach is repeated, the contract can be
terminated immediately.
Otherwise the assignment is deemed as completed when the scope of the
contract is fulfilled.
8. SUBLETTING
During the course of the assignment Finpro is entitled to use sub suppliers.
Finpro assumes the same responsibilities for their work that are defined in its
own contractual liabilities.
9. TRANSFER OF THE CONTRACT
Neither party has the right to transfer the contract to a third party without a
written consent from the other party.
10. CONFIDENTIALITY
The quotation submitted to the client and the cooperation with the client
regarding preparation, implementation and follow-up of the assignment is
confidential and no information on the above may be given to a third party.
Finpro is not obliged to disclose information and material received from the
client as business secrets and whose disclosure to competitors or other
outside parties could harm the client’s financial interests. This does not,
however, apply to generally available public information and material.
11. RIGHTS TO QUOTATION AND WORK RESULTS
All rights to the quotation made, such as proprietary right, copyright,
exploitation right and modification right belong to Finpro unless otherwise
agreed in writing.
All rights to the results of the assignment belong to the client. The client may
not, however, hand over the results of the assignment or the material
generated by it for the purpose of exploitation to a third party without
Finpro’s written consent.
Finpro, however, has the right to keep the background and reporting
material related to the assignment unless otherwise agreed in writing.
All rights to work methods, calculation models and other tools generated or
used when carrying out the assignment are solely Finpro’s property.
The limitations do not, however, apply to generally available, public
information and material.
12. LIMITATION OF LIABILITY
Finpro is responsible for conducting the assignment in accordance with the
contract. The anticipated benefits from the assignment to the client, as they
were determined at the offering stage bind Finpro only as guiding targets
when conducting the work. Moreover, on top of them the advice,
recommendations or opinions generated in connection with or as a result of
the assignment do not form any legal liability.
Finpro’s liability is limited to client’s proven direct damages only and may not
exceed the sum of the charge paid without value-added tax. The claim
challenging the liability shall be presented to Finpro within six months from
the completion of the contract.
Finpro aims to use only sources assessed to be reliable, but it is not liable for
inaccuracies or omissions in such information.
The client is responsible for the damage it causes. In order to avoid any
further damage the client shall immediately inform Finpro in writing of any
emerging or already existing damage. The client is responsible for his
information and instructions to Finpro.
13. SETTLEMENT OF DISPUTES
Any possible disputes arising from the assignment are primarily to be settled
by means of negotiations. In case no settlement can be reached within 30
days after beginning the negotiations, the disputes will be settled at the
Helsinki District Court applying Finnish legislation.
