1 Introducti<strong>on</strong><br />

1.1 Summary<br />

The Health Insur<strong>an</strong>ce Authority (The Authority) invites tenders for the provisi<strong>on</strong><br />

of the following service:<br />

To c<strong>on</strong>duct <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> report <strong>on</strong> <strong>an</strong> internal audit review of The Health Insur<strong>an</strong>ce<br />

Authority.<br />

The Authority intends to obtain quotati<strong>on</strong>s in accord<strong>an</strong>ce with open public<br />

procurement guidelines, EU Procurement Directive 2004/18/EC as tr<strong>an</strong>sposed<br />

into Irish law by S.I. No. 329 of 2006 Europe<strong>an</strong> Communities (Award of Public<br />

Authorities’ C<strong>on</strong>tracts) Regulati<strong>on</strong>s, 2006.<br />

1.2 History <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> Background to the Authority<br />

The Authority is a statutory regulatory body that was established by ministerial<br />

order under the Health Insur<strong>an</strong>ce Act, 1994, as amended.<br />

The Authority is independent in the exercise of its functi<strong>on</strong>s. The principal<br />

functi<strong>on</strong>s of the Authority as provided for in the Health Insur<strong>an</strong>ce Acts include<br />

the following:<br />

a) To m<strong>on</strong>itor the health insur<strong>an</strong>ce market <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> to advise the Minister<br />

(either at his or her request or <strong>on</strong> its own initiative) <strong>on</strong> matters relating<br />

to health insur<strong>an</strong>ce, including advice in relati<strong>on</strong> to legislati<strong>on</strong>;<br />

b) To m<strong>on</strong>itor the operati<strong>on</strong> of the Health Insur<strong>an</strong>ce Acts <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g>, where<br />

appropriate, to issue enforcement notices to enforce compli<strong>an</strong>ce with<br />

the Acts;<br />

c) To carry out certain functi<strong>on</strong>s in relati<strong>on</strong> to health insur<strong>an</strong>ce stamp duty<br />

<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> age related tax credits 1 <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> in relati<strong>on</strong> to <strong>an</strong>y other risk equalisati<strong>on</strong><br />

system introduced;<br />

d) To take such acti<strong>on</strong> as it c<strong>on</strong>siders appropriate to increase the<br />

awareness of members of the public of their rights as c<strong>on</strong>sumers of<br />

health insur<strong>an</strong>ce <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> of health insur<strong>an</strong>ce services available to them; <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

e) To maintain “The Register of Health Benefits Undertakings” <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> “The<br />

Register of Health Insur<strong>an</strong>ce C<strong>on</strong>tracts”.<br />

The Government has decided to introduce a new risk equalisati<strong>on</strong> system from<br />

2013. It is envisaged that the Authority will have a central role in relati<strong>on</strong> to<br />

this system, to potentially include functi<strong>on</strong>s such as evaluating <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> <strong>an</strong>alysing<br />

informati<strong>on</strong> returns received from insurers; advising the Minister in relati<strong>on</strong> to<br />

the system <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> the parameters used in it; m<strong>an</strong>aging <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> administering the risk<br />

equalisati<strong>on</strong> fund <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> disbursing payments to insurers as provided for in the<br />

system.<br />

The Authority is audited by the Comptroller <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> <strong>Audit</strong>or General <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> subject to<br />

the requirements thereof. The Authority is also subject to the corporate<br />

govern<strong>an</strong>ce procedures of the “Code of Practice for the Govern<strong>an</strong>ce of State<br />

Bodies” issued by the Department of Fin<strong>an</strong>ce. The Authority is a public body to<br />

which the provisi<strong>on</strong>s of the Freedom of Informati<strong>on</strong> Acts, 1997 as amended <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

the Data Protecti<strong>on</strong> Act, 1988 apply.<br />

2. Nature of Services Required<br />

The Code of Practice for the Govern<strong>an</strong>ce of State Bodies (the Code) issued by<br />

the Department of Fin<strong>an</strong>ce in June 2009, sets out a corporate govern<strong>an</strong>ce best<br />

practice framework which State Bodies are required to adopt. Secti<strong>on</strong> 10.2 of<br />

the Code requires “each State Body to have a properly c<strong>on</strong>stituted internal<br />

audit functi<strong>on</strong> or to engage appropriate external expertise” which should<br />

operate in accord<strong>an</strong>ce with the requirements of the Code. External expertise<br />

will be engaged to undertake this functi<strong>on</strong>.<br />

2.1 Service Required<br />

The successful service provider is required to c<strong>on</strong>duct <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> report <strong>on</strong> a<br />

systematic review <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> evaluati<strong>on</strong> of the policies, procedures <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> operati<strong>on</strong>s in<br />

place <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> to:<br />

• Review <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> advise <strong>on</strong> the ec<strong>on</strong>omical, effective <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> efficient use of the<br />

Authority’s resources;<br />

• Review <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> advise <strong>on</strong> the Authority’s compli<strong>an</strong>ce with established<br />

policies (including behavioural <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> ethical expectati<strong>on</strong>s), procedures,<br />

laws <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> regulati<strong>on</strong>s;<br />

• Review <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> advise <strong>on</strong> the safeguarding of the Authority’s assets <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> <strong>an</strong>y<br />

assets held in trust or otherwise under a risk equalisati<strong>on</strong> system <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

interests from losses of all kinds, including those arising from fraud,<br />

irregularity or corrupti<strong>on</strong>;<br />

• Review <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> advise <strong>on</strong> the integrity <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> reliability of informati<strong>on</strong>,<br />

accounts <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> data, including internal <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> external reporting <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

accountability processes;<br />

• Review the adequacy <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> effectiveness of the internal c<strong>on</strong>trol <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

govern<strong>an</strong>ce within the Authority; <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

• To c<strong>on</strong>duct such other audit work or provide such advice as may be<br />

required during the term of the c<strong>on</strong>tract.<br />

The internal audit work will be completed by the end of 2012 year <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

reported to the <strong>Audit</strong> Committee early in 2013.<br />

The successful service provider will be required to attend meetings of the <strong>Audit</strong><br />

Committee in adv<strong>an</strong>ce of commencing the reviews <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> when reporting <strong>on</strong> the<br />

reviews.<br />

2.2 C<strong>on</strong>tract Timeframe<br />

Without prejudice, the Authority will endeavour to award a c<strong>on</strong>tract to a<br />

suitable tenderer by 31 October 2012. The selected service provider must be in<br />

a positi<strong>on</strong> to complete the audit work before the end of the year <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> report<br />

early in 2013. The c<strong>on</strong>tract is initially for a twelve m<strong>on</strong>th period however, at<br />

the discreti<strong>on</strong> of the Authority it may be extended for a further twelve m<strong>on</strong>ths<br />

<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> subsequently extended for a further twelve m<strong>on</strong>ths up to a maximum of<br />

three years. However, the Authority reserves the right to terminate <strong>an</strong>y<br />

agreement with the successful service provider(s) <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> / or to retender for the<br />

services at <strong>an</strong>y time.<br />

3. Required <str<strong>on</strong>g>For</str<strong>on</strong>g>mat of <str<strong>on</strong>g>Tender</str<strong>on</strong>g><br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>s must include the following informati<strong>on</strong> <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> be presented in the<br />

following format <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> order as set out in secti<strong>on</strong>s 3.1 to 3.9 below:<br />

3.1 General Informati<strong>on</strong><br />

(a) The name, address, teleph<strong>on</strong>e <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> fax number <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> email address of<br />

tenderer.<br />

(b) The name of the pers<strong>on</strong> within the comp<strong>an</strong>y dealing with the tender.<br />

3.2 Firm Profile<br />

Any other relev<strong>an</strong>t informati<strong>on</strong>.<br />

3.3 Pers<strong>on</strong>nel <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> Administrative Structure<br />

The following informati<strong>on</strong> is required:<br />

expertise of the pers<strong>on</strong>nel in questi<strong>on</strong>, which would be relev<strong>an</strong>t to the<br />

work outlined in this document.<br />

3.4 M<strong>an</strong>agement Structure<br />

3.5 Delivery of Service<br />

The tender must specify the arr<strong>an</strong>gements envisaged for the org<strong>an</strong>isati<strong>on</strong> <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

delivery of the service.<br />

3.6 Costs<br />

The tender must specify a cost for the delivery of the services specified in<br />

secti<strong>on</strong> 2.1 In this regard please complete Appendix B as appropriate. Details<br />

of <strong>an</strong>y costs that would be incurred in taking <strong>on</strong> the role should be separately<br />

specified.<br />

Any restricti<strong>on</strong>s or qualificati<strong>on</strong>s in respect of the quoted prices must be<br />

specified in the tender.<br />

The quotati<strong>on</strong>/quoted fee must be in Euros (€) <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> should be exclusive of VAT.<br />

VAT <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> other appropriate taxes shall be quoted separately where appropriate<br />

<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> at the appropriate rate. Where VAT is not applicable this should be<br />

explicitly stated.<br />

Details of how the costs would vary over the durati<strong>on</strong> of the c<strong>on</strong>tract must be<br />

specified. The cost of the tender must be your best <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> final offer. Fees<br />

quoted in this tender c<strong>an</strong>not be increased during the currency of the c<strong>on</strong>tract.<br />

Service Providers are requested to c<strong>on</strong>firm their agreement to this c<strong>on</strong>diti<strong>on</strong> in<br />

writing.<br />

The C<strong>on</strong>tracting Authority reserves the right to withhold payment where a<br />

Service Provider has failed to meet his/her c<strong>on</strong>tractual obligati<strong>on</strong>s in relati<strong>on</strong><br />

to the delivery of goods/services to <strong>an</strong> acceptable level of quality.<br />

3.7 References<br />

The tenderer must provide details of two current clients willing to provide<br />

references in support of the undertaking’s relev<strong>an</strong>t experience <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> expertise.<br />

3.8 Other Informati<strong>on</strong><br />

The tenderer may provide details of <strong>an</strong>y opti<strong>on</strong>s proposed, bey<strong>on</strong>d the<br />

minimum requirements described in this document, <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> <strong>an</strong>y other informati<strong>on</strong><br />

The selected service provider will be selected <strong>on</strong> the basis of the most<br />

ec<strong>on</strong>omically adv<strong>an</strong>tageous tender when measured against the following award<br />

4.2.2 Cost<br />

In issuing this <str<strong>on</strong>g>Request</str<strong>on</strong>g> <str<strong>on</strong>g>For</str<strong>on</strong>g> <str<strong>on</strong>g>Tender</str<strong>on</strong>g> (RFT), there is no obligati<strong>on</strong>, implied or<br />

otherwise, made by the Authority to accept the lowest cost or <strong>an</strong>y proposal<br />

submitted. Prices should be expressed in Euro, exclusive of VAT as outlined in<br />

Appendix B. Additi<strong>on</strong>al prices or informati<strong>on</strong> should be quoted separately.<br />

5. General C<strong>on</strong>diti<strong>on</strong>s of <str<strong>on</strong>g>Tender</str<strong>on</strong>g><br />

Detailed c<strong>on</strong>tractual arr<strong>an</strong>gements are not within the scope of this document.<br />

However, the following c<strong>on</strong>diti<strong>on</strong>s should be noted:<br />

5.1 Article 45 of EU Council Directive 2004/18/EC<br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>ers to whom <strong>an</strong>y of the circumst<strong>an</strong>ces listed in Article 45 of EU Council<br />

Directive 2004/18/EC apply shall be excluded from this competiti<strong>on</strong>.<br />

5.2 C<strong>on</strong>flict of Interest<br />

Any c<strong>on</strong>flict of interest or potential c<strong>on</strong>flict of interest <strong>on</strong> the part of a<br />

tenderer or individual employees or corporate or individual service providers of<br />

a tenderer, must be fully disclosed to the Authority. All references hereafter to<br />

c<strong>on</strong>flicts of interest shall include c<strong>on</strong>flicts of interest or potential c<strong>on</strong>flicts of<br />

interest arising either for the tenderer, individual employees or corporate or<br />

individual service providers relating to the tender.<br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>ers should c<strong>on</strong>firm in the course of their tender resp<strong>on</strong>se that, prior to<br />

resp<strong>on</strong>ding to this <str<strong>on</strong>g>Request</str<strong>on</strong>g> <str<strong>on</strong>g>For</str<strong>on</strong>g> <str<strong>on</strong>g>Tender</str<strong>on</strong>g> (RFT), comprehensive searches to<br />

identify <strong>an</strong>y c<strong>on</strong>flict of interest have been carried out.<br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>ers are expected to exercise all reas<strong>on</strong>able care in ensuring that they<br />

are aware of <strong>an</strong>y c<strong>on</strong>flicts of interest which exist or may arise at <strong>an</strong>y stage of<br />

the process. Should <strong>an</strong>y such associati<strong>on</strong> or c<strong>on</strong>flict of interest emerge at <strong>an</strong>y<br />

time subsequent to the submissi<strong>on</strong> of a resp<strong>on</strong>se to this RFT, it should be<br />

immediately disclosed to the Authority <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> c<strong>on</strong>firmed in writing by registered<br />

post.<br />

Notwithst<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g>ing <strong>an</strong>y other provisi<strong>on</strong>s which may apply in law, the discovery or<br />

emergence of a c<strong>on</strong>flict of interest <strong>on</strong> the part of a successful tenderer(s) after<br />

the award of the c<strong>on</strong>tract, may, at the sole discreti<strong>on</strong> of the Authority, void<br />

the c<strong>on</strong>tract. In such <strong>an</strong> eventuality, the Authority shall not be liable for <strong>an</strong>y<br />

costs or loss incurred by the successful tenderer(s) or other party up to the<br />

time of the voiding of the c<strong>on</strong>tract.<br />

Any registerable interest involving the service provider, Members or staff of the<br />

Authority must be fully disclosed in the resp<strong>on</strong>se to this RFT, or should be<br />

communicated to the Authority immediately up<strong>on</strong> such informati<strong>on</strong> becoming<br />

known to the service provider, in the event of this informati<strong>on</strong> <strong>on</strong>ly coming to<br />

their notice after the submissi<strong>on</strong> of a bid <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> prior to the award of the<br />

c<strong>on</strong>tract.<br />

The terms 'registerable interest' shall be interpreted as per Secti<strong>on</strong> 2 of the<br />

Ethics in Public Office Act, 1995.<br />

5.3 Tax Clear<strong>an</strong>ce<br />

Before a tenderer is selected for the provisi<strong>on</strong> of c<strong>on</strong>ducting <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> reporting <strong>on</strong><br />

<strong>an</strong> internal audit review they (<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> their agent(s), where appropriate) will be<br />

required to promptly produce a Tax Clear<strong>an</strong>ce Certificate from the Irish<br />

Revenue Commissi<strong>on</strong>ers.<br />

Before <strong>an</strong>y c<strong>on</strong>tracts are awarded, the selected service provider (<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> agent,<br />

where appropriate) will be required to comply with the prevailing tax<br />

clear<strong>an</strong>ce procedures viz:<br />

(a) A selected service provider resident in Irel<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> will be required to<br />

promptly produce a Tax Clear<strong>an</strong>ce Certificate from the Irish<br />

Revenue Commissi<strong>on</strong>ers.<br />

(b) A n<strong>on</strong>-resident service provider or sub-c<strong>on</strong>tractor will be required<br />

to produce a statement (in lieu of a Tax Clear<strong>an</strong>ce Certificate) from<br />

the Irish Revenue Commissi<strong>on</strong>ers c<strong>on</strong>firming suitability <strong>on</strong> tax<br />

grounds to be awarded the c<strong>on</strong>tract.<br />

Where a certificate or statement expires during the course of the c<strong>on</strong>tract, the<br />

Authority will require a renewed certificate or statement. All payments under<br />

the c<strong>on</strong>tract will be c<strong>on</strong>diti<strong>on</strong>al <strong>on</strong> service providers being in possessi<strong>on</strong> of valid<br />

certificates at all times.<br />

5.4 Health <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> Safety Compli<strong>an</strong>ce<br />

In accord<strong>an</strong>ce with Secti<strong>on</strong> 20(6) of the Safety, Health <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> Welfare at Work<br />

Act, 2005, the selected service provider must be in a positi<strong>on</strong> to provide <strong>an</strong> upto-date<br />

safety statement showing how the safety, health <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> welfare of his/her<br />

employees shall be secured <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> m<strong>an</strong>aged.<br />

5.5 Other Nati<strong>on</strong>al <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> EU Legislati<strong>on</strong><br />

The selected service provider will be required to comply with all relev<strong>an</strong>t<br />

prevailing Nati<strong>on</strong>al <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> EU legislati<strong>on</strong>. In this regard, the tenderers’ attenti<strong>on</strong><br />

is specifically drawn to the fact that there is a body of nati<strong>on</strong>al legislati<strong>on</strong> in<br />

such areas as Official Secrets, Data Protecti<strong>on</strong>, Freedom of Informati<strong>on</strong>, Health<br />

<str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> Safety, Employment <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> Equality Law, the relev<strong>an</strong>t provisi<strong>on</strong>s of which the<br />

selected service provider will be required to comply with.<br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>ers must have regard to statutory terms relating to minimum pay <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> to<br />

legally binding industrial <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> or sectoral agreements in preparing tenders.<br />

5.6 Requirements<br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>ers should form their own c<strong>on</strong>clusi<strong>on</strong>s about the methods <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> resources<br />

needed to meet the requirements of the tender. The Authority will not accept<br />

resp<strong>on</strong>sibility for the tenderers' assessment of the requirements.<br />

5.7 C<strong>on</strong>tract Award<br />

Informati<strong>on</strong> supplied by tenderers will be treated as c<strong>on</strong>tractually binding.<br />

Without prejudice, the Authority will endeavour to award a c<strong>on</strong>tract for the<br />

provisi<strong>on</strong> of c<strong>on</strong>ducting <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> reporting <strong>on</strong> <strong>an</strong> internal audit review by 31 October<br />

2012.<br />

5.8 N<strong>on</strong>-collusi<strong>on</strong> <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> C<strong>an</strong>vassing<br />

C<strong>an</strong>vassing by a tenderer may result in automatic disqualificati<strong>on</strong>. Where a<br />

tenderer has <strong>an</strong> existing relati<strong>on</strong>ship with the Authority or its employees, the<br />

tenderer is advised that <strong>an</strong>y discussi<strong>on</strong>s, corresp<strong>on</strong>dence, or other influences<br />

<strong>on</strong> the tender process may be treated as c<strong>an</strong>vassing <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> dealt with accordingly.<br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>ers’ particular attenti<strong>on</strong> is drawn to the applicati<strong>on</strong> of the Competiti<strong>on</strong><br />

Act 2002. The Act makes it a criminal offence for tenderers to collude <strong>on</strong> prices<br />

or terms in a public tendering procedure. Should the Authority become aware<br />

of direct or indirect communicati<strong>on</strong>s through trade associati<strong>on</strong>s or otherwise<br />

between tenderers relating to the proposals or which might facilitate price<br />

collusi<strong>on</strong>, it shall be the policy of the Authority to disqualify such proposals or<br />

tenderer(s) <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> to notify the matter to the Competiti<strong>on</strong> Authority with the<br />

recommendati<strong>on</strong> that acti<strong>on</strong> be taken against such tenderer(s).<br />

<str<strong>on</strong>g>Tender</str<strong>on</strong>g>ers are required to complete the declarati<strong>on</strong> attached in Appendix A <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g><br />

include this as part of their proposals.<br />

5.9 Costs<br />

The Authority will accept no resp<strong>on</strong>sibility for <strong>an</strong>y costs incurred in formulating<br />

or presenting proposals.<br />

(a) Prices <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> rates quoted should be expressed in Euro <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> exclusive of VAT.<br />

The VAT rate(s) applicable should be indicated separately.<br />

(b) The cost of the internal audit must be a fixed cost, see Appendix B.<br />

Additi<strong>on</strong>al work will be billed at the hourly rates quoted in Appendix B or<br />

through fixed fees agreed at the point of engagement.<br />

(c) The selected service provider shall be resp<strong>on</strong>sible for the delivery of all<br />

services provided for within the c<strong>on</strong>tract <strong>on</strong> the basis of costs set at the<br />

beginning of the c<strong>on</strong>tract.<br />

(d) Additi<strong>on</strong>al costs will be a matter for the service providers themselves.<br />

(e) Prices quoted in the tender c<strong>an</strong>not be increased during the currency of<br />

the c<strong>on</strong>tract. Similarly, terms <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> c<strong>on</strong>diti<strong>on</strong>s c<strong>an</strong>not be altered.<br />

(f)<br />

Payment for all services covered by this invitati<strong>on</strong> to tender will be <strong>on</strong><br />

foot of appropriate invoices.<br />

5.10 C<strong>on</strong>fidentiality<br />

The Authority undertakes to use their best endeavours to hold c<strong>on</strong>fidential <strong>an</strong>y<br />

informati<strong>on</strong> provided in proposals submitted, subject to the Authority’s<br />

obligati<strong>on</strong>s under law. This includes the Data Protecti<strong>on</strong> Act 1988 <str<strong>on</strong>g><strong>an</strong>d</str<strong>on</strong>g> the<br />

Freedom of Informati<strong>on</strong> Acts, 1997 as amended which place obligati<strong>on</strong>s <strong>on</strong> the<br />

Authority to disclose informati<strong>on</strong> in resp<strong>on</strong>se to queries from the public. If<br />

those making proposals wish that <strong>an</strong>y informati<strong>on</strong> supplied in the proposal<br />

should not be disclosed because of its sensitivity, then this should be clearly<br />

stated, with the reas<strong>on</strong>s for its sensitivity. The Authority will then c<strong>on</strong>sult with<br />

firms that submit proposals about such sensitive informati<strong>on</strong> before making a<br />

decisi<strong>on</strong> <strong>on</strong> <strong>an</strong>y Freedom of Informati<strong>on</strong> request received.<br />

Subject to law, all informati<strong>on</strong> provided by tenderers will be regarded as<br />

having been submitted <strong>on</strong> a c<strong>on</strong>fidential basis. Similarly, the Authority requires<br />

that all informati<strong>on</strong> provided pursu<strong>an</strong>t to this invitati<strong>on</strong> to tender will be<br />

5.11 Intellectual Property<br />
