Jon Gavenman<br />

Jon Gavenman is a partner in the Cooley Godward Kronish<br />
Business department and a member of the Emerging Companies<br />
and Securities Regulation practice groups. He joined the Firm in<br />
2008 and is resident in the Palo Alto office.<br />
Mr. Gavenman represents a wide range of companies from<br />
start-ups to public companies in the software, semiconductor,<br />
telecommunications and internet-related industries. His practice<br />
focuses on securities, and merger and acquisition transactions,<br />
as well as advising companies on general corporate, securities<br />
matters and implications of proposed business transactions.<br />
Mr. Gavenman has represented both issuers and underwriters<br />
in numerous public offerings across these industries, and has<br />
substantial experience in both buyer and seller-side merger and<br />
acquisition transactions and in both issuer and investor-side<br />
venture capital and other private financing transactions.<br />
Mr. Gavenman has worked on complex international and domestic<br />
joint venture transactions. His clients have included Access360,<br />
Aspect Communications, Bowman Capital LP, Brio Software,<br />
Cirrus Logic, CrossWorlds Software, Fibex Systems, Goldman,<br />
Sachs & Co., Grouper Networks, Lam Research Corporation,<br />
Matrix Partners, META Group, Meta Software, OSA Technologies,<br />
Sequoia Capital, Spinner Networks, Unison Software, and<br />
WebTV Networks.<br />
From 2003 to 2008, Mr. Gavenman was a shareholder at Heller<br />
Ehrman in its Venture Law Group. Prior to Heller Ehrman, Mr.<br />
Gavenman was a director of Venture Law Group. He began his<br />
legal career at Wilson Sonsini Goodrich & Rosati.<br />
Mr. Gavenman received a J.D. from the University of California,<br />
Hastings College of the Law in 1991. He received a B.A. in<br />
Mathematical Economics from Pomona College in 1988.<br />
Mr. Gavenman is a member of the State Bar of California<br />
and Connecticut.<br />
