4.0 QUESTIONS AND CONTACTS<br />

NOTE: To ensure fairness and equity in competition <strong>for</strong> all potential suppliers, ALL QUESTIONS<br />

AND CONTACTS concerning <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> (08-44-685) shall be directed to Bill Brown, CPPO<br />

Brown or Darren Muci concerning this proposal during the period beginning with the issuance of this<br />

document through approval of award or ANY attempt by a supplier/proposer to influence the <strong>Request</strong><br />

<strong>for</strong> <strong>Proposal</strong> process may be grounds to disqualify the proposer from consideration in this <strong>Request</strong> <strong>for</strong><br />

<strong>Proposal</strong>. The exception to this contact rule is to a supplier(s) already per<strong>for</strong>ming services <strong>for</strong> WPS<br />

7.0 OBJECTIVE/MASTER AGREEMENT<br />

Wichita Public Schools – Unified School District 259, Wichita, Kansas (hereinafter referred to as WPS) is<br />

soliciting proposals from qualified companies to enter into a Master Agreement <strong>for</strong> Education, Classroom,<br />

Miscellaneous Support Furniture and Related Services to be made available through the U.S.<br />

<strong>Communities</strong> Government Purchasing Alliance. The resulting contracts may be awarded to multiple<br />

suppliers to cover a broad line of general classroom, school furniture and higher education furniture. The<br />

selected Supplier(s) will be required: (1) to provide and deliver; or (2) provide, deliver and install via<br />

professional installation services covering the school, classroom and misc. furniture and related services<br />

described herein. All items offered must be new, unused and of the most current design and technology and<br />

the most current product lines. This is a national contract that will may used by all states, local governments,<br />

school districts and higher education institutions in the United States of America, Canada and other<br />

government agencies and non-profit organizations. Please visit the U.S. <strong>Communities</strong> web site at<br />

The successful supplier(s) must deal directly with any Participating Public Agency concerning the placement<br />

of orders, issuance and receipt of the purchase order, contractual disputes, invoicing, and payment. The WPS<br />

is acting as “Contracting Agent” <strong>for</strong> the Participating Public Agencies and shall not be held liable <strong>for</strong> any<br />

costs, damages, etc. incurred by any other Participating Public Agency. This contractual agreement will be<br />

between WPS and any identified suppliers.<br />

The subsequent contract shall be construed to be in accordance with and governed by the laws of the State of<br />

Kansas. Each Participating Public Agency enters into a Master Intergovernmental Cooperative Purchasing<br />

Agreement (MICPA), itself included herein as Appendix A) that allows the Participating Public Agency to<br />

purchase products from the Supplier(s) in accordance with each Participating Public Agency’s purchasing<br />

policy and procedures. WPS does not assume any obligation on behalf of all states, local governments, school<br />

districts and higher education institutions in the United States of America, and other government agencies and<br />

non-profit organizations who may utilize these agreements.<br />

8.0 ABOUT THIS DOCUMENT<br />

This document is a <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong>. It differs from a <strong>Request</strong> <strong>for</strong> Bid/Quotation in that WPS is<br />

seeking a solution, as described on the cover page and in the following sections, not a bid/quotation<br />

meeting firm specifications <strong>for</strong> the lowest price. As such, the lowest prices proposed will not guarantee<br />

an award recommendation. As defined in the American Bar Association Model Procurement Code,<br />

Competitive Sealed <strong>Proposal</strong>s will be evaluated based upon criteria <strong>for</strong>mulated around the most important<br />

features of a product or service, of which quality, testing, references, and availability or capability, may<br />

be overriding factors, and price may not be determinative in the issuance of a contract or award. The<br />

proposal evaluation criteria should be viewed as standards that measure how well a supplier’s approach<br />

meets the desired requirements and needs of WPS and the U.S. <strong>Communities</strong> Participating Public<br />

Agencies. Those criteria that will be used and considered in evaluation <strong>for</strong> award are set <strong>for</strong>th in this<br />

document.<br />

Suppliers will not be compensated <strong>for</strong> participation in this process. WPS along with the U.S.<br />

<strong>Communities</strong> Selection Advisory Committee will thoroughly review all proposals received. WPS has<br />

used its best judgment to determine the necessity of scheduling a Mandatory pre-proposal conference -<br />

be<strong>for</strong>e proposals are accepted - and will utilize the same when determining the need <strong>for</strong> meetings with<br />

suppliers after receipt of all proposals. WPS reserve the right to select, and subsequently recommend <strong>for</strong><br />

award, the proposed equipment/service that best meets its required needs, quality levels, and budget<br />

constraints.<br />

No negotiations, decisions, or actions shall be initiated by any supplier as a result of any verbal discussion<br />

with any WPS, U.S. <strong>Communities</strong> Advisory Board Member or U.S. <strong>Communities</strong> Staff prior to the<br />

opening of responses to this document. Suppliers shall make no contacts - either written or verbal - with<br />

any individual other than the individuals identified herein during the period beginning with the issuance<br />

of this document through approval of award. Any attempt by a supplier/proposer to influence a member<br />

or members of the a<strong>for</strong>ementioned may be grounds to disqualify the proposer from participation in the<br />

selection process of this <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong>.<br />

As applicable to the commodity or service identified in this solicitation, trade secrets or proprietary<br />

in<strong>for</strong>mation submitted by a supplier/proposer in connection with this solicitation may not be subject to<br />

disclosure. Suppliers/Proposers must clearly identify the data or other materials to be protected and state<br />

the reasons why protection is necessary. Suppliers/Proposers shall not mark sections of their proposal as<br />

proprietary if they are to be part of the award of the contract (e.g., company locator in<strong>for</strong>mation, pricing<br />

in<strong>for</strong>mation, primary consultant or company contact persons, pricing in<strong>for</strong>mation, etc.) and are of a<br />

“material” nature.<br />

This document is not a contract. No contractual rights are established when a supplier, proposer, agent or<br />

broker submits a response. WPS reserve the right to reject any or all proposals at any time and make<br />

necessary arrangements to contract <strong>for</strong> the purchase of the materials or work described and proposed in<br />

the manner most feasible and applicable.<br />

9.0 PUBLIC RECORDS REQUESTS<br />

WPS, as a political subdivision of Sedgwick County, State of Kansas, is subject to the Kansas Open<br />

Records Act. Consequently, the proposer needs to understand that documents submitted in response to<br />

this RFP will be <strong>for</strong> the most part, if not all, subject to being released upon the request of media,<br />

competitors or others, in accordance with the law. If you contend that certain CLEARLY MARKED<br />

portions of your response constitute an exemption from the Kansas Open Records Act, you M<strong>US</strong>T submit<br />

your legal basis in support of that assertion with your response.<br />

If a public records request is made <strong>for</strong> any portion of the documents that you have submitted and you<br />

have NOT clearly marked such documents as in<strong>for</strong>mation constituting an exception to Kansas’ Open<br />

Records Act, your in<strong>for</strong>mation will be released if an open records request it received.<br />

If a public records request is made <strong>for</strong> such in<strong>for</strong>mation and you HAVE clearly marked portions of your<br />

response as in<strong>for</strong>mation constituting an exception to Kansas’ Open Records Act, AND you have<br />

submitted the legal basis supporting such claim, WPS will consider the basis of the claim and will redact<br />

from any release of open records in<strong>for</strong>mation that you claim is exempt and that WPS determines is<br />

exempt from disclosure under the Kansas Open Records Act. WPS will also use its best ef<strong>for</strong>ts to notify<br />

you if an open records request is received that seeks records you submit to WPS as part of your response<br />

to the RFP “that you claim is exempt from the Kansas Open Records Act.”<br />

If a public records request is made <strong>for</strong> such in<strong>for</strong>mation and you HAVE clearly marked portions of your<br />

response as in<strong>for</strong>mation constituting as exception to Kansas’s public records law, but you have NOT<br />

submitted the legal basis supporting such claim, WPS WILL RELEASE your in<strong>for</strong>mation to the requestor<br />

and notify you that a request was made and that your response was released.<br />

DO NOT mark your ENTIRE response/submittal as in<strong>for</strong>mation constituting an exception to Kansas’s<br />

public records law. If your entire response/submittal is so marked, WPS will NOT consider your offer as<br />

a responsive proposal and it will not be considered <strong>for</strong> award.<br />

10.0 CONTRACT TERMS<br />

The contract term will be January 1, 2009 through December 31, 2011, a period of three (3) years,<br />

reviewed annually. This contract will have the option to renew annually up to a maximum of three (3)<br />

additional years in one (1) year increments. Should this option be exercised, the prices shall be those<br />

specified in the response to this <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong>, with the application of the Kansas City All Urban<br />

Consumer Price Index (CPI-U) average index. WPS retains the sole right to determine if extensions will<br />

be granted and will notify the supplier in writing prior to the expiration of the current contract period.<br />

10.1 Unusual circumstances<br />

If during the contract term where costs to WPS are to remain firm or adjustments are restricted by CPI<br />

cap, unusual circumstances that could not have been <strong>for</strong>eseen by either party to the contract occur, and<br />

those circumstances significantly affect the Contractor’s cost in providing the required services, then the<br />

Supplier may request adjustments to the cost to WPS to reflect the changed circumstances. The<br />

circumstances must be beyond the control of the Supplier, and the requested adjustments must be fully<br />

documented. WPS may, after examination, refuse to accept the adjusted costs if they are not properly<br />

documented, increases are considered to be excessive, or decreases are considered to be insufficient. In<br />

the event WPS does not wish to accept the adjusted costs and the matter cannot be resolved to the<br />

satisfaction of WPS, WPS will reserve the following options:<br />

• The contract can be canceled by WPS upon giving thirty (30) days written notice to the Supplier<br />

with no penalty to WPS or the Supplier. The Supplier shall fill all WPS requirements submitted<br />

to the Supplier until the termination date contained in the notice.<br />

• WPS requires the Supplier to continue to provide the services at the firm fixed (non-adjusted)<br />

costs until the termination of the contract term then in effect.<br />

• If WPS, in its interest and in its sole opinion, determines that the Supplier in a capricious manner<br />

attempted to use this section of the contract to relieve themselves of a legitimate obligation under<br />

the contract, and no unusual circumstances had occurred, WPS reserves the right to take any and<br />

all action under law or equity. Such action shall include, but not be limited to, declaring the<br />

Supplier in default and disqualifying the Supplier from receiving any business from WPS <strong>for</strong> a<br />

state period of time.<br />

• If WPS does agree to adjusted costs, this adjusted cost shall not be invoiced to WPS until the<br />

Supplier receives notice in writing signed by a WPS Purchasing Department Agent authorized to<br />

bind WPS in such matters.<br />

10.2 Termination<br />

If the contracted supplier refuses or fails to provide services in accordance with the requirements of this<br />

proposal within the contract time specified herein or in the purchase order or contract, WPS may, by<br />

written thirty (30) day notice, terminate the purchase order OR contract. In addition either party may<br />

terminate the contract at any time during the contract by providing the other party written notice of such<br />

termination sixty (60) days in advance.<br />

10.3 Selling, transferring or assignment of contracts<br />

Any award issued pursuant to this proposal, and the monies, which may become due hereunder, are NOT<br />

assignable except with the prior written approval of the WPS Board of Education or selected designee.<br />

WPS shall retain the right to withdraw and cancel any/all contract agreements without recourse from the<br />

original contracted entity. The decision to approve or not approve a transfer will be at the sole discretion<br />

of WPS.<br />

11.0 PROPOSAL CONDITIONS<br />

In submitting a response to this <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> (RFP), proposers hereby understand and agree to the<br />

following:<br />

11.1 Certification – The Proposer hereby certifies that they have carefully examined all of the<br />

applicable RFP/Contract Documents <strong>for</strong> the material or service specified herein, understands the nature<br />

and scope of the work to be done, and that their <strong>Proposal</strong> is based upon the terms, specifications,<br />

requirements and conditions. The Proposer further agrees that the per<strong>for</strong>mance time specified is a<br />

reasonable time. By their signature on the response to the RFP or the RFP Response <strong>For</strong>m, the Proposer<br />

certifies that their proposal is made without prior understanding, agreement, or connection with any<br />

corporation, firm or person submitting a proposal <strong>for</strong> the same materials, supplies, or equipment, and is in<br />

all respects fair and without collusion or fraud, so that all proposals <strong>for</strong> the purchase will result from free,<br />

open and competitive proposing among all suppliers. Further, the Proposer certifies that they understand<br />

collusive bidding/proposing is a violation of Federal law and can result in fines, prison sentences, and<br />

civil damage awards. The Proposer further certifies that they are authorized to sign this <strong>Proposal</strong> <strong>for</strong> the<br />

Proposer.<br />

11.2. Conflict of interest - By submission of a response, the Proposer agrees that at the time of<br />

submittal, they: (1) have no interest (including financial benefit, commission, finder’s fee, or any other<br />

remuneration) and shall not acquire any interest, either direct or indirect, that would conflict in any<br />

manner or degree with the per<strong>for</strong>mance of Proposer’s services, or (2) will not benefit from an award<br />

resulting in a “Conflict of Interest.” A “Conflict of Interest” shall include holding or retaining<br />

membership, or employment, on a board, elected office, department, division or bureau, or committee<br />

sanctioned by and/or governed by the WPS Board of Education. Proposers shall identify any interests,<br />

and the individuals involved, on separate paper with the response and shall understand that WPS, at the<br />

discretion of the Purchasing Director in consultation with legal counsel, may reject their proposal.<br />

11.3 Rebates to WPS employees - Any employee or any official of WPS, elective or appointive,<br />

who shall take, receive or offer to take or receive, either directly or indirectly, any rebate, percentage of<br />

contract, money or other things of value, as in inducement or intended inducement, in the procurement of<br />

business, or the giving of business <strong>for</strong>, or to, or from, any person, partnership, firm or corporation,<br />

offering, bidding <strong>for</strong>, or in open market seeking to make sales to WPS shall be deemed guilty of a felony<br />

and upon conviction such person or persons shall be subject to punishment or a fine in accordance with<br />

State and/or Federal laws.<br />

11.4. Proposer’s offer - The Proposer’s pricing in their response must include all materials, labor,<br />

supplies, equipment and incidentals necessary to provide the equipment, materials and services described<br />

herein and in any applicable related documents (e.g., Notification of Solicitation, <strong>Request</strong> <strong>for</strong> In<strong>for</strong>mation,<br />

Addenda, Contract, Bonds, Insurance, Plans, etc.). It shall be understood that the Proposer's sureties and<br />

insurers are subject to the approval of WPS.<br />

11.6 Discussion with proposer(s) - WPS may award a purchase contract, based on initial offers<br />

received, without discussion of such offers. A proposer’s initial offer should there<strong>for</strong>e be based on the<br />

most favorable terms available from a price and technical standpoint. WPS may, however, have<br />

discussion with those proposers that it deems in its discretion to fall within a competitive range. It may<br />

also request best and final offers from such proposers, and make an award and/or conduct negotiations<br />

thereafter. WPS reserves the right to negotiate separately with any proposer after the closing of this<br />

<strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> when such action is considered in its best interest. Subsequent negotiations may be<br />

conducted, but such negotiations will not constitute acceptance, rejection, or a counteroffer on the part of<br />

WPS.<br />

11.7 WPS rights - If determined to be in its best interest, WPS reserves the right to: (1) reject any<br />

proposal, if determined to be non-responsive in any <strong>for</strong>m to this and/or related documents, (2) reject all<br />

proposals, (3) to accept any item or items in the proposals, and, (4) to waive any irregularity in the<br />

proposals.<br />

11.8 Samples - It shall be understood that any proposal, any/all referencing in<strong>for</strong>mation and samples<br />

submitted in response to this <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> shall become the property of WPS, and will not be<br />

returned. As a governmental entity, WPS is subject to making records available <strong>for</strong> disclosure after Board<br />

of Education approval of the recommendation.<br />

11.9 Proposer expenses - WPS will not be responsible <strong>for</strong> any expenses incurred by any proposer in<br />

the development of a response to this <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> including any onsite (or otherwise) interviews<br />

and/or presentations, and/or supplemental in<strong>for</strong>mation provided, submitted, or given to WPS and/or its<br />

representatives. Further, WPS shall reserve the right to cancel the work described herein prior to issuance<br />

and acceptance of any contractual agreement/purchase order by the recommended proposer even if the<br />

Board of Education has <strong>for</strong>mally accepted a recommendation.<br />

11.10 Responsible proposer - WPS interprets the term "responsible proposer" as requiring WPS to:<br />

(a) choose between the kinds of materials, goods, wares, or services subject to the <strong>Proposal</strong>, and (b)<br />

determine which <strong>Proposal</strong> is most suitable <strong>for</strong> its intended use or purpose. If there is any variance or<br />

conflict, the <strong>Proposal</strong> specifications or requirements shall control.<br />

11.12 <strong>Proposal</strong> pricing - As applicable, each proposal item must show unit price and be extended. In<br />

case of error in the extension of prices in the proposal, the unit price will govern. Prices proposed must<br />

remain firm and fixed <strong>for</strong> a period of 120 days (or other period if stated to the contrary within the body of<br />

the RFP) immediately following the closing of this <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> <strong>for</strong> all items and deliveries<br />

required within. On products with multiple deliveries, proposers may offer alternate proposals which<br />

clearly state different pricing per delivery. However, price escalators are not allowed, unless otherwise<br />

noted within the body of the proposal instructions/conditions.<br />

11.13. Taxes - Prices M<strong>US</strong>T be free of federal, state, and local taxes unless otherwise imposed by a<br />

governmental body, and applicable to the material on the <strong>Proposal</strong>.<br />

11.14 Determination of award - Competitive proposal award shall be determined in accordance with<br />

WPS Board of Education Policy P3303.<br />

11.15 Liens - The Proposer shall certify and warrant that goods, personal property, chattels, and<br />

equipment sold and delivered are free and clear of any and all liens, or claims of liens, <strong>for</strong> materials or<br />

services arising under, and by virtue of the provisions of General Statutes of Kansas, 1961 Supplement,<br />

Sections 58-201, et seq., and any other lien, right, or claim of any nature or kind whatsoever.<br />

11.16 Hold harmless - The Proposer shall hold and save WPS and its officers, agents, servants, and<br />

employees harmless from liability of any patented or unpatented invention, process, article, or appliance<br />

manufactured, or used, in the per<strong>for</strong>mance of the contract, including its use by WPS.<br />

11.17 Purchase order - A purchase order constitutes WPS's offer to the Proposer upon the terms and<br />

conditions stated herein, and shall become a binding contract on the terms set <strong>for</strong>th herein when it is<br />

accepted either by acknowledgment or per<strong>for</strong>mance. WPS will issue a purchase order/contract <strong>for</strong> the<br />

acquisition of products/services specified as a result of an award made in reference to this document.<br />

Contract documents shall be subject to any regulations governed by the laws of the State of Kansas and<br />

any local resolutions specifically applicable to the purchase. Any dispute arising out of the contract<br />

documents or their interpretation shall be litigated only within the courts of the State of Kansas.<br />

Contracts entered into on the basis of submitted proposals are revocable if contrary to applicable law.<br />

11.18 Contracts - If applicable, the Proposer agrees to execute and deliver to WPS a contract in<br />

accordance with the Contract Documents (if applicable) within ten days of notice of the award to the<br />

Proposer. The Proposer agrees that the surety/deposit given concurrently herewith shall become the<br />

property of WPS in the event the Proposer fails to execute and deliver such contract within the specified<br />

time. In the further event of such failure, the Proposer shall be liable <strong>for</strong> WPS's actual damages that<br />

exceed the amount of the surety.<br />

11.19 Taxpayer identification number - A valid federal tax identification number must be provided<br />

to WPS be<strong>for</strong>e any purchase orders can be issued and/or payments can be made.<br />

11.20 Deliveries - Deliveries shall be F.O.B. Destination Freight Prepaid and Allowed unless delivery<br />

terms are specified otherwise in the proposal.<br />

11.21 Termination of an order - If the Proposer refuses or fails to make deliveries of the materials<br />

within the times specified herein or in the purchase order or contract, WPS may, by written notice,<br />

terminate the purchase order. See Section ten (10) <strong>for</strong> contracting and termination terms of the<br />

Master Agreement.<br />

11.22 Prompt pay - Date of receipt and payment of invoices will be made in accordance with K.S.A.<br />

75-6403, unless other provisions are agreed to in writing by the Proposer and WPS.<br />

11.23 Packaging - All items must be properly packed, if applicable, to ensure delivery in good<br />

condition, and in accordance with instructions listed in the <strong>Request</strong> <strong>for</strong> <strong>Proposal</strong> or purchase order, if any.<br />

11.24 Rejected items - Rejected items will be held at the Proposer's risk and expense. No<br />

replacement of defective items shall be made by a proposer unless agreed to by an authorized WPS<br />

representative.<br />

11.25 Anti-discrimination - The Proposer agrees: (i) to comply with the Kansas Act Against<br />

Discrimination (K.S.A. 44-1001 et seq.) and the Kansas Age Discrimination in Employment Act (K.S.A.<br />

44-1111 et seq.) and the applicable provisions of the Americans With Disabilities Act (42 U.S.C. 12101<br />

et seq.) (ADA) and to not discriminate against any person because of race, religion, color, sex, disability,<br />

national origin or ancestry, or age in the admission or access to, or treatment or employment in, its<br />

programs or activities; (ii) to include in all solicitations or advertisements <strong>for</strong> employees, the phrase<br />

"equal opportunity employer"; (iii) to comply with the reporting requirements set out at K.S.A. 44-1031<br />

and K.S.A. 44-1116; (iv) to include those provisions in every subcontract or purchase order so that they<br />

are binding upon such subcontractor or vendor; (v) that a failure to comply with the reporting<br />

requirements of (iii) above or if the Company is found guilty of any violation of such acts by the Kansas<br />

Human Rights Commission, such violation shall constitute a breach of the Agreement and the Agreement<br />

may be cancelled, terminated or suspended, in whole or in part, by the School District; (vi) if it is<br />

determined that the Company has violated applicable provisions of ADA, such violation shall constitute a<br />

breach of the Agreement and the Agreement may be cancelled, terminated or suspended, in whole or in<br />

part, by the School District.<br />

Parties to this Agreement understand that the provisions of this paragraph number 4 (with the exception of<br />

those provisions relating to the ADA) are not applicable to a Company who employs fewer than four<br />

employees during the term of such Agreement or whose contracts with the School District cumulatively<br />

total $5,000 or less during the fiscal year.<br />

11.26 Amendments - The parties agree that no changes, additions, or modifications to this Agreement<br />

may be made except by written addendum signed by both parties.<br />

11.27 Special proposal conditions - Certain proposals, because of unique factors involved, may not<br />

be covered by standard conditions. Alternate or special conditions will take precedence over any standard<br />

condition previously stated.<br />

11.28 Compliance with immigration laws - The Proposer agrees that it is solely responsible <strong>for</strong> its<br />

compliance with the Immigration Re<strong>for</strong>m and Control Act of 1986 ("IRCA"), as amended. The Proposer<br />

agrees that it will send only work-authorized individuals to School District worksites and will only use<br />

work-authorized individuals to per<strong>for</strong>m work pursuant to this Agreement. If the Proposer knowingly<br />

violates IRCA or the regulations implementing IRCA, School District shall be entitled to immediately<br />

terminate this Agreement <strong>for</strong> cause.<br />

12.0 REQUIREMENTS<br />

Proposers are asked to provide proposals <strong>for</strong> the following component areas <strong>for</strong>: (1) to provide and<br />

delivery; or (2) provide, deliver and install via professional installation services covering the school,<br />

classroom, miscellaneous furniture and related services described herein.<br />

All items proposed, and ultimately furnished, shall be new and in first class condition, unless otherwise<br />

indicated or applicable, the best of their respective kinds, the current model year, untitled prior to<br />

shipping and/or installation and will be free from defects in material and workmanship. Items furnished<br />

must be manufactured in compliance with all existing legal or governmental directives, con<strong>for</strong>m to all the<br />

standards including warning labels and safety devices, guards, and equipment required to meet the safety<br />

standards as established by any jurisdiction recognized by industry safety councils or organizations to<br />

establish safety standards such as Occupational Safety and Health Administration (OSHA), National Fire<br />

Protection Association (NFPA), National Institute of Occupational Safety and Health (NIOSH), American<br />

National Standards Institute (ANSI), Underwriters Laboratories, Inc. (UL), Environmental Protection<br />

Agency (EPA), etc. If a product proposed, requires a Material Safety Data Sheet (MSDS) as defined by:<br />

29CFR1910-1200, it M<strong>US</strong>T accompany each shipment. . Items will be subject to ordering Agency<br />

inspection and approval at any time within 30 days after delivery<br />

12.1 Provide a comprehensive competitively solicited Master Agreement offering Products and<br />

Services to Participating Public Agencies.<br />

12.2 Establish the Master Agreement as a Supplier’s primary offering to Participating Public<br />

U.S. <strong>Communities</strong> Government Purchasing Alliance (herein “U.S. <strong>Communities</strong>”) is a non-profit<br />

“instrumentality” of government that assists Participating Public Agencies reduce the cost of purchased<br />

goods through strategic sourcing that combines the volumes and the purchasing power of public agencies<br />

nationwide. This is accomplished through an award of competitively solicited contracts <strong>for</strong> high quality<br />

products and services by large and well recognized public agencies (herein “Lead Public Agencies”). The<br />

contracts provide <strong>for</strong> use by not only the respective Lead Public Agency, but also by other Participating<br />

Public Agencies.<br />

14.1 National Sponsors<br />

U.S. <strong>Communities</strong> is jointly sponsored by the National Institute of Governmental Purchasing (NIGP), the<br />

National Association of Counties (NACo), the National League of Cities (NLC), the Association of<br />

School Business Officials, International (ASBO) and the United States Conference of Mayors (<strong>US</strong>CM)<br />

14.3 Participating Public Agencies<br />

Today more than 30,000 public agencies utilize U.S. <strong>Communities</strong> contracts and suppliers to procure over<br />

$1 billion in products and services annually. Each month more than 400 new public agencies register to<br />

participate. The continuing rapid growth of public agency participation is fueled by the program's proven<br />

track record of providing public agencies unparalleled value.<br />

The Supplier(s) must deal directly with any Participating Public Agency concerning the placement of<br />

orders, issuance of the purchase order, contractual disputes, invoicing, and payment.<br />

WPS is acting as "Contracting Agent" <strong>for</strong> the Participating Public Agencies and shall not be held liable<br />

<strong>for</strong> any costs, damages, expenses, fees, liabilities, etc. incurred by any other Participating Public Agency.<br />

Each Participating Public Agency enters into a Master Intergovernmental Cooperative Purchasing<br />

Agreement (MICPA) outlining the terms and conditions that allow access to the Lead Public Agencies’<br />

Master Agreements. Under the terms of the MICPA, the procurement by the Participating Public Agency<br />

shall be construed to be in accordance with and governed by the laws of the State in which the<br />

Participating Public Agency resides. A copy of the MICPA is attached as Appendix A.<br />

14.4 Estimated Volume<br />

The estimated dollar volume of Products and Services purchased under the proposed Master Agreement is<br />

$100-150 million annually. The estimate is based on the anticipated volume of the Lead Public Agency,<br />

the U.S. <strong>Communities</strong> Advisory Board members, and current sales within the U.S. <strong>Communities</strong> program.<br />

While there is no minimum quantity of products to be purchased under the proposed Master Agreement,<br />

Wichita Public Schools-WPS and the U.S. <strong>Communities</strong> Advisory Board Members are committed to<br />

utilizing the Master Agreement. The Advisory Board members shall determine if the Master Agreement<br />

is of value to their agency, and will promote the Master Agreement among other public agencies<br />

nationwide and internationally. The Advisory Board in 2008 is estimated to purchase more than $100<br />

million of products and services from existing U.S. <strong>Communities</strong> contracts.<br />

14.5 Marketing Support<br />

U. S. <strong>Communities</strong> provides marketing support <strong>for</strong> Supplier’s products through the following:<br />

• National Sponsors as referenced above.<br />

• Over 70 State Associations of Counties, Schools and Municipal Leagues.<br />

• Administrative and marketing personnel that directly promote the U.S. <strong>Communities</strong> Suppliers to<br />

Participating Public Agencies through public agency meetings, direct mail, national publications,<br />

annual meetings and a network of K-12, City, County, Higher Education and State Associations.<br />

• U.S. <strong>Communities</strong> provides Suppliers government sales training, and a host of online marketing<br />

and sales management tools to effectively increase sales through U.S. <strong>Communities</strong>.<br />

14.6 Multiple Awards<br />

It is the intent of this document is to award to a single supplier, however if deemed to be in the best<br />

interesting of WPS, multiple awards may be made as a result of the solicitation. Multiple awards will<br />

ensure that any ensuing Master Agreements fulfill current and future requirements of the diverse and<br />

large number of Participating Public Agencies.<br />

14.7 Evaluation of <strong>Proposal</strong>s<br />

<strong>Proposal</strong>s will be evaluated by the Lead Public Agency in accordance with and subject to the relevant<br />

statutes, ordinances, rules and regulations that govern its procurement practices.<br />

U.S. <strong>Communities</strong> Advisory Board members and affiliates will assist the Lead Public Agency in<br />

evaluating proposals. The Supplier (or Suppliers) that responds affirmatively meets the minimum<br />

qualifications and offers the best response will be eligible <strong>for</strong> a contract award. U.S. <strong>Communities</strong><br />

reserves the right to make available or not make available Master Agreements awarded by a Lead Public<br />

Agency to Participating Public Agencies.<br />

15.0 SUPPLIER QUALIFICATIONS<br />

15.1 Supplier - Commitments<br />

U.S. <strong>Communities</strong> views the relationship with an awarded Supplier as an opportunity to provide<br />

maximum benefit to both the Participating Public Agencies and to the Supplier.<br />

The successful foundation of the partnership requires commitments from both U.S. <strong>Communities</strong> and the<br />

Supplier. U.S. <strong>Communities</strong> asks each Supplier to make the commitments set <strong>for</strong>th below to ensure<br />

Supplier is providing the highest level of public benefit to Participating Public Agencies:<br />

Each Supplier is required to make four commitments to insure the overall success of the national<br />

program. These commitments are incorporated into the U.S. <strong>Communities</strong> Administration Agreement:<br />

15.2 Supplier - Corporate<br />

A commitment that U.S. <strong>Communities</strong> is actively supported by Supplier’s senior executive management<br />

with a focus on the following:<br />

• U.S. <strong>Communities</strong> will be the Supplier’s primary offering to states, local governments, school<br />

districts, and higher education institutions in the United States of America; and other government<br />

agencies and nonprofit organizations herein collectively all known as “Participating Public<br />

Agencies”.<br />

• A commitment that Supplier shall make all existing Participating Public Agencies that do<br />

business with the Supplier aware of the value and pricing benefits of the U.S. <strong>Communities</strong><br />

contract.<br />

• Upon authorization by the Participating Public Agency transition such Participating Public<br />

Agencies to the Supplier’s U.S. <strong>Communities</strong> contract.<br />

• Pricing – A commitment that Supplier’s U.S. <strong>Communities</strong> contract pricing is the lowest<br />

available pricing (net to buyer) to Participating Public Agencies. If a Participating Public Agency<br />

is otherwise eligible <strong>for</strong> lower pricing through any other Supplier contract, the Supplier will<br />

match the pricing under U.S. <strong>Communities</strong>.<br />

• Economy - A commitment that the supplier will demonstrate the pricing advantage of U.S.<br />

<strong>Communities</strong> over alternative competitive solicitation pricing and will proactively offer U.S.<br />

<strong>Communities</strong> as a more effective alternative to the cost and time associated with such alternate<br />

bids and solicitations.<br />

• Sales – A commitment that the Supplier will market U.S. <strong>Communities</strong> throughout the United<br />

States through a Supplier sales <strong>for</strong>ce or dealer network that is properly trained, engaged and<br />

committed to offering U.S. <strong>Communities</strong> as Supplier’s primary offering to Participating Public<br />

Agencies.<br />

16.0 PROGRAM STANDARDS<br />

U.S. <strong>Communities</strong> recognizes that each Supplier has a successful business model, and may choose to<br />

manage the U.S. <strong>Communities</strong> program in a variety of ways that best suit the Supplier’s organization and<br />

market approach.<br />

The following are Program Standards intended to assist the Supplier in successfully implementing the<br />

U.S. <strong>Communities</strong> contract:<br />

16.1 U.S. <strong>Communities</strong> Administration Agreement - The Supplier is required to execute the U.S.<br />

<strong>Communities</strong> Administration Agreement (attached hereto as Appendix B) prior to the award of the U.S.<br />

<strong>Communities</strong> contract. The Agreement outlines the Supplier’s general duties and responsibilities in<br />

implementing the U.S. <strong>Communities</strong> contract.<br />

The executed U.S. <strong>Communities</strong> Administrative Agreement is required to be submitted with the<br />

supplier’s proposal without exception or alteration. Failure to do so will result in disqualification.<br />

16.2 National Account Management Team – The Supplier shall provide a National Account<br />

Manager with the authority and responsibility <strong>for</strong> the overall success of the U.S. <strong>Communities</strong> contract<br />

within the Supplier’s organization. The Supplier shall also designate a Lead Referral Contact Person,<br />

responsible <strong>for</strong> receiving communications from U.S. <strong>Communities</strong> concerning new public agency<br />

registrations and <strong>for</strong> ensuring timely follow up by the Supplier’s staff to requests <strong>for</strong> contact from public<br />

agencies. Additionally, the Supplier shall provide the personnel necessary to implement and support a<br />

Supplier-based internet web page dedicated to the Supplier’s U.S. <strong>Communities</strong> program and linked to<br />

the U.S. <strong>Communities</strong> website.<br />

16.3 Participating Public Agency Access - Establish the following communication links to facilitate<br />

16.6 Electronic Registration - The Supplier is responsible <strong>for</strong> ensuring that each Participating Public<br />

Agency has completed U.S. <strong>Communities</strong>’ online registration process prior to processing the Participating<br />

Public Agency’s first sales order.<br />

16.7 Sales Report - The supplier is responsible <strong>for</strong> accurate and timely reporting of all Participating<br />

Public Agency sales. Suppliers are required to submit required reports within 30 days of the end of each<br />

calendar quarter in the prescribed <strong>for</strong>mat set <strong>for</strong>th in the U.S. <strong>Communities</strong> Administration Agreement.<br />

16.8 Exception reporting – U.S. <strong>Communities</strong> will send to each supplier an exception report that<br />

details where the Supplier sales report differed from the registration database and the anticipated actions<br />

to correct those discrepancies. These corrections must be completed prior to the following quarterly sales<br />

report.<br />

16.9 Online Reporting - Within 60 days of quarter end, U.S. <strong>Communities</strong> will provide online<br />

reporting available to the supplier with updated quarterly sales reporting. The supplier will be asked to<br />

follow up and report back within 30 days of receiving the notification on specific reports available to<br />

them online.<br />

16.10 Administrative Fees - The Supplier is responsible <strong>for</strong> paying to U.S. <strong>Communities</strong> an<br />

administrative fee on all Participating Public Agency sales volumes within 30 days of the end of each<br />

calendar quarter as set out in the Agreement.<br />

16.11 Quarterly Review - U.S. <strong>Communities</strong> will schedule a quarterly meeting with the supplier to<br />

evaluate the supplier’s per<strong>for</strong>mance of Supplier Commitments and Program Standards outlined herein.<br />

16.12 U.S. <strong>Communities</strong> Awareness - U.S. <strong>Communities</strong> is responsible <strong>for</strong> marketing the overall U.S.<br />

<strong>Communities</strong> concept and program to Participating Public Agencies. U.S. <strong>Communities</strong> marketing is<br />

intended to supplement and enhance the direct sales ef<strong>for</strong>t of the Supplier. The supplier assists by<br />

providing camera-ready logos and by participating in related trade shows and conferences.<br />

16.13 Supplier Sales - Supplier is responsible <strong>for</strong> proactive direct sales of supplier’s goods and services<br />

to public agencies nationwide and the timely follow up to leads established by U.S. <strong>Communities</strong>. Use of<br />

product catalogs, targeted advertising, direct mail and other sales initiatives is encouraged. All sales<br />

materials are to use the U.S. <strong>Communities</strong> logo U.S. <strong>Communities</strong> will provide each Supplier with its<br />

logos and the standards to be employed in the use of the logos. At a minimum, the Supplier's sales<br />

initiatives should communicate:<br />

• Contract was competitively solicited by a Lead Public Agency<br />

• Best government pricing<br />

• No cost to participate<br />

• Non-exclusive contracts<br />

16.14 Branding and Logo Compliance – Supplier is responsible <strong>for</strong> complying with the U.S.<br />

<strong>Communities</strong> branding and logo standards and guidelines. U.S. <strong>Communities</strong>-related marketing material<br />

must be submitted to U.S. <strong>Communities</strong> <strong>for</strong> review.<br />

16.15 Sales <strong>For</strong>ce Training - Supplier is responsible <strong>for</strong> the training of its sales <strong>for</strong>ce on the U.S.<br />

<strong>Communities</strong> contract. U.S. <strong>Communities</strong> is available to train regional or district managers and generally<br />

assist with the education of sales personnel.<br />

17.0 SELECTION CRITERIA<br />

A committee comprised, at a minimum, of the <strong>US</strong> <strong>Communities</strong> Advisory Board or other Participating<br />

Public Agencies, WPS functional users and the WPS Purchasing Department will evaluate each firm's<br />

response as determined by meeting the criteria outlined in this RFP. The selection committee may decide<br />

to ask one or more proposers to make a <strong>for</strong>mal presentation to the selection committee to verify the ability<br />

of proposer to provide the requested services/products. <strong>For</strong>mal presentations, if required, will occur on or<br />

around May 7, 2008. A decision and recommendation to the Board of Education will not be made on the<br />

basis of cost alone. Selection criteria include, but are not limited to:<br />

• Meeting all <strong>Request</strong>s <strong>for</strong> <strong>Proposal</strong> Conditions and miscellaneous instructions as outlined herein,<br />

and the clarity, completeness and comprehensiveness of the proposal.<br />

Appendix A<br />

Master Intergovernmental Cooperative Purchasing Agreement<br />

MASTER INTERGOVERNMENTAL COOPERATIVE PURCHASING AGREEMENT<br />

This agreement is made between certain government agencies that execute a Lead Public Agency<br />

Certificate (‘Lead Public Agencies”) to be appended and made a part hereof and other government<br />

agencies (“Participating Public Agencies”) that agree to the terms and conditions hereof through the<br />

U.S. <strong>Communities</strong> registration and made a part hereof.<br />

RECITALS<br />

WHEREAS, after a competitive solicitation and selection process by Lead Public Agencies, a number of<br />

Suppliers have entered into Master Agreements to provide a variety of goods, products and services<br />

based on national and international volumes (herein “Products and Services”);<br />

WHEREAS, Master Agreements are made available by Lead Public Agencies through U.S. <strong>Communities</strong><br />

and provide that Participating Public Agencies may purchase Products and Services on the same<br />

terms, conditions and pricing as the Lead Public Agency, subject to any applicable local purchasing<br />

ordinances and the laws of the State of purchase;<br />

WHEREAS, the parties desire to comply with the requirements and <strong>for</strong>malities of the Intergovernmental<br />

Cooperation Act as may be applicable to the laws of the State of purchase;<br />

WHEREAS, the parties hereto desire to conserve resources and reduce procurement cost;<br />

WHEREAS, the parties hereto desire to improve the efficiency, effectiveness and economy of the<br />

procurement of necessary Products and Services;<br />

NOW, THEREFORE, in consideration of the mutual promises contained in this agreement, and of the<br />

mutual benefits to result, the parties agree as follows:<br />

1. That each party will facilitate the cooperative procurement of Products and Services.<br />

2. That the procurement of Products and Services subject to this agreement shall be conducted in<br />

accordance with and subject to the relevant statutes, ordinances, rules and regulations that govern each<br />

party’s procurement practices.<br />

3. That the cooperative use of solicitations obtained by a party to this agreement shall be in accordance<br />

with the terms and conditions of the solicitation, except as modification of those terms and conditions<br />

is otherwise allowed or required by applicable law.<br />

4. That the Lead Public Agencies will make available, upon reasonable request and subject to<br />

convenience, in<strong>for</strong>mation which may assist in improving the effectiveness, efficiency and economy of<br />

Participating Public Agencies procurement of Products and Services<br />

5. That a procuring party will make timely payments to the Supplier <strong>for</strong> Products and Services received<br />

in accordance with the terms and conditions of the procurement. Payment, inspections and acceptance<br />

of Products and Services ordered by the procuring party shall be the exclusive obligation of such<br />

procuring party. Disputes between procuring party and Supplier are to be resolved in accord with the<br />

law and venue rules of the State of purchase.<br />

6. The procuring party shall not use this agreement as a method <strong>for</strong> obtaining additional concessions or<br />

reduced prices <strong>for</strong> similar products or services.<br />

agreement. A non-procuring party shall not be liable in any fashion <strong>for</strong> any violation by a procuring<br />

8. The exercise of any rights or remedies by the procuring party shall be the exclusive obligation of such<br />

This ADMINISTRATION AGREEMENT (THIS “Agreement”) is made this _____ day of<br />

RECITALS<br />

DEFINITIONS<br />

1. Capitalized terms used in this Agreement and not otherwise defined herein shall have the meanings<br />

fully set <strong>for</strong>th herein, and the terms and conditions contained therein shall apply to this Agreement<br />

except as expressly changed or modified by this Agreement.<br />

5. U.S. <strong>Communities</strong> shall per<strong>for</strong>m all of its duties, responsibilities and obligations as administrator of<br />

purchases under the Master Agreement as set <strong>for</strong>th herein, and Supplier hereby agrees that the Agency<br />

shall act in the capacity of administrator of purchases under the Master Agreement.<br />

6. With respect to any purchases by Lead Public Agency or any Participating Public Agency pursuant to<br />

the Master Agreement, U.S. <strong>Communities</strong>: (i) shall not be construed as a dealer, re-marketer,<br />

representative, partner or agent of any type of the Supplier, Lead Public Agency or such Participating<br />

Public Agency; (ii) shall not be obligated, liable or responsible <strong>for</strong> any order made by Lead Public<br />

Agency or any Participating Public Agency or any employee thereof under the Master Agreement or<br />

<strong>for</strong> any payment required to be made with respect to such order; and (iii) shall not be obliged, liable or<br />

responsible <strong>for</strong> any failure by any Participating Public Agency to comply with procedures or<br />

requirements of applicable law or to obtain the due authorization and approval necessary to purchase<br />

under the Master Agreement. The Agency makes no representation or guaranty with respect to any<br />

minimum purchases by Lead Public Agency or any Participating Public Agency or any employee<br />

thereof under this Agreement or the Master Agreement.<br />

TERM OF AGREEMENT<br />

2. This Agreement shall be in effect so long as the Master Agreement remains in effect, provided,<br />

however, that all indemnifications af<strong>for</strong>ded by the Supplier to U.S. <strong>Communities</strong> shall survive the<br />

term of this Agreement.<br />

MUTUAL COMMITMENTS<br />

3. U.S. <strong>Communities</strong> Commitments to Program Suppliers<br />

Marketing – U.S. <strong>Communities</strong> will proactively and jointly market the Supplier’s contract to<br />

Agencies nationwide throughout the United States through a network of major sponsors (NLC,<br />

NACo, <strong>US</strong>CM, ASBO & NIGP) and state-level sponsors. In addition the U.S. <strong>Communities</strong> staff will<br />

enhance the Supplier’s marketing ef<strong>for</strong>ts through in-person meetings with public agencies,<br />

participation in key events and tradeshows and by providing online tools to the Supplier’s sales <strong>for</strong>ce.<br />

Training – U.S. <strong>Communities</strong> is dedicated to training and educating the Supplier sales <strong>for</strong>ce. The U.S.<br />

<strong>Communities</strong> Program Managers’ primary focus is the education, training and engagement of the<br />

Supplier’s sales <strong>for</strong>ce. The Program Managers will conduct face to face training sessions as well as<br />

conduct joint calls to major Public Agencies. This direct support of the field is enhanced by a<br />

Supplier login that provides presentations, documents and in<strong>for</strong>mation to assist the Supplier field<br />

sales <strong>for</strong>ce in effectively promoting their U.S. <strong>Communities</strong> contract.<br />

Knowledge Management Support – U.S. <strong>Communities</strong> will provide resources and tools to enable the<br />

Supplier to leverage the program’s knowledge and data. Prior to implementation, the Supplier’s sales<br />

<strong>for</strong>ce will be provided access to a private login site that contains marketing, training and targeting<br />

data.<br />

SUPPLIER COMMITMENTS<br />

U.S. <strong>Communities</strong> views the relationship with an awarded Program Supplier as an opportunity to<br />

provide maximum benefit to both the Participating Public Agencies and to the Suppliers.<br />

The successful foundation of the partnership requires Commitments from both U.S. <strong>Communities</strong> and<br />

the Suppliers. U.S. <strong>Communities</strong> asks each Supplier to make the Commitments set <strong>for</strong>th below to<br />

ensure Supplier is providing the highest level of public benefit to Participating Public Agencies:<br />

Each supplier is required to make four commitments to insure the overall success of the national<br />

program. These commitments are incorporated into the Agreement:<br />

A. Corporate – A commitment that U.S. <strong>Communities</strong> is actively supported by Supplier’s senior<br />

executive management with a focus on the following:<br />

14 U.S. <strong>Communities</strong> will be the Supplier’s primary offering to states, local governments, school<br />

districts, and higher education institutions in the United States of America; and other government<br />

agencies and nonprofit organizations herein collectively all known as “Participating Public<br />

Agencies”.<br />

15 A commitment that Supplier shall make all existing Participating Public Agencies that do business<br />

with the Supplier aware of the value and pricing benefits of the U.S. <strong>Communities</strong> contract.<br />

16 Upon authorization by the Participating Public Agency transition such Participating Public Agencies<br />

to the Supplier’s U.S. <strong>Communities</strong> contract.<br />

B. Pricing – A commitment that Supplier’s U.S. <strong>Communities</strong> contract pricing is the lowest<br />

available pricing (net to buyer) to Participating Public Agencies. If a Participating Public Agency<br />

is otherwise eligible <strong>for</strong> lower pricing through any other Supplier contract, the Supplier will<br />

match the pricing under U.S. <strong>Communities</strong>.<br />

C. Economy - A commitment that the supplier will demonstrate the pricing advantage of U.S.<br />

<strong>Communities</strong> over alternative competitive solicitation pricing and will proactively offer U.S.<br />

<strong>Communities</strong> as a more effective alternative to the cost and time associated with such alternate<br />

bids and solicitations.<br />

D. Sales – A commitment that the Supplier will market U.S. <strong>Communities</strong> throughout the United<br />

States through a Supplier sales <strong>for</strong>ce or dealer network that is properly trained, engaged and<br />

committed to offering U.S. <strong>Communities</strong> as Supplier’s primary offering to Participating Public<br />

Agencies.<br />

The Corporate, Pricing, Economy and Sales Commitments are the foundation of the relationship between<br />

U.S. <strong>Communities</strong> and its suppliers. The Commitments are not negotiable. If a supplier is found to be in<br />

violation and/or non-compliance with one or more of the U.S. <strong>Communities</strong> Commitments, the supplier<br />

will have ninety days to provide resolution and come into compliance. Failure to do so will result in<br />

removal from the U.S. <strong>Communities</strong> national program.<br />

PROGRAM STANDARDS<br />

U.S. <strong>Communities</strong> recognizes that each Supplier has a successful business model, and may choose to<br />

manage the U.S. <strong>Communities</strong> program in a variety of ways that best suit the Supplier’s organization<br />

and market approach.<br />

The following are Program Standards intended to assist the Supplier in successfully implementing the<br />

U.S. <strong>Communities</strong> contract:<br />

Senior Management Account Representative and Team – The Supplier shall provide a Senior<br />

Management Account Representative with the authority and responsibility <strong>for</strong> the overall success of<br />

the U.S. <strong>Communities</strong> contract within the Supplier’s organization. The supplier shall also designate a<br />

Lead Referral Contact Person, responsible <strong>for</strong> receiving communications from U.S. <strong>Communities</strong><br />

concerning new public agency registrations and <strong>for</strong> ensuring timely follow up by the Supplier’s staff<br />

to requests <strong>for</strong> contact from public agencies. Additionally, the supplier shall provide the personnel<br />

necessary to implement and support a supplier-based internet web page dedicated to the Supplier’s<br />

U.S. <strong>Communities</strong> program and linked to the U.S. <strong>Communities</strong> website.<br />

Participating Public Agency Access - Establish the following communication links to facilitate<br />

customer access and communication:<br />

o A dedicated U.S. <strong>Communities</strong> internet web-based homepage with:<br />

Electronic Registration - The Supplier is responsible <strong>for</strong> ensuring that each Participating Public Agency<br />

has completed U.S. <strong>Communities</strong>’ online registration process prior to processing the Participating<br />

Public Agency’s first sales order.<br />

Sales Report - The supplier is responsible <strong>for</strong> accurate and timely reporting of all Participating Public<br />

Agency sales. Suppliers are required to comply with the following key reporting requirements;<br />

The report is to be submitted within 30 days of the end of each calendar quarter in the prescribed<br />

<strong>for</strong>mat set <strong>for</strong>th in the Agreement.<br />

Exception reporting – U.S. <strong>Communities</strong> will send to each supplier an exception report that details<br />

where the supplier sales report differed from the registration database and the anticipated actions to<br />

correct those discrepancies. These corrections must be completed prior to the following quarterly<br />

sales report.<br />

Online Reporting - Within 60 days of quarter end, U.S. <strong>Communities</strong> will provide online reporting<br />

available to the supplier with updated quarterly sales reporting. The supplier will be asked to follow<br />

up and report back within 30 days of receiving the notification on specific reports available to them<br />

online.<br />

Administrative Fees - The supplier is responsible <strong>for</strong> paying to U.S. <strong>Communities</strong> an administrative fee<br />

on all Participating Public Agency sales volumes within 30 days of the end of each calendar quarter as<br />

set out in the Agreement. Reported sales volumes and respective administrative fee payments shall be<br />

denominated in U.S. Dollars.<br />

Quarterly Review - U.S. <strong>Communities</strong> will schedule a quarterly meeting with the supplier to evaluate the<br />

supplier’s per<strong>for</strong>mance of Supplier Commitments and Program Standards outlined herein.<br />

U.S. <strong>Communities</strong> Awareness - U.S. <strong>Communities</strong> is responsible <strong>for</strong> marketing the overall U.S.<br />

<strong>Communities</strong> concept and program to Participating Public Agencies. U.S. <strong>Communities</strong> marketing is<br />

intended to supplement and enhance the direct sales ef<strong>for</strong>t of the supplier. The supplier assists by<br />

providing camera-ready logos and by participating in related trade shows and conferences.<br />

Supplier Sales - Supplier is responsible <strong>for</strong> proactive direct sales of supplier’s goods and services to<br />

public agencies nationwide and the timely follow up to leads established by U.S. <strong>Communities</strong>. Use<br />

of product catalogs, targeted advertising, direct mail and other sales initiatives are encouraged. All<br />

sales materials are to use the U.S. <strong>Communities</strong> logo. U.S. <strong>Communities</strong> will provide each Supplier<br />

with its logo and the standards to be employed in the use of the logo. At a minimum, the supplier's<br />

sales initiatives should communicate:<br />

Branding and Logo Compliance – Supplier is responsible <strong>for</strong> complying with the U.S. <strong>Communities</strong><br />

branding and logo standards and guidelines. U.S. <strong>Communities</strong> related marketing material must be<br />

submitted to U.S. <strong>Communities</strong> <strong>for</strong> review.<br />

Sales <strong>For</strong>ce Training - Supplier is responsible <strong>for</strong> the training of its national sales <strong>for</strong>ce on the U.S.<br />

<strong>Communities</strong> contract. U.S. <strong>Communities</strong> is available to train regional or district managers and<br />

generally assist with the education of sales personnel.<br />

QUARTERLY FEES & REPORTING<br />

11. Supplier shall pay U.S. <strong>Communities</strong> a quarterly administrative fee in the amount of 1% of the total<br />

purchase price <strong>for</strong> the first $10 million in annual sales; 1.5% of the total purchase price <strong>for</strong> the next<br />

$10 million in annual sales; 2% of the total purchase price <strong>for</strong> the next $320 million in annual sales;<br />

and 2.5% of the total purchase price <strong>for</strong> annual sales of $340 million and beyond, , excluding taxes<br />

and shipping, <strong>for</strong> all purchases under the Master Agreement and provide the Agency with an electronic<br />

accounting report, in a <strong>for</strong>mat prescribed by the Agency, summarizing all purchases under the Master<br />

Agreement. Quarterly fees and reports shall be made with respect to all purchases shipped and billed<br />

pursuant to the Master Agreement <strong>for</strong> the applicable quarter.<br />

12. Supplier shall at its expense maintain an accounting of all purchases made by Participating Public<br />

Agencies. U.S. <strong>Communities</strong> and Lead Public Agency reserve the right to audit the accounting <strong>for</strong> a<br />

period of four (4) years from the date the U.S. <strong>Communities</strong> receives the accounting. In the event of<br />

such an audit, the requested materials shall be provided at the location designated by Lead Public<br />

Agency or U.S. <strong>Communities</strong>. Quarterly reports and the administrative fee applicable to each quarter<br />

are due within 30 days of the end of each calendar quarter as set <strong>for</strong>th above. The U.S. <strong>Communities</strong><br />

reserves the right upon reasonable advance notice to Supplier to change the prescribed report <strong>for</strong>mat to<br />

accommodate the distribution of the administrative fee to program sponsors and state associations of<br />

government.<br />

13. Failure to provide a quarterly report and/or payment of the administrative fee within the time and<br />

manner specified shall be regarded as a material breach under this Agreement and if not cured within<br />

thirty (30) days of written notice to Supplier shall be deemed a cause <strong>for</strong> termination of the Master<br />

Agreement at Lead Public Agency’s sole discretion or this Agreement at the U.S. <strong>Communities</strong> sole<br />

discretion. All administrative fees not paid within 30 days of the end of each quarter shall bear<br />

interest at the rate of 1 1/2% per month until paid. Administrative fee payments shall be made by<br />

check or wire to U.S. <strong>Communities</strong> or the Designee or Trustee as may be directed in writing by U.S.<br />

<strong>Communities</strong>.<br />

14. U.S. <strong>Communities</strong> or its designee may, at its sole discretion, compare public agency records with<br />

quarterly reports submitted by Supplier. If there is a discrepancy, U.S. <strong>Communities</strong> will notify<br />

the Supplier in writing. Supplier will have 30 days from the date of such notice to resolve the<br />

discrepancy to the U.S. <strong>Communities</strong> reasonable satisfaction. If the Supplier does not so resolve<br />

the discrepancy, U.S. <strong>Communities</strong> shall have the right to engage outside services to conduct an<br />

independent audit of Supplier’s quarterly reports and Supplier shall be obligated to reimburse<br />

U.S. <strong>Communities</strong> costs and expenses <strong>for</strong> such audit.<br />

GENERAL PROVISIONS<br />

15. This Agreement supersedes any and all other agreements, either oral or in writing, between the parties<br />

hereto with respect to the subject matter hereof, and no other agreement, statement, or promise relating<br />

to the subject matter of this Agreement which is not contained herein shall be valid or binding.<br />

16. If any action at law or in equity is brought to en<strong>for</strong>ce or interpret the provisions of this Agreement, the<br />

prevailing party shall be entitled to reasonable attorney's fees and costs in addition to any other relief<br />

to which he may be entitled.<br />

17. This Agreement and U.S. <strong>Communities</strong> rights and obligations hereunder may be assigned at U.S.<br />

<strong>Communities</strong> sole discretion, to an existing or newly established legal entity that has the authority and<br />

capacity to per<strong>for</strong>m U.S. <strong>Communities</strong> obligations hereunder.<br />

18. All reports, notices or other communications given hereunder shall be delivered by first-class mail,<br />

postage prepaid, or overnight delivery requiring signature on receipt to the addresses as set <strong>for</strong>th<br />

below. U.S. <strong>Communities</strong> may, by written notice delivered to Supplier, designate any different<br />

address to which subsequent reports, notices or other communications shall be sent.<br />

19. If any provision of this Agreement shall be deemed to be, or shall in fact be, illegal, inoperative or<br />

unen<strong>for</strong>ceable, the same shall not affect any other provision or provisions herein contained or render<br />

the same invalid, inoperative or unen<strong>for</strong>ceable to any extent whatever.<br />

20. This Agreement may be executed in several counterparts, each of which shall be an original and all of<br />

which shall constitute but one and the same instrument.<br />

21. This Agreement may not be effectively amended, changed, modified, altered or terminated without the<br />

prior written consent of the parties hereto.<br />

22. This Agreement shall be governed exclusively by and construed in accordance with the<br />

applicable laws of the State of Cali<strong>for</strong>nia as a contract executed and delivered within the State of<br />

Cali<strong>for</strong>nia and to be fully per<strong>for</strong>med within the State of Cali<strong>for</strong>nia.<br />

Master Agreement Addendum #1 – Affiliated Programs<br />

U.S. <strong>Communities</strong> recently established Canadian <strong>Communities</strong>, an affiliated program in Canada<br />

to offer certain qualified contract awards. U.S. <strong>Communities</strong> will continue to explore other international<br />

opportunities as practical based upon the capacity of contract suppliers to properly serve public agencies<br />

internationally;<br />

Understanding that all Suppliers may not have the capacity or want to focus on Canadian <strong>Communities</strong> or<br />

other affiliated programs, U.S. <strong>Communities</strong> offers these opportunities on a voluntary basis to Suppliers.<br />

The terms, conditions and commitments outlined and agreed upon in the U.S. <strong>Communities</strong><br />

Administration Agreement shall be applied to Canadian <strong>Communities</strong> and any other international<br />

opportunities.<br />

ADMINISTRATION AGREEMENT GUIDELINES<br />

Corporate Commitment Guidelines<br />

1. The supplier must demonstrate in their RFP response and throughout the term of their contract<br />

that senior management fully supports the U.S. <strong>Communities</strong> program and its commitments and<br />

requirements. Senior management is defined as an executive(s) with company wide authority.<br />

2. The supplier’s field <strong>for</strong>ce (direct and/or authorized dealer / rep agency etc.) must lead with their<br />

U.S. <strong>Communities</strong> contract when calling on public agencies nationwide. If the supplier has<br />

alternate cooperative vehicles (i.e. state contracts, regional cooperatives) U.S. <strong>Communities</strong> is<br />

required to be the lead offering not just one of the supplier’s options. If a supplier meets<br />

resistance or an objection to utilizing U.S. <strong>Communities</strong> from a public agency, prior to offering<br />

an alternate contract option, the suppliers sales representative must contact the U.S. <strong>Communities</strong><br />

Program Manager in the area and request assistance in over coming the barrier or objection. If the<br />

U.S. <strong>Communities</strong> Program Manager is unable to resolve the public agency’s objection then the<br />

supplier is permitted to pursue other options.<br />

3. In states where the supplier has an existing state contract, U.S. <strong>Communities</strong> expects the supplier<br />

to notify the state of its U.S. <strong>Communities</strong> contract and transition the state to U.S. <strong>Communities</strong><br />

upon the state’s request. Regardless of whether or not the state decides to transition to U.S.<br />

<strong>Communities</strong>, U.S. <strong>Communities</strong> expects the supplier to lead with the U.S. <strong>Communities</strong> contract<br />

to the local public agencies with in the state. Local public agencies include but are not limited to;<br />

counties, cities, school districts, special districts, community colleges, colleges, universities and<br />

non-profits. The above applies to other cooperatives held by the supplier.<br />

4. U.S. <strong>Communities</strong> recognizes that the main value <strong>for</strong> a supplier to participate in the U.S.<br />

<strong>Communities</strong> program is to generate new incremental revenue. To ensure the credibility of the<br />

program U.S. <strong>Communities</strong> requires its suppliers to in<strong>for</strong>m their existing public agency customers<br />

of their U.S. <strong>Communities</strong> contract. If an existing public agency client requests to be transitioned<br />

to the supplier’s U.S. <strong>Communities</strong> contract, U.S. <strong>Communities</strong> expects the supplier to transition<br />

the client and report the client’s purchases to U.S. <strong>Communities</strong> going <strong>for</strong>ward.<br />

Supplier Pricing Commitment Compliance Guidelines<br />

It is U.S. <strong>Communities</strong> expectation that the standard pricing offered through the supplier’s U.S.<br />

<strong>Communities</strong> contract is generally the lowest overall available pricing net to buyer to state and local<br />

agencies nationwide. The supplier does have recourse available to come into compliance with the U.S.<br />

<strong>Communities</strong> pricing commitment when a pre-existing contract and / or a public agency’s unique buying<br />

pattern provide one or more public agencies a lower price than the supplier’s U.S. <strong>Communities</strong> contract.<br />

The following options are intended <strong>for</strong> limited use and not as a routine business practice.<br />

1. If the supplier has a contract that is available to one or more public agencies that offers lower pricing<br />

than their U.S. <strong>Communities</strong> contract, the supplier is required to match the pricing under the U.S.<br />

<strong>Communities</strong> contract and make the eligible public agencies aware that the lower pricing is available<br />

under their U.S. <strong>Communities</strong> contract. If one or more of the eligible agencies request to transition to<br />

the U.S. <strong>Communities</strong> contract, the supplier is expected to transition the agency and report the<br />

agency’s purchases under the U.S. <strong>Communities</strong> contract going <strong>for</strong>ward. The price match only<br />

applies to eligible agencies. Below are three examples of contracts and eligible agencies.<br />

a. The supplier holds a state contract with lower pricing that is available to all public agencies<br />

within the state. The supplier would match the lower state pricing under U.S. <strong>Communities</strong> and make<br />

it available to all public agencies within the state.<br />

b. The supplier holds a regional cooperative contract with lower pricing that is available only to the<br />

ten cooperative members. The supplier would match the lower cooperative pricing under U.S.<br />

<strong>Communities</strong> and make it available to the ten public agency cooperative members.<br />

c. The supplier holds a contract with an individual public agency. The public agency contract does<br />

not contain any cooperative language and there<strong>for</strong>e other public agencies are not eligible to utilize the<br />

contract. The supplier would be required to match the lower pricing under the U.S. <strong>Communities</strong><br />

contract and make it available only to the individual public agency.<br />

2. Occasionally U.S. <strong>Communities</strong> and its suppliers interact with a public agency that has a buying<br />

pattern that is a large deviation from the normal public agency buying pattern that causes the<br />

supplier’s U.S. <strong>Communities</strong> pricing to be non-competitive and / or higher than an alternative<br />

contract held by the supplier. The cause could be created by a unique end user preference or<br />

requirement. When this occasion arises the supplier has the ability to address the issue by lowering<br />

the price under the U.S. <strong>Communities</strong> contract on the item(s) causing the large deviation. The<br />

supplier would not be required to lower the price <strong>for</strong> other agencies.<br />

Public Agency Solicitation Response Guidelines<br />

While it is the objective of the U.S. <strong>Communities</strong> program to have public agencies piggyback on the<br />

contracts rather than issue their own bids and RFPs, U.S. <strong>Communities</strong> recognizes that <strong>for</strong> various<br />

reasons many public agencies will issue their own solicitations. The following options are available to<br />

U.S. <strong>Communities</strong> Suppliers when responding to Public Agency solicitations.<br />

1. Respond with your U.S. <strong>Communities</strong> contract pricing. If successful the sales would be reported<br />

under U.S. <strong>Communities</strong>,<br />

2. If competitive conditions required pricing lower than the standard U.S. <strong>Communities</strong> contract<br />

pricing, the supplier can submit lower pricing through the U.S. <strong>Communities</strong> contract. If<br />

Quarterly Reporting Procedures<br />

30 Days after Quarter End, quarterly reporting is due in the required <strong>for</strong>mat. Quarterly reporting will<br />

include sales reporting <strong>for</strong> U.S. and Canada, and a breakout of Environmental Preferable (Green) sales<br />

reporting. Supplier must make reasonable attempts at filling in all required in<strong>for</strong>mation and contact U.S.<br />

<strong>Communities</strong> with a plan to correct any deficiencies of data field population.<br />

Submitted reports will be verified by U.S. <strong>Communities</strong> against their registration database. Any data that<br />

differs with the registration database will be changed prior to processing.<br />

U.S. <strong>Communities</strong> will send to each supplier an error report which details where the supplier sales report<br />

differed from the registration database and the anticipated actions to correct those discrepancies. These<br />

corrections must be completed prior to the following quarterly sales report. Any questions should be<br />

directed to U.S. <strong>Communities</strong> in writing to mteixeira@uscommunities.org.<br />

Within 60 days of quarter end, U.S. <strong>Communities</strong> will provide online reporting available to suppliers,<br />

sponsors and agencies with updated quarterly reports. The suppliers will be asked to follow up and report<br />

WPS COMPANY AGREEMENT<br />

This Agreement, by and between Unified School District No. 259, County of Sedgwick, State of Kansas<br />

(the “School District”), and<br />

(the “Company”) made and entered into<br />

this _____ day of _________________, 20__.<br />

NOW, THEREFORE, the parties do mutually agree as follows:<br />

1. SERVICES: In consideration of the sum of $______________________ (includes all services,<br />

honorarium, travel, lodging, and any other expenses), the Company shall per<strong>for</strong>m services as<br />

specified in Attachment “A”/Scope of Services, a copy of which is attached to this Agreement.<br />

2. TERM: The term of the scope of services shall be from through<br />

. Notwithstanding the <strong>for</strong>egoing, the School District may terminate this Agreement at any time and<br />

<strong>for</strong> any reason, with or without cause, by providing the Company with thirty (30) days advance<br />

written notice.<br />

3. PAYMENT: Payment <strong>for</strong> services rendered pursuant to this Agreement shall be made upon<br />

receipt of original invoice(s) in accordance and in con<strong>for</strong>mity with payment dates <strong>for</strong> bills and<br />

claims as published by Business & Financial Services. Reimbursement <strong>for</strong> airfare, lodging and<br />

meal expenses shall comply with School District policies and reimbursement <strong>for</strong> such expenses<br />

will be made in accordance with such policies.<br />

Prior to payment, the Company must submit an original, dated, itemized invoice of services<br />

rendered. (Photocopies or facsimiles of invoices will not be accepted.) Any reimbursement <strong>for</strong><br />

expenses included on the invoice(s) must be supported with attached original billing <strong>for</strong> such<br />

expenses.<br />

4. REVIEW OF WORK: The School District shall have the right during the term of this Agreement<br />

to inspect or review the work of the Company and to require such oral or written reports of work<br />

progress from the Company as may be reasonably necessary to assure proper per<strong>for</strong>mance of this<br />

Agreement.<br />

5. PRODUCTS AND PROCESS OWNERSHIP: All products, processes, or similar works prepared<br />

by the Company in the course of the per<strong>for</strong>mance of this Agreement shall be the exclusive<br />

property of the School District and will be released, if at all, only by and through the School<br />

District.<br />

6. INDEMNIFICATION: The Company shall indemnify, protect, defend and save the School<br />

District harmless from and against any and all claims, demands, liabilities and costs, including<br />

attorney’s fees arising from damages or injury, actual or claimed, of whatsoever kind or<br />

character, to property or persons, occurring or allegedly occurring from the per<strong>for</strong>mance of the<br />

services specified to be per<strong>for</strong>med herein. Upon timely written notice from the School District,<br />

the Company shall defend the School District in any action or proceedings brought thereon;<br />

provided, however, that nothing contained herein shall be construed as requiring the Company to<br />

indemnify the School District <strong>for</strong> any claims resulting from the negligence or willful misconduct<br />

of the School District or its officials, employees or agents.<br />

7. INDEPENDENT CONTRACTOR: It is agreed and understood that the Company shall at all<br />

times and <strong>for</strong> all purposes be deemed an independent contractor and not an employee of the<br />

School District, particularly <strong>for</strong>, but not limited to, the purposes of worker’s compensation and<br />

the Kansas Tort Claims Act.<br />

8. INSURANCE: The Company shall maintain liability insurance <strong>for</strong> bodily and personal injury,<br />

property damage, and the errors, acts, and omissions of the Company which may result in claims<br />

against the School District in an amount not less than the maximum liability of a single<br />

government entity <strong>for</strong> claims arising out of a single occurrence as provided by the Kansas Tort<br />

Claims Act or other similar law (currently $500,000 per occurrence). The Company shall also<br />

maintain workers' compensation insurance specifying all states coverage <strong>for</strong> any of its employees<br />

involved in the per<strong>for</strong>mance of this Agreement. The Company shall provide the School District<br />

with certificates of coverage naming the School District as an additional insured on the general<br />

liability insurance as a condition precedent to the effectuation of this Agreement.<br />

9. LOSS OF PERSONALTY: The parties agree the School District bears no liability <strong>for</strong> damages,<br />

theft, or other loss of any personal property of the Company which may occur on School District<br />

premises, whether such loss affects personalty secured or purchased by the Company, School<br />

District or by means of grant arrangements. If such personalty is material to the per<strong>for</strong>mance of<br />

the services listed above, it shall be the responsibility of the Company to replace it. The School<br />

District is the sole judge of materiality.<br />

10. ASSIGNMENT AND DELEGATION: The services to be per<strong>for</strong>med under this Agreement are<br />

deemed to be personal in nature and the parties agree the duties may not be delegated nor the<br />

Agreement assigned without prior written consent of the School District.<br />

11. AMENDMENTS: The parties agree that no changes, additions, or modifications to this<br />

Agreement may be made except by written addendum signed by both parties.<br />

12. DEFAULTS: This Agreement may be terminated by the School District at any time that it<br />

determines in its sole discretion that the services listed above are not being per<strong>for</strong>med in<br />

accordance with this Agreement. Upon such termination the School District shall pay <strong>for</strong> services<br />

through the date of termination.<br />

13. ADDITIONAL CONTRACTUAL PROVISIONS REQUIRED BY K.S.A. 72-8201c: This<br />

Company Agreement shall be subject to the following contractual provisions which shall control<br />

and prevail over any conflicting provisions contained elsewhere in this Company Agreement are<br />

Agreement with Kansas Law: All contractual agreements shall be subject to, governed<br />

by, and construed according to the laws of the State of Kansas.<br />

Cash Basis and Budget Law Requirements: The right of the Company and the School<br />

District to enter into this Agreement is subject to the provisions of the Cash Basis Law<br />

(K.S.A. 10-1112 and 10-1113) and the Budget Law (K.S.A. 79-2935) and other laws of<br />

the State of Kansas. This Agreement shall be construed and interpreted to ensure the<br />

Company and the School District shall at all times be in con<strong>for</strong>mity with such laws. It is<br />

a condition of this Agreement that the Company and the School District reserve the right<br />

to unilaterally sever, modify, or terminate this Agreement at any time if, in the opinion of<br />

legal counsel, the Agreement may be deemed to violate the terms of such laws.<br />

Disclaimer Of Liability: Notwithstanding anything to the contrary elsewhere contained<br />

in this Agreement, the School District shall not hold harmless or indemnify any<br />

contractor beyond that liability incurred under the Kansas Tort Claims Act (K.S.A. 75-<br />

6101 et seq.). In addition, the District shall not indemnify or hold harmless against<br />

damages, injury or death resulting from the actions or failure to act on the part of any<br />

party to this Agreement other than the Board of Education of the School District or the<br />

School District.<br />

Anti-Discrimination Clause: The Company agrees: (i) to comply with the Kansas Act<br />

Against Discrimination (K.S.A. 44-1001 et seq.) and the Kansas Age Discrimination in<br />

Employment Act (K.S.A. 44-1111 et seq.) and the applicable provisions of the Americans<br />

With Disabilities Act (42 U.S.C. 12101 et seq.) (ADA) and to not discriminate against<br />

any person because of race, religion, color, sex, disability, national origin or ancestry, or<br />

age in the admission or access to, or treatment or employment in, its programs or<br />

activities; (ii) to include in all solicitations or advertisements <strong>for</strong> employees, the phrase<br />

"equal opportunity employer"; (iii) to comply with the reporting requirements set out at<br />

K.S.A. 44-1031 and K.S.A. 44-1116; (iv) to include those provisions in every subcontract<br />

or purchase order so that they are binding upon such subcontractor or vendor; (v) that a<br />

failure to comply with the reporting requirements of (iii) above or if the Company is<br />

found guilty of any violation of such acts by the Kansas Human Rights Commission,<br />

such violation shall constitute a breach of the Agreement and the Agreement may be<br />

cancelled, terminated or suspended, in whole or in part, by the School District; (vi) if it is<br />

determined that the Company has violated applicable provisions of ADA, such violation<br />

shall constitute a breach of the Agreement and the Agreement may be cancelled,<br />

terminated or suspended, in whole or in part, by the School District.<br />

Parties to this Agreement understand that the provisions of this paragraph number 4 (with<br />

the exception of those provisions relating to the ADA) are not applicable to a Company<br />

who employs fewer than four employees during the term of such Agreement or whose<br />

contracts with the School District cumulatively total $5,000 or less during the fiscal year.<br />

Arbitration, Damages, Warranties: Notwithstanding any language to the contrary, no interpretation<br />

shall be allowed to find the School District or any agency thereof has agreed to binding arbitration, or<br />

the payment of damages or penalties upon the occurrence of a contingency. Further, the School<br />

District shall not agree to pay attorney fees and late payment charges beyond those available under<br />

the Kansas Prompt Payment Act (K.S.A. 75-6403), and no provision will be given effect which<br />

attempts to exclude, modify, disclaim or otherwise attempt to limit implied warranties of<br />

merchantability and fitness <strong>for</strong> a particular purpose.<br />

Representative's Authority To Contract: By signing this Agreement, the representative of the<br />

Company thereby represents that such person is duly authorized by the Company to execute this<br />

Agreement on behalf of the Company and that the Company agrees to be bound by the provisions<br />

thereof.<br />

Responsibility <strong>For</strong> Taxes: The School District shall not be responsible <strong>for</strong>, nor indemnify a<br />

contractor <strong>for</strong>, any federal, state or local taxes which may be imposed or levied upon the subject<br />

matter of this Agreement.<br />

Insurance: The School District shall not be required to purchase any insurance against loss or damage<br />

to any personal property to which this Agreement relates, nor shall this Agreement require the School<br />

District to establish a "self-insurance" fund to protect against any such loss or damage. Subject to the<br />

provisions of the Kansas Tort Claims Act (K.S.A. 75-6101 et seq.), the vendor or lessor shall bear the<br />

risk of any loss or damage to any personal property in which vendor or lessor holds title.<br />

In<strong>for</strong>mation: No provision of this Agreement shall be construed as limiting the Legislative Division<br />

of Post Audit from having access to in<strong>for</strong>mation pursuant to K.S.A. 46-1101 et seq.<br />
