Participant will have 72 hours to respond to <strong>VeriSign</strong>’s email and to perform the recommended and necessary changes and<br />

adjustments in order to comply with the <strong>Program</strong> Requirements. If Participant fails to perform the recommended or necessary changes<br />

and adjustments in order to comply with the <strong>Program</strong> Requirements, then Participant will be disqualified from participating in the<br />

<strong>VeriSign</strong> Campaign as set forth in paragraph 5 herein.<br />

8. <strong>Program</strong> Changes and Miscellaneous<br />

<strong>VeriSign</strong> may, in its sole discretion, amend the terms and conditions of the <strong>Program</strong> from time to time by posting a notice on its<br />

website located at: www.verisign.com/brazilprogram. The <strong>Enrollment</strong> <strong>Application</strong> <strong>Form</strong>, as well as the <strong>Program</strong> Terms and<br />

Conditions stated herein, contain all of the terms and conditions of the <strong>Program</strong> and supercede all prior agreements and<br />

understandings, whether established by custom, practice, procedure or precedent. Notwithstanding anything contained herein to the<br />

contrary, nothing herein shall be construed to alter, waive, amend or otherwise modify the terms of <strong>VeriSign</strong>’s Registry-Registrar<br />

Agreement with it Participants. Participant acknowledges that its participation in the <strong>Program</strong> is strictly voluntary and is not required<br />

by <strong>VeriSign</strong> as a condition of receiving any other services or other consideration to which such Participant otherwise would be entitled<br />

under its Registry-Registrar Agreement with <strong>VeriSign</strong>. Participant agrees that its sole and exclusive remedy, in law, in equity, or<br />

otherwise, with respect to the <strong>Program</strong> and/or any breach of the <strong>Program</strong> Terms and Conditions (except failure to pay placement fees<br />

owed) is withdrawal from participation in the <strong>Program</strong>. In no event shall either party, its licensors and contractors be liable for any<br />

indirect, incidental, special or consequential damages even if such party has been advised of the possibility of such damages. This<br />

<strong>Program</strong> is governed in all respects by and shall be construed in accordance with the laws of the Commonwealth of Virginia, United<br />

States of America, excluding its conflict of laws rules. All disputes concerning or arising from the <strong>Program</strong> shall be subject to, and the<br />

Participant submits to the exclusive subject matter jurisdiction, personal jurisdiction and venue of, the United States District Court for<br />

the Eastern District of Virginia, Alexandria Division. If there is no jurisdiction in the United States District Court for the Eastern<br />

District of Virginia, Alexandria Division, then jurisdiction shall be in the Circuit Court of Fairfax County, Fairfax, Virginia. This<br />

<strong>Program</strong> is void where prohibited.<br />

<strong>VeriSign</strong> shall not be responsible for any errors or omissions contained in Participant’s <strong>Enrollment</strong> <strong>Application</strong> <strong>Form</strong> or other any<br />

submissions (including content on its Participant Site) provided to <strong>VeriSign</strong>. Participants must submit promotional content and<br />

materials in a form and manner acceptable to <strong>VeriSign</strong>. <strong>VeriSign</strong> may require prior approval of a Participant’s promotional content<br />

and materials. <strong>VeriSign</strong> may, in its sole discretion, remove any content provided by a Participant that <strong>VeriSign</strong> deems to be<br />

inappropriate. <strong>VeriSign</strong> shall not be responsible for, and makes no warranties as to: (1) the performance level of the <strong>VeriSign</strong><br />

Campaign; or (2) whether the promotional advertising will produce any results (including, but not limited to, an increase of domain<br />

name registrations or an increase in revenue). All <strong>Program</strong> Benefits are conditioned on Participant’s compliance with all <strong>Program</strong><br />

Requirements.<br />

<strong>Program</strong> Definitions<br />

“Domain Name” means a second-level domain name within the “TLD” or “Top Level Domain” (as defined herein) such as .com. A<br />

domain name is an easy-to-remember name which ultimately corresponds to a numeric IP address on the Internet.<br />

“Participant” means a Registrar (as defined herein) that has (i) submitted the <strong>Enrollment</strong> <strong>Application</strong> <strong>Form</strong> in accordance with the<br />

instructions therein and (ii) reviewed and agreed to be bound by the <strong>Program</strong> Terms and Conditions.<br />

“Promotion Period” means the launch date of the <strong>VeriSign</strong> Site through the termination date of the <strong>Program</strong>, as published by<br />

<strong>VeriSign</strong>. It is anticipated that the launch date will be after May 15, 2006 and before August 10, 2006.<br />

“Registrar” means an ICANN-accredited Registrar for the .com top-level domain that has executed a Registry-Registrar Agreement<br />

with <strong>VeriSign</strong>.<br />

“Registration Page” means a page or locations within the Participant Site(s) where an end user can register a Domain Name by<br />

selecting or entering a desired TLD including, without limitation, search results pages.<br />

“TLD” means “top-level domain” of the Internet and is the last part of an Internet domain name (i.e., the letters which follow the final<br />

'dot' of any URL). “gTLD,” such as .com., stands for “generic top level domain.”<br />
