These terms and conditions shall apply to all eligible Registrars who have properly registered to be participants in the <strong>Brazil</strong><br />
<strong>Advertising</strong> <strong>Program</strong> (the “<strong>Program</strong>”) of <strong>VeriSign</strong> Information Services, Inc. (“<strong>VeriSign</strong>”).<br />
1. How to Participate in the <strong>Program</strong><br />
Registrars who want to become Participants in the <strong>Program</strong> must complete, sign and submit the <strong>Enrollment</strong> <strong>Application</strong> <strong>Form</strong> to<br />
<strong>VeriSign</strong>, indicating their election to participate in the <strong>Program</strong> and agreement to be bound by its terms and conditions.<br />
2. Eligibility<br />
All Registrars of .com domain names in good standing are eligible to participate in the <strong>Program</strong>, be it directly or through one (and<br />
only one) local reseller of choice.<br />
3. <strong>Program</strong> Benefits to Participants<br />
Subject to the terms and conditions of the <strong>Program</strong>, during the Promotion Period (as explained in paragraph 4 herein), <strong>VeriSign</strong> will,<br />
at no cost to Participant, run an advertising campaign (the “<strong>VeriSign</strong> Campaign”) that promotes awareness of .com and the registration<br />
of Domain Names to <strong>Brazil</strong>ian end-users. The purpose of the <strong>VeriSign</strong> Campaign will be to refer <strong>Brazil</strong>ian end users to Participants’<br />
previously approved landing pages.<br />
4. <strong>Program</strong> Requirements<br />
During the Promotion Period, a Participant must do the following:.<br />
a. Landing Page. Create and maintain a special landing page within its website that refers back to the <strong>VeriSign</strong> Campaign<br />
message and creative. The landing page should focus primarily on domain names registration and should display the<br />
availability input field for domain names searches.<br />
b. Banner. Display a banner provided by <strong>VeriSign</strong> or developed by Participant on its website’s home page. Banner will refer to<br />
the <strong>VeriSign</strong> Campaign and shall be approved by <strong>VeriSign</strong>.<br />
c. Listing of .com. Prominently display .com either at the top of a list or first when presenting the list of extensions available<br />
for registration.<br />
d. Promotion. Develop a special promotion for .com in order to encourage <strong>Brazil</strong>ian end users to registrer for a .com Domain<br />
Name. The promotion can be one of the following three (3) types:<br />
(1) pricing promotion or rebates;<br />
(2) bundling with discount or additional benefit;<br />
(3) a contest, raffle or sweepstake<br />
e. Participant Site. Maintain a reasonably reliable, publicly accessible website (“Participant Site”) that enables <strong>Brazil</strong>ian end<br />
users to register .com Domain Names easily. The Participant Site should meets the following minimum requirements:<br />
(1) all content on each page of the Participant Site must be in native <strong>Brazil</strong>ian Portuguese language;<br />
(2) the Participant Site must include the following information or functionality, all of which must be reasonably acceptable to<br />
<strong>VeriSign</strong>:<br />
(A) a Registration Page;<br />
(B) frequently asked questions (FAQs) concerning Domain Names, including two (2) specific questions and<br />
answers about the value of .com, which will be provided by <strong>VeriSign</strong>;<br />
(C) an input field that enables end users to search for available Domain Names;<br />
(D) features to enable end users to create and manage their domain accounts;<br />
(E) features to enable end users to easily and promptly build their own websites (e.g., website building tools)<br />
and/or to set up their own email accounts;<br />
(F) features that enable end users to pay for a Domain Name registration in local currency (<strong>Brazil</strong>ian Reais),<br />
including at least two (2) payment methods: <strong>Brazil</strong>ian credit card and “boleto bancário”;<br />

information about how end users may easily obtain customer service;<br />
a process by which end users may enter a valid and binding domain name registration agreement with<br />
Participant;<br />
a domain name registration agreement that is consistent with the terms of any registrar or other agreement<br />
between Participant and <strong>VeriSign</strong>;<br />
f. Local Currency. Bill for and collect all applicable domain name registration fees in local currency (<strong>Brazil</strong>ian Reais);<br />
g. Renewal Notices. Issue appropriate renewal notices for domain name registrations in native <strong>Brazil</strong>ian Portuguese language;<br />
h. In-Language Customer Service. Provide live native <strong>Brazil</strong>ian Portuguese language customer service to end users via<br />
telephone at least during working hours and days (8 hours per day, from Monday to Friday) reachable via a <strong>Brazil</strong>/local<br />
telephone number published on the Participant’s website either at the home page or one click away;<br />
i. Policies. Publish all applicable policies (including transfer policies) in native <strong>Brazil</strong>ian Portuguese language and adhere to all<br />
such policies;<br />
j. Reports. Provide weekly and monthly reports to <strong>VeriSign</strong> that include the following metrics: visits referred by the <strong>VeriSign</strong><br />
Campaign online advertising, sales (.com and .net domain registrations) converted from visits referred by the <strong>VeriSign</strong><br />
Campaign online advertising, total visits to the Participant site, total sales (.com, .net, and all domain registrations) at the<br />
Participant site, # of phone calls and online requests during the Promotion Period (weekly reports); and total visits to the<br />
Participant site, total sales (.com, .net, and all domain registrations) at the Participant site, # of phone calls and online<br />
requests prior to the Promotion Period (monthly reports).<br />
k. Survey. As requested by <strong>VeriSign</strong>, submit a survey to registrants by the end of the Promotion Period in order to identify,<br />
among other things, (i) media vehicle(s) in which they saw .com advertisements, (ii) publication(s) where they read about<br />
.com, (iii) reason(s) that led them to register a domain name.<br />
l. Professional Standards. Conduct itself in a professional manner and in accordance with industry standards.<br />
5. Withdrawal or Disqualification from <strong>Program</strong>.<br />
A Participant may withdraw from the <strong>Program</strong> without penalty at any time by notifying <strong>VeriSign</strong> in writing. If Participant fails to<br />
satisfy the <strong>Program</strong> Requirements in paragraph 4 or the <strong>Program</strong> deadlines provided by <strong>VeriSign</strong> within seventy (72) hours of notice<br />
from <strong>VeriSign</strong>, then Participant will automatically be disqualified from continued participation in the <strong>Program</strong> without further notice<br />
to Participant. During the seventy (72) hour cure period, Participant will be suspended from the <strong>VeriSign</strong> Campaign until such<br />
recommended or necessary changes and adjustments are completed. Upon Participant’s withdrawal or disqualification from the<br />
<strong>Program</strong>, Participant will not be entitled to receive any further <strong>Program</strong> benefits.<br />
6. Responsibility for Use and Content<br />
a. <strong>VeriSign</strong> Responsibilities. Except as otherwise expressly provided herein, <strong>VeriSign</strong> acknowledges and agrees that it is solely<br />
responsible for the <strong>VeriSign</strong> Campaign. <strong>VeriSign</strong> agrees to, and will, indemnify, defend and hold Participants from and<br />
against any and all third party claims (including, without limitation, claims for trademark infringement or dilution), demands,<br />
suits, actions, judgments, damages, costs, losses, expenses (including attorneys’ fees) and other liabilities arising from, in<br />
connection with, or related in any way to the <strong>VeriSign</strong> Campaign (except for any content of the Participant Site or any other<br />
content or information provided by Participant for the <strong>VeriSign</strong> Campaign)<br />
b. Participant Responsibilities. Participant acknowledges and agrees that it is solely responsible for the content and use of the<br />
Participant Site. Participant grants to <strong>VeriSign</strong> a royalty-free, non-exclusive, limited license to establish a hyperlink to the<br />
Participant Site and to reproduce, display, and use any marks, information or other materials provided by Participant for the<br />
purposes of conducting the <strong>Program</strong>. Participant agrees to, and will, indemnify, defend and hold harmless <strong>VeriSign</strong>, Inc. and<br />
its subsidiaries, affiliates, divisions and all of its and their successors, assigns, directors, shareholders, officers, agents,<br />
employees, from and against any and all third party claims (including without limitation claims for trademark infringement<br />
or dilution), demands, suits, actions, judgments, damages, costs, losses, expenses (including attorneys’ fees and expenses)<br />
and other liabilities arising from, in connection with or related in any way to, directly or indirectly, the operation,<br />
maintenance and contents of the Participant Site or the content provided by Participant for the <strong>VeriSign</strong> Campaign.<br />
7. Verification of Compliance<br />
Prior to and during the Promotion Period, upon request by <strong>VeriSign</strong> a Participant must provide all required information by the<br />
applicable deadline in order to comply with the <strong>Program</strong> Requirements including, without limitation, providing copies of screen shots<br />
and a list of urls of relevant webpages from the Participant Site(s). Relevant webpages are all pages with information and<br />
functionalities mentioned in <strong>Program</strong> Requirements (item 4 above) and any other pages requested by <strong>VeriSign</strong>. If <strong>VeriSign</strong> concludes<br />
that a Participant has not met or is not meeting the <strong>Program</strong> Requirements, <strong>VeriSign</strong> will notify the Participant via email. The<br />

Participant will have 72 hours to respond to <strong>VeriSign</strong>’s email and to perform the recommended and necessary changes and<br />
adjustments in order to comply with the <strong>Program</strong> Requirements. If Participant fails to perform the recommended or necessary changes<br />
and adjustments in order to comply with the <strong>Program</strong> Requirements, then Participant will be disqualified from participating in the<br />
<strong>VeriSign</strong> Campaign as set forth in paragraph 5 herein.<br />
8. <strong>Program</strong> Changes and Miscellaneous<br />
<strong>VeriSign</strong> may, in its sole discretion, amend the terms and conditions of the <strong>Program</strong> from time to time by posting a notice on its<br />
website located at: www.verisign.com/brazilprogram. The <strong>Enrollment</strong> <strong>Application</strong> <strong>Form</strong>, as well as the <strong>Program</strong> Terms and<br />
Conditions stated herein, contain all of the terms and conditions of the <strong>Program</strong> and supercede all prior agreements and<br />
understandings, whether established by custom, practice, procedure or precedent. Notwithstanding anything contained herein to the<br />
contrary, nothing herein shall be construed to alter, waive, amend or otherwise modify the terms of <strong>VeriSign</strong>’s Registry-Registrar<br />
Agreement with it Participants. Participant acknowledges that its participation in the <strong>Program</strong> is strictly voluntary and is not required<br />
by <strong>VeriSign</strong> as a condition of receiving any other services or other consideration to which such Participant otherwise would be entitled<br />
under its Registry-Registrar Agreement with <strong>VeriSign</strong>. Participant agrees that its sole and exclusive remedy, in law, in equity, or<br />
otherwise, with respect to the <strong>Program</strong> and/or any breach of the <strong>Program</strong> Terms and Conditions (except failure to pay placement fees<br />
owed) is withdrawal from participation in the <strong>Program</strong>. In no event shall either party, its licensors and contractors be liable for any<br />
indirect, incidental, special or consequential damages even if such party has been advised of the possibility of such damages. This<br />
<strong>Program</strong> is governed in all respects by and shall be construed in accordance with the laws of the Commonwealth of Virginia, United<br />
States of America, excluding its conflict of laws rules. All disputes concerning or arising from the <strong>Program</strong> shall be subject to, and the<br />
Participant submits to the exclusive subject matter jurisdiction, personal jurisdiction and venue of, the United States District Court for<br />
the Eastern District of Virginia, Alexandria Division. If there is no jurisdiction in the United States District Court for the Eastern<br />
District of Virginia, Alexandria Division, then jurisdiction shall be in the Circuit Court of Fairfax County, Fairfax, Virginia. This<br />
<strong>Program</strong> is void where prohibited.<br />
<strong>VeriSign</strong> shall not be responsible for any errors or omissions contained in Participant’s <strong>Enrollment</strong> <strong>Application</strong> <strong>Form</strong> or other any<br />
submissions (including content on its Participant Site) provided to <strong>VeriSign</strong>. Participants must submit promotional content and<br />
materials in a form and manner acceptable to <strong>VeriSign</strong>. <strong>VeriSign</strong> may require prior approval of a Participant’s promotional content<br />
and materials. <strong>VeriSign</strong> may, in its sole discretion, remove any content provided by a Participant that <strong>VeriSign</strong> deems to be<br />
inappropriate. <strong>VeriSign</strong> shall not be responsible for, and makes no warranties as to: (1) the performance level of the <strong>VeriSign</strong><br />
Campaign; or (2) whether the promotional advertising will produce any results (including, but not limited to, an increase of domain<br />
name registrations or an increase in revenue). All <strong>Program</strong> Benefits are conditioned on Participant’s compliance with all <strong>Program</strong><br />
Requirements.<br />
<strong>Program</strong> Definitions<br />
“Domain Name” means a second-level domain name within the “TLD” or “Top Level Domain” (as defined herein) such as .com. A<br />
domain name is an easy-to-remember name which ultimately corresponds to a numeric IP address on the Internet.<br />
“Participant” means a Registrar (as defined herein) that has (i) submitted the <strong>Enrollment</strong> <strong>Application</strong> <strong>Form</strong> in accordance with the<br />
instructions therein and (ii) reviewed and agreed to be bound by the <strong>Program</strong> Terms and Conditions.<br />
“Promotion Period” means the launch date of the <strong>VeriSign</strong> Site through the termination date of the <strong>Program</strong>, as published by<br />
<strong>VeriSign</strong>. It is anticipated that the launch date will be after May 15, 2006 and before August 10, 2006.<br />
“Registrar” means an ICANN-accredited Registrar for the .com top-level domain that has executed a Registry-Registrar Agreement<br />
with <strong>VeriSign</strong>.<br />
“Registration Page” means a page or locations within the Participant Site(s) where an end user can register a Domain Name by<br />
selecting or entering a desired TLD including, without limitation, search results pages.<br />
“TLD” means “top-level domain” of the Internet and is the last part of an Internet domain name (i.e., the letters which follow the final<br />
'dot' of any URL). “gTLD,” such as .com., stands for “generic top level domain.”<br />
