OF FINAL JUDGMENT PURSUANT TO RULE 54(b)<br />
I, <strong>Daniel</strong> B. <strong>Rehns</strong>, an attorney duly admitted to practice law be<strong>for</strong>e the courts <strong>of</strong> the<br />
State <strong>of</strong> New York and this Court, declare, under the penalty <strong>of</strong> perjury, as follows:<br />
1. I am an Associate with the law firm Cohen Milste<strong>in</strong> Sellers & Toll PLLC (“Cohen<br />
Milste<strong>in</strong>”). I am fully familiar with all the facts and circumstances here<strong>in</strong>. I submit this<br />
<strong>Declaration</strong> <strong>in</strong> <strong>Support</strong> <strong>of</strong> the Intervenors’ 1 <strong>Motion</strong> <strong>for</strong> <strong>Entry</strong> <strong>of</strong> F<strong>in</strong>al Judgment Pursuant to Rule<br />
54(b).<br />
2. On May 4, 2011, I spoke by telephone with Michael C. Ledley <strong>of</strong> the law firm <strong>of</strong><br />
Wollmuth, Maher & Deutsch LLP, counsel <strong>for</strong> the Individual Defendants regard<strong>in</strong>g this motion<br />
and we were unable to reach agreement on a stipulation.<br />
3. Annexed hereto as Exhibit A is a true and correct copy <strong>of</strong> the Notice <strong>of</strong> Voluntary<br />
Dismissal with Prejudice Pursuant to Rule 41(a) filed by counsel <strong>for</strong> Pla<strong>in</strong>tiffs and the<br />
Intervenors on May 12, 2011.<br />
1 “Intervenors” refers collectively to Public Employees’ Retirement System <strong>of</strong> Mississippi<br />
