NUDE INDUSTRIES SHAREHOLER INFORMATION INITIAL POINTS OF SHAREHOLDERS AGREEMENT. 1. James and Ben are to become joint officeholders and share holders of Nude Industries Pty Ltd; 2. Raise capital to expand the business by way of share issue to friends and family; 3. At this stage we do not intend to publicly market for investors but we may wish to do this in the future. 4. That a new company be incorporated and used as the new trading company (“the new company”); 5. The Nude Industries trade mark will then be licensed by Ben/the current nude industries company (Nude Industries Pty Ltd) to the new company for a nominal fee; 6. The new company will then enter contracts with suppliers and buy stock, sell stock and be the vehicle by which the business is run; 7. Shares in the new company are then sold / issued to your investors; 8. A Shareholders Deed/Joint Venture Deed will be entered into by all shareholders to regulate the business of the new company and the way in which investors funds are dealt with and profits paid. This deed will regulate the entire process by which the company does business and deal with issues including but not limited to quarterly investor meetings, Directors meetings and company expenditure; 9. The new company will be set up with Ben as the only Director with an independant secretary; 10. The new company will issue a number of different classes of shares (dealt with in the Deed referred to at item 5 above) which will grant the holder different rights and powers in relation to the running of the company. For example the initial owners such as Ben and James will hold “A” class shares and investors will hold “B” or “C” class shares. The different classes of shares may relate to the amount invested by each party and can carry whatever rights or rules that Nude determine. This will be explained in your investor agreement. Yes NUDE INDUSTRIES will hold quarterly meetings for investors providing up to date figures, latest statistics, new product lines and any new movements within the business. What about advertising and promotional programs? NUDE INDUSTRIES Retail has a professional marketing plan in place for the re-launch and ongoing advertising. NUDE INDUSTRIES will contract a reputable marketing company at a later date to handle marketing Australia wide. Does NUDE INDUSTRIES assist with the sale of my Shares? NUDE INDUSTRIES is happy to assist with the sale of your Shares if you decide to sell. Is financing support available? Yes. While NUDE INDUSTRIES does not offer financing themselves, they are happy to discuss third party financing recommendations and can provide much of the documentation about the business opportunity to support your application. What about terms of the Shareholder agreement? Once you become a NUDE INDUSTRIES Retail Shareholder you are part owner of the business, there is no set term, you are in until you decide to sell for a profit.
