Corporate Governance Statement
1. The Remuneration Committee held one meeting during the year which was attended by all its members. The Remuneration Committee
comprises of three members, all of whom are non-executive independent directors:

2. The principal responsibilities of the Remuneration Committee are to recommend a suitable executive remuneration framework to determine
the appropriate remuneration for executive directors. The Remuneration Committee also reviews the performance bonus scheme and the
grant of share options for the employees of the Group.
3. Broadly, remuneration for executive directors are based on corporate and individual performances. For non-executive directors, their
remuneration is based on the responsibilities undertaken and contribution, taking into account factors such as effort and time spent.
4. The following table shows a breakdown (in percentage terms) of the remuneration and fees of directors of the Company for the year ended
