2. The internal audit function has been outsourced to Ernst & Young Advisory Pte. <strong>Ltd</strong>. The Internal Auditor reports primarily to the Audit<br />
Committee. The internal audit plans are submitted to the Audit Committee for approval. The Audit Committee reviews and approves the<br />
internal audit plan and the scope and results of the internal audit procedures.<br />
3. The engagement of an independent professional auditor has enhanced the Audit Committee’s ability to review the internal processes<br />
and functions adopted by companies within the Group.<br />

COMMUNICATION WITH SHAREHOLDERS<br />

Companies should engage in regular, effective and fair communication with shareholders.<br />
Principle 15<br />
Companies should encourage greater shareholder participation at AGMs, and allow shareholders the opportunity to communicate their views on<br />
various matters affecting the company.<br />
1. The Board observes the SGX-ST’s regulations governing the requirements to make appropriate announcements on a timely basis. The<br />
Company complies with this by making, where appropriate, timely announcements of material developments or information concerning its<br />
business and operations through SGXNET. Quarterly and full-year results as well as the annual report are announced or issued within the<br />
mandated period.<br />
2. All shareholders of the Company receive the annual report, circulars and notices of all shareholders meetings. The notices are advertised in<br />
the newspaper and made available on both SGXNET and the Company’s website. The Company’s Articles of Association allow all shareholders<br />
the right to appoint a proxy to attend and vote on their behalf at general meetings.<br />
3. Where there are items of special business to be transacted at the AGM, explanatory notes concerning the special business will be sent<br />
together with the notice of AGM.<br />
4. At each AGM, shareholders are encouraged to participate in the question and answer session. The directors, external auditor, Group Financial<br />
Controller and Company Secretary are present to respond and reply to shareholders’ questions.<br />
5. In 2009, the Singapore Exchange introduced two investor guides, namely ‘An Investor’s Guide to Reading Annual Reports’ and ‘An Investor’s<br />
Guide to Preparing for Annual General Meetings’, to enhance retail investor knowledge and improve shareholder engagement at annual<br />
general meetings. The Company wishes to encourage shareholders to use these guides which are available in both English and Chinese<br />
versions on the SGX website at www.sgx.com.<br />
Dealings in the Company’s Securities<br />
The Group’s guidelines on dealings in securities provide that all directors and employees should not deal in the Company’s shares while in<br />
possession of unpublished price sensitive information and during the period commencing two weeks before the announcement of the quarterly<br />
results and one month before the announcement of the full-year results. In addition, all directors and employees should refrain from dealing in<br />
the Company’s shares on short-term considerations.<br />
