Bei Massenprodukten gelten Mehr- oder Minderlieferungen, 

die bis zu 5% von der bestellten Menge abweichen, 

als vertragliche Erfüllung. 

4. Lieferung 

Die Einhaltung der Lieferfrist setzt den rechtzeitigen Eingang 

sämtlicher vom Besteller zu lieferenden Unterlagen 

und die Erfüllung etwaiger sonstiger Verpflichtungen 

voraus. Teillieferungen sind dabei möglich. Der Besteller 

kann nach Überschreiten der Lieferzeit und fruchtlosem 

Ablauf einer vorher gesetzten Nachfrist von mindestens 

4 Wochen vom Vertrag zurücktreten. 

5. Höhere Gewalt, sonstige Vertragshindernisse 

Werden die von uns zu erbringenden Leistungen durch 

höhere Gewalt jeder Art, Krieg, Mobilmachung, Streik, 

Aussperrung, Energiemangel, politische Unruhen, behördliche 

Maßnahmen, Transporthindernisse, Brand- und 

Wasserschäden, Betriebsstörungen, Arbeitskräftemangel 

oder Materialschwierigkeiten erschwert oder unmöglich 

gemacht, sind wir berechtigt, die Lieferzeit zu verlängern 

bzw. ganz oder teilweise vom Vertrag zurückzutreten. 

6. Zahlung 

Unsere Rechnungen sind zahlbar innerhalb von 8 Tagen 

ab Rechnungsdatum mit 2% Skonto oder innerhalb von 

30 Tagen rein netto ohne Abzug. Schecks gelten erst dann 

als Zahlung, wenn wir über den Gegenwert verfügen können. 

Wechsel nehmen wir nach vorheriger Vereinbarung 

und nur erfüllungshalber an. Skonto wird bei Bezahlung 

durch Wechsel nicht gewährt. Wechsel- und Diskontspesen 

sind vom Besteller zu tragen. 

7. Eigentumsvorbehalt 

Die von uns gelieferte Ware bleibt bis zur vollständigen 

Begleichung aller unserer Forderungen unser Eigentum. 

Der Besteller ist berechtigt, über die Ware im ordnungsgemäßen 

Zustand zu verfügen. Jede andere Verfügung, 

insbesondere eine Pfändung, Sicherheitsübereignung 

oder Überlassung im Tauschweg ist nicht gestattet. Zugriffe 

Dritter sind uns unverzüglich anzuzeigen. Kosten 

für etwaige Freigabeklagen sind vom Besteller zu tragen. 

Bei einer Vermögensverschlechterung sind wir berechtigt, 

die Aushändigung der Vorbehaltsware zu verlangen. 

Der Besteller verpflichtet sich, uns alle Auskünfte zu erteilen 

und Unterlagen zur Verfügung zu stellen, die für 

die Einziehung der Forderungen erforderlich sind. Ver- 

fügt der Besteller berechtigterweise über unser Eigentum, 

tritt er hiermit im Voraus den dadurch entstehenden 

Erlösanspruch an uns zur Sicherung unser Forderungen 

ab. Ist die Verfügung über unser Eigentum im Zusammenhang 

mit anderen Leistungen erfolgt, die von dem Erlösanspruch 

zugleich abgegolten werden, umfasst die Abtretung 

an uns den wertmäßigen Anteil am Erlösanspruch, 

den unser Eigentum im Verhältnis zu den übrigen 

Leistungen unseres Bestellers hat. Ist der Besteller im 

Zahlungsverzug oder hat er seine Zahlungen eingestellt 

oder liegen Tatsachen vor, die einer Zahlungseinstellung 

gleichkommen, sind wir berechtigt, Vorauszahlung oder 

Sicherheitsleistung zu verlangen. 

8. Verpackung und Versand 1) 

Einwegverpackung ist im Preis eingeschlossen und wird im 

Falle einer Rücksendung nicht gutgeschrieben. Mehrwegverpackungen, 

wie z. B. Paletten, werden nur leihweise 

überlassen. Wir behalten uns den kostengünstigst erscheinenden 

Versandweg und die Versandart vor. Dabei liefern 

wir bis zu einem Rechnungswert von € 750,– netto je 

Lieferung (ohne Einbeziehung der Mehrwertsteuer) ab 

Lager Nürnberg. Ab einem Rechnungswert von € 750,– 

netto je Lieferung liefern wir frei deutsche Grenze (DAF). 

Bei Sonderwünschen, wie Expressgutbeförderung o. ä., 

gehen die über den Stückguttarif hinausgehenden Mehrkosten 

zu Lasten des Empfängers. Bei Sendungen in 

andere Länder liefern wir ab Lager Nürnberg. 

Bei Lieferungen mit einem Rechnungswert von unter 

€ 25,– (netto o. MwSt.) berechnen wir einen Mindermengenzuschlag 

von € 10,– netto. 

9. Gefahrübergang 

Bei Warenversand geht die Gefahr auf den Besteller über, 

sobald die Ware unser Werk verlassen hat. 

10. Mängelrügen/Gewährleistung 1) 

Unsere Erzeugnisse unterliegen ständig strengsten Qualitäts- 

und Funktionskontrollen. Sollten sich trotzdem 

Mängel zeigen, leisten wir innerhalb von 24 Monaten ab 

Lieferung Gewähr. Für offene Mängel und Abweichungen 

quantitativer Art leisten wir nur Gewähr, wenn sie unverzüglich, 

spätestens binnen 14 Tagen nach Empfang der 

Ware, schriftlich gerügt werden. Wir leisten im begründeten 

Falle durch kostenlose Nachbesserung oder Instandsetzung 

der mangelhaften Ware Gewähr. Sollte die Mängelbeseitigung 

fehlschlagen, ist der Besteller berechtigt, 

Wandlung oder Minderung zu verlangen. Der Ersatz von 

Folgeschäden ist ausgeschlossen. Unsere Gewährleistungspflicht 

erlischt, wenn unsachgemäße Eingriffe an 

den von uns gelieferten Teilen vorgenommen werden 

oder die Montage nicht unseren Vorschriften entspricht. 

Bei unberechtigter Anforderung des Kundendienstes 

behalten wir uns vor, die entstandenen Kosten dem Besteller 

zu berechnen. 

11. Haftung 

Wir haften nach den gesetzlichen Vorschriften für Vorsatz 

und grobe Fahrlässigkeit. Eine weitergehende Haftung ist 

ausgeschlossen. 

12. Rücksendungen 

Ware darf nur mit unserem ausdrücklichen Einverständnis 

zurückgesandt werden. Die Berechnung einer Bearbeitungsgebühr 

(20% vom Nettowarenwert, jedoch mind. 

€ 10,–) behalten wir uns vor. Bei unaufgefordeter Rücksendung 

sind wir berechtigt, die Annahme zu verweigern 

oder die Ware auf Kosten des Absenders zurückzuschicken. 

Bei Reparaturen, die außerhalb der Garantiezeit 

liegen oder die nicht unter die Gewährleistung fallen, 

trägt der Besteller die Kosten für Verpackung, Fracht sowie 

die Reparaturkosten. 

13. Urheberrechte 

An Abbildungen, Skizzen, Zeichnungen oder sonstigen 

Unterlagen behalten wir uns Eigentum und Urheberrechte 

vor. Diese dürfen ohne unsere Zustimmung Dritten 

nicht zugänglich gemacht werden. 

14. Erfüllungsort und Gerichtsstand 

Erfüllungsort ist Hünfeld. Ist der Besteller Kaufmann oder 

ist der Wohnsitz bzw. Aufenthaltsort nicht bekannt, gilt 

Fulda als Gerichtsstand. 

Mit Erscheinen dieser Preisliste verlieren alle bisherigen 

Preislisten ihre Gültigkeit.

10. Mängelrügen / Gewährleistung 1) 

Bei Mängelanzeigen leisten wir innerhalb 10 Jahren ab 

Fabrikationsdatum der Rohre Ersatz für 

a.) Folgeschäden, d.h. Schäden die an Sachen Dritter entstehen. 

b.) Aufwendungen Dritter für Beseitigung, Ausbau, Abnahme 

oder Freilegen der Rohre sowie den Einbau 

und das Verlegen neuer Rohre. 

c.) Aufwendungen Dritter für die Verhütung von Schäden 

durch mangelhafte WECOFLEX-Rohre. 

Unsere Gewährleistungspflicht erlischt, wenn unsachgemäße 

Eingriffe an den von uns gelieferten Teilen vorgenommen 

werden oder die Montage nicht unseren Vorschriften 

entspricht. Bei unberechtigter Anforderung des 

Kundendienstes behalten wir uns vor, die entstandenen 

Kosten dem Besteller zu berechnen.

Conditions of Sale and Delivery 

1. General 

All orders are subject to these conditions of sale and 

delivery. The placing of an order by the buyer shall be 

considered as acceptance of these conditions. These 

conditions may not be modified or varied unless Oreg 

Drayton Energietechnik GmbH (hereinafter referred to as 

”the Company“) agrees in writing and the Company shall 

not be deemed to accepted such other conditions nor 

waive any of these conditions by failing to object to provisions 

contained in any purchase order or other communication 

from the buyer. No person has authority on behalf 

of the Company to vary any condition except the Director 

or the Company Secretary, and then only in writing signed 

by the Director or the Secretary. 

2. Quotations 

Our quotations are provisional. No binding contract shall 

be created by the acceptance by the buyer of the Company‘s 

quotation until such notice of acceptance by the 

offer has been given in writing which shall be signed by 

the Company’s duly authorised representative or the 

Company has indicated its acceptance of the offer by 

making delivery or part delivery of goods. In the event 

that no quotation is given by the Company and it has received 

an order from the buyer, all deliveries are made 

subject to these conditions of sale and delivery. 

3. Prices 

Our prices are net prices, without VAT. In the event of 

contractual obligations not been fulfilled within 4 months 

and there has been a change in price due to fluctuations 

in material costs, labour rates or overhead expenses, we 

reserve the right to amend prices accordingly. In case a 

volume discount is given the whole order must be received 

by one buyer only. The price of off-shelf-orders 

are calculated according to prices valid on the day of dispatch. 

Where mass products are being ordered we reserve 

the option to over - dispatch or under - dispatch by 

up to 5%. 

4. Delivery 

Our obligation to effect dispatch within the agreed period 

shall be subject to the fulfillment by the buyer of his 

contractual obligations in respect of the timely despatch 

of all documents and particulars to be made available. 

Partial deliveries are possible. The buyer can with-draw 

from the contract after the scheduled delivery time has 

been exceeded without bearing any results. 

5. Act of God, other obstacles 

If our contractual obligations are impeded or made impossible 

to fulfil due to an Act of God of any kind, war, 

mobilization, strike, lock-out, lack of energy resources, 

political disturbances, order of authorities, transport 

problems, fire- and water demage, breakdown of machinery, 

lack of workers or problems with material, we reserve 

the right to extend our delivery time or withdraw from 

the contract completely or from parts of it. 

6. Settlement Terms 

Payment is due within 30 days of invoice date. If the settlement 

takes place of payment once they have cleared. 

We only accept bills of exchanged we have agreed on beforehand. 

No discount is given if the form of payment is a 

bill of exchange. Expenses resulting from a bill of exchange 

and discount charges have to be met by the buyer. 

7. Reservation of proprietary rights 

The Company and the buyer expressly agree that until the 

Company has been paid in full for goods supplied: The 

goods remain the property of the Company although the 

risk therein passes to the buyer at the point when delivery 

is made. The Company may recover those goods at any 

time from the buyer in his possession if the Company 

judges that the amount outstanding from the buyer on 

the general statement of account between the parties is 

in excess of the credit limit the Company is willing to accord 

to the buyer; and so that pur-pose the Company‘s 

servants and agents may enter upon land or builing upon 

which the goods are situated. In the event of the buyer 

committing any breach of contract with the Company or 

if any distress or execution is levied upon the goods of 

the buyer or if the offers to make any arrangements with 

or for the benefit of his creditors or commits any act of 

bankruptcy or has a receiver appointed of its undertaking 

or assets or any part thereof or, for the purpose of reconstruction 

of amalgamation without insolveny, goes into 

liquidation, the Company shall there upon be entitled 

without prejudice to its other rights forthwith to suspend 

all further deliveries until the fault has been made Company‘s 

option to make partial deliveries. 

8. Packing and Carriage 

Non-resuable packaging is included in the price and is not 

cre-dited when returned. Reuseable packaging, e.g. pallets, 

have to be returned to the Company. The Company 

will dispatch goods by the most economical and reliable 

methon available at its discretion unless otherwise instructed 

by the buyer. The company delivers up to an invoice 

net value of € 750 each delivery (excl. VAT) EXW 

warehouse Nürnberg. Each delivery over an invoice net 

value € 750 (exl. VAT) will bedelivered free german border 

(DAF). 

9. Transfer of risk 

Goods send by post are at the buyer‘s risk as soon as the 

goods leave the Company’s premises. 

10. Notice of defects / warranty 

All products of the Company are inspected and / or tested 

before despatch. The Company warrants they will perform 

the function specified, provided that the relevant 

working conditions and requirements have been clearly 

and correctly given by the customer. The Company provides 

free repair or replacement for all defects in parts 

and workmanship for a period of 24 months. All goods 

should be examined immediately on their arrival as to 

quantity and condition, and within 2 weeks the Company 

has to be informed of any discrepancies, otherwise no 

claim in this respect will be recognised by the Company. 

Defective goods must be returned by ”carriage paid“ to 

Oreg Drayton Energietechnik GmbH or to an authorised 

agent. This guarantee is void in the event of improper installation, 

owner neglect or natural disaster. No responsibility 

is assumed for incidental or consequential damage, 

damage caused by misuse, or damage caused by the use 

of any unauthorised components. 

11. Returns 

Goods correctly supplied may not be returned without 

the Company‘s written agreement. Goods so returned 

must be consigned ”carriage paid“ and accompaied by a 

packing note stating the Company‘s invoice number and 

date there of together with the reason for return. We reserve 

the right to charge a handling fee (min. 20% of net 

value of goods). We have the right to turn a way unsolicited 

returns or to send them back at the expense of the 

sender. If repairs are not covered by a valid guarantee, 

the customer has to meet the expenses of packaging, 

carriage as well as the repair costs. 

12. Copyright 

All drawings, descriptions and other information submitted 

by the Company shall remain the property of the 

Company together with the copyright therein. They shall 

not be made available to third parties, without the Company‘s 

consent. 

13. Place of performance and place of jurisdiction 

The place of performance is Hünfeld. 

If the buyer is a business man or trader 

and if the place of residence is unknown, 

Hünfeld is the place of jurisdiction.
