Annual Meeting of Members of Ontario Basketball
Saturday November 3, 2012

1. Call to Order
The meeting was called to order by Parliamentarian Mark Bailey at 3:57 P.M.
2. Presidential Opening Remarks
Ken Urbach, President, welcomed all members in attendance. He began by thanking Mark Bailey for serving as
Parliamentarian and then asked that the members observe a moment of silence in tribute of Sydney Wood (Blessed
Sacrament) and Tony Piccinato (Windsor Valiants), members of the basketball community who passed away this past
year. Ken then introduced the Board of Directors, Michael Cvitkovic (Executive Director), the OBA Staff, John Wilkinson
(OBA Legal Counsel) and members of the Regional Stakeholders Network.
3. Appointment of Scrutineers
The scrutineers were announced as Jason Jansson and Carmelo Mallia.
4. Report of Scrutineers
The scrutineers reported that there were 58 votes in the room.
5. Approval of Agenda
Mark Bailey asked members to review the agenda and indicated that # 12 (Notice of Motions) would be nil report. No
vote was taken.
6. Minutes of AMM- November 19, 2011
The members were asked to review the minutes of last year’s Annual Meeting of Members. It was noted that the date
on the cover page was incorrect but did not impact the validity of the minutes within.
7. Approval of Minutes
With no corrections brought forward, Mark Bailey announced the minutes approved as printed.
8. Business Arising from Minutes
There was no additional business added to the agenda.
9. Board Committee Reports
i. Executive Committee
Ken Urbach, directed the membership to the Executive Report within Ontario Basketball’s digital annual report
(www.obaannualreport.ca).
ii. Finance Committee
Scott MacKenzie, Director of Finance, reported the last fiscal year had continued financial stability. As indicated at the
last year’s AMM, the organization’s fiscal year was changed to end August 31 to better align program revenues and
expenditures. Scott highlighted increased expenses in Fiscal ‘12 – added investment in awards/recognition, continuing
increase in travel costs, hiring of additional full-time staff, increase in honourarium for TID coaches and eradicating bad
debt from previous years (since 2007) – while projecting a moderate surplus for the next fiscal. Audited report can be
found in the 2012 Ontario Basketball Annual Report.

Motion: That the appointment of the auditors Day & Day for the fiscal year ending August 31, 2013 be approved.

10. Presentation of Staff Reports
Michael Cvitkovic, Executive Director, formally presented the association’s digital Annual Report to the members in
attendance. Ontario Basketball’s Annual Report was published online via an interactive and multimedia-rich website
(www.obaannualreport.ca) in increase communication and transparency to the members. The following sections of the
report were highlighted:
Elite Development
o Michael described the success of the transition to the Talent Identification and Development
Program (formerly Elite Development Program) and highlighted the partnership announcement with
the Amateur Athletic Union (AAU). Additionally, Ontario Basketball is looking to potentially change its
current U15 Team Ontario Development team to Under 14 and will make this decision soon to ensure
proper communication to membership and public.
Community
o Michael touched on this portfolio becoming a stronger focus with Ontario looking to engage more
community based partners/organizations and building on 3x3 as a FUNdamental and competition
model for all ages.
Coaching
o While Ontario Basketball continues to see growth in the number of coaches, there is still a need to
introduce additional educational opportunities at the grassroots level. A strategic plan is to be
outlined to the Regional Stakeholders Network and a grant application to be made in the new year.
Clubs and Competitions
o The 2012 clubs season and Ontario Cup saw continued success while the soon-to-be announced Club
Excellence program will provide additional opportunities for member clubs to grow and succeed. OBA
will also look to investigate additional ways to implement a self-sustainable league structure.
Business and Finance
o Ontario Basketball will continue to diversified revenue through new sponsors existing to provide
additional self-sustainability for the organization. Michael stressed the importance of collaboration
and the “strength in numbers” when going to market.
11. Notice of Motions
Mark Bailey stated that there were no motions to present.
12. Election
John Lovett, Chair, Nominating Committee, announced that one of the five members seeking election to the Board of
Directors had rescinded their nomination.
13. Announcement of Directors
With no election, John Lovett announced Norman Clarke (Acclaimed), Scott MacKenzie (Incumbent – Acclaimed), John
Rocchi (Incumbent – Acclaimed) and Greg Verner (Incumbent – Acclaimed) as elected members of the Board of Directors
for 2012.

14. Motion to Destroy Ballots
Motion: That the members approve the destruction of the 2012 election ballots.

15. New Business
The membership was given the opportunity to bring forward any new business. Terry Chatten asked about the
introduction of shot clocks at the U13 Bantam and U14 Major Bantam age categories. Michael Cvitkovic provided insight
on the implementation of shot clocks at the younger age levels while the information will be brought to the executive so
a decision in the best interest of all stakeholders on the matter can be made soon. While the RSN passed a motion to
accept shot clocks at these two age categories, the board of directors felt that during this difficult financial environment
with massive increased facility rental fees for the clubs, there needed to be further work done to gauge the practicality
of instituting the new rules. OBA has committed to complete the work before the end of the calendar year.
16. Closing Remarks (President)
Ken Urbach, President, provided Dan Dowdall (Secretary) with a special recognition award for his service with the board
of Directors since 2008. Ken welcomed Norman Clarke to the Board of Directors, thanked those in attendance and
invited all members of the Regional Stakeholders Network with their staff representatives following the meeting.
17. Termination
Mark Bailey asked the members to approve the termination of Ontario Basketball’s Annual Meeting of Members.
