Equal Employment Opportunity All contracts entered into by the Contractor shall contain a provision requiring compliance with federal Executive Order 11246, as amended by Executive Order 11375, and as supplemented by regulations at 41 CFR part 60. 11. Prohibited Activities and Conflict of Interest The Contractor represents that no person who is an owner, employee, consultant, or subcontractor of the Contractor, has been debarred by any federal agency, excluded from participation in a program under Titles XVIII, XIX, or XXI of the Social Security Act, or subjected to a civil money penalty under the Social Security Act. During the term of this Contract, the Contractor shall not have any interest that conflicts with the performance of services under the Contract for the duration of the Contract, it being understood that the sale of similar goods or services to other customers does not of itself constitute such a conflict. 12. Compliance with Laws The Contractor shall comply with all applicable statutes, orders, and regulations promulgated by any federal, state, municipal, or other governmental authority relating to its property or its operations under the terms of this Contract. 13. Amendments No amendment to this Contract shall be effective unless it is signed by authorized representatives of the Contractor and EOHHS. All amendments are subject to appropriation, applicable law and regulations, and mutual agreement. The parties agree to negotiate in good faith to cure any omissions, ambiguities, or manifest errors herein. 14. Assignment The Contractor shall not assign or transfer any right, interest, or obligation under this Contract to any successor entity or other entity without the prior written consent of EOHHS. 15. Independent Contractor The Contractor, its employees, and any other of its agents in the performance of this Contract, shall act in an independent capacity and not as officers or employees of EOHHS or the Commonwealth of Massachusetts. 16. Counterparts This Contract may be executed simultaneously in two or more counterparts, each of which will be deemed an original, and all of which together will constitute one and the same instrument. 17. Section Headings The headings of the sections of this Contract are for convenience only and will not affect the construction hereof. 18. Waiver The acceptance of, or payment for, services rendered by the Contractor shall not be construed to waive any requirements of this Contract, or any of EOHHS’s remedies for failure to fulfill such requirements.
