<strong>INSNA</strong> Bylaws<br />
(d) define non-elected positions as needed and<br />
appoint members to <strong>the</strong>se positions, possibly<br />
including a Secretary, Treasurer, Executive<br />
Director and Editors <strong>of</strong> Association publications .<br />
(e) meet annually in conjunction with <strong>the</strong> Annual<br />
Meeting <strong>of</strong> <strong>the</strong> Association and at such o<strong>the</strong>r times<br />
as may be necessary on call <strong>of</strong> <strong>the</strong> President or one<br />
third (1/3) <strong>of</strong> <strong>the</strong> Members .<br />
(f) fill any vacancy in <strong>the</strong> Board <strong>of</strong> Directors that<br />
may occur for any reason, by <strong>the</strong> affirmative vote<br />
<strong>of</strong> a majority <strong>of</strong> <strong>the</strong> <strong>the</strong>n members <strong>of</strong> <strong>the</strong> Board <strong>of</strong><br />
Directors until <strong>the</strong> next regularly scheduled<br />
election .<br />
(g) employ and compensate necessary personnel .<br />

solicit, accept and expend special funds for special<br />

ARTICLES V . Officers<br />
Section 1 . The Association shall have two classes<br />
<strong>of</strong> <strong>of</strong>ficers : (a) <strong>of</strong>ficers elected by Members <strong>of</strong> <strong>the</strong><br />
Association, including <strong>the</strong> President, President-<br />
Elect, and members <strong>of</strong> <strong>the</strong> Board <strong>of</strong> Directors ; (b)<br />
<strong>of</strong>ficers appointed by <strong>the</strong> Board <strong>of</strong> Directors .<br />
Section 2 . The term <strong>of</strong> service for all positions,<br />
whe<strong>the</strong>r elected or appointed, is three (3) years .<br />
Persons may be re-elected and/or re-appointed to<br />
<strong>of</strong>fices without limit .<br />
Section 3 . The President shall be <strong>the</strong> presiding<br />
<strong>of</strong>ficer <strong>of</strong> <strong>the</strong> Association and exercise all <strong>the</strong><br />
duties and responsibilities commonly associated<br />
with this <strong>of</strong>fice, except as limited by <strong>the</strong>se By-<br />
Laws. The President's term <strong>of</strong> service shall be three<br />
years and may be re-elected without limit .<br />
Section 4. The President-Elect shall assume <strong>the</strong><br />
duties <strong>of</strong> <strong>the</strong> President in <strong>the</strong> event <strong>of</strong> absence,<br />
death, resignation or illness <strong>of</strong> <strong>the</strong> President . The<br />
President-Elect shall serve for three years as<br />
President-Elect and succeed to <strong>the</strong> <strong>of</strong>fice <strong>of</strong><br />
President at <strong>the</strong> expiration <strong>of</strong> <strong>the</strong> President's term .<br />
Section 5 . Newly elected <strong>of</strong>ficers shall take <strong>of</strong>fice<br />
at <strong>the</strong> conclusion <strong>of</strong> <strong>the</strong> final day <strong>of</strong> <strong>the</strong> Annual<br />
Meeting <strong>of</strong> <strong>the</strong> year in which <strong>the</strong>ir terms begins .<br />
Section 6 . The Board <strong>of</strong> Directors shall have <strong>the</strong><br />
right, by a two thirds (2/3) vote, to remove any<br />
<strong>of</strong>ficer it deems to have devoted insufficient time<br />
to <strong>the</strong> duties <strong>of</strong> <strong>of</strong>fice .<br />
ARTICLE VI. Nominations and Elections<br />
Section 1 . Candidates for any elected Association<br />
<strong>of</strong>fice may be nominated by <strong>the</strong> Board <strong>of</strong> Directors<br />
or by a minimum <strong>of</strong> fifteen (15) Members in good<br />
standing . All nominations must be made one<br />
hundred and twenty (120) days in advance <strong>of</strong> <strong>the</strong><br />
Annual Meetings <strong>of</strong> <strong>the</strong> Association, and<br />
communicated to <strong>the</strong> Members ninety (90) days in<br />
advance <strong>of</strong> <strong>the</strong> Meetings .<br />
Section 2 . The Board <strong>of</strong> Directors shall inform <strong>the</strong><br />
prospective nominee <strong>of</strong> <strong>the</strong> probable extent <strong>of</strong> <strong>the</strong><br />
burden <strong>of</strong> <strong>the</strong> <strong>of</strong>fice . A nomination becomes<br />
effective only when <strong>the</strong> nominee files with <strong>the</strong><br />
Board a statement <strong>of</strong> willingness and ability to<br />
devote such time to <strong>the</strong> affairs <strong>of</strong> <strong>the</strong> Association<br />
as necessary to <strong>the</strong> effective execution <strong>of</strong> <strong>of</strong>fice .<br />
ARTICLE VII. Referenda<br />
Section 1 . A referendum may be conducted by mail<br />
ballot at any time upon initiation <strong>of</strong> <strong>the</strong> President,<br />
Board <strong>of</strong> Directors, or signed petition <strong>of</strong> twenty<br />
five (25) members in good standing . A majority <strong>of</strong><br />
votes received shall constitute a favorable vote .<br />
ARTICLE VIII . Balloting<br />
Section 1 . A Member in good standing shall be<br />
entitled to cast one (1) vote in any Association<br />
election or referendum .<br />
Section 2 . Ballots shall be secret and enclosed in a<br />
signed envelope . The Board <strong>of</strong> Directors shall have<br />
<strong>the</strong> authority to examine <strong>the</strong> eligibility <strong>of</strong> any voter .<br />
Section 3 . Thirty (30) days shall be allowed for <strong>the</strong>
