INCENTIVE program<br />

CITGO GROW BUCKS<br />

Quarterly incentive payments will be paid on all<br />

incremental-invoiced branded gallons purchased for a<br />

given quarter in <strong>2009</strong> versus the same quarter in 2008<br />

at the following rates:<br />

100,000 to 300,000 gallons = 0.5 cents per gallon (cpg)<br />

300,001 to 450,000 gallons = 0.75 cpg<br />

450,001 to 600,000 gallons = 1.00 cpg<br />

600,001 to 750,000 gallons = 1.25 cpg<br />

> 750,000 gallons = 1.5 cpg<br />

There is a maximum payout per Marketer of $250,000<br />

per year.<br />

Signing bonus for new-to-CITGO locations.<br />

Payment made via check when location reaches<br />

“C” status.<br />

60,000 - 99,999 GPM = $15,000<br />

100,000 - 149,999 GPM = $20,000<br />

150,000+ GPM = $25,000<br />

All Marketers are eligible if (1) account<br />

is in good standing, (2) branded gasoline<br />

purchases meet the minimum of ninety<br />

percent (90%) of the monthly quantity of<br />

gasoline listed in the current Marketer<br />

Franchise Agreement, and (3) there is<br />

not a Marketer Franchise Agreement<br />

addendum that prohibits this specific<br />

program.<br />
