Management <str<strong>on</strong>g>of</str<strong>on</strong>g> Intellectual Property<br />

1. <str<strong>on</strong>g>IITA</str<strong>on</strong>g>, as part <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR, acts according to <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR Center Statements <strong>on</strong><br />

Genetic Resources, Intellectual Property Rights and Biotechnology, jointly<br />

approved by <str<strong>on</strong>g>the</str<strong>on</strong>g> Center Directors and Center Board Chairs <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR. These<br />

statements include <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR’s Ethical Principles Relating to Genetic Resources<br />

and <str<strong>on</strong>g>the</str<strong>on</strong>g> Guiding Principles for <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR Centers <strong>on</strong> Intellectual Property and<br />

Genetic Resources.<br />

2. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> adheres to <str<strong>on</strong>g>the</str<strong>on</strong>g> principles c<strong>on</strong>tained in <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>venti<strong>on</strong> <strong>on</strong> Biological<br />

Diversity, <str<strong>on</strong>g>the</str<strong>on</strong>g> FAO-CGIAR Agreement <strong>on</strong> Genetic Resources, and <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

<str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> Treaty <strong>on</strong> Plant Genetic Resources for Food and <str<strong>on</strong>g>Agriculture</str<strong>on</strong>g>.<br />

Therefore, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> uses material transfer agreements (MTAs) and germplasm<br />

acquisiti<strong>on</strong> agreements to facilitate access and ensure <str<strong>on</strong>g>the</str<strong>on</strong>g> c<strong>on</strong>tinued free exchange<br />

<str<strong>on</strong>g>of</str<strong>on</strong>g> genetic materials and bio-c<strong>on</strong>trol agents (Annex I to Annex VI). The main<br />

objective <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g>se MTAs is to maintain <str<strong>on</strong>g>the</str<strong>on</strong>g>se materials in <str<strong>on</strong>g>the</str<strong>on</strong>g> public domain and to<br />

ensure <str<strong>on</strong>g>the</str<strong>on</strong>g> protecti<strong>on</strong> from ownership by o<str<strong>on</strong>g>the</str<strong>on</strong>g>rs<br />

3. All rights to data, whe<str<strong>on</strong>g>the</str<strong>on</strong>g>r in raw form or after significant manipulati<strong>on</strong>,<br />

laboratory and field notebooks, and material c<strong>on</strong>tained in such notebooks, and<br />

research results (including formal or informal reports) and products shall bel<strong>on</strong>g<br />

to <str<strong>on</strong>g>IITA</str<strong>on</strong>g>. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> does not permit its employees to claim any intellectual property<br />

rights arising out <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g>ir work for <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>. This is clearly stated in <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

employment c<strong>on</strong>tract signed by <str<strong>on</strong>g>the</str<strong>on</strong>g> employees. Likewise, visiting scientists,<br />

research fellows, and o<str<strong>on</strong>g>the</str<strong>on</strong>g>r n<strong>on</strong>-<str<strong>on</strong>g>IITA</str<strong>on</strong>g> employees may be asked to sign appropriate<br />

agreements as a c<strong>on</strong>diti<strong>on</strong> to <str<strong>on</strong>g>the</str<strong>on</strong>g>ir associati<strong>on</strong> with <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>.<br />

4. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will strive to manage all issues associated with intellectual property rights<br />

with integrity, equity, resp<strong>on</strong>sibility and accountability in accordance with <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

above stated guiding principles. Under normal circumstances, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will not seek<br />

to secure patent or plant breeder’s rights for germplasm, materials or technologies<br />

developed by <str<strong>on</strong>g>IITA</str<strong>on</strong>g> in any jurisdicti<strong>on</strong><br />

5. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will not allow any <str<strong>on</strong>g>of</str<strong>on</strong>g> its research partners to protect informati<strong>on</strong>, data,<br />

knowledge or inventi<strong>on</strong> resulting from this cooperati<strong>on</strong> through any form <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

statutory or n<strong>on</strong>-statutory intellectual property rights mechanism without express<br />

written approval from <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>. Such approval may be withheld if c<strong>on</strong>trary to<br />

<str<strong>on</strong>g>the</str<strong>on</strong>g> interest <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g>’s developing country partners.<br />

6. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> does not regard intellectual property protecti<strong>on</strong> as a mechanism for securing<br />

funding up<strong>on</strong> which it may depend. To <str<strong>on</strong>g>the</str<strong>on</strong>g> extent that such returns may be<br />

generated in specific circumstances, <str<strong>on</strong>g>the</str<strong>on</strong>g>y will be invested in specific tasks and<br />

projects that are compatible with <str<strong>on</strong>g>the</str<strong>on</strong>g> missi<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>, and with particular<br />

emphasis <strong>on</strong> a fair and equitable sharing <str<strong>on</strong>g>of</str<strong>on</strong>g> benefits.<br />

7. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will strive to comply with nati<strong>on</strong>al laws that are relevant for <str<strong>on</strong>g>the</str<strong>on</strong>g> use <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

protected intellectual property in all locati<strong>on</strong>s where it operates. In this regard,<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> recognizes that internati<strong>on</strong>al trade has significant implicati<strong>on</strong>s <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g> use <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

intellectual property, particularly in protected market jurisdicti<strong>on</strong>s. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will<br />
