Preamble<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> was established in 1967 by Decree No. 32 <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> Federal Government <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

Nigeria, with support from <str<strong>on</strong>g>the</str<strong>on</strong>g> Ford and Rockefeller Foundati<strong>on</strong>s. In 1971, <str<strong>on</strong>g>IITA</str<strong>on</strong>g><br />

became part <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>sultative Group <strong>on</strong> <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> Agricultural Research<br />

(CGIAR), an informal associati<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> over 40 governments and 15 internati<strong>on</strong>al<br />

organizati<strong>on</strong>s and private foundati<strong>on</strong>s, under <str<strong>on</strong>g>the</str<strong>on</strong>g> sp<strong>on</strong>sorship <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> World Bank, <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

Food and <str<strong>on</strong>g>Agriculture</str<strong>on</strong>g> Organizati<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> United Nati<strong>on</strong>s, and <str<strong>on</strong>g>the</str<strong>on</strong>g> United Nati<strong>on</strong>s<br />

Development Program.<br />

As a Future Harvest <str<strong>on</strong>g>Institute</str<strong>on</strong>g> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> aims to enhance <str<strong>on</strong>g>the</str<strong>on</strong>g> food security,<br />

income and well being <str<strong>on</strong>g>of</str<strong>on</strong>g> resource-poor people primarily in <str<strong>on</strong>g>the</str<strong>on</strong>g> humid and sub-humid<br />

z<strong>on</strong>es <str<strong>on</strong>g>of</str<strong>on</strong>g> sub-Saharan Africa. To accomplish its missi<strong>on</strong>, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> c<strong>on</strong>ducts research and<br />

related activities to increase agricultural producti<strong>on</strong>, improve food systems, and<br />

manage natural resources in a sustainable manner, in partnership with nati<strong>on</strong>al and<br />

internati<strong>on</strong>al stakeholders.<br />

Guiding Principles<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> generates internati<strong>on</strong>al public goods through <str<strong>on</strong>g>the</str<strong>on</strong>g> research carried out by <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

scientists working in <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g> and in partnership with o<str<strong>on</strong>g>the</str<strong>on</strong>g>rs, particularly <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

Nati<strong>on</strong>al Agricultural Research Systems (NARS) <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> countries <str<strong>on</strong>g>of</str<strong>on</strong>g> Sub-Saharan<br />

Africa (SSA).<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> c<strong>on</strong>siders that every effort should be made to ensure that research knowledge<br />

and products developed by <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g> are actively disseminated, adopted and<br />

utilized by and for <str<strong>on</strong>g>the</str<strong>on</strong>g> benefit <str<strong>on</strong>g>of</str<strong>on</strong>g> people in <str<strong>on</strong>g>the</str<strong>on</strong>g> developing world, particularly in SSA,<br />

and for society in general. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> believes that access to its outputs should be fair and<br />

equitable.<br />

Therefore, as its basic policy, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> pursues publicati<strong>on</strong> and full disclosure and <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

open sharing <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g> data, informati<strong>on</strong> and knowledge through <str<strong>on</strong>g>the</str<strong>on</strong>g> release <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g><br />

research findings and products into <str<strong>on</strong>g>the</str<strong>on</strong>g> public domain. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> respects <str<strong>on</strong>g>the</str<strong>on</strong>g> rights <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

o<str<strong>on</strong>g>the</str<strong>on</strong>g>rs when using <str<strong>on</strong>g>the</str<strong>on</strong>g>ir materials, data, and o<str<strong>on</strong>g>the</str<strong>on</strong>g>r intellectual property, in research for<br />

development.<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> c<strong>on</strong>siders that excluding o<str<strong>on</strong>g>the</str<strong>on</strong>g>rs from accessing <str<strong>on</strong>g>IITA</str<strong>on</strong>g> research products and<br />

results is c<strong>on</strong>tradictory to its mandate and missi<strong>on</strong>. Therefore, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> does not seek to<br />

secure patents or plant breeders rights unless such protecti<strong>on</strong> is deemed necessary to<br />

keep <str<strong>on</strong>g>IITA</str<strong>on</strong>g> materials or technologies available and freely accessible to its<br />

beneficiaries.<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> does require recipients and users <str<strong>on</strong>g>of</str<strong>on</strong>g> data, knowledge and any technology<br />

originating from <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>, to publicly acknowledge <str<strong>on</strong>g>IITA</str<strong>on</strong>g> as <str<strong>on</strong>g>the</str<strong>on</strong>g> source <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

original informati<strong>on</strong>, material or research product. In, additi<strong>on</strong>, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> respects <str<strong>on</strong>g>the</str<strong>on</strong>g> IP<br />

rights <str<strong>on</strong>g>of</str<strong>on</strong>g> o<str<strong>on</strong>g>the</str<strong>on</strong>g>rs, and will acknowledge and obtain appropriate permissi<strong>on</strong> for <str<strong>on</strong>g>the</str<strong>on</strong>g> use<br />

<str<strong>on</strong>g>of</str<strong>on</strong>g> o<str<strong>on</strong>g>the</str<strong>on</strong>g>r’s data, knowledge and technology.<br />

Management <str<strong>on</strong>g>of</str<strong>on</strong>g> Intellectual Property<br />

1. <str<strong>on</strong>g>IITA</str<strong>on</strong>g>, as part <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR, acts according to <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR Center Statements <strong>on</strong><br />

Genetic Resources, Intellectual Property Rights and Biotechnology, jointly<br />

approved by <str<strong>on</strong>g>the</str<strong>on</strong>g> Center Directors and Center Board Chairs <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR. These<br />

statements include <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR’s Ethical Principles Relating to Genetic Resources<br />

and <str<strong>on</strong>g>the</str<strong>on</strong>g> Guiding Principles for <str<strong>on</strong>g>the</str<strong>on</strong>g> CGIAR Centers <strong>on</strong> Intellectual Property and<br />

Genetic Resources.<br />

2. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> adheres to <str<strong>on</strong>g>the</str<strong>on</strong>g> principles c<strong>on</strong>tained in <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>venti<strong>on</strong> <strong>on</strong> Biological<br />

Diversity, <str<strong>on</strong>g>the</str<strong>on</strong>g> FAO-CGIAR Agreement <strong>on</strong> Genetic Resources, and <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

<str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> Treaty <strong>on</strong> Plant Genetic Resources for Food and <str<strong>on</strong>g>Agriculture</str<strong>on</strong>g>.<br />

Therefore, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> uses material transfer agreements (MTAs) and germplasm<br />

acquisiti<strong>on</strong> agreements to facilitate access and ensure <str<strong>on</strong>g>the</str<strong>on</strong>g> c<strong>on</strong>tinued free exchange<br />

<str<strong>on</strong>g>of</str<strong>on</strong>g> genetic materials and bio-c<strong>on</strong>trol agents (Annex I to Annex VI). The main<br />

objective <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g>se MTAs is to maintain <str<strong>on</strong>g>the</str<strong>on</strong>g>se materials in <str<strong>on</strong>g>the</str<strong>on</strong>g> public domain and to<br />

ensure <str<strong>on</strong>g>the</str<strong>on</strong>g> protecti<strong>on</strong> from ownership by o<str<strong>on</strong>g>the</str<strong>on</strong>g>rs<br />

3. All rights to data, whe<str<strong>on</strong>g>the</str<strong>on</strong>g>r in raw form or after significant manipulati<strong>on</strong>,<br />

laboratory and field notebooks, and material c<strong>on</strong>tained in such notebooks, and<br />

research results (including formal or informal reports) and products shall bel<strong>on</strong>g<br />

to <str<strong>on</strong>g>IITA</str<strong>on</strong>g>. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> does not permit its employees to claim any intellectual property<br />

rights arising out <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g>ir work for <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>. This is clearly stated in <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

employment c<strong>on</strong>tract signed by <str<strong>on</strong>g>the</str<strong>on</strong>g> employees. Likewise, visiting scientists,<br />

research fellows, and o<str<strong>on</strong>g>the</str<strong>on</strong>g>r n<strong>on</strong>-<str<strong>on</strong>g>IITA</str<strong>on</strong>g> employees may be asked to sign appropriate<br />

agreements as a c<strong>on</strong>diti<strong>on</strong> to <str<strong>on</strong>g>the</str<strong>on</strong>g>ir associati<strong>on</strong> with <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>.<br />

4. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will strive to manage all issues associated with intellectual property rights<br />

with integrity, equity, resp<strong>on</strong>sibility and accountability in accordance with <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

above stated guiding principles. Under normal circumstances, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will not seek<br />

to secure patent or plant breeder’s rights for germplasm, materials or technologies<br />

developed by <str<strong>on</strong>g>IITA</str<strong>on</strong>g> in any jurisdicti<strong>on</strong><br />

5. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will not allow any <str<strong>on</strong>g>of</str<strong>on</strong>g> its research partners to protect informati<strong>on</strong>, data,<br />

knowledge or inventi<strong>on</strong> resulting from this cooperati<strong>on</strong> through any form <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

statutory or n<strong>on</strong>-statutory intellectual property rights mechanism without express<br />

written approval from <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>. Such approval may be withheld if c<strong>on</strong>trary to<br />

<str<strong>on</strong>g>the</str<strong>on</strong>g> interest <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g>’s developing country partners.<br />

6. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> does not regard intellectual property protecti<strong>on</strong> as a mechanism for securing<br />

funding up<strong>on</strong> which it may depend. To <str<strong>on</strong>g>the</str<strong>on</strong>g> extent that such returns may be<br />

generated in specific circumstances, <str<strong>on</strong>g>the</str<strong>on</strong>g>y will be invested in specific tasks and<br />

projects that are compatible with <str<strong>on</strong>g>the</str<strong>on</strong>g> missi<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g>, and with particular<br />

emphasis <strong>on</strong> a fair and equitable sharing <str<strong>on</strong>g>of</str<strong>on</strong>g> benefits.<br />

7. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will strive to comply with nati<strong>on</strong>al laws that are relevant for <str<strong>on</strong>g>the</str<strong>on</strong>g> use <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

protected intellectual property in all locati<strong>on</strong>s where it operates. In this regard,<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> recognizes that internati<strong>on</strong>al trade has significant implicati<strong>on</strong>s <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g> use <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

intellectual property, particularly in protected market jurisdicti<strong>on</strong>s. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will<br />

inform and educate, to <str<strong>on</strong>g>the</str<strong>on</strong>g> extent that resources allow, its beneficiaries and<br />

partners <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g>se issues.<br />

8. <str<strong>on</strong>g>IITA</str<strong>on</strong>g>, following resp<strong>on</strong>sible behaviour and good stewardship, does not c<strong>on</strong>d<strong>on</strong>e<br />

willful infringement <str<strong>on</strong>g>of</str<strong>on</strong>g> any legitimate and legally established third party rights.<br />

Fur<str<strong>on</strong>g>the</str<strong>on</strong>g>r, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> str<strong>on</strong>gly urges all <str<strong>on</strong>g>of</str<strong>on</strong>g> its beneficiaries and partners to similarly<br />

eschew such infringement. N<strong>on</strong>e<str<strong>on</strong>g>the</str<strong>on</strong>g>less, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will actively negotiate to minimize<br />

any restricti<strong>on</strong>s <str<strong>on</strong>g>of</str<strong>on</strong>g> third party intellectual property for innovative technology<br />

associated with its missi<strong>on</strong> and which may benefit people in developing countries.<br />

In this regard, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will engage <str<strong>on</strong>g>the</str<strong>on</strong>g> private sector, universities, advanced research<br />

institutes, NARS, and o<str<strong>on</strong>g>the</str<strong>on</strong>g>r organizati<strong>on</strong>s to access its research products in order<br />

to bring <str<strong>on</strong>g>the</str<strong>on</strong>g>m to bear <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g> opportunities <str<strong>on</strong>g>of</str<strong>on</strong>g> people, particularly in sub-Saharan<br />

Africa. Any arrangements with third parties associated with access, joint creati<strong>on</strong>,<br />

use <str<strong>on</strong>g>of</str<strong>on</strong>g> and exploitati<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> intellectual property, protected materials or technologies<br />

will be properly researched.<br />

9. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> accepts that securing or providing freedom to operate with technologies,<br />

processes, germplasm, breeding lines, bio-c<strong>on</strong>trol agents and o<str<strong>on</strong>g>the</str<strong>on</strong>g>r research<br />

products in many jurisdicti<strong>on</strong>s has become exceedingly difficult in <str<strong>on</strong>g>the</str<strong>on</strong>g> current<br />

ec<strong>on</strong>omic and policy climate <str<strong>on</strong>g>of</str<strong>on</strong>g> globalizati<strong>on</strong>. Therefore, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will cooperate and<br />

participate actively in internati<strong>on</strong>al efforts to secure suitable freedom to operate<br />

for innovators, particularly in sub-Saharan Africa.<br />

10. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> encourages <str<strong>on</strong>g>the</str<strong>on</strong>g> wide disseminati<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g>’s printed and electr<strong>on</strong>ic<br />

publicati<strong>on</strong>s, such as databases, reports, training and public awareness materials,<br />

artwork and audiovisuals to <str<strong>on</strong>g>the</str<strong>on</strong>g> global research community, particularly those<br />

targeting sub-Saharan Africa. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> incorporates standard copyright notificati<strong>on</strong><br />

statements in its publicati<strong>on</strong>s but permits <str<strong>on</strong>g>the</str<strong>on</strong>g> reproducti<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g> materials in a<br />

manner c<strong>on</strong>sistent with fair use<br />

Implementati<strong>on</strong><br />

This policy applies to all <str<strong>on</strong>g>IITA</str<strong>on</strong>g> activities, divisi<strong>on</strong>s, AEZ teams, projects, units and<br />

<str<strong>on</strong>g>of</str<strong>on</strong>g>fices, and all references to <str<strong>on</strong>g>IITA</str<strong>on</strong>g> in this policy document shall be c<strong>on</strong>strued to<br />

include references to all <str<strong>on</strong>g>the</str<strong>on</strong>g>se entities. Resp<strong>on</strong>sibility for implementing this policy<br />

rests with <str<strong>on</strong>g>the</str<strong>on</strong>g> Director General <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g>. With input from <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g> IP Committee,<br />

<str<strong>on</strong>g>the</str<strong>on</strong>g> Director General shall decide <strong>on</strong>, clarify and interpret any matter not expressly<br />

stated in this document.<br />

Effective Date<br />

This policy is effective from 9 th May 2001, and shall remain in force until<br />

superseded, cancelled or suspended by <str<strong>on</strong>g>the</str<strong>on</strong>g> authority <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> Board <str<strong>on</strong>g>of</str<strong>on</strong>g> Trustees <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g>.<br />

Annex I<br />

Transfer <str<strong>on</strong>g>of</str<strong>on</strong>g> Designated Germplasm<br />

Important Notice<br />

On October 26, 1994, <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> <str<strong>on</strong>g>Institute</str<strong>on</strong>g> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>Tropical</str<strong>on</strong>g> <str<strong>on</strong>g>Agriculture</str<strong>on</strong>g> (IIT A) signed an<br />

agreement with <str<strong>on</strong>g>the</str<strong>on</strong>g> United Nati<strong>on</strong>s Food and <str<strong>on</strong>g>Agriculture</str<strong>on</strong>g> Organizati<strong>on</strong> (FAO) placing<br />

germplasm collecti<strong>on</strong>s maintained by <str<strong>on</strong>g>IITA</str<strong>on</strong>g> under <str<strong>on</strong>g>the</str<strong>on</strong>g> auspices <str<strong>on</strong>g>of</str<strong>on</strong>g> FAO, as part <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

internati<strong>on</strong>al network <str<strong>on</strong>g>of</str<strong>on</strong>g> ex situ collecti<strong>on</strong>s provided for in Article 7 <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g><br />

Undertaking <strong>on</strong> Plant Genetic Resources, to be held in trust by <str<strong>on</strong>g>IITA</str<strong>on</strong>g>. The Agreement is<br />

attached herewith.<br />

Plant Genetic Resources in setting policies for <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> Network referred to in Article<br />

7 <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> Undertaking <strong>on</strong> Plant Genetic Resources. The materials covered by <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

Agreement are listed as "designated germplasm" in an annex to <str<strong>on</strong>g>the</str<strong>on</strong>g> Agreement. "Designated<br />

Germplasm" is indicated as such <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g> seed list attached to <str<strong>on</strong>g>the</str<strong>on</strong>g> Shipment Notice, and <strong>on</strong> each<br />

packet <str<strong>on</strong>g>of</str<strong>on</strong>g> seeds.<br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> has traditi<strong>on</strong>ally adhered to a policy <str<strong>on</strong>g>of</str<strong>on</strong>g> unrestricted availability <str<strong>on</strong>g>of</str<strong>on</strong>g> germplasm held in its<br />

genebank(s). In <str<strong>on</strong>g>the</str<strong>on</strong>g> interest <str<strong>on</strong>g>of</str<strong>on</strong>g> keeping this material available for future research and<br />

utilizati<strong>on</strong>, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> has undertaken, under Article 3 (b) <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> Agreement with FAO, not to claim<br />

legal ownership over <str<strong>on</strong>g>the</str<strong>on</strong>g> designated germplasm, or to seek any intellectual property rights<br />

over that germplasm or related informati<strong>on</strong>. To ensure c<strong>on</strong>tinued free availability <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

designated germplasm, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> has also agreed to pass <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g> same obligati<strong>on</strong>s to all future<br />

recipients <str<strong>on</strong>g>of</str<strong>on</strong>g> designated germplasm.<br />

Accordingly, <str<strong>on</strong>g>the</str<strong>on</strong>g> recipient must agree:<br />

a) not to claim ownership over <str<strong>on</strong>g>the</str<strong>on</strong>g> designated germplasm received, or to seek<br />

intellectual property rights over that germplasm or related informati<strong>on</strong>;<br />

b) to ensure that any subsequent pers<strong>on</strong> or instituti<strong>on</strong> to whom he or she makes samples<br />

<str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> germplasm available, is bound by <str<strong>on</strong>g>the</str<strong>on</strong>g> same provisi<strong>on</strong>.<br />

c) to assume full resp<strong>on</strong>sibility for complying with <str<strong>on</strong>g>the</str<strong>on</strong>g> recipient nati<strong>on</strong>'s<br />

quarantine/biosafety regulati<strong>on</strong>s and rules as to import or release <str<strong>on</strong>g>of</str<strong>on</strong>g> genetic material.<br />

The phytosanitary c<strong>on</strong>diti<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> material is warranted <strong>on</strong>ly as described in <str<strong>on</strong>g>the</str<strong>on</strong>g> attached<br />

phytosanitary certificate. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> makes no warranties as to <str<strong>on</strong>g>the</str<strong>on</strong>g> safety or title <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> material, nor<br />

as to <str<strong>on</strong>g>the</str<strong>on</strong>g> accuracy or correctness <str<strong>on</strong>g>of</str<strong>on</strong>g> any passport or o<str<strong>on</strong>g>the</str<strong>on</strong>g>r data provided with <str<strong>on</strong>g>the</str<strong>on</strong>g> material.<br />

Nei<str<strong>on</strong>g>the</str<strong>on</strong>g>r does it make any warranties as to <str<strong>on</strong>g>the</str<strong>on</strong>g> quality, availability, or purity (genetic or<br />

mechanical) <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> material being furnished.<br />

Rules for <str<strong>on</strong>g>the</str<strong>on</strong>g> future exchange <str<strong>on</strong>g>of</str<strong>on</strong>g> plant germplasm for food and agriculture are currently being<br />

debated in <str<strong>on</strong>g>the</str<strong>on</strong>g> FAO Commissi<strong>on</strong> <strong>on</strong> Genetic Resources in coordinati<strong>on</strong> with <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>ference<br />

<str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> Parties to <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>venti<strong>on</strong> <strong>on</strong> Biological Diversity. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> and <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>sultative Group <strong>on</strong><br />

maximizing <str<strong>on</strong>g>the</str<strong>on</strong>g> utilizati<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> material for research, breeding and training. The material was<br />

ei<str<strong>on</strong>g>the</str<strong>on</strong>g>r developed by <str<strong>on</strong>g>the</str<strong>on</strong>g> IIT A; or was acquired prior to <str<strong>on</strong>g>the</str<strong>on</strong>g> entry into force <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>venti<strong>on</strong><br />

<strong>on</strong> Biological Diversity; or if it was acquired after <str<strong>on</strong>g>the</str<strong>on</strong>g> entering into force <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> C<strong>on</strong>venti<strong>on</strong><br />

<strong>on</strong> Biological Diversity, it was obtained with <str<strong>on</strong>g>the</str<strong>on</strong>g> understanding that it could be made<br />

available for any agricultural research, breeding and training purposes under <str<strong>on</strong>g>the</str<strong>on</strong>g> terms and<br />

c<strong>on</strong>diti<strong>on</strong>s set out in <str<strong>on</strong>g>the</str<strong>on</strong>g> agreement between <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g> and FAO dated 26 October 1994.<br />

The material is held in trust under <str<strong>on</strong>g>the</str<strong>on</strong>g> terms <str<strong>on</strong>g>of</str<strong>on</strong>g> this agreement, and <str<strong>on</strong>g>the</str<strong>on</strong>g> recipient has no rights to<br />

obtain Intellectual Property Rights (IPRs) <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g> material or related informati<strong>on</strong>.<br />

The recipient may utilize and c<strong>on</strong>serve <str<strong>on</strong>g>the</str<strong>on</strong>g> material for research, breeding and training and may<br />

distribute it to o<str<strong>on</strong>g>the</str<strong>on</strong>g>r parties provided such o<str<strong>on</strong>g>the</str<strong>on</strong>g>r parties accept <str<strong>on</strong>g>the</str<strong>on</strong>g> terms and c<strong>on</strong>diti<strong>on</strong>s <str<strong>on</strong>g>of</str<strong>on</strong>g> this<br />

The recipient, <str<strong>on</strong>g>the</str<strong>on</strong>g>refore, hereby agrees not to claim ownership over <str<strong>on</strong>g>the</str<strong>on</strong>g> material, nor to seek IPRs<br />

furnished with <str<strong>on</strong>g>the</str<strong>on</strong>g> material. Recipients are requested to furnish <str<strong>on</strong>g>the</str<strong>on</strong>g> <str<strong>on</strong>g>IITA</str<strong>on</strong>g> with related data and<br />

informati<strong>on</strong> collected during evaluati<strong>on</strong> and utilizati<strong>on</strong>.<br />

The recipient <str<strong>on</strong>g>of</str<strong>on</strong>g> material provided under this MTA is encouraged to share <str<strong>on</strong>g>the</str<strong>on</strong>g> benefits<br />

accruing from its use, including commercial use, through <str<strong>on</strong>g>the</str<strong>on</strong>g> mechanisms <str<strong>on</strong>g>of</str<strong>on</strong>g> exchange <str<strong>on</strong>g>of</str<strong>on</strong>g><br />

The attenti<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> recipient is drawn to <str<strong>on</strong>g>the</str<strong>on</strong>g> fact that <str<strong>on</strong>g>the</str<strong>on</strong>g> details <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> MTA, including <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

identity <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> recipient, will be made publicly available.<br />

This does not prevent <str<strong>on</strong>g>the</str<strong>on</strong>g> recipients from releasing <str<strong>on</strong>g>the</str<strong>on</strong>g> material for purposes <str<strong>on</strong>g>of</str<strong>on</strong>g> making it<br />

directly available to farmers or c<strong>on</strong>sumers for cultivati<strong>on</strong>, provided that <str<strong>on</strong>g>the</str<strong>on</strong>g> o<str<strong>on</strong>g>the</str<strong>on</strong>g>r c<strong>on</strong>diti<strong>on</strong>s<br />

set out in this MTA are complied with.<br />

The recipient’s acceptance <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> material c<strong>on</strong>stitutes acceptance <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> terms <str<strong>on</strong>g>of</str<strong>on</strong>g> this<br />

Agreement.<br />

1. [Nati<strong>on</strong> or Supplier] grants germplasm and related informati<strong>on</strong> to <str<strong>on</strong>g>IITA</str<strong>on</strong>g> under <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

terms and c<strong>on</strong>diti<strong>on</strong>s <str<strong>on</strong>g>of</str<strong>on</strong>g> this agreement. The germplasm being provided is identified<br />

in <str<strong>on</strong>g>the</str<strong>on</strong>g> attached list which forms part <str<strong>on</strong>g>of</str<strong>on</strong>g> this agreement.<br />

2. [Nati<strong>on</strong> or Supplier] warrants that it is legally free to provide <str<strong>on</strong>g>the</str<strong>on</strong>g> germplasm to <str<strong>on</strong>g>IITA</str<strong>on</strong>g>,<br />

that [Nati<strong>on</strong>] is <str<strong>on</strong>g>the</str<strong>on</strong>g> country <str<strong>on</strong>g>of</str<strong>on</strong>g> origin <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> germplasm, and that all necessary<br />

permissi<strong>on</strong>s have been obtained.<br />

3. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will hold <str<strong>on</strong>g>the</str<strong>on</strong>g> germplasm in trust under <str<strong>on</strong>g>the</str<strong>on</strong>g> terms <str<strong>on</strong>g>of</str<strong>on</strong>g> an agreement between <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

<str<strong>on</strong>g>IITA</str<strong>on</strong>g> and FAO, place it in its genebank, periodically regenerate it, duplicate it for<br />

3. <str<strong>on</strong>g>IITA</str<strong>on</strong>g> will be free to make <str<strong>on</strong>g>the</str<strong>on</strong>g> research product and related informati<strong>on</strong>, its progeny†<br />

and genes† in it available to any third party for agricultural research purposes, but may<br />

do so <strong>on</strong>ly under a material transfer agreement, with terms intended to restrict <str<strong>on</strong>g>the</str<strong>on</strong>g><br />

recipient from obtaining intellectual property rights <strong>on</strong> <str<strong>on</strong>g>the</str<strong>on</strong>g> material itself and to require<br />

similar commitments from any fur<str<strong>on</strong>g>the</str<strong>on</strong>g>r recipients.<br />

Prior to <str<strong>on</strong>g>the</str<strong>on</strong>g> applicati<strong>on</strong> <str<strong>on</strong>g>of</str<strong>on</strong>g> any form <str<strong>on</strong>g>of</str<strong>on</strong>g> intellectual property<br />

rights (IPR) <strong>on</strong> this research product and related informati<strong>on</strong>, written permissi<strong>on</strong> must be<br />

obtained from <str<strong>on</strong>g>IITA</str<strong>on</strong>g>. Moreover, while <str<strong>on</strong>g>IITA</str<strong>on</strong>g> recognizes <str<strong>on</strong>g>the</str<strong>on</strong>g> validity <str<strong>on</strong>g>of</str<strong>on</strong>g> IPR, it reserves <str<strong>on</strong>g>the</str<strong>on</strong>g> right<br />

samples <str<strong>on</strong>g>of</str<strong>on</strong>g> this material is bound by <str<strong>on</strong>g>the</str<strong>on</strong>g>se same provisi<strong>on</strong>s.<br />

4 Although <str<strong>on</strong>g>the</str<strong>on</strong>g> material and associated informati<strong>on</strong> being supplied by IIT A were developed<br />

following careful and comprehensive research, <str<strong>on</strong>g>IITA</str<strong>on</strong>g> makes no warranties as to <str<strong>on</strong>g>the</str<strong>on</strong>g> safety or<br />

title <str<strong>on</strong>g>of</str<strong>on</strong>g> <str<strong>on</strong>g>the</str<strong>on</strong>g> material nor as to <str<strong>on</strong>g>the</str<strong>on</strong>g> accuracy <str<strong>on</strong>g>of</str<strong>on</strong>g> correctness <str<strong>on</strong>g>of</str<strong>on</strong>g> any passport or o<str<strong>on</strong>g>the</str<strong>on</strong>g>r data<br />

provided with <str<strong>on</strong>g>the</str<strong>on</strong>g> material. Nei<str<strong>on</strong>g>the</str<strong>on</strong>g>r does it make any warranties as to <str<strong>on</strong>g>the</str<strong>on</strong>g> quality, viability, or<br />

recipient assumes full resp<strong>on</strong>sibility for complying with <str<strong>on</strong>g>the</str<strong>on</strong>g> recipient nati<strong>on</strong>'s quarantine or<br />

biosafety regulati<strong>on</strong>s and rules as to import or release <str<strong>on</strong>g>of</str<strong>on</strong>g> genetic material.<br />

5 The recipients agree to furnish <str<strong>on</strong>g>IITA</str<strong>on</strong>g> performance data collected during evaluati<strong>on</strong>s.<br />

Recipients should give due acknowledgement to <str<strong>on</strong>g>IITA</str<strong>on</strong>g> in <str<strong>on</strong>g>the</str<strong>on</strong>g>ir reports for having provided <str<strong>on</strong>g>the</str<strong>on</strong>g><br />
