If a Manitoba corporation wants to continue under the laws of another jurisdiction, it should first find out the<br />
filing requirements of that new jurisdiction. It will also have to get permission from this province to continue by<br />
filing an <strong>APPLICATION</strong> <strong>FOR</strong> <strong>APPROVAL</strong> <strong>TO</strong> CONTINUE IN ANOTHER JURISDICTION as follows:<br />

Information about this corporation is collected pursuant to The Corporations Act. It is made available for public<br />
searching pursuant to that Act. Information will be shared with other government departments and the Minister of<br />
National Revenue pursuant to The Electronic Commerce and Information Act for the purposes of obtaining a Business<br />
Number (BN) for this company and administering a common business numbering and information system. If you have<br />

All forms must be typed or printed clearly and signed in ink.<br />
You will have to get a legal opinion that states the laws of the proposed jurisdiction are similar to Subsection<br />
182(11) of The Corporations Act. Corporations that want to continue under the Ontario, Alberta, British Columbia,<br />
Saskatchewan or Canada Business Corporations Act do not have to provide this opinion.<br />
If approved, the application is valid for 90 days only.<br />
Once the continuance has occurred in the new jurisdiction, and the Manitoba <strong>Companies</strong> <strong>Office</strong> has received notice<br />
of the continuance, we will issue a Certificate of Discontinuance.<br />
If the corporation wants to do business in Manitoba after continuance, it will have to keep its registration active. It<br />
must file an Application for Supplementary Certificate of Registration within 90 days of the continuance.<br />
If the corporation does not file an Application for Supplementary Certificate of Registration, it will be cancelled in<br />
Manitoba. If it wants to do business in Manitoba after that, it will have to file an Application for Registration.<br />
